Next Steps As outlined in the Investment section, our pricing is valid until 27th September 2020. To take advantage of this proposal and proceed with the project as outlined, Online Virtual Store's next steps must be to • Accept the proposal as-is • Discuss desired changes with SBS • Finalize and sign contract • Submit initial payment of 50 percent of total project fee Once completed, SBS will contact Online Virtual Store to schedule a project launch meeting to make introductions and gather information before beginning the work. We’re happy to make changes to project scope on Online Virtual Store's request at any time, but may be subject to additional billing. Terms and Conditions Once project fee is paid in full to SBS, any elements of text, graphics, photos, contents, trademarks, or other artwork furnished for Cellpor for inclusion in application are owned by Cellpor. SBS assumes Cellpor has permission from the rightful owner to use any data, and reports are provided by Cellpor for inclusion in its materials, and will hold harmless, protect, and defend SBS from any claim or suit arising from the use of such work. SBS retains the right to display graphics and other web content elements as examples of their work in their portfolio and as content features in other projects. This agreement becomes effective only when signed by agents of Cellpor and SBS. Regardless of the place of signing of this agreement, Cellpor agrees that for purposes of venue. The agreement contained in this contract constitutes the sole agreement between Cellpor and the SBS regarding all items included in this agreement's Confidentiality The Cellpor acknowledges that in the course of carrying out and performing the Project Work, it will acquire from SBS information and trade secrets which are valuable and confidential to SBS (collectively the “Confidential Information”). Confidential Information shall include, without limitation, the following: (a) all Developments, Project Work, Deliverables, and information pertaining to the Developments, Project Work and Deliverables, including designs, systems, methods, products, services, techniques, customers, employees, prices, financial and marketing information of SBS; and (b) any information which a reasonable person with the skills of the Cellpor acting in good faith and good conscience, ought to recognize as being confidential. Confidential Information does not include any information that through no fault of the Cellpor is freely available to the public, disclosed with the prior written approval of SBS, or that is required by law to be disclosed The Cellpor acknowledges that the Confidential Information is the exclusive property of SBS and any disclosure of Confidential
