Competition Commission of India H. References from and to statutory authorities CCI has been mandated, inter alia, to promote and sustain competition in markets in India. In some of the markets, a sectoral regulator may also be present. In such a scenario, situations may arise wherein a sectoral regulator, while pursuing its mandate, comes up with a measure/decision which may have competition concerns. Similarly, the Commission, while promoting competition in markets, may come up with measure(s)/decisions which may have sectoral concerns. A measure or a decision may not always promote the objectives of the sectoral regulator and the Commission simultaneously. In recognition of this, the Act provides for mutual consultation between CCI and the sectoral regulators. Where in the course of a proceeding before any statutory authority, an issue is raised by any party that any decision which such a statutory authority has taken or proposes to take is or could be contrary to any of the provisions of the Act, then such a statutory authority may make a reference with respect to such an issue to the Commission. It may also make a reference on its own. On receipt of such a reference under Section 21 of the Act, the Commission is obliged to give its opinion within 60 days of receipt of such reference to such a statutory authority, which shall consider the opinion of the Commission. Section 21A of the Act also provides for similar reference from the Commission to any statutory authority. During 2021–22, no reference was received under Section 21 by the Commission and there was no reference pending at the beginning of 2021–22. Competition Commission of India I. Competition Advocacy Enforcement and advocacy are twin arms of the competition law having supplemental and complemental role towards building competition compliance culture in the country. Section 49 (3) of the Competition Act, 2002 (Act) mandates the Commission to take suitable measures for promotion of competition advocacy, creating awareness and imparting training about competition issues. The Commission in pursuance of the advocacy mandate engages with stakeholders such as Judiciary, Industry, Academia, Central & State Governments, Central and State Public Sector Undertakings (PSUs), Professional Bodies, Trade Associations, Training Academies etc. Competition advocacy is an outreach process that influences the economic behaviour of enterprises, elicits support for the economic principles of competition and convinces stakeholders about the innate advantages of competition law. The statutory mandate for competition advocacy reinforces the view that enforcement alone cannot achieve all the intended goals of competition law. There are visible as well as hidden market distortions and anomalies in an economy which require implementation of enforcement and advocacy both as a combined tool for the correction of the markets. In FY 2021-2022, notwithstanding the shadow of Covid-19 pandemic, the advocacy programs such as seminars, webinars, conferences, workshops, lecture series, interactive sessions and moot court competitions etc. continued in virtual mode. A snap-shot of advocacy initiatives during the last three years is given in Table I1. With the overarching objective of understanding the factors that influence price competition in the pharmaceutical sector, the study focused on the specific realms of pharmaceutical distribution (including the emergence of e-pharmacies) and the role of trade associations therein, trade margins and drug pricing, and the prevalence of branded generic drugs in India and its implications for competition. Since the pharmaceutical sector is a regulated sector, the study also attempted to explore the areas of interface between regulation and competition with a view to ascertain the Commission’s advocacy priorities. The market study report titled ‘Market Study on the Pharmaceutical Sector in India: Key Findings and Observations’ (‘the study’) has been released. The report summarises the main findings and the Commission’s observations based on the study. It is expected that the insights gained from the market study will inform and contribute significantly to the design of the pharma market in India to help attain the objective of affordable medicines for all. (b) Market Study on Common Ownership in India: The CCI initiated a ‘Market Study on the Common Ownership in India’ on April 1, 2021. The study is an attempt to understand a situation where large institutional shareholders hold minority stakes in a number of companies that are active in the same industry and compete with each other. It aims to gain visibility into markets with substantial institutional investor, gauge the trends and patterns in common ownership across various sectors in India, institutional investors’ underlying incentives and motivations behind such investments, to 73 Annual Report 2021-22

(c) Market Study on Film Distribution Chain in India: The Commission has initiated the process of conducting a market study on the film distribution chain in India. The study will attempt, inter alia, to understand the role of various federations and associations in the film industry in India; study the horizontal and vertical arrangements between producers/distributors/exhibitors; identify various entry barriers that may exist in the film industry at each level, the issues in the digitisation of cinema and the use of technology to provide exclusive exhibition rights and interface of copyright and competition law issues. (vii) Other Initiatives • Annual Day of CCI on May 20, 2021 (a) Competition Commission of India (CCI) commemorated its 12th Annual Day in virtual mode. The Hon’ble Union Minister of Finance and Corporate Affairs, Smt. Nirmala Sitharaman, was the Chief Guest on this occasion. Hon’ble Minister of State for Finance and Corporate Affairs Shri Anurag Singh Thakur was the Guest of Honor. Special address was delivered by Shri Rajesh Verma, Secretary, Ministry of Corporate Affairs. Shri Ashok Kumar Gupta, Chairperson, Competition Commission India delivered welcome address at the beginning of inaugural session which commenced at 2:45 PM. Vote of thanks was given by Secretary, CCI, Shri S. Ghosh Dastidar. The event was attended by Senior Govt. officials, officers of PSU, Advocates, Economists, Academia, and Members of Trade Associations etc. (b) On this occasion, Hon’ble Finance Minister released the ‘CCI Journal on Competition Law and Policy’ and CCI’s Competition Advocacy Booklets translated into Bengali, Marathi and Tamil languages. (c) TheAnnualDaycommemorationalsofeaturedahalfdayworkshoponCompetition Law. The workshop had two plenary sessions. The first session was on ‘Anti-Trust Annual Report 2021-22 74
Competition Commission of India Enforcement – Section 3 and 4 of the Act and its journey till date’. The second session was titled ‘Merger Regime in India – Our journey in the last ten years and way forward’. The plenary sessions at the workshop saw engaging discussions and dialogue between the panellists on a range of contemporary competition law issues. Panellists and moderators represented the legal fraternity, industry and the business media. • National Conference on Economics of Competition Law on March 4, 2022 (a) CCI organised the 7th edition of National Conference on Economics of Competition Law in virtual mode on March 04, 2022. Mr. Neelkanth Mishra, Member, Economic Advisory Council to the Prime Minister, was the Keynote Speaker at the conference. The conference comprised an inaugural session, a plenary session, and two technical sessions. The theme of this year’s plenary was ‘Reforms and Deepening of markets’. Mr. Amitabh Kant, CEO, NITI Aayog, Mr. Tuhin Kanta Pandey, Secretary DIPAM, MoF, GoI, Dr. M.S. Sahoo. Distinguished Professor, NLU Delhi and Mr. Nachiket Mor, Sr. Research Fellow, IIIT Bangalore participated as panellists in the Plenary. The conference was attended by around 230 participants. (b) The conference is being organised annually since 2016 to stimulate research and debate on contemporary issues in the field of economics of competition law, develop a better understanding of competition issues relevant to the Indian context and draw inferences for implementation of competition law in India. • Workshop on Startup Ecosystem and Competition in virtual mode on 4th February, 2022 (a) CCI organised a workshop on Startup Ecosystem and Competition in virtual mode on February 04, 2022. Mr Nandan M. Nilekani, Chairman and Co-founder, Infosys, and Founding Chairman, UIDAI, delivered the keynote address at the workshop. Around 160 participants attended the program virtually. (b) The workshop was an attempt to understand startup ecosystem in India and bring different stakeholders together on a platform to deliberate on the opportunities and challenges facing the startup ecosystem in India and the evolving competition dynamics therein. The workshop comprised of two sessions - ‘Bigtech and Startups Synergies and Challenges’ and ‘Mergers and Acquisitions’. • Workshop on Competition issues in Pharmaceutical Sector in India on August 27, 2021 (a) CCI organised a workshop on Competition issues in Pharmaceutical Sector in India in virtual mode on August 27, 2021. Dr. Vinod Paul, Member, NITI Aayog, delivered the keynote address in the workshop. The workshop was attended by approximately 190 participants virtually. (b) The workshop was an attempt to facilitate exchange of views across stakeholder groups, including doctors, representatives of pharmaceutical companies, representatives of various pharmaceutical associations, stockists, chemists, and 75 Annual Report 2021-22
Competition Commission of India online pharmacies, sector experts, regulators, and policymakers on the focus areas of the market study in the pharmaceutical sector in India conducted by CCI. • Competition Commission of India Journal on Competition Law and Policy (a) Competition Commission of India Journal on Competition Law and Policy is conceived with the aim of fostering research in the field of competition law and policy. Competition law is a relatively new area of interdisciplinary research concerning law, economics, and finance. With the publication of this journal, the Commission hopes to stimulate rigorous research and informed debate on contemporary issues in the field and apply the results for enforcement and advocacy. (b) The Hon’ble Union Minister of Finance and Corporate Affairs Smt. Nirmala Sitharaman, on the occasion of 12th Annual Day of CCI on May 20, 2021, released the inaugural issue of the Competition Commission of India Journal on Competition Law and Policy (ISSN: 2582-838X). • Four editions of Commissions’ quarterly newsletter ‘Fair Play’ Four editions of Commissions’ quarterly newsletter ‘Fair Play’ were published and distributed among various stakeholders and uploaded on website of the Commission in Financial Year 2021-22. It may also be noted that Hindi Edition of Quarterly Newsletter also commenced in Financial Year 2021-22. • Internship The Commission, keeping in view of the interest of the students’ community in the wake of Covid-19 Pandemic, started online internship from May 2020 and continued with the same in Financial Year 2021-22. Response to online internship witnessed overwhelming response. This afforded opportunity to students located in far flung areas of the country. 246 students from various universities underwent internship through online mode during April 2021 to March 2022. • Social Media On Commission’s LinkedIn Page, over 10,000 followers have subscribed to the page. In the earlier year this number was 7,000. On Commission’s Official YouTube Channel, more than 700 subscribers have subscribed the same. On the Twitter handle of CCI, a total of 16.1 thousand followers are there. More than 1000 followers are following official Facebook page of CCI. Regular updates are being made on YouTube channel of Competition Commission of India. • Online Quiz and National Essay Competition under Azadi ka Amrit Mahotsav (a) The Commission, under Azadi Ka Amrit Mahotsav, organized Online Quiz on competition law in the month of November 2021, on the platform of MyGov portal with an objective of creating broad-based awareness of competition law in India and generating interest in nuances of the law among stakeholders. A total of 21,519 persons participated in the online quiz. Annual Report 2021-22 76
Competition Commission of India (b) The Commission conducted a National Level Essay Competition in November, 2021 under Azadi ka Amrit Mahotsav on the topic of ‘Competition Law in New India – Building Self Reliant Bharat’ for students pursuing undergraduate, post graduate courses in law, economics, management and regulatory governance in any recognised University in India. The essay prize featured attractive prizes worth Rs. 1 lakh for winners. A total of 62 good quality essay were received for evaluation. • Regional Workshop on Competition Law under Azadi Ka Amrit Mahotsav (a) In order to take competition law advocacy to various regions of India, the Commission has been focusing on region-based advocacy initiatives to engage with stakeholders at the regional level. In furtherance of the same, CCI organised Regional Workshop on Competition Issues in Merger & Acquisitions in collaboration with SVKM’s Pravin Gandhi College of Law. Sessions on Introduction to Merger Laws; Are all M&As required to be notified? Scheme of Notification of Combinations; What is the legal framework of assessment of a M&A transaction and What are the relevant factors in assessment of a M&A transaction? (b) Under Azadi Ka Amrit Mahotsav, a Regional Workshop on Competition Law for State Resource Persons of Southern State with Jan Bhagidari was conducted by CCI through the hybrid mode on October 26, 2021 through its Southern Regional Office (SRO), Chennai. The venue of the event was School of Excellence in Law, Tamil Nadu Dr. Ambedkar Law University, Chennai. • State Resource Person Scheme (a) Advocacy with states has been a significant point in the overall outreach programs of CCI. Advocacy with states has been augmented by CCI through its State Resource Person (SRP) Scheme. The SRP Scheme was put into action from January 2020. Under this scheme, state governments/UTs nominate SRPs from the Officers who have recently retired from the post not below the rank of Joint Secretary (or equivalent) to the state government. The main focus of this scheme is to impart training on competition issues to state government officials in general and procurement officials in particular. Each Resource Person appointed under the scheme is required to organise and conduct two advocacy programs every month and carry out incidental activities related to organising the advocacy programs with government departments and PSUs. A State Resource Person is also encouraged to identify policy documents/bills/legislations/Act for detailed analysis from competition law perspective with the help of the Competition Assessment Toolkit. The Resource Persons are expected to undertake the main task of conducting advocacy events besides other ancillary works of ‘Tenders Study and Recommendation’; and ‘Study of the policy documents/Bills.’ (b) The Commission under SRP Scheme has conducted more than 170 programs in the States of Telangana, Assam, Himachal Pradesh, Uttar Pradesh, Uttarakhand, Kerala, Haryana, Odisha and UT of Puducherry in Financial Year 2021-22. 77 Annual Report 2021-22
Competition Commission of India • Public consultation with Stakeholders (Confidentiality Regime) CCI organised a stakeholder Consultation on Review of Confidentiality Regime on September 02, 2021. The half day virtual consultation was conducted by CCI as part of Azadi ka Amrit Mahotsav celebrations to establish a robust information sharing regime that allows parties to effectively present their cases in the interest of justice without compromising the sanctity of confidential information. The virtual consultation was a follow up to the written comments/feedbacks provided by the stakeholders on the draft proposal earlier circulated by the CCI. The event elicited active participation from the stakeholders who provided valuable feedback on the proposal. The consultation was attended by more than 50 participants, including, representative of law firms, business chambers, industry association, think tanks etc. • Programs with Trade Bodies (a) ASSOCHAM organised 6th International Conference on competition law on the theme of ‘Risk, Challenges and the Way Forward’ in association with CCI on September 23-24, 2021 in virtual mode. More than 1500 participants attended the program where senior officers of the Commission presided the session as session chair. Chairperson, CCI has been the Chief Guest. (b) CII organised annual conference on competition law and practice on December 10-11, 2021 in virtual mode. Chairperson, CCI delivered the keynote address. Members of the Commission addressed the sessions. Senior officers of the Commission presided the sessions. Around 500-600 participants attended the Conference virtually. Annual Report 2021-22 78

Administration and Establishment Matters (i) Report of the Secretary Introduction The Commission along with its investigation arm, i.e. the DG had a combined sanctioned strength of 197. This included one post each of Secretary and DG, 122 posts of professionals from Economics, Finance and Law, and 73 posts of support staff. Out of the total 124 posts of professionals, 91 posts (including one post of Secretary) are earmarked for the Commission and 33 posts (including one post of Director General) are earmarked for DG office. Among the posts for support staff, 65 posts are earmarked for the Commission and 8 posts for the DG office. As a result of the limited restructuring of the Professional Staff cadre of the Commission, the revised strength of the professional staff of the Commission is currently 89, and the overall revised staff strength of the Commission and DG office is 195. As per the Recruitment Rules, these posts are required to be filled up by direct recruitment, deputation, absorption and promotion. The number of posts filled on deputation basis as on March 31, 2022 is 46. This includes 21 officers who have opted for permanent absorption later. As per the Recruitment Rules notified by the Government, all posts in the DG office are to be filled up by deputation. Accordingly, 19 posts (13 professionals and 06 support staff) have been filled up by deputation as on March 31, 2022 in the DG office. These meetings have helped the Commission to issue 75 final Orders under Sections 26(2), 26(6) and 27 of the Act and under miscellaneous/other categories, apart from 15 Orders issued under Section 26(1) and 04 Orders issued under Section 33 of the Act during the year. Also, the Commission has referred 06 cases to DG for investigation by clubbing them with similar matters or as per directions of Court, without passing order under Section 26 (1) of the Act. In addition, the Commission held 41 meetings in respect of combination matters. It also held 17 special meetings during the year to discuss important issues with regard to its functioning, administration and other issues. Annual Report 2021-22 80
