Based in Plattsmouth, Neb., Liquid Trucking is a family-owned bulk liquid transporter specializing in agricultural, food-grade and hazmat shipments. The company was founded in 1994 when Roger Schmidt and Mike Beins started a new venture called OFC/Schmidt Liquid Services. In addition to providing nationwide transport, the company operates two wash bay’s south of Omaha near the Missouri River in Plattsmouth and in South Sioux City, Iowa. It has a fleet Shippers optimistic, survey shows A survey of shippers shows optimism that freight volumes will increase this year. In its sixth annual State of The North American Supply Chain Survey, Averitt Express surveyed about 1,800 shippers from a wide variety of industries throughout North America. The survey, conducted late last year, consisted of a series of questions aimed at gauging the supply chain challenges that shippers experienced in 2020. They were also asked questions to measure the use of and interest in various supply chain services in Class 8 orders dipped in January Orders of Class 5 through 8 trucks dipped in January compared with December 2020, according to analysts. Preliminary North American Class 8 order numbers in January were between 42,200 and 42,800 units, down between 17 percent and 18 percent from December 2020, industry analyst firms FTR and ACT Research reported, respectively. Despite the decrease, the orders represent between a 144 percent and 146 percent improvement from a year ago, and January is the fourth month in a row for Class 8 orders to exceed 40,000 units, FTR reported. FMCSA adds drivers to safety panel The Federal Motor Carrier Safety Administration (FMCSA) has announced the names of 25 drivers who will participate on a new panel to give the agency an on-the- road perspective on a variety of safety issues. Drivers on the panel, which the FMCSA announced last fall, are from all sectors of the industry. They will provide feedback to FMCSA’s Motor Carrier Safety Advisory Committee (MCSAC) on issues such as hours-of-service regulations, training, parking and driver experience, according to FMCSA. Biden revokes Keystone pipeline The Biden Administration has revoked a key permit for the proposed Keystone XL pipeline, the second time a Democratic administration has scuttled the $8 billion project in less than a decade. The new pay raise increases overall driver income between 4 percent and 7 percent and the amount of paid time off drivers earn per hour of work. With the rise, drivers start out at $25 per hour for all drive time counted by the minute. When not driving, drivers earn $20 for the first hour of loading, unloading and at tank washouts, and $15 per hour thereafter. Tracking the change-of-duty status for pay from driving to loading, unloading and tank washouts starts the moment drivers enter an arrive macro into the fleet’s in-cab mobility system and ends at the moment drivers hit a depart macro, according to a statement from the company. With the new raise, the company projects drivers will earn a minimum of $80,000 in their first year on the job. Liquid Trucking created its time- based pay system in 2012 to provide drivers with a safer and more rewarding work experience, the company said. “Our drivers can slow down for weather and adverse conditions without having to worry about their pay being negatively impacted,” said Jason Eisenman, director of human resources. “We put the full control of driver’s pay in their hands.” The company also pays drivers (Liquid trucking continued from page 1) Linemen discover benefit of vacuum trucks Despite the dramatic improvement in tools and technology for the utility industry, field crews sometimes need to rely on traditional methods to get the job done. Case in point: linemen occasionally rely on a standby shovel and digging bar to expose and fix failed underground cable. Depending on the amount of nearby electrical, communications and other lines, this can be a slow, backbreaking and sometimes hazardous effort. An increasingly popular solution surfaced in Nevada a few years ago, as NV Energy crews discovered that their large high-pressure vacuum trucks could quickly, easily and safely unearth a faulted conductor – without disrupting nearby lines and causing crews to spend time and effort to mechanically excavate or hand-dig a hole. The specialized vehicles, which are the size of a line truck, use high-pressure water to loosen the soil, while a boom-mounted high-flow vacuum system lifts the soil, rocks and debris up and out of the excavation area. The utility originally purchased the trucks from Vactor Manufacturing to clear out flooded, wet or muddy manholes and equipment vaults. Line crews soon realized, however, that the excavation features of the truck were far more useful to helping them access and fix failed underground cable. Predictably, this excavation method quickly unearths nearby lines without the risk of cutting or surface-damaging adjacent lines and equipment. In turn, customers are more satisfied since their service can be restored more quickly. As an added benefit, utility workers don’t risk the safety and strain hazards associated with hand-digging such holes. 1. On the Job Linemen can use the truck to efficiently clean up neglected vaults with major dirt or rock debris. They also can excavate in hard-to-reach areas. A high-volume water tank feeds a specialized pressure system. This gives operators the flexibility of using anywhere from 3,500 pounds per square inch (psi) water excavation pressure to burst strength reaching more than 14,000 psi. Once the debris is free, the linemen can use a wireless control to guide the vacuum truck boom to suction up the debris. The rocks, water and mud end up in an internal holding tank. After the excavation, the entire back of the unit opens up like a dump truck to dispose of the excavated material. The vacuum system can suck out the dirt and rocks around the damaged cable, even if nearby cables are energized. As a result, crews no longer need to dig a new trench to run new conductor around a fault. Also, they can save both the time and effort they previously spent on carefully avoiding other lines. NV Energy primarily uses the vacuum trucks to expose faulty cable and to clean out manholes and underground vaults. “Freight growth remains vibrant and fleets are rushing to add capacity as fast as possible,” FTR officials said in press release. “Original equipment manufacturers (OEMs) and suppliers are trying to keep pace with the surging demand. Fleets continue to place orders out to the end of the year to acquire trucks as they become available.” While demand for Class 8 trucks is surging, shortages of raw materials and component parts may result in supply being unable to be met in the short-term, said Don Ake, FTR’s vice president of commercial vehicles. “Class 8 suppliers are working diligently to ramp up production but are hindered by the pandemic and material shortages. In addition, imported parts deliveries are being delayed up to two weeks at the ports,” Ake said. Class 8 orders for the previous 12 months total 308,000, FTR reported. In the medium-duty market, Class 5-7 demand in January slid 28 percent to 25,300 units, ACT reported. Even with the slump in orders, January’s figures were still up 26 percent compared to January 2020. “Despite January’s preliminary net order moderation, the pandemic- driven shift in consumer spending from experiences to goods remains a benefit for the providers of local trucking services, and the symbiotic relationship between heavy-duty freight rates and medium-duty demand continues to impact this market segment,” said Kenny Vieth, ACT’s president and senior analyst, in a press release. comparison to data taken from the previous years’ surveys. In an email to staff on Wednesday Keystone XL chief Richard Prior said the permit denial would force the company to cut more than 1,000 positions. “Over 1,000 positions will be eliminated in the coming weeks, the majority of these unionized workers representing the building trades,” he wrote. Jim Bowe, an attorney at law firm King & Spalding who focuses on energy industry corporate finance and investment, said the message from TC Energy “basically said, ‘OK, we’re done.’’’ The company has few legal options available, given that a presidential permit can be revoked for any reason, said Bowe and other corporate lawyers. At most, TC Energy or the government of Alberta, which invested in the project, could sue for monetary damages under provisions in the U.S.-Canada trade pact, analysts said. Canada’s federal government would have to back Alberta in any lawsuit, and Prime Minister Justin Trudeau is unlikely to want to antagonize the Biden administration as the two countries set about improving the rocky relationship they had under Trump, Bowe said. A group of Western state GOP senators plan to introduce legislation allowing construction on Keystone XL to continue. But since Republicans no longer control the Senate, the effort is all but symbolic. The unanimous approval of this agreement by the Arizona Corporation Commission (ACC) provides Nikola with a competitive electric rate specifically designed for the production, processing and dispensing of hydrogen, the company said. This will support, among other things, enabling a zero-emission heavy-duty freight corridor along the I-10 freeway between Los Angeles and Phoenix, according to Nikola. Nikola said that APS’s competitive electric rate will help lead the creation of the hydrogen economy in Arizona. Nikola estimated that under the rate structure it will be able to deliver hydrogen at market-leading prices and within the ranges required for Nikola to offer competitive lease rates for its trucks customers. In a statement, Nikola noted that it is a company “dedicated to the advancement of innovative zero-emissions truck solutions and the energy infrastructure required to make this feasible.’’ By facilitating low-cost production of hydrogen, ACC’s approval of this rate schedule paves the way for the curtailment of greenhouse gases in the transportation sector, while also providing benefits to key constituents via novel grid-balancing solutions, the company said. Nikola said it was able to negotiate a lower rate because its hydrogen production facilities will be configured to respond to the needs of the grid, for example by reducing Nikola’s energy consumption from the electric grid during heatwaves. “Through this agreement, Nikola is assured a reliable and competitively priced source of electricity that will allow us to commence the development of hydrogen production facilities to serve the fueling needs of our truck customers,’’ said Pablo Koziner, Nikola’s president of energy and commercial. The agreement marks “an important milestone,’’ the company said. Going forward, Nikola will work with APS to finalize site selection and interconnection requirements to establish its first hydrogen production facility in Arizona. “For decades, hydrogen has been a promising, but elusive, source of clean energy for both the transportation and power sectors. We simply haven’t done enough to bring hydrogen to the mainstream,” said ACC chairwoman Lea Márquez Peterson. “As we begin to enter a new energy economy, however, I want to ensure that we take all steps necessary to promote Arizona’s gradual and innovative move towards de-carbonization.” Thomas retiring from ABF Jim Thorne, president of ArcBest less-than-truckload carrier ABF Freight, will retire June 30 after a 31-year career with the company. Seth Runser, ABF vice president for line haul operations, was promoted to the new role of chief operating in February. He will become ABF president on July 1. Thorne has been president since October 2014. He joined ABF in 1990 as a supervisor assistant after serving as a captain in the U.S. Army. Prior to becoming president, Thorne served as a service center manager in Alabama, Tennessee and Pennsylvania, and as a regional vice president of operations in Utah. Under Thorne’s leadership, ABF ratified a 2018 labor agreement with the International Brotherhood of Teamsters and paid a profit-sharing bonus to eligible union employees for the first time in its nearly 100-year history. “Over the past three decades, Tim has made significant and meaningful contributions to our company as ArcBest has expanded and diversified to meet customers’ needs,’’ said Judy McReynolds, ArcBest chairman, president and chief executive. His successor Runser, 36, joined the company in 2007 as a management trainee in Cleveland, Ohio. He has moved around the country, living in Ohio, Texas, Maryland and Missouri before relocating to the corporate headquarters in Fort Smith, Ark. He served as operations supervisor, regional training specialist, service center manager, and regional vice president for operations before assuming his current role. Cummins announces executive changes Cummins announced three roles for senior executives in its engine business division. Effective this month, Amy Boerger will lead the North America region for On-Highway as vice president and general manager, North America. José Samperio is replacing Boerger in her previous leadership role of the field sales and support organization as executive director for sales in the U.S. and Canada. Also joining the North American region is Lyndon Jones, who replaces John Malina as the leader of the Leasing team. “In order to ensure we hit our goals in North America, we have made some executive changes, as the core of Cummins’ strength is our great regional leaders across the globe,” said Brett Merritt, vice president of the on-highway engine segment, in a news release. Boerger will lead a single organization for North America, encompassing the dealer, fleet and original equipment manufacturing (OEM) teams, Cummins said. 5 Trucking Merger & Acquisition Takeaways from 2020 The trucking merger and acquisition arena was anything but ordinary in 2020. Within the liquid/dry bulk vertical we saw several transfers of ownership. A few notable transactions included: Kenan Advantage’s purchases of Fort Transfer, Paul’s Hauling, & Beaulac Transport, TFI’s purchase of CCC Transportation, and Fraley and Schilling’s purchase of KBT Enterprises*. 2020 offers some unique merger and acquisition insights that can help business owners understand what to expect in 2021 and how to navigate the road ahead. Below are five trucking M&A takeaways from 2020. 1. Deal structures account for new risks yet contain fair-mindedness. Ordinarily, a performance dip in a seller’s company generates an unforgiving response from buyers. That is not what happened in 2020. Because almost everyone in the trucking space was affected by COVID-19, both buyers and sellers approached the deal table with an unusual amount of fair-mindedness. As opposed to offering a long earnout period (3-4 years) that shifted all the risks to the seller, many buyers recognized the non-reoccurring, universal aspect of the moment and adjusted earnout clauses appropriately (6-12 months in some cases). Moving beyond 2020, this issue will evolve as more risks enter the market and broader economy. Jay Robinson, Partner at Scopelitis, shares, “As evidenced by 2020, unforeseen risks affecting the economy as a whole will likely have the greatest influence on deal structures in 2021 and into 2025. Using the prior Obama administration’s policy focuses as a guide, it seems likely we may be entering a period of time where increased regulation of carriers’ employment practices, independent contractor contracting and safety policies combine together to create heightened transaction risks with a resulting influence on deal structures.” 2. More hurdles, attorneys, and risks to consider when addressing the purchase agreement of a sale. When the market presents new risks around a transfer of business ownership, those risks must be properly accounted for within the purchase agreement. That has been a challenge in 2020. Heidi Hornung-Scherr, Partner at Scudder Law, explained it this way. “2020, COVID-19, and the related uncertain economic environment (including with respect to freight) has resulted in increased volatility in successfully negotiating, documenting, and closing M&A transactions. While it has become more difficult to forecast timelines and likelihoods of success on the front-end, committed principals are still considering, negotiating, and closing M&A transactions. Sellers, buyers, and their advisors and attorneys are building in additional contractual provisions to address COVID-19 and any CARES Act contingencies, increasing the amount of time it may take to obtain third party consents, and devising creative solutions to accomplish more due diligence through remote processes.” 3. Diversification becomes driver for growth/acquisition strategy. One of the most interesting trends in 2020 was the number of experienced acquirers in the trucking space that approached our firm with new strategic goals. COVID-19 seemed to reward one vertical within trucking while arbitrarily punishing another. This humbled many trucking business owners and heightened their sensitivity to having all of their eggs in one basket. Dozens of buyers updated their acquisition profiles within our system and cited “diversification” as a top strategic priority. 4. New administration signals tax changes that may profoundly affect business value/sale proceeds. The new administration is proposing to treat any gain over $1M as ordinary income. Currently, the long-term capital gains tax rate for gains over $1M is 20% plus a 3.8% surcharge (total of 23.8%) plus any state tax. If Congress votes Biden’s plan into law, the federal tax rate on gains over $1M will be over 43% (39.6% plus 3.8%). That increase equates to an additional $1,960,000 in taxes for every $10M of sale price above $1M. That is a remarkable amount of personal wealth moving from the hands of business owners to the hands of our government. For owners that have been considering an acquisition, merger, or business sale over the next 1-3 years, you need to be watching Washington and the developments around this proposed plan closely. It is also important to consider how this proposed plan could affect the way buyers, particularly private equity groups, value your business and approach acquisitions. If the available after-tax return on investment of purchasing your business is reduced (due to the proposed tax plan) then you should expect the valuation of your business to adjust accordingly. Investors are not going to pay the same money for a lower return on capital. 5. Disruption to supply of companies available to purchase will influence surge of transaction activity in 2021. In response to 2020’s extreme challenges, many trucking business owners literally reinvented how they did business and who they did it for. Consequently, business owners who had scheduled to begin exiting the trucking industry in the last three quarters of 2020 didn’t. This created a temporary shortage of available trucking companies to purchase. The smaller pool of sellers experienced rare leverage at the closing table. Other deals that should have closed in 2020 pushed into 2021 due to additional steps required to get a deal done. Our recent sale of NRX Logistics is a good example. The deal was under contract and weeks away from closing in August. Out of nowhere, the buyer’s bank placed a blanket moratorium on all acquisition financing (because of the risks and uncertainty around COVID-19). We helped our client pivot to a new buyer (Cardinal Logistics) and closed the deal the second week of January. In 2021, the public will see a surge of deal announcements. The activity represents 12-15 months of normal activity squeezed into 6-9 months’ time. As the supply of available trucking companies to purchase normalizes, so will the leverage at the negotiating table. Options expand for in-house washing The range of options grows as more fleets bring cleaning in-house. With the price of a combination-vehicle wash at a truck stop or commercial washing facility ranging from $39.95 to $120, depending on service level and location, many fleet managers find it pays to invest in in-house cleaning equipment. Here’s a sample of what’s available, from portable, hand-held models to large, self-contained truck- wash systems. Alkota Cleaning Systems manufactures equipment ranging from cold high-pressure washers to wastewater recycling systems. New products include the “Cleaning Crew,’’ a big-job pressure washer delivering between 2.1 and 4.8 gallons per minute (gpm) at 1,000 to 4,000 pounds per square inch (psi). Americas Wash Systems manufactures walk-around, drive- through, and rollover units that use brushes to clean most vehicles, plus options including high-pressure side blasters. Using polyethylene/ polypropylene filament brushes that are flushed clean prior to application, the systems are recommended for tough jobs too dirty for some brush- less systems to handle without resorting to chemicals that damage paint and decals. Clean Concepts manufactures Gold Line, Carlson Maxi-Wash and Carlson 2000 RW automated truck- washing systems, and specializes in custom-designed fleet washing facilities. The Maxi-Wash, which can be integrated into an existing facility, is said to clean vehicles efficiently while conserving water. Drive-on pad mobile wash units with wastewater capture and containment systems for most types of vehicles are made by Environmental Cleaning Systems (ECS). According to ECS, many jurisdictions are targeting wash-water effluent from fixed and mobile vehicle wash facilities, with fines of up to $25,000 per incident not uncommon. Hotsy has launched three new electric-powered and one gas-powered mobile pressure washer. The electric units deliver 2.2 gpm at 1,000 psi, three gpm at 1,000 psi, and four gpm at 2,000 psi. The gas-powered unit has an 11-horsepower gas engine and delivers 3.5 gpm at 3,000 psi. Alfred Karcher’s HDS 1000 BE is a new cold/hot-steam gasoline-powered high-pressure washer with an electric start, delivering two to four gpm at 750 to 3,300 psi, with infinitely variable operating pressure, water volume, temperature control, and chemical metering. The HDS 900 Ci is a portable and lightweight direct-drive unit developing 1.4-3 gpm at 450 to 2,000 psi. Landa, which manufactures pressure washers and water cleaning systems, has two new truck-wash products. Model CL-304 is a clarifier system for treating truck wash-water so it can be discharged to the sanitary sewer or recycled, with a flow rate up to five gpm. Model VHW4-3000 is an electric-driven, oil-fired hot-water pressure truck washer with a soap- injection twist handle on the wand that delivers up to 3,000 psi. Niagara National, the preferred nationwide vendor for Ryder Truck, manufactures a range of drive-through and heavy-duty pressure washers, plus water treatment, discharge, and reclamation systems. Ryko has introduced Atlantis, a new generation of touch-free automatic truck washes. The permanent installation system uses a multiple sensing mechanism to detect, measure, wash, and rinse any vehicle placed in its bay. The unit is multi-programmable to apply chemicals to the front and rear of each vehicle, while additional chemicals are applied to the top and sides. A rocker panel/wheel blaster removes dirt and grime from the rocker panel while pausing at each wheel to clean with high-impact water. Sioux Steam Cleaner has introduced a line of hot and cold pressure washers rated at 120 to 1,320 gallons per hour (gph) at 500 to 3,000 psi. The units are suited for degreasing engines, cleaning reefers, and removing tar, mud, and dirt from truck bodies. Oil, LPG, and CNG units are available. Washtronics has developed a fully automated, self-serve, friction-less wash system to clean virtually every large vehicle, including tractor-trailers, buses, medium- and light-duty trucks. The system has an electronic guidance system that reportedly cleans the entire surface of any vehicle, including front and rear exposures, and accomplishes this regardless of vehicle size and configuration. Before accounting for cancellations, new orders of 45,800 units were up 11 percent versus November, and 148-percent better than the previous December. Full-year 2020 net orders were 41 percent improved from those recorded for full-year 2019. “Large fleets continue to contribute to the order board, while dealer stocking orders also aided volume in December,” said Frank Maly, director of commercial vehicle transportation analysis and research at ACT Research. “Strength continued in dry vans, but reefers eased from a very robust November. While Nafta was replaced by the United States-Mexico-Canada Agreement during the Trump administration, the rule remains in place during a phase-out period.
