O’BRIEN ENGINEERING 2017/18 TRADING TERMS AND CONDITIONS 2017/2018 DEFINITIONS “Company” means O'Brien Engineering Pty Ltd (ABN 84 000 982 203) “Customer” means the person or persons identied as the Customer on the Credit Application Form or in the absence thereof the party placing the Order with the Company “Order” means an offer by a Customer to purchase Products from the Company “Products” includes any goods or services or combination of both ordered by the Customer from the Company or supplied by the Company on the order of the Customer “Special item” includes any Product that has been specially ordered for a Customer [whether locally or from overseas] or which is specially manufactured for the Customer or is not a stocked item ACCEPTANCE OF ORDER All orders must be faxed or emailed. Sufcient time to process orders is required for pickups. Quotes are valid for thirty (30) days from date of issue. PRICE All prices quoted are exclusive of Goods and Services Tax [GST]. Tax will be added at the appropriate rate. Costs and charges for freight are payable by the Customer. Please advise shipping method otherwise all orders will be shipped by the most appropriate method. A minimum charge of $3.00 per parcel for Insurance/Packaging is applicable to all orders. Sheet sales – all prices are for individual sheets. A small order charge of $5.00 applies for all orders under the minimum order value of $30.00 - excluding freight, insurance/packaging and GST. The company may change its published prices at any time without notice. CREDIT GRANTING Credit approval once granted may be withdrawn at any time. Where credit approval has not been granted or is withdrawn payment of all Products supplied is required before delivery. Where credit has been approved for the Customer all invoices issued by the Company are due and payable no later than thirty (30) days calculated from the end of the month in which the Products were delivered. CREDIT POLICY AND DEFAULT The Company may charge interest on all amounts not paid by the Customer within the term for payment at a rate of 2.5% per calendar month calculated from the due date and accruing monthly therefrom until the date of payment. The Customer shall indemnify the Company from and against all expenses, costs and disbursement incurred by the Company in pursuing the debt including all reasonably charged legal costs and the fees charged to the Company by any mercantile agency. If the Customer fails to pay for the Products in accordance with invoices issued to the Customer, the Company may at its sole discretion: 1. Cancel any provision of credit to the Customer; 2. Reverse any discounts allowed; 3. Require cash pre-payment for any further Products ordered 4. Provide to a credit reporting agency details of the payment default 5. Commence legal proceedings against the Customer for all outstanding amounts, interest and costs 6. Decline to supply Products to the Customer and terminate any other agreement with the Customer DELIVERY Delivery of the Products to a third party nominated by the Customer is deemed to be delivered to the Customer. The Customer shall make all arrangements necessary to accept delivery of the Products whenever they are tendered for delivery. Please advise if the delivery is “Okay to leave” as any redelivery fees or extra charges by couriers will be the responsibility of the customer. CLAIMS AND RETURNS The Customer will inspect and check all Products received and within 10 days of receipt notify the Company in writing of any shortage in quantity, defect, incorrect specication, damage or Products not in accordance with the Customer's Order. The Customer is responsible for checking that Products comply with those Ordered prior to use. Prior to any Products being returned arrangements are to be made with the Company. No Products will be accepted for return after 30 days.57
