My dear friends,We have taken such a journey together. It started out with a vision, far ahead on a distant horizon—a vision of life without limits for people with disabilities. Since 1951, we have pursued that vision,following it through the decades, across the miles, and into countless lives.What began as a way to help children with cerebral palsy now reaches people with all kinds ofphysical and developmental disabilities. And we’ve blazed a trail with programs that serve themthrough every stage of life.In 1992, we tapped the power of technology to launch Infinitec. Today this far-reaching programhelps people in four states achieve their infinite potential through assistive technology. Ten years later,we added Ramp Up, making homes accessible to everyone who lives there and connecting themwith their communities. UCP connected to the community as well, opening facilities in Villa Park,Tinley Park, Highland Park and downtown Chicago.We worked hard to get where we are, but we had fun doing it. For more than 40 years, our annualGambol celebration brought our supporters together for a gala evening. Today our Great ChefsTasting Party® is one of the hottest tickets on the city’s social scene. Most importantly, it raisesawareness, raises spirits and raises funds that keep all of our programs and services on track.In 2012 and 2013, we marked some significant mileposts. For the third year running, CharityNavigator awarded UCP four stars, its top rating. That seal of approval recognizes UCP’s efficientoperations. Plus Chicago magazine put UCP on its select list of “gold-standard” charities. Therecognition we’ve earned affirms the progress we’ve made toward achieving our vision.Earlier this year UCP moved in a new direction, merging with Seguin Services. The merger puts us ina better position to meet the needs of the people both our organizations have served for so long. Itopens the way to stronger programs and more expansive services. And it brings me into a new roleas president of the UCP Seguin Foundation, established to help fund our efforts to enrich the lives ofpeople with disabilities. We are most grateful to Steve Napolitano and DLA Piper for their generousdonation of legal services in support of the merger.We’ve come a long way through the years, and every step has been a joy. Come along as we enterthe next stage of our journey. MOTION TO APPROVE A MERGER NEGOTIATION BETWEEN UCP OF GREATER CHICAGO AND SEGUIN SERVICESafogrinthge Fosterevents.org/ucpa After careful consideration and study, the Executive staff and its advisors have come to believe that it is preferable to merge the two organizations rather than to create a joint venture partnership. We believe that a merger would caregreatly increase the efficiencies and expand the impact on people and communities we wish to serve. Therefore, we respectfully request that in lieu of pursuing the concept of a joint venture partnership, the board members of UCP of Greater Chicago, agree to enter into negotiations with Seguin Services to explore a merger between our two organizations, which would take effect on the projected date of July 1, 2013. The staff and legal counsel with board oversight and approval shall complete the following steps to conduct due diligence and facilitate the following steps in this decision making process: 1. Approval of this merger negotiation motion by the board of directors of UCP. Deadline: January 31, 2013 2. Preparation of a memorandum of understanding, explaining the terms of the merger including administrative, program, and governance agreements and decisions. Deadline: May 1, 2013 3.
