eBusiness Special Pricing Terms and Conditions

*Terms and Conditions of “e-Business Special Pricing Promotion” (“Promotion”)1. Under the Promotion, a non-individual customer of the United Overseas Bank Limited (“UOB”) Business Banking segment (“Customer”) who, during the Promotional Period,:- (a) applies for a new UOB eBusiness Account with a minimum initial deposit of S$1,000.00 in Fresh Funds into that new UOB eBusiness Account will:- (i) receive 100% rebate on all the charges paid by the Customer for the first ten (10) Fast and Secure Transfers (FAST) transactions performed by the Customer per calendar month from that UOB eBusiness Account via UOB Business Internet Banking during the first twelve (12) months starting from opening date of that UOB eBusiness Account; and (ii) receive a waiver of the “fall-below” fee payable in connection with that UOB eBusiness Account for the first twelve (12) months starting from opening date of that UOB eBusiness Account (collectively the “First Gift”). The charge payable for each FAST transaction performed from a UOB eBusiness Account amounts to S$5.00 per FAST transaction performed. The rebated FAST Charges shall be rebated into the UOB eBusiness Account by the sixth (6th) Singapore working day of the following month after the FAST transaction was performed from the UOB eBusiness Account. (b) makes a minimum of one (1) GIRO arrangement linked to the UOB eBusiness Account referred to in Paragraph 1(a) above, will receive S$50.00 cashback (“Second Gift”). The Second Gift will be credited into that UOB eBusiness Account within two (2) months of the GIRO being effected. (c) opens a new UOB eBusiness Account in accordance with Paragraph 1(a) above and also applies for a new UOB Business Debit Card will receive a waiver of first (1st) year annual fee (“Waiver”). (d) opens a new UOB eBusiness Account in accordance with Paragraph 1(a) above will also enjoy preferential pricing (“First Offer”) (as set out in the table below) for any purchase of the Payeasily from HReasily. HReasily is in the business of providing Human Resource Softwares, including, but not limited to, Payeasily. HReasily may, at its discretion, impose other conditions for the Customer’s purchase of or use of the Payeasily. Payeasily Pricing  3 months subscription fees waived for new sign ups thereafter - Minimum S$30.00 for up to 5 employees - Additional 6 to 20 employees at S$2.80 per employee - Additional 21 to 50 employees at S$1.80 per employee - 51 employees onwards at S$1.50 per employee  One time set up fee S$200.00 waived for first 1,000 Customers (e) opens a new UOB eBusiness Account in accordance with Paragraph 1(a) above and signs up online via the Singtel website (at business.singtelshop.com/broadband/evolve) for a new 24 months 15Mbps and above Dynamic Plans from Singtel will also (i) receive, on a “first come, first served” basis and “on a while stocks last” basis, one (1) complementary Samsung Audio Set (comprising of a Samsung Soundbar HW-F355 and Samsung BD-F5500 Blu-ray Player) worth S$408.00 upon submission of a promotion code on the Singtel website (at business.singtelshop.com/broadband/evolve); (ii) enjoy a waiver of the one-time broadbandUnited Overseas Bank Limited Singapore Company Reg No. 193500026Z

registration fee worth S$535.00 for such period as shall be decided by SIngtel; and (iii) receive, on a “first come, first served” basis and “on a while stocks last” basis, one (1) free Aztech Wireless Router (Model No. DSL8800GR(S)) & Installation at one (1) specific location as shall be mutually agreed between Singtel and the Customer (collectively the “Second Offer”). The promotion code referred to herein shall only be furnished to the Customer once the UOB eBusiness Account has been opened. Singtel is in the business of providing information & communications technology solutions in Singapore, including, but not limited to, 15Mbps and above Dynamic Plans. Singtel may, at its discretion, impose other terms and conditions for the Second Offer or the Customer’s subscription and/or use of the 24 months 15Mbps and above Dynamic Plans and/or any part of the Second Offer.2. The terms below have the following meanings when used in the Promotion:- (a) ““fall below” fee” refers to the fee payable to UOB if the average daily balance of the UOB eBusiness Account falls below the minimum amount of S$5,000.00 for any one month. (b) “FEB” refers to Far Eastern Bank Limited. (c) “Fresh Funds” refers to (1) funds in the form of non UOB/FEB cheques (2) other funds that are not transferred from any existing UOB/FEB current/savings or fixed deposit account; or (3) other funds that are not withdrawn from any existing UOB/FEB current/savings or fixed deposit account and re-deposited (whether by part or all of the amounts withdrawn) into the UOB eBusiness Account. (d) “Promotional Period” refers to the period commencing 15 July 2015 to 31 December 2015, both dates inclusive.3. Limited to one (1) First Gift and, where applicable, one (1) Second Gift (collectively the “Gifts”) per Customer who is eligible to receive the same irrespective of the number of UOB eBusiness Accounts opened by that Customer. The Promotion is not valid with other promotions or offers.4. Neither of the Gifts, the Waiver, the First Offer nor the Second Offer is transferrable or exchangeable for other cash, credit, products or privileges or other kind in full or in part and is not refundable or replaceable. UOB reserves the right to replace either of the Gifts, the Waiver, the First Offer or the Second Offer with another item of similar value without giving any reason or prior notice or assuming any liability to any person. HREasily and Singtel reserve the right to replace the First Offer or the Second Offer with another item of similar value without giving any reason or prior notice or assuming any liability to any person. UOB may, at its discretion, change or add to any of these terms and conditions in connection with the Promotion set out herein including, but not limited to, changing the Promotional Period, the type of Gift, Waiver, the First Offer and/or the Second Offer or withdrawing the Promotion, at any time without giving any reason, prior notice or being liable to any person. HREasily and Singtel may, at its discretion, change or add to any of these terms and conditions in connection with the services they are providing pursuant to Paragraph 1(d) and Paragraph 1(e) respectively above at any time without giving any reason, prior notice or being liable to any person. UOB’s determination of all matters in connection with the Promotion and the Gifts, Waiver, the First Offer and the Second Offer shall be final, binding and conclusive. UOB is not obliged to give any reason or prior notice on any matter concerning the Promotion or any of the Gifts, Waiver, the First Offer and the Second Offer. No appeal, correspondence or claims will be entertained. 5. UOB does not assume any liability or responsibility for and will not be liable or responsible for any defect, quality, merchantability, the fitness or any other aspect of any of the Gifts, Waiver, Payeasily, 15Mbps and above Dynamic Plans, the First Offer and/or the Second Offer or the goods or services offered in the Promotion or the acts or defaults of the manufacturer, merchant and/or suppliers of any of the Gifts, Waiver, Payeasily, 15Mbps and above Dynamic Plans, the First Offer and/or the Second Offer or defects or deficiency in the Payeasily, 15Mbps and above Dynamic Plans and/or the goods or services offered in the Promotion. UOB is not an agent of the manufacturer, merchant and/or suppliers. Any dispute about the quality or service standard must be resolved directly with the manufacturer, merchant and/or suppliers. The manufacturer, merchant and/or suppliers of the goods or services or any of the Gifts, Waiver, the Payeasily, 15Mbps and above Dynamic Plans, the First Offer and/or the Second Offer offered in the Promotion may impose conditions for redemption and/or use and/provision or purchase of the goods or services or any of the Gifts, Waiver, the Payeasily, 15Mbps and above Dynamic Plans, the First Offer and/or the Second Offer offered in the Promotion. UOB does not assume any liability or responsibility for and will not be liable or responsible for any injury, loss or damage whatsoever or for any charge, cost or expense of any kind whatsoever suffered or incurred as a result of or in connection with the redemption or usage of or purchase of the goods and services offered in or associated with the Promotion or any of the Gifts, Waiver, the Payeasily, 15Mbps and above Dynamic Plans, the First Offer and/or the Second Offer including, but not limited to, the loss of life, injury to person and/or loss or damage to property arising from or in connection with the Promotion and/or any of the Gifts, Waiver, the Payeasily, 15Mbps and above Dynamic Plans, the First Offer and/or the Second Offer and/or use of the goods or services offered in the Promotion or arising from or in connection with the Promotion howsoever arising.6. All the prevailing terms and conditions governing the UOB eBusiness Account and all the prevailing terms and conditions governing the UOB Business Debit Card (collectively the “Terms”) together with the prevailing terms and conditions governing the subscription for Payeasily and the 15Mbps and above Dynamic Plans (collectively the “Vendor Terms”) shall apply and are to be read together with these terms and conditions relating to the Promotion set out herein. Refer to uob.com.sg for the full Terms and to the respective vendors for the Vendor Terms. In the event of any conflict or inconsistency between the terms and conditions relating to the Promotion and any of the Terms and/or the Vendor Terms, the terms and conditions of the Promotion shall prevail only to the extent of matters relating to the above Promotion. In the event of any conflict or inconsistency between the terms and conditions relating to the Promotion as set out herein and any terms set out in aby marketing material prepared for the Promotion, the terms and conditions of the Promotion set out herein shall prevail.
