CONSTITUTION AND BYLAWS November 03, 2018 SACRAMENTO KNANAYA CATHOLIC CONGRESS (SKCC)

SACRAMENTO KNANAYA CATHOLIC CONGRESS (SKCC) CONSTITUTION AND BYLAWS MISSION STATEMENT: “SACRAMENTO KNANAYA CATHOLIC CONGRESS is a unified group of Catholics belong to the Knanaya Catholic Community residing in greater Sacramento area of the State of California, USA. Its purpose is to facilitate communication, cooperation and integration among the members of the local Knanaya Catholic Community and to celebrate and showcase the Knanaya culture, values and traditions to the future generations”. ARTICLE 1 - NAME Section - 1: The name of the corporation is SACRAMENTO KNANAYA CATHOLIC CONGRESS; here after referred as the \"corporation” or “SKCC”. Section -2: SKCC is a nonprofit organization of Knanaya Catholics living in greater Sacramento area and it is incorporated under the laws of the State of California. It is affiliated to Knanaya Catholic Congress of North America (KCCNA) and should follow the directives of KCCNA. Section- 3: Official written communication shall be in English. The official language of SKCC shall be English and Malayalam. Section -4: The territory of the corporation is greater Sacramento area of the State of California, USA; here after referred as \"territory\". A) The territory boundaries are as follows: Western boundary ends at the western border of the City of Fairfield; Eastern boundary ends at the eastern border of the State of California; Southern boundary ends at southern border of the City of Stockton; and Northern boundary ends at the northern border of the State of California. B) SKCC has three Wards and these Wards are as follows: Ward 1. This Ward has Stockton, Elk Grove, and any nearby cities. Ward 2. This Ward has Sacramento, West Sacramento, Davis, Dixon, Vacaville, Fairfield, Suisun, and any nearby cities. Ward 3. This Ward has Citrus Heights, Roseville, Eldorado Hills, Placerville, Folsom Marysville, Yuba, Chico, Ukiah, and any nearby cities. Section- 5: The office of SKCC shall be the address of the incumbent president or at the premises decided by the Executive Committee of SKCC until SKCC has a permanent office. ARTICLE 2 - OBJECTIVES The main objectives of SKCC are: A) To organize gathering of Knanaya Catholics in the territory to encourage to keep and promote their spiritual, social and cultural life and Knanaya traditions. B) To provide a forum for Knanaya Catholics residing in greater Sacramento area to preserve and foster their religious, educational, literary, and artistic heritage and to preserve the endogenous nature of the Knanaya Community. C) To educate the young Knanaya Catholics in the territory about the Knanaya Catholic community including but not limited to the history and traditions of the community. D) To raise funds for religious and charitable causes. E) To maintain good communication among the members of the association and with other catholic organizations in the United Stated and around the world. F) To establish and/or support Knanaya Catholic Ministry served by Knanaya Catholic priest(s) recommended by the Knanaya Catholic Bishop of Kottayam, Kerala State, India. If a Knanaya Catholic Diocese is established in North America in the future, then to establish and/or support Knanaya Catholic Ministry served by Knanaya Catholic priest(s) recommended by the Bishop of this Diocese. G) SKCC is a nonprofit Public Benefit Corporation and is not organized for the private gain of any person. It is organized under the Nonprofit Public Benefit Corporation Law for public and charitable purposes. H) SKCC is organized exclusively for the charitable, religious, educational and/or scientific purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code (IRC) or corresponding section of any future federal tax code. I) The property of SKCC is irrevocably dedicated to charitable, religious, educational, and or scientific purposes meeting the requirements of Revenue and Taxation Code section 214 and no part of the net income or assets of this corporation shall ever inure to the benefit of any Director, officer or member thereof, or to the benefit of any private person. J) No substantial part of the activities of this corporation shall consist of carrying on propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate or intervene in any political campaign (including the publishing or distribution of statements) on behalf of any candidate for public office. K) Upon the dissolution or winding up of the corporation, its assets remaining after payment or provision for payment, of all debts and liabilities of this corporation shall be distributed to a nonprofit fund, foundation or corporation which is organized and operated exclusively for charitable, religious, educational, and/or scientific purposes meeting the requirements of Revenue and Taxation Code sections 214 and which has established its tax-exempt status under IRC Section 501(c) (3). L) SKCC is a non-political organization. However, elected public officials may be invited to various functions as a gesture of respect and recognition. ARTICLE 3 – MEMBERSHIP A) The members of SKCC must be individuals who are born of/to both Knanaya Parents; and if married, his/her spouse should also be born of /to both Knanaya parents. For further clarification and for the purpose of this constitution, “born of” and “born to” refers to having birth of biological parents. B) All Knanaya Catholics in the territory who are born of both Knanaya parents who practice and follow Knanaya catholic faith and traditions are members of SKCC. C) Once a child in a family that is registered with SKCC (life member or yearly based family membership) reaches the age of 18 years old and become an adult, that adult needs to submit a new membership form requesting membership in SKCC. If that adult lives in the same house hold that has a valid family membership, the adult would be added to the family membership without paying any additional fee. However; in the event such an adult moves out of the family and live independently and/or get married, that adult needs to pay the membership fee based on the type of membership. D) The Executive Committee has the right to verify the eligibility of an individual who wanted to be a member of SKCC, by appropriate means such as verifying with the priest of the Knanaya Catholic Parish where the individual was born or currently belongs to as a Parish or Mission member. E) Families or individuals live in greater Sacramento area that follow the Knanaya Catholic Principle and who pay their annual subscription fee or life membership fee to SKCC are the registered members of the organization. Only registered members of the immediately preceding two year are eligible to hold any position in the organization. A family or an individual who moved more than two years ago to greater Sacramento area from other part of North America who become registered member of SKCC and if he or she was a previous executive member of KCCNA or its member associations is eligible to hold an executive position in SKCC. F) Member of SKCC, who marries outside the Knanaya Catholic community or leaves the Catholic Church, automatically revokes his/her membership in SKCC effective immediately. G) The annual membership of the organization is granted for a calendar year; i.e.; from January 1st to December 31st regardless of the date of issue; i.e.; all memberships end on December 31st of the same year. The annual membership fee is the same irrespective of the month of obtaining membership. H) Annual membership fee for each family is $25.00 per year and for single (individual) it is $10.00 per year. I) Life membership fee for family is $200 and for single (individual) is $75. J) A life member who gets disqualified from membership of SKCC any time per Article 3-F, do not automatically get any portion of the life membership fee. The Executive Board has the right to decide if any portion of the paid fee needs to be refunded. K) All forms of membership fee must be paid in full at the time of commencing membership. L) Any increase in or decrease of the membership fee shall be approved by simple majority of the General Body. ARTICLE 4 - GENERAL BODY Section -1: The General Body of SKCC consists of the registered members of the organization. Section- 2: The General Body has the legislative power and is the final authority in all matters regarding SKCC. If in the event of a dispute and the SKCC General Body is unable to resolve the dispute, it may be referred to KCCNA. If KCCNA cannot resolve the matter, the dispute shall be referred to the Knanaya Catholic Bishop of Kottayam, Kerala State, India. If a Knanaya Catholic Diocese is established in North America in the future, then the dispute shall be referred to the Knanaya Catholic Bishop of this Diocese. If KCCNA and Knanaya Catholic Bishop cannot settle the matter, the dispute shall be referred to an Arbitration Process. Unless the parties mutually agree otherwise, arbitration shall be in accordance with the Arbitration Rules of the American Arbitration Association (‘AAA’) currently in effect. Arbitration decision shall be accepted by SKCC members on all SKCC related matters. Section-3: A) Meetings(s) of the General Body can be held at any time during the year at a place decided by the Executive Board. However, the Annual General Body Meeting should be held in the month of October or November of each calendar year for the approval of annual report, audited accounts, and for election. B) Extra-ordinary meetings shall be called by the Legislative Board at the written requests of at least one –third (1/3) of the registered members. C) The Legislative Board can call for an emergency meeting if such a meeting is warranted. SACRAMENTO KNANAYA CATHOLIC CONGRESS-CONSTITUTION AND BY-LAWS 4

D) The Secretary shall inform the members about the General Body meeting at least twenty (20) calendar days prior to the meeting. Emergency meetings can be held with one (1) week notice. E) The General Body shall transact the following business: 1. Confirm the minutes of previous General Body meeting. 2. Transact agenda prepared by the Executive Board. 3. Constitute committees for special purpose if necessary. 4. Consider and adopt the annual report and audited financial statement presented by the Legislative Board. 5. Elect members of the Legislative Board if due for election. 6. Consider amendments in the constitution and by-laws, if needed. 7. Any other matter proposed by any registered member and approved by the presiding authority. F) Registered members who are eighteen (18) years old or above (adult members) have the right to vote in the General Body. G) Per KCCNA constitution and bylaws, an individual shall only be a voting member of one KCCNA member association at a given time. Therefore, a registered member of SKCC should not have registered membership in any other Knanaya Association that come under KCCNA. H) The quorum for the General Body shall be fifty percent (50%) of adult registered members. No quorum is necessary if a general body meeting re-convenes after it is adjourned for lack of a quorum. Section 4: In the event, due to an extraordinary circumstance such as a pandemic, where it is impossible to have the General Body meeting in a physical location; then the General Body meeting can be held using an electronic method such as teleconference or virtual meeting by following all the proper procedures of the General Body meeting. ARTICLE 5 – OFFICERS Section-1: Composition: The Executive Board officers of SKCC are the President, Vice president, Secretary, Joint-secretary, and Treasurer elected by the General Body, and the Spiritual Director selected by the Legislative Board. The Executive Board shall meet as needed. Section 1 (a): No two SKCC eligible members from the same family household can be in the same Executive Board (EB) of SKCC. Section-2: Duties: A) The President is the executive officer of SKCC. He/she shall direct Secretary to call the meetings of the organization and shall preside over such functions. The President shall refrain from casting the vote unless in instances to break a tie. B) The Vice President: The Vice President shall perform the duties of the President in his/her absence. The Vice President shall also assist the President in the performance of his/her duties. C) The Secretary is the recording and corresponding officer of SKCC. He/she shall convene meetings at the request of the President and shall present minutes of all activities at appropriate meetings of the organization. He/she maintains up to date registry of membership and keeps a registry of the properties of SKCC. D) The Joint Secretary shall assist the Secretary in the performance of his/her duties and shall perform the duties of the Secretary in his/her absence. E) The Treasurer maintains day to day accounts of SKCC. He/she is responsible for collecting the membership fee and other collections decided by the Executive Board or General Body. He/she shall disburse funds on behalf of SKCC when authorized by the president and/or the secretary. All cash and cash equivalents should be deposited in a bank selected by the Treasurer and approved by the Legislative Board. The bank account should be jointly operated by the Treasurer and the President or the Secretary. The Treasurer shall present appropriate financial records to auditors, Executive Board, Legislative Board, and General Body. Any single transaction over the amount of $1000.00 (US dollars) shall be pre-approved by the Executive Board. F) Each Ward shall have at least one elected representative and the term is for two years. The number of representatives for each ward is decided by a simple majority of the General Body based on the Knanaya Catholic members residing in each ward. G) One of the Wards representatives shall be a female. No one Ward shall be permanently chosen to represent the female. The Ward that represents the female representative can be in rotation basis. H) The Spiritual Director must be a Knanaya Catholic priest living in or outside the territory, selected by the Legislative Board, and approved by the Knanaya Catholic Bishop of Kottayam, Kerala State, India. He shall be the official representative of the Knanaya Catholic Bishop of Kottayam. If a Knanaya Catholic Diocese is established in North America, then the official representative shall be from this Diocese. The Spiritual Director shall be ex officio member in both General Body and Executive Board with full rights. SACRAMENTO KNANAYA CATHOLIC CONGRESS-CONSTITUTION AND BY-LAWS 6

Section -3: Term of Office: A) The Executive Board officers, and other Legislative Board members and a maximum of two auditors shall be elected by the General Body for two (2) year term at the Annual General Body meeting. B) The elected members must maintain registered membership status while in the office. C) No individual shall be elected to the same office position for more than two (2) consecutive terms. D) A proper handling and taking over of the records, accounts, and properties of SKCC shall be done between the outgoing and the incoming committees within two weeks after the expiration of their term. E) The outgoing President and Secretary shall continue as members of the Legislative Board without voting rights. Section-4: Removals: Any of the officers can be removed from his/her position by the General Body with a simple majority for the following reasons. A) Unable to function in the position. B) Acts against the constitution and bylaws of SKCC. C) If convicted of crime. D) Any other reason determined by the General Body as appropriate and necessary. ARTICLE 6 – BOARD/COMMITTEES Section 1: Legislative Board: A.The Legislative Board shall consist of the Executive Board officers, additional representatives to KCCNA according to its constitution, and other members elected by the General Body such as Ward Representatives. It shall include Knanaya Catholic Youth League (KCYL) Coordinator (one), Kids Club Coordinator (one), Women’s Forum President and Golden age coordinator (ex-officio, one). The immediate past President and Secretary shall serve in the committee as ex-officio members without right to vote. If past President and Secretary are elected to any other position or they are unwilling to continue as a Legislative Board member, then the General Body shall fill the position. The term of the Legislative Board shall be two (2) years. A (i): No two SKCC eligible members from the same family household can be in the same Legislative Board (LB) of SKCC. A (ii): The President of any sub-organization of SKCC is a permanent member of SKCC LB with voting right. The President of such sub-organization shall be eighteen (18) years old or above to exercise the voting right at the SKCC LB meeting. A (iii)- If a situation arises where one or more member(s) of the Legislative Board (LB) of Sacramento Knanaya Catholic Congress (SKCC) and/or the President(s) of any of its suborganizations cannot be elected from different households during an election, then SKCC General Body (GB) meeting on the same day of the election shall make an appropriate decision and elect eligible member (s) to such position(s). B) The Legislative Board is the governing body of SKCC. It shall make decisions and act on behalf of the organization. However; any important project other than the regular functions of the organization shall be implemented with the approval of the General Body. C) The Legislative Board shall meet at least once everyquarter. It can be conducted by any of the various means including teleconference, personal meeting or a combination of all. A minimum of seven calendar day (7) notice must be given for the meeting. The quorum of the Legislative Board shall be fifty percent (50%) of its members. D) In the event that the office of the President becomes vacant, the Vice President shall become the President. Vacancies in other positions shall be filled by the Legislative Board. E) The Legislative Board shall have the authority to take disciplinary action on any member whose actions are detrimental to the interests of the organization. Such actions shall be presented in the next General Body meeting for its approval. F) The Executive Board officers can invite to the Legislative Board any other member for expert advice and assistance. Such guests do not have the voting right in the Committee. G) The Legislative Board shall approve the annual reports and audited accounts before they are presented at the Annual General Body meeting. H) The Legislative Board shall approve if new ward/s need to be established and/or need to make changes to the existing ward/s before it can be presented at a General Body meeting for approval by a simple majority of the members present at the m General Body meeting. Section- 2: Special Committees: A) The General Body and the Legislative Board shall appoint Sub-Committees for special purposes such as Spiritual Committee, Sports Committee, Youth Committee and Entertainment Committee. B) The Term of office of such committees shall normally stop by the end of the term of Legislative Board. However, the general body may extend the term of the office of such committees, if necessary. C) The special committees shall work according to the direction of the Legislative Board and General Body and shall report to the Legislative Board and General Body. Section- 3: National Committee Members: By virtue of their office, the President and Secretary of SKCC shall be members of KCCNA National Committee. The General Body shall elect additional representatives to KCCNA according to its constitution. Section 4: One SKCC eligible member cannot hold positions in SKCC, KCWFS, KCYLS and/or in any other sub-organizations of SKCC at the same time. If there is a position left vacant in SKCC or in one of its sub-organizations at the time of General Election, SKCC General Body (GB) can nominate an eligible member to fill the vacant position with simple majority of the GB. Section 5 - In the event that the office of the President becomes vacant before the General election, the Vice President will become the President for the remaining term of office and must assume all duties and responsibilities of the President including ex-officio title. If the Secretary position becomes vacant before the General election, the Joint Secretary will become the Secretary for the remaining term of office and must assume all duties and responsibilities of the Secretary including ex-officio title. If Vice President and/or Joint Secretary and/or Treasurer and/or National Council Representative/s and/or Ward Representative/s and/or Auditor position/s become vacant ninety (90) days or more prior to the General election, then the following procedure shall be followed to fill the vacant position/s with eligible SKCC member to such position/s for the remaining term period. SKCC Secretary, with approval from SKCC Legislative Board (LB), shall inform SKCC members in writing via email, requesting to respond in writing within fourteen (14) calendar days with their interest in taking the vacant position/s. If no response received in writing within fourteen (14) calendar days, SKCC LB may nominate an eligible SKCC member to such position/s. SKCC members need to be notified via email by SKCC Secretary within seven (7) calendar days once the process is completed. If two or more eligible members showed interest in taking one (same) position, then election procedure shall be followed per the Constitution and Bylaws. If any position, except the President and Secretary positions, become vacant in less than ninety (90) days prior to the General Election, such position/s may be left vacant until the General Election take place. ARTICLE 7 –ELECTION AND PROCEDURES Section-1: The election shall be conducted by an Election Commission consisting of three (3) members, and the members shall be the immediate former Presidents. The senior most former President shall be the Chairman for that Election Commission. The Election Commission members shall not run for office and shall forfeit their voting rights during the process. Election Commission shall conduct the election concurrent with the Annual General Body meeting in the month of October or November of the second year of the administration. Section -2: Upon selection of the Election Commission, the Chairman of the Election Commission in conjunction with the Executive Board shall declare the election and notify the organization members the election process details. The notification must be in writing and shall be delivered to each member household by electronic media and/or by United States Postal Service at least 30 calendar days before the election date. The Executive Board must provide the voter’s list to Election Commission within seven calendar days of the Election Commission appointment. All registered members as of August 30th of the election year shall be included in the voter’s list. Memberships acquired after August 30th of the election year assumed to forfeit participation in the election process. Section -3: Only registered members of the immediately preceding two year are eligible to hold any position in the organization. A family or individual who moved more than two years to greater Sacramento area from other part of North America who become registered member of SKCC and if he or she was a previous executive member of KCCNA or its member associations is eligible to hold an executive position in SKCC. Nominations to participate in the election must be delivered to the Election Commission on or before fifteen (15) calendar days of the election date. Section-4: All nominations should include the nominee, the proposer and the seconder and all must be a registered adult member listed on the voter’s list. Candidate details should include name, mailing address, e-mail address, phone number and the position for which the member is filing candidacy for. Filing for candidacy is limited to one position per person. The candidate’s legal name shall be used in the nomination form. The candidate may also include the nick name if desired. Section-5: The person holding any type of position at SKCC office must be legally allowed to stay continuously in the country during the entire time at the office term by the United States Government. Section- 6: Upon expiration of the nomination period, all nominations will be scrutinized by Election Commission in three (3) calendar days and the status will be communicated to each candidate by appropriate Medias. Section-7: In the event only one eligible candidate applied for an open position, Election Commission shall declare that candidate as a winner at the General Body. Section -8: The Election Commission shall conduct the election based on the existing Constitution, which shall be provided to them by the SKCC Executive Board with the voter’s list. The Election Commission shall approve the nominations after verifying the eligibility, accuracy and requirements of the nominations. In the event the Election Commission needs clarification regarding the By-laws and Constitution pertaining to any matters concerning the election process, the Election Commission shall request the Executive Board for advice on such matters. Section-9: Voting shall be by a show of hands or by secret ballot according to the decision of Election Commission. The highest number of votes secured by any candidate for each position shall be declared as the winner by the Election Commission. Section-10: In the event there is no one applied for an open position, Election Commission shall inform the General Body and shall fill the position with the approval of General Body. Section-11: Election Commission members shall be neutral, fair and impartial in all matters concerning the election process. Executive Board could remove any member from the Election Commission for conduct that is detrimental to the neutral, fair and impartial image of the Election Commission. 75% majority approval of the Executive Board is required for such removal. Executive Board shall replace the removed member by any one of the Past SKCC Presidents. Section-12: If there are not enough past Presidents or if the required number of Past Presidents is not available to form the Election Commission, then the Executive Board can nominate the required number of persons from the registered members of the association. Section 13: In the event, due to an extraordinary circumstance such as a pandemic, where it is impossible to conduct the election in a physical location; the existing SKCC Executive Board (EB) members and SKCC Legislative Board (LB) members may continue for another calendar year by following the procedure below. For clarification purpose, the calendar year is from January 01st to December 31st. A) SKCC Legislative Board shall meet, physically or using an electronic method, and propose the extension request of the current members of SKCC EB and LB, and any other positions such as Auditor to SKCC GB. This proposal shall be approved by simple majority of the LB members present at the same LB meeting. B) A General Body (GB) of SKCC shall be called and the proposal of the Legislative Board (LB) shall be approved by a simple majority of the members present at the same General Body meeting. The GB meeting can be held using an electronic method if it is impossible to meet physically due to an extraordinary circumstance such as a pandemic. C) The extension shall be requested only for one calendar year at a time. D) If SKCC General Body do not approve the extension request, then the election shall be conducted by mail ballot. ARTICLE 8-THE OATH OF OFFICE: The elected office bearers shall take the following oath before they take charge of the office and preferably at the time of the election. The oath shall be taken at the General body followed by the SACRAMENTO KNANAYA CATHOLIC CONGRESS-CONSTITUTION AND BY-LAWS 11

election and the Election Commission members are responsible for the oath ceremony. If an elected office bearer is unable to take oath at the time stated above, the Election Commission shall make arrangements to take the oath before the office bearer take charge of the office. ‘I, (name in full) do hereby solemnly swear that I will carry out the responsibilities and duties of my office (name of office) to the best of my ability and uphold the constitution of Sacramento Knanaya Catholic Congress. So, help me God, my Lord, Jesus Christ’. ARTICLE 9 - PATRON The Knanaya Catholic Bishop of Kottayam, Kerala State, India is the patron of SKCC. If a Knanaya Catholic Diocese is established in North America in the future, then the Bishop of this Diocese would be the patron of SKCC. ARTICLE 10 – AMENDMENTS Section-1: Any amendment to the constitution and bylaws of SKCC can be proposed by the Legislative Board or by any registered member with the signatures of at least one third of the registered adult members. The Executive Board should study and recommend the proposed amendment to the General Body. Section -2: Only the General Body can make amendments to the constitution and by-laws of SKCC. The proposed amendments shall be circulated at least thirty (30) calendar days before the General Body meeting. At least two-third majority of registered members present at the General Body is required to ratify an amendment. Section-3: No amendment affecting the basic Knanaya Catholic Principle shall be made. The Constitution and Bylaws of SKCC was approved by the majority of the members at the General Body that was held on November 03, 2018 in Elk Grove, California. 3. SKCC membership list, SKCC voters list, SKCC letter head, SKCC membership registration form, and SKCC election nomination form are all approved by the majority of the members at the General Body that was held on November 03, 2018 in Elk Grove, California.
