I acknowledge that for the purposes of this undertaking confidential material includes all information of BODYTEC and the Franchisee, without limitation and of whatsoever nature (whether, for the avoidance of doubt, in written, oral, electronic or any other form) relating to BODYTEC business, operations, processes, drawings, sketches, plans, modules, product information, know- how, design rights, trade secrets, software programs, formulae, software source documents, source codes, market opportunities, customers’ business affairs, customer data and agreements, employee data and agreements and any other intellectual property information and documentation. Furthermore confidential material includes without limitation and of whatsoever nature (whether, for the avoidance of doubt, in written, oral, electronic or any other form) information relating to the relationship of BODYTEC with its customers and suppliers and relating to the BODYTEC and the Franchisee (hereinafter referred to as “Confidential Material”). 2. I acknowledge that prior to entering into employment with and/or being a director/member of the Franchisee, I had insufficient knowledge of the Franchisee’s and/or BODYTEC business or industry and could not have successfully operated a similar business without the information that will be divulged by the Franchisee and BODYTEC during the course of my employment by the Franchisee. I acknowledge therefore that the restraints set out above do not constitute a threat to my/our right to earn a living. 3. I acknowledge that Confidential Material which has or will be supplied to the Franchisee by BODYTEC in terms of the Franchise Agreement, and which the Franchisee is going to disclose or has disclosed to me in the course of my employment by the Franchisee: a. is the exclusive property of BODYTEC and b. is strictly confidential. 4. I undertake to both the Franchisee and to BODYTEC that: a. I shall keep all the Confidential Material referred to above strictly confidential and shall not disclose it to anyone either during the period that I am a member/director of or employed by the Franchisee or at any time thereafter; b. I shall be bound by all the terms of the Franchise Agreement insofar as they are relevant to me and I am capable of being bound thereby;

c. During the ( ) year period of my employment by the Franchisee, I shall make no use, of any nature whatsoever, of the Confidential Material, other than the use required by the Franchisee to be madethereof. 5. Furthermore, I undertake to both the Franchisee and to BODYTEC that: a. Should my employment terminate for any reason whatsoever I shall not set up for my own account, be employed by, or manage on behalf of others, serve as an advisor to, make an investment in or be involved in any other way whatsoever, in a business that is substantially the same as the businesses of the Franchisee and/or BODYTEC. b. The abovementioned restraint shall endure for a period of two years from date of signature to this document and be valid throughout the Republic of South Africa, Swaziland, Lesotho, Namibia, Botswana, Zimbabwe, Angola and Mozambique. 6. Chapter 1: Introduction to BODYTEC Boris and Sandra Leyck opened the first BODYTEC micro studio at the Foreshore in Cape Town in March 2011, following their first electro muscle stimulation (EMS) training experience at Bodystreet in Germany in 2010. They were convinced of the concept and its effectiveness and decided to bring the concept to South Africa. 1.1. The BODYTEC idea The first EMS studio opened in Munich, Germany in 2007. A short three years later in 2010 the BODYTEC idea originated. From the outset the aim was to help men and women become healthier and stronger without compromising their lifestyle. EMS training embraces the concept of being strong and looking good with the understanding that most of us have little time to maintain a balanced lifestyle and make time for exercise. EMS training by BODYTEC is cutting-edge, time saving technology which is strongly supported by research and is regularly used in the medical field. BODYTEC is a service where you get a healthier body in a personal and direct way without losing time. The BODYTEC concept is based on personal training with EMS. The muscles are stimulated by electrodes connected to a training jacket. EMS training quickly produces effective, visible results. Your muscles are gently defined as your physical strength and muscle endurance increases. The training takes 20 minutes once a week and training results are more effective than conventional fitness training. This has been proven by exercise science research in Germany, where the concept is already a huge success. The studios are modern and private, where you train at most with one other person. All training is done by appointment only, to avoid waiting time. 1.2. Purpose of BODYTEC Why do people train at BODYTEC? What do people care about…? 1. Looking at the above, we can clearly define our Purpose: “Making People Stronger” 1.3. BODYTEC concept The BODYTEC South Africa concept is based on a similar concept called Bodystreet Germany. The founder of Bodystreet, Matthias Lehner, originally started a fashion and physio-styling studio in Munich in 2001. After years of new ideas and developments in the fitness industry, he realized that EMS training was the way forward as it is a fitness training system that caters for today’s generation who want visible results in very little time. The first Bodystreet studio that exclusively offered EMS training opened its doors in Munich in 2007. More Bodystreet studios followed soon after which resulted in the start of a franchise in August 2009. To date (2020) there are almost 300 Bodystreet studios in Germany, Austria, Switzerland, UK and USA. The goal is to have 500-750 studios worldwide. 1.4. Expansion of BODYTEC BODYTEC launched its franchise concept in May 2012. The first franchised studio opened in Sandton, Johannesburg in July 2012 followed closely by the opening of the second franchised studio in Steenberg, Cape Town in August 2012. By the end of 2019 BODYTEC had 2 company-owned studios and 38 franchised studios (total 40 studios).

1.5. The three pillars of the BODYTEC concept The BODYTEC concept is based on three pillars:  Technology The EMS devices are imported from Germany to South Africa and BODYTEC was the first studio to use the devices in South Africa and the Southern Hemisphere. This innovative technology supplied by Miha Bodytec sets BODYTEC apart from other fitness studios. It is the most effective strength training system on the market.  Personal training At BODYTEC we offer a unique personal training experience. This motivates the member during their training and helps build a personal relationship between the member and our brand. We only employ qualified personal trainers who undergo training to become EMS experts.  Time saving BODYTEC workouts only take 20 minutes, once a week, this is a huge time saving in comparison to other fitness studios. 1.7. EMS training according to BODYTEC The core product we offer in the BODYTEC studio is EMS (electro muscle stimulation) strength training with Miha Bodytec devices, guided by personal trainers. Research from international sport institutes have proven that the training results are more effective than conventional strength training. The details of EMS training according to BODYTEC are discussed in chapter 4.

1.8. Value (price) of BODYTEC vs a conventional workout The value of one BODYTEC workout is R650. This is also the price for a single training session if no contract is signed. This is good value for money in comparison to conventional personal training. This means to achieve the same results; you would need roughly 3 workouts at a conventional gym vs 20 minutes at BODYTEC. Personal training at a conventional gym costs approximately R250-300 a session. R250-300 x 3 sessions=R750-900 a week vs BODYTEC’s single strength and muscle endurance session of R650. Not only saving time, but also saving money at BODYTEC! The different BODYTEC membership options are detailed in chapter 3. 1.9. BODYTEC Organogram and Support Office staff All BODYTEC franchise partners are supported by the BODYTEC support staff. The main purpose of the BODYTEC support staff is to assist all BODYTEC franchise partners in running a successful BODYTEC studio. The BODYTEC support staff covers all aspects needed to run a successful BODYTEC studio and provide input and guidelines with respect to training, research, marketing, finance and daily operations. The figure below depicts the BODYTEC support staff and their specific role within the company.

Chapter 2: EMS training 2.1. What is EMS? EMS stands for “Electro Muscle Stimulation”. From a technical point of view, it is whole-body training using an electrical impulse current. In everyday life the central nervous system constantly sends electrical impulses to control muscle activity. EMS uses this natural principle and is able to intensify this process to reach deeper muscle layers which are hard to activate through conventional training, as the bigger muscle groups are strong enough to muster up sufficient force to enable most motions of the human body. This is achieved by applying EMS electrodes to the skin directly above the muscle. All-in-all EMS is simply a selective intensification of electrical stimuli from the outside. Best results can be gained if a member moves actively while using our EMS device. Muscles are additionally stimulated through the electrodes while doing a series of low- impact exercises. This combined training leads to an additional increase of tension, producing highly effective training results. The personal trainer can control each muscle group by adjusting the training intensity according to your individual goals. With EMS it is possible to achieve visible and tangible success in a shortened time. The training is not painful or harmful to the body. 2.2. Why is EMS so effective? During EMS training, up to 90% of muscles are activated simultaneously with each contraction and these muscle contractions are stronger and more intense than what voluntary exertion can do alone. Compared to conventional weight training, deeper muscle groups are activated which leads to better intra and inter muscular coordination. Based on these scientifically proven facts you achieve highly effective results in a short period of time. Research has found that training with EMS is much more effective thanconventional weighttrainingatgym. 2.3. How long has EMS Technology existed? In 1902 a French researcher invented the first stimulation machine which he used successfully to treat muscle atrophy/paralysis. More research followed and 70 years later two Russian scientists, Kotz and Chwilon, proved the outstanding results of muscular stimulation on human beings. Their experiments showed a 30-40% increase of muscular strength with minimal physiological and mental efforts in a short period of time. Back then EMS training was mainly used in therapy for the treatment and rehabilitation of muscle atrophy and muscle imbalance and in professional sports to improve performance. Training with electro muscular stimulation these days is a popular and proven training method which enjoys growing popularity all over the world.

2.4. EMS research Research studies from the Bayreuth University in Germany report the following results after a 6-week training programme with EMS:  The effectiveness of EMS is much higher than a conventional weight training.  20 minutes per week is all it takes to a healthier, stronger you.  89% of people tested reduced their back pain.  Over 30% of those reported their recurring back problems had disappeared.  75% showed improvement with incontinence problems, while 33% of those were cured of incontinence altogether.  Overall maximum strength ability increased by 12% while endurance/fitness levels improved by 69%.  On average, 85% of people tested felt an improvement of their body shape and 90% ranked the EMS training method as positive.  Training with higher intensity produced effective results, especially with subjects who suffered from recurring pain and other ailments.  It also resulted in enhanced muscle definition and tone. A systematic review of 23 studies titled Efficacy and Safety of Low Frequency Whole- Body Electromyostimulation (WB-EMS) to Improve Health-Related Outcomes in Non- athletic Adults reported the following:  WB-EMS is able to effectively increase muscle mass in untrained individuals independent of their age, sex and muscle status.  It was found that lower back pain improved significantly with WB-EMS compared to non-training groups.  Functional capacity including walking speed and grip strength also improved significantly with WB-EMS. This is important as these improvements translate into benefits in activities of daily living which enhances the quality of life, particularly in older or overweight members.  Significant improvements were found in body composition, particularly in the abdominal region. Some improvements were noted in mean arterial pressure and waist circumference with no changes in triglycerides, glucose or cholesterol levels, however, these factors are largely influenced by nutrition.  No adverse or negative effects were noted across all WB-EMS studies and the authors concluded that “Properly applied and guided WB-EMS application according to the present guidelines is a safe training technology for unfit and physically limited subjects with low time budgets. 2.5. Benefits of EMS training compared to conventional workouts The EMS principle is growing in popularity in the fitness world and the following research results have shown why:

Increased lean muscle mass and muscle definition BODYTEC uses electro stimulation to achieve stronger and more intense muscle contractions than a voluntary exertion can achieve alone (meaning more muscle fibres are recruited and activated through EMS). Depending on intensity and individual goals, muscle hypertrophy (growth) can be achieved and therefore lead to an increase in muscle definition. At the same time, EMS training facilitates for muscle to become stronger and more responsive and the muscles simply become more efficient. Increased maximum strength and strength endurance EMS training increases maximum strength, which is the maximum force a muscle can exert, as well as strength endurance, which is the ability of a muscle to work repeatedly against a resistance until fatigue. Individual adjustment of intensity, duration and frequency helps to achieve personal training goals effectively and consistently – no matter whether it’s increasing maximum strength or improving strength endurance and overall fitness levels. EMS is gentle on the joints There is no strain on the joints as the workout is done without weights. The intensity of a BODYTEC workout is regulated through electro stimulation, whereas conventional weight training is carried out by heavy weights or high impact running or jumping which can cause strain and injury, particularly if you don’t maintain the correct posture and coordination. EMS training is not dependent on weights or high impact training, so the risks of strain and injury are therefore greatly reduced which makes EMS training the ideal workout for older people or people with joint problems or previous injuries. Reduced muscleimbalances Many people suffer from a muscular imbalance in their back, stomach or pelvic floor which often results in an injury across joints. The most common injury due to muscle imbalances is lower back pain. With EMS training, specific problem areas can be targeted, and weaker muscle groups can be strengthened to correct imbalances. Muscle weakness and imbalances are often the result of our lack of movement in our daily lives (e.g. sitting at a desk for long hours). Wellbeing at all levels EMS training has a therapeutic effect as it promotes a feeling of physical and mental wellbeing. It is also a solution for those individuals who know they need to do some form of exercise as opposed to being completely sedentary. Lower back pain reduction Lower back pain is the most common ailment among the general population. One of the main causes is imbalances in the muscles round the pelvis and spine caused by poor posture and a sedentary lifestyle. BODYTEC EMS training targets and strengthens the deeper layers of the core muscle group which helps alleviate lower

back pain as these deep muscles are difficult to activate and isolate with conventional methods. Incontinence Bladder weakness is a common and embarrassing condition. Training with BODYTEC can prevent and relieve incontinence by strengthening the pelvic floor muscles after just a few sessions. Common EMS and BODYTEC questions How does EMS training work? EMS training from BODYTEC is a full body workout that does not only target one specific muscle group. During EMS training, up to 90% of muscles are activated simultaneously and the muscle contractions are of higher quality and more intense than a voluntary exertion can do alone. Compared to conventional weight training, EMS training activates deeper muscle groups which leads to better balance amongst the muscles in the body and increased core stability. The BODYTEC EMS device can stimulate multiple muscle groups simultaneously, allowing for a repeated activation of the whole body. BODYTEC EMS training is always

done under the guidance of a personal trainer who activates eight muscle groups according to the member’s individual intensity threshold. These muscle groups include legs, glutes, abdominals, lower back, chest, upper back, lats and arms and exercises are demonstrated and tailored according to the member’s training goals and needs. How is BODYTEC different from other EMS providers? BODYTEC studios specialize in EMS training, BODYTEC does not offer other forms of training in our studios. This allows us to provide a full-time personal training service, which we consider to be the major factor in enabling members to reach their training goals and to save time. BODYTEC trainers use the most intense and most effective programme of the EMS device suitable for everyone. A personal trainer guides the training every step of the way ensuring members get the full benefit of each workout. BODYTEC’s specialization in EMS training also allows us to work with a simple price and membership system, without any hidden or additional costs for extra services. Why should I only train once a week? To achieve the most effective results for muscular adaptation and physical functioning, the body needs time to rest and recover. Research shows that recovery and adaptation periods after whole-body BODYTEC EMS training sessions are significantly longer than for weight and resistance training. It is not beneficial to train more often to gain better results because BODYTEC EMS training is so intense and effective, only one session per week is needed. How soon will I see results? Members will feel a difference after their first EMS training session. As their body releases endorphins and as most major muscle groups in their body have been activated, they will experience increased physical awareness, resulting in an improved posture. After a day or two, they may feel some muscle stiffness, which is normal and is indicative of the body’s recovery process. Within a period of about 4 weeks, members will feel stronger and different muscles will improve to coordinate movements more effectively. After roughly 6 to 8 sessions (6 to 8 weeks) members will not only feel, but also see a visible difference from the EMS training in the form of gradually increased muscle formation and a possible reduction in body fat (depending on diet). As with conventional training, EMS training should be done regularly to ensure and maintain optimal results. What improvements can I expect from training with BODYTEC? Over the last few decades, an extensive amount of research has proven the effectiveness and scientific validation of EMS training. Amongst others, areas of improvement include:  Maximum strength  Strength endurance

 Hypertrophy (muscle growth)  Speed, reaction time and agility  Perceived physical well-being  Reduction of muscular imbalances  Injury prevention  Improved posture and functionality Does EMS training hurt? No, any type of physical training is an activity that requires you to get out of your comfort zone, but members should not feel any pain during an EMS training session. Is EMS training safe? Yes, EMS training imitates the natural principle of muscle contraction, which is a result of the interaction between the brain, the central nervous system and muscle tissue. BODYTEC uses a low frequency stimulus to activate intense muscle contractions and the personal trainer will ensure the members individual training levels are an optimum fit for them. In comparison to other strength training, EMS training is known to be particularly gentle on joints. However, certain medical conditions are known to be contraindications and EMS training with BODYTEC is not recommended for the following conditions: (1) pregnancy; (2) pacemaker or other electrical implants; (3) acute illness, such as fever, viral infections or acute inflammatory processes. Medical consent might be necessary for some physical conditions and these should be discussed with the personal trainer before any training commences. Can anyone do EMS training? EMS training with BODYTEC has been scientifically proven to be effective for people of different age groups and different fitness levels. This means a performance athlete with many years of training experience can train next to a person who has been physically inactive for many years. However, certain medical conditions are known to be contraindications and EMS training with BODYTEC is not recommended in certain cases (see Is EMS Training Safe?). For some medical conditions, a doctor’s consent might be needed and suitability for the training needs to be assessed on an individual case-to-case basis. Medical conditions* requiring assessment include the following:  Circulatory disorders, acute stroke, stent, thrombosis and cardiovascular diseases (i.e. arteriosclerosis)  Bleeding, bleeding tendency or hemophilia  Diabetes mellitus  Abdominal wall hernia or inguinal hernia  Severe neurological disorders (i.e. Epilepsy, multiple sclerosis, amyotrophic lateral sclerosis etc.)  Acute operation (within 8 weeks, depending on individual case)

*Please note: the above list is not exhaustive and if members have any medical condition which could be affected by EMS training, it is their responsibility to inform their trainer and doctor so an appropriate assessment can be made. Are there long-term side effects to BODYTEC EMS training? No. BODYTEC EMS training has been extensively researched over the past few decades. What’s the difference between BODYTEC EMS and typical tele-EMS? EMS training from BODYTEC is full body training that doesn’t only target one specific muscle group. Members always train under the guidance of a personal trainer who can activate each muscle according to their training goals and needs. Another essential difference is that the BODYTEC EMS device stimulates the agonist and antagonist muscles simultaneously. This means multiple muscle groups are activated at the same time. Deeper muscle tissue, which is often underused due to the dominance of the bigger muscles, is also activated to a higher degree in comparison to conventional tele-EMS or weight training in a gym. From a technical perspective, BODYTEC training is based on a bipolar impulse mode, which allows for the whole muscle to contract, while other EMS training devices often operate using a unipolar impulse mode. This form of whole-body training, combined with BODYTEC’s selected exercises and the guidance of a personal trainer, leads to effective and quick training results.

Chapter 3: Daily Operations of a BODYTEC studio 3.1. Introduction The Daily operations of a BODYTEC studio include all aspects that are essential in running day to day studio tasks. This includes the set-up of a BODYTEC studio, hiring and training of employees, daily studio duties of the employees and studio managers, equipment management, training sessions, trial sessions and membership/contact signing as well as BODYTEC studio standards. 3.2. Studio set-up The set-up of a new BODYTEC studio takes approximately 10 weeks. Details of the steps involved as well as lead times can be found on the Pick ‘n Order (PnO) system under useful information. When setting up a studio there are certain core and non- core products to be included. The list of core and non-core products can also be found on the PnO system under useful information. Both the studio set-up steps, and the core and non-core products list is updated regularly. 3.3. Employees Hiring of employees As BODYTEC trainers form the core of our business and are often the reason our members continue to train, it’s important that the right personal trainers are hired. BODYTEC personal trainers should be balanced between having the correct qualification as well as the desired personality traits and training style that will suit your studio and members. All information with respect to hiring new trainers including confidentiality agreements, employee contracts, interview guidelines, recruitment templates etc. can be found on the PnO system. Training employees in the BODYTEC system Before a new trainer starts with work responsibilities, the trainer should be trained according to the guidelines and tasks of the 6-Day Training Manual (to be found on the PnO system). It is compulsory for all new staff to sign a confidentiality agreement as well as an employment contract (these documents can be found on the PnO system). For the training of every new BODYTEC trainer, a hard copy of the training manual needs to be filled out and every task stated on the 6-Day Training Manual must be covered. The completed training manual has to be kept on file and will be checked for completion at the next field service. The time period, in which a new trainer is receiving the initial training, can be extended and does not need to be done in 6 days. For example, the training can be spread over 2 weeks, but still needs to cover all tasks and elements of the training.

If no completed training manual can be provided at the field service, a R 500 (excl. VAT) penalty fee is due (unless the trainer is still in training and has not yet taken over work responsibilities). Additionally, to completing the 6-Day Training, every new trainer must arrange an appointment and complete a benchmark test with a Head Office certified Advanced BODYTEC Trainer within 30 days from starting the training. The Advanced BODYTEC Trainer must be from another studio and cannot be a direct colleague of the new trainer. The appointments must be arranged with one of the listed trainers by the new trainer but can also be coordinated through Sharné from Support Office, if requested. You can enquire about a list of Advanced BODYTEC Trainers from Sharné and apply for your own staff members to be listed as suitable to perform the benchmark test with new staff members. The following criteria must be met:  Minimum of 12-months work experience with BODYTEC  Trainer has fully participated in new staff training, completed at least two training workshops as well as attended practical training  Trainer has completed a practical test about BODYTEC benchmarks with Sharné Should a new trainer fail to arrange and to appear for the benchmark test within the 30 days from starting the initial training, an R 500 (excl. VAT) penalty fee is due. Should a new trainer fail the benchmark test (score below 66%), specific training recommendations and tasks will be provided (based on test performance) and a re- test will have to be arranged within another 30 days. In order to receive support in the coordination of the reviewed training process, please inform Sharné, when you start the training of a new trainer and please provide basic details (name, age, professional qualification) of the person. The BODYTEC Academy One of our foundational principles at BODYTEC is the use of scientific knowledge and research to improve and promote our training. We train our members according to the latest EMS research and we aim to maintain the highest standard across all our studios. As the fitness industry continues to grow and expand it’s important to stay up to date and to continually refresh our knowledge. It’s also important that we invest in our trainers so they can grow not only in their knowledge but also in their training and confidence. Therefore, we have a BODYTEC training academy where the focus is to invest directly into our trainers and equip them with all the tools to make them a successful personal trainer.

The BODYTEC Academy offers a series of online workshops per year. The workshops for 2020 include: New staff training An introduction to EMS training as well as to the BODYTEC brand, concept and training methods. This workshop is compulsory for all new staff and they need to attend the soonest available date following their employment. Training members with common pain complaints (knee, shoulder, lower back pain) This workshop focuses on how to train members with common joint pain complaints and how to not aggravate existing or previous injuries. It includes an in-depth look at anatomy and associated injuries as well as a list of helpful and potentially harmful exercises. It’s important to note that this is not rehabilitation but simply how we can adapt our training sessions to prevent worsening of pain or injuries. Anatomy 101 and basic exercise science This workshop is tailored for individuals in BODYTEC who have limited anatomy and exercise knowledge. This course provides a brief outline of anatomical structures and a brief outline of how muscle contraction works as well as how EMS compliments the muscle’s physiological process of muscle contraction. Introduction to nutrition The focus of this workshop is to provide a general guideline on nutrition and basic healthy eating. This workshop does not qualify trainers as nutritionists but provides a greater understanding of general nutrition principles which will allow them to have an open and educational conversation with their members regarding their eating habits. It’s compulsory for all BODYTEC trainers to attend at least 2 training workshops per year. The workshops cost R150 per trainer per workshop. When trainers attend online workshops, it should be preferably done in studio where they will have a stable internet connection, it’s also important that both the audio and video work on their pc/mobile phone and that their video remains on for the duration of the workshop. Employee standards Employees are representing the BODYTEC brand. Brand building is most effective when being consistent. It is therefore crucial that each BODYTEC employee represents our brand by:  Wearing BODYTEC corporate clothing: a clean black BODYTEC top.  Wearing c l e a n , black (subtle) training trousers: training tights, shorts or tracksuit pants (no baggy pants).  Wearing clean sport shoes.  WearingaBODYTEC nametag.  Maintaining a clean, well-groomed appearance.  Being well rested and in a good mood, with an open smile.  Having good body posture and good training technique.

3.4. Daily studio duties Daily studio duties include opening and closing the studio, setting up for training sessions, training members, performing standard studio duties including working reception, doing laundry for both training garments and equipment, making sure the studio is clean, performing admin duties including closing the cash register, booking members in on the operating software, ensuring membership forms are completed correctly and following up on members that have not been for a while or those that need to renew their contracts. Opening and closing procedure Until a new employee is familiar with all the procedures, it is useful to draw up an opening and closing checklist for BODYTEC employees (example of such a checklist in Appendix 1). It usually takes 30 minutes to open the studio and get ready for the first member of the day. Opening hours BODYTEC doesn’t specify fixed opening hours. The opening hours depend on the needs of one’s members. However, the minimum opening hours for a studio to be open 6 days a week are: Monday – Friday from 8am – 6pm +/- 1 hour Saturdays from 8am – 1pm +/- 1 hour Or by appointment outside normal opening hours. BODYTEC may be closed on Public Holidays. Reception One personal trainer/staff member should always be stationed at the reception desk even if there are no members in the studio. It is more inviting for a potential member who might be interested in BODYTEC to come into the studio for more information. The staff member on reception duty is normally doing the sales talk and shows potential members around. If there is a colleague available who has more experience in sales, then the person at reception should introduce the potential member to that colleague who can give them the necessary BODYTEC information. Other responsibilities at reception are:  Taking phone calls.  Making bookings for training sessions.  Sales of products (BODYTEC merchandise promotion)  Redeeming sessions.  Welcoming members by name at the door and offering a glass of water.  Cleaning checks: glasses, workstations, kitchen, bathroom, shower, counter, floor, poster stand.  Refill: water sprays, water jug, shower gel, toilet paper, training clothes, vouchers.  Offering members water and/or a coffee after the training.

 Preparing upcoming training sessions (get out member cards and training clothes).  Assist the personal trainer with any double training sessions (prepare training jackets, help members by removing/fitting the training jacket and belts etc.).  Change the music volume where required (sales talk). Music Always try reducing the volume during sales talks and consultations (if there is no other training) and turn it up during the training to motivate the members. There should always be music on in the studio, so that members don’t walk into a quiet yoga-like studio. Laundry Take the dirty laundry out of the laundry unit and wash the clothes and towels (separately) approximately 2 hours before your last training of the day. This gives you enough time to hang the laundry before closing so you start the following day with enough fresh/dry stock of towels/training clothes. Also be sure to change and wash toilet hand towels and workstation cloths regularly. Towels and training clothes can be washed using normal detergent. You can also use the BODYTEC laundry detergent to give the trainings clothes and the towels a similar smell as the studio environment as well as the trainings equipment. Always check the training clothes after every wash for the usual wear and tear such as holes/rips. Put any damaged clothes aside to avoid embarrassment as you don’t want to give a member a set of clothing with holes in it. Water and glasses Only serve filtered water and add a couple of lemon/orange/cucumber slices to the water jug and place it on the serving tray on the coffee table. Make sure there are always two clean glasses for the members. If possible, put filled jugs in the fridge beforehand to make sure the water served is cold. Cleaning checks in bathroom/shower/changing room(s) Check the bathroom, shower and changing rooms for cleanliness between training sessions. Double-check the soap, toilet paper and shower gel as well. Washing dishes and cleaning kitchen Wash the dishes between training sessions and put dishes in cupboards and on shelves to make sure the kitchen counter is always clean and organised. Members sometimes (by mistake) walk into the kitchen area and it is important to have the same clean/organised standard in our “back” rooms as in our main training room.

Cleaning workstations The workstations need to be cleaned after each training session. Make sure jackets and belts are in the correct order and shelf. Make sure the jackets are unzipped and the cables are inside the jacket for immediate use and that the spray bottles are always filled up. Cleaning training jackets and belts The training jackets and belts should be washed regularly depending on the frequency of usage (number of members and size). Remove the electrodes and wash/soak them in a washing basin as per the laundry instructions inside the jackets. (Only use the special Miha Bodytec laundry detergent available on the PnO system). Make sure, that you always have enough spare jackets in the most used sizes before you start washing jackets. Cleaning frequency guidelines jackets, straps and belts The following laundry frequency needs to be adhered to in order to offer a clean and hygienic service to our members. It is based on the average sizes used in any BODYTEC studio. Miha Bodytec equipment inventory It’s important to keep track of when you purchased any Miha Bodytec equipment in case there are any technical or structural problems. If have any equipment issue you can provide Impulse Workout with the date of purchase as well as approximately how many sessions the equipment has been used for.

Studio manager responsibilities Besides the general responsibilities of the BODYTEC staff: Personal Training, sales talks, scheduling appointments as well as cleaning checks and laundry the Studio manageris also responsible forthe following:  Making sure all Memberships are filled out completely in ChiDesk  Scheduling working hours with trainers and cleaning staff  ChiDesk (monthly reports, financial reports, appointments, monitor trial success rates of the trainers)  Handling complaints  Administration  Sales of the BODYTEC Merchandising products  Maintenance of the studio and the MihaBodytec devices Inventory checks:  Miha Bodytec (trainings jackets and belts + trainings clothes)  Cleaning materials, shower gels, detergent, softener  Food and Drinks (coffee, milk, sugar, tea, lemons etc.)  Décor (flowers, towels, guest towels and sweat towels)  Stationary  Merchandised products  Staff uniforms and name tags  BODYTEC Merchandising products  Coordinate new orders with studio owner Emergency procedures Always make sure to have the following emergency procedures and processes in place:  A list with emergency phone numbers (police, GP, hospital, fire brigade, armed response, plumber etc.) on a notice board in kitchen/office area  A fully kitted first aid kit in the studio  A one-page written procedure regarding what to do (and whom to contact) in case of certain emergency in your studio  Have notices up in the changing rooms (please put personal belongings in the lockers provided)  Point out to new members to always lock their personal belongings away during training We have had more than one incident of theft in our studios and we strongly suggest each studio to have a remote-controlled security gate since trainers are sometimes alone in the studio. Dealing with unwanted guests as well as not interrupting a training and guaranteeing safety (service) of a member can be quite challenging if people can just enter the studio without a “barrier”.

3.5. Administration of trial sessions and training sessions The BODYTEC method of trial and training sessions are discussed in detail in the next chapter. However, there are certain administrative tasks involved including indemnity forms and membership contracts that need to be completed correctly to ensure successful operation of your BODYTEC studio. Trial session Most members ask for a trial training before signing up for a membership. The price for a trial training session is R195 in studio, R145 pre -paid via the Homepage (website) or R50 (if purchased via FNB Wellness App or e- Bucks Shop). It is generally possible to do two trials if a member insists, but if possible, try and convince them to sign a contract after their first visit. Don’t offer the second trial training upfront. Indemnity/Assessment form First-time (potential) members need to fill in the personal details of the assessment form and sign the indemnity part before starting the BODYTEC training (trial). The personal trainer will ask questions and fills in the answers on the form about the following points.  How did the member find out about BODYTEC?  Current fitness level: does the member exercise regularly – if so, what exactly, how often and how long?  Does the member have any exercise restrictions or medical issues e.g. injuries, heart conditions, diabetes etc.?  What are their personal goals in terms of fitness: general fitness, increasing lean mass, weight loss, core strengthening, reduce back problems etc. Warning: In certain cases we have to ask for a doctor’s approval before starting the training (see Chapter 4 for contraindications). The period before the training is very important to build rapport with the potential member and to point out the benefits of BODYTEC training. Make sure the “sales talk” is targeted to the person sitting in front of you e.g. elderly individuals who want to improve functionality, posture and balance don’t care that EMS training has demonstrated to be beneficial for elite soccer players and women who are new mothers will be interested to know their pelvic floor muscles can be trained effectively. Let the member talk about his/her situation and goals and give him/her a feeling that he/she is in capable and professional hands. Caution: Every member needs to sign an indemnity form before starting BODYTEC training! Make sure both an email address and a telephone number are filled in on the form.

Membership contracts and prices When explaining the different membership options to potential members one starts with the most expensive one (single session) first and one ends with the cheapest (classic membership). National Membership BODYTEC National Membership allows BODYTEC members to train at any BODYTEC studio nationwide up to 4 times a month. The standard BODYTEC memberships (10 sessions/FNB eBucks 10 session, 3-, 6- or 12-month) automatically include National membership.  The “Home studio” who holds the membership needs to book and redeem the session under “National Session”. The same booking process applies for the Host studio.  The “Host studio” will invoice the “Home studio” a fixed amount of R200 incl. VAT for the session independent from the membership packages.  A certain invoice cycle (monthly, bi-monthly) can be arranged independently between the “Home/Host studio” dependingonthefrequency.  Members need to bring their own clothes otherwise the “Host studio” could charge a laundry fee of R50 or provide it for free – at their own discretion.  The “Home studio” needs to forward the member information (name, contact details, setting and sizes).  The indemnity forms are general BODYTEC forms and are valid for all BODYTEC studios nationwide. Nevertheless, it is recommended to sign another form.  The “Host” studio should always do an intensity adjustment, because of the quality differences of the equipment/new jackets.

 The national membership option is only applicable during the period of the membership not for catch up period/sessions. All catch up sessions have to be done in the “Home studio Important: All BODYTEC branded trainings cards are kept in studio for safe keeping and used during training (National members cannot take their cards with them). Monthly payments of membership fees can be made via the following options:  Debit order (Make sure to directly note the bank details on the contract and in ChiDesk).  Debit/credit card via Netcash (note the credit card number, the expiry date and the three last digits on the back of the card). Please note extra fees are applicable. Debit order will be deducted on the 3rd or 4th of each month, payment will be made in advance for the month ahead.  EFT or cash payments are only accepted for full amounts paid for the 3/6/12 months upfront (we don’t charge the original joining fee of R275). Important: The membership always starts on the first day of the month. If a member signs for example on the 9th of April he/she has to decide, if the membership will start on the 1st of April or on the 1st of May. If the member starts in May, he/she has to be made aware, that he/she will actually have more sessions than the usual 4 sessions per month from his/her contract and they will be invoiced accordingly for these extra sessions at a fixed pro-rata rate, independently from the membership. Important: A member needs to sign and date the contract together with the terms and conditions on the back of the contract. The member gets the copy (second page) and BODYTEC keeps the original. The BODYTEC staff member who handles the contract has to sign next to the member’s signature Cancellation of training session Cancellation of the training session needs to be done by phone/email at least 12 hours prior to the training otherwise BODYTEC reserves the right to charge for the session or mark it as a no-show in the system. Cancellation of membership It is possible to cancel the membership at any time, but the member must give BODYTEC at least 30 business days written notice. BODYTEC is entitled to charge the contractual fee up to the date of cancellation. Additionally, if a member cancels their contract in the first half of their membership, a once-off cancellation fee of R1100 will be charged. Important: The Consumer Protection Act (CPA) came into effect in South Africa in 2011. This means that members can always cancel a one-year (12 months), half-year (6 months) or three-month contracts (3 months) (paying the cancellation fee). One could use this information to one’s advantage if members are hesitant to commit to any of the contract options available.

It is best to make members aware of their ending membership. You can then also enquire if they want to renew their membership (See Appendix 10 for the expiry email template) Payment Preferably memberships must be paid by monthly debit order only. Other payment methods are: EFT or cash (full amount upfront only). 3.6. BODYTEC studio standards It’s important to maintain consistency across all BODYTEC studios and there are certain operations that need to follow certain guidelines. 3.6.1. Stock list Always regularly check the stock in the studio (cleaning materials, nutrition, training clothes, food and drinks, fresh flowers, décor etc.) and if required, fill in a supplier order form and hand it over to the person responsible for ordering. 3.6.2. Cleaning checks and laundry The following checks should take place before/after every training and before closing/after opening:  Bathroom – is it clean/is there toilet paper/soap and a dry towel?  Showers – are they clean/is there soap?  Workstations – are they clean and neatly organised?  Floor – is it clean?  Reception desk – are there no personal items lying around, it is neatly organised?  Coffee counter – is it clean/is water filled up in coffee machine?  Poster A-frame stand – is it clean? Is the voucher holder not full of sand/dust (stands outside)?  Kitchen + dishes – is it clean and neatly organised?  Is there laundry to be done (are there enough clean towels/training clothes)?  Also check regularly that flowers still look fresh. Make sure the water in the flower vases is still clear (not smelly or dirty), change water and wash the vases if necessary.  Keep the cash register up to date every day

3.6.3. Using and updating software BODYTEC uses ChiDesk as its chief operating system. ChiDesk is an online based Software solution that provides appointment scheduling, online booking, employee management, point of sale and marketing functionality in a single solution. ChiDesk provides studios with multiple reports, which contributes greatly to the functionality of the business, as well as ensuring owners know what the financial condition of their business and can keep a firm hold on all incoming and outgoing funds, as well as products & services, provided that the system is used correctly. Use the software correctly according to the BODYTEC ChiDesk software manual. Keep the software up to date every day by booking members correctly and redeeming (invoicing and receipting members on the software system) correctly (the BODYTEC ChiDesk software manual is on the PnO system under useful information). Online bookings have also recently been implemented via the ChiDesk software. Members now have the option to book and cancel their training appointment via their mobile phone or pc. 3.6.4. Music system Music is obligatory in all studios to create a vibey and fun atmosphere. The studios are free to create their own playlist or work with one of the online music streaming provider’s e.g. Soundcloud, Spotify, or Deezer, they all provide lots of different playlists (gym and workout playlists etc.) 3.6.5. Printing & Artwork Process As a franchise brand, all BODYTEC print and artwork is done according to specific guidelines which needs to be adhered to and approved by the franchisor. All printing materials are divided into the categories of operations & marketing and dealt with as follows:  Operational These are generic print materials printed in large quantities and readily available from the Support Office and can be dispatched anything from 1 – 3 days after order, this would also include existing Poster design which can be printed and dispatched within 7 working days.  Marketing Printing materials required for marketing purposes requires lead times of up to 10 -14 working days, especially if artwork is required. Existing artwork can take between 7 – 10 working days for print and dispatched. All print is done by BODYTEC’s designated and assigned printers to ensure that it is according to the BODYTEC Specific Guidelines.

All material marketing related cannot be done without the submission of a Local Marketing Initiative form which can be found on the PnO system. More detail with respect to BODYTEC marketing can be found in Chapter 6. 3.6.6. Purchasing of BODYTEC products Within BODYTEC there is a wide range of products required for the daily operations and for creating brand awareness. The product categories and processes are as follows: Essential core operational products:  Training Garments and Equipment Miha Bodytec garments and equipment Miha Bodytec garments and equipment can be ordered on the PnO System which is directly linked to Impulse Workout CC t/a miha bodytec South Africa. They will provide you with your invoice of your order, and once paid this is dispatched directly by them. These garments are sold to members for R725. Emotion Wear training garments Locally produced training garments are also available to purchase Emotion Wear. These garments are not of the same high quality as the garments from Miha Bodytec, however they are cheaper alternative. These garments can be directly ordered at [email protected] and are sold to members for R595.  Staff Uniform All BODYTEC Staff are required to wear our BODYTEC branded staff gear, which is can be ordered from our online PnO system on an ongoing basis, as this is readily available, any sizing not available can be enquired about to our Support Office to the operations division. Clothing is dispatched via BODYTEC’s recommended courier or the preferred courier of the studio’s choice. If the latter option is used, studios need to arrange their own collection. Due to clothing being readily available, dispatch can happen within 1 day, when not available, 14 – 21 days is required for new sizing to become available.  BODYTEC Branded Merchandise To create brand awareness and have marketing prizing materials, we established an online merchandise shop whereby you can place orders of various merchandising items, based on minimum quantities. All orders are subjected to an overall minimum quantity across all branches and only once this MQ is met will orders be processed. Orders can take anything from 2 – 4 weeks for delivery. Order reminders and schedules are distributed by the Marketing division. Note: orders not reaching MQ will go into a processing queue, till such orders obtain their MQ required.

3.6.7. BODYTEC Partners and suppliers Miha Bodytec Germany Miha Bodytec is the German-based company which invented and manufactures the specific Miha Bodytec EMS device. Manufacturing commercially since 2006, they have sold (June 2018) over 12000 devices into 35 countries to physiotherapists, fitness centres, sports rehabilitation centres, wellness & spa centres, professional training centres for top athletes (like FC Bayern Munich and VFB Stuttgart) and EMS studios. In November 2011, Miha Bodytec appointed a distributor for South Africa; Impulse Workout. The amount would be the same for all full-time employees who takes out Discovery medical aid and would be specified in your employment contract. Part-time employees are not obliged to take out medical aid and do not qualify for the BODYTEC contribution. Some of these are long-term partnerships (FNB eBucks), while others are shorter term (Woolworths VIP rewards), although they may progress to long term partnerships. Details of BODYTEC partners can be found on the PnO system under useful information. 3.6.8. BODYTEC Hygiene standards BODYTEC studios have always maintained a high standard of hygiene. However, due to the recent COVID-19 pandemic evengreater hygiene measures have been put into

place. Please refer to the Hygiene section under useful information on the PnO system for the BODYTEC hygiene manual and additional resources. 3.6.9. Penalty list Penalties are put in place if the above BODYTEC guidelines and procedures are not adhered to as per the penalty clause of the franchise agreement. Chapter 4: The BODYTEC Way of Training 4.1. Introduction The Miha Bodytec EMS device has various programs which can be used in different ways. BODYTEC uses the most intense and most researched program on the device. There are various ways and training programs to train people with the Miha-Bodytec EMS device, yet we stand out from other service providers by following our in-house developed BODYTEC trainings method. In order to stand out and create awareness around our brand, it is crucial that we only train the BODYTEC way! The BODYTEC training method:  BODYTEC only uses “Memory Program 1 or 2” (no 16/18) (program 1/2 works with 85 Hz that is the optimal stimuli of skeletal muscles)  The BODYTEC training is only once a week  The BODYTEC training is only 20 min  The BODYTEC training is always with a personal trainer  At BODYTEC we try to reach member training goals through individual adjustments of the intensity levels and through targeted and functional exercise selection.  At BODYTEC we train our members on the most intense program (S18/MP2) with the most research proven effects for muscular and neuro-muscular adaptation  At BODYTEC we work with individual adjustments of the intensity levels and never with additional add-ons like weights, steps etc. Important: The BODYTEC training method is the most effective method to train with on the Miha-Bodytec device 4.2. Safety first EMS technology is highly effective due to the intensity of the muscle contractions created by the device. However, due to this intensity, there is a responsibility to use the device safely and effectively for all members. If the technology is used incorrectly, irresponsibly, and unethically there is an increased risk for the trainer to injure the member or put the member at an increased medical risk. Over the past few years there has been some concerns from medical professionals on the overall safety of EMS. These safety concerns are attributed to a few isolated medical cases, which brought up the need for further safety regulations when using EMS devices. Miha Bodytec were first to systematically introduce the ‘Safety first’ concept and reached out to all users of the Miha equipment to implement these guidelines. Their Guidelines include:  Conduct a proper medical history  Improve training knowledge of new trainers  Allow new members a training-adaptation phase of 4 - 8 weeks  Allow for constant interaction between trainer & member about intensity  Shortened trial sessions

4.3. Who can train at BODYTEC? EMS training with BODYTEC is scientifically proven to be effective for people of different age groups and different fitness levels. This means a performance athlete with many years of training experience, can train next to a person who has been physically inactive for many years. However, certain medical conditions are known to be contraindications and EMS training with BODYTEC is not recommended. There are three absolute contraindications for the training: (1) pregnancy, (2) pacemaker or other electrical implants and (3) acute illness, such as fever, viral infections or acute inflammatory processes. For some medical conditions, a doctor’s consent might be needed and suitability for the training needs to be assessed on an individual case to case basis. The listing and explanations in the following provide a basic overview on most common contraindications. Please be aware that we have a specific procedure with regards to possible contraindications or medical implications at BODYTEC. The relevant documents (Health Screening Form and the Medical Clearance Form) can be found in the appendices (Appendix 2 and 3 respectively). 4.4. Contraindications Absolute Contraindications (even with a doctor’s approval, these members are not allowed to train): Pacemaker or other electrical implants Any individual that has a pacemaker or any other electrical implant that controls or monitors the electrical activity of the heart may not participate in EMS training. As it cannot be determined if the function of these implants may be affected by the micro- current which is transmitted through the miha bodytec electrodes and by training these members we put them in unnecessary danger. Pregnancy As soon as pregnancy is suspected or detected no EMS-training may be carried out. High intra-abdominal stress, strong muscle strain in the pelvic floor and overheating of the mother’s body represent risks for the unborn child. Acute Illness Fever, acute bacterial or viral infections, acute inflammatory processes (e.g. arthritis, inflammatory back pain), malign tumors (cancer) Acute illness can be classified as any condition that causes active infection or inflammation in the body. The most common acute illnesses would include viral or bacterial infections (influenza, bronchitis, pneumonia etc.), inflammatory conditions/diseases in the body (injury to the muscle, joints, ligaments or arthritis) or active cancer. With regards to arthritis, it is advised that no electrical stimulation

should be applied to acutely affected areas (active inflammation in the joints) as it may lead to a worsening of symptoms. This condition typically arises as a reaction of the body’s tissue (the joints) to certain bacterial, chemical, thermal or mechanical stimulations and symptoms typically include local redness, swellings, reduced function and pain. Arthritis as described above is not to be confused with Osteoarthritis/Osteoarthrosis, which is generally non-inflammatory and usually develops from daily wear and tear of the joint. EMS-training can be beneficial for Osteoarthrosis patients/members, if approved by a doctor. Lastly in individuals with metastatic tumors or cancer, carrying out EMS-training could lead to an acceleration of metastatic invasion and a further weakening of the immune system. Due to the increased demand on the immune system to fight these illnesses, any further stress i.e. high intensity exercise would place unnecessary strain on the body’s defense system. Also, with high intensity exercise, there is the danger that pathogens reach the heart and therefore can cause endocarditis and serious cardiac defects. Relative Contraindications (with a doctor’s approval and under certain conditions you can train with these members): Circulatory disorder, acute stroke, stent, thrombosis and cardiovascular disease (e.g. arteriosclerosis) Whole-body EMS training is not advised for individuals who have recently had a stroke. Following rehabilitation, complete recovery and once full functionality has been achieved, EMS training may be beneficial following doctor’s approval. Training with a stent may only be possible once the healing process is 100% complete (approximately 6 months after surgery) and only after a doctor’s approval. The dislodging of a blood clot in individuals with thrombosis or thrombophlebitis is possible during intense EMS-training. This can be life-threatening as the dislodged clot may travel to the heart or the lungs. Doctor’s approval is necessary if this member wants to carry out EMS-training. EMS-training with arteriosclerosis (narrowing and hardening of the arteries) carries the risk of insufficient blood supply to the vital organs, which may have severe consequences. No EMS-training is allowed without doctor’s approval. Bleeding, bleeding tendency, haemophilia The hereditary disease haemophilia is a rare disorder where the blood does not clot normally. This results in increased circulation which can lead to excessive and uncontrolled bleeding. When exercising there is an increased risk for excessive bleeding due to the bursting of small blood vessels. In individuals with normal blood clotting mechanisms, this is not concerning however in hemophilia patients this could be life threatening. It is important to be aware of these risks and to receive doctor’s approval before starting EMS training.
