General InformationWholesaler MembershipMB&WWA’s dues assessment procedures for wholesaler members, as approved by the MB&WWABoard of Directors on March 9, 1994: A. The basis for determining dues shall be a wholesaler’s sales (excluding deposits) of beer, wine, wine coolers, mixed spirit drinks and non-alcoholic beers and wines made to retailers in the calendar year preceding the dues billing year. B. The current rate of assessment is set at $660 per $1,000,000 in sales. C. A “base dues” rate is established under which wholesalers with sales of $1,000,000 or less pay $660, and wholesalers with sales of between $1,000,000 and $2,000,000 pay $1,320. D. Dues shall be billed on May 1st of each year. A membership year runs from July 1 to June 30 of the following year. E. If a current wholesaler member purchases the business or assets of an existing member during a dues year, no additional dues will be assessed during that dues year. However, for the purposes of determining dues for the next dues year, the wholesaler member shall add the sales of the wholesaler who was acquired to his/her sales to determine his/her total sales the preceding calendar year. F. If a current wholesaler member purchases the business or assets of a non-member wholesaler, no additional dues will be required during the existing dues year. However, for the next dues year, the wholesaler member shall add the sales of the acquired wholesaler to the member wholesaler’s sales for the purpose of determining the next year’s dues. G. If a wholesaler sells his or her business to a person who is not currently a wholesaler, the new person shall be eligible for membership in the MB&WWA for that dues year at no additional cost. For the purpose of determining the dues which will be owed by the new member for the next dues year, the new member shall take into consideration the sales of both the former wholesaler and his or her sales in the preceding calendar year. mbwwa.org ­I 43 I 2018 / 2019

Annual affiliate membership dues are $100.Governance StructureIn 2007, the by-laws of the Association were amended to establish an eleven-member board ofdirectors responsible for the general management and control of the affairs, property and fundsof the Association.In 2017 the by-laws were amended to establish the current Board composition made up of a four(4) person Executive Committee and seven (7) At-Large Directors all to be elected annually. Whileit remains a goal to have regional representation, it is no longer a requirement if there are noeligible persons willing to serve from a region.Day-to-day administration and operation of the Association is charged to the AssociationPresident. The office staff includes a Director of Public Affairs, a Director of Operations andEvents, and an Administrative Assistant.MBWWA Services, Inc. is a wholly owned for profit subsidiary of the Association and is managedby a seven (7) person Board of Directors. Day to Day administration and operation of ServicesInc. is charged to its President. The office staff includes a Vice President of Services Inc., aBenefit Services Manager and a Benefit & Member Services Coordinator.MeetingsThe Association conducts two major conventions per year; an Annual Membership Meeting andConvention in the summer and an annual Winter Convention, which is a Joint Convention withthe Associated Beer Distributor of Illinois and the Wisconsin Beer Distributors Association in evennumbered years.Our annual Lobby Day and Fall Harvest Celebration takes place each September andprovides members with an opportunity to meet personally with their Michigan Senators andRepresentatives, Liquor Control Commissioners and other special guests.Regional membership meetings are held in the spring each year and an Annual Holiday Meetingand Luncheon takes place in December. Other educational sessions and seminars are conductedthroughout the year in Lansing and around the state, keeping members involved and updated onissues of importance to the alcohol beverage industry. mbwwa.org ­I 44 I 2018 / 2019

Staff ServicesThe Association’s staff offers members a number of services including regular memberadvisories; an Annual Report; A bi-weekly electronic newsletter; liaison functions betweenmembers and the MLCC, other associations and legislators; contract review; trade regulationcompliance advice; State mandated salesperson training course; and, assistance with generalindustry issues. The Association also directs the MB&WWA State and Federal Political ActionCommittee activities as well as administering the Equity/Advocate Program.InsuranceFor over 50 years, the MB&WWA has offered insurance programs geared to the unique needs ofbeer and wine distributors.The MB&WWA Group Insurance Program offers a comprehensive list of employee (and employer)benefits including Traditional & Consumer Driven Medical/Prescription Drug, Dental, Life,Dependent Life, Weekly Income Protection, Long Term Disability and Accidental Death andDismemberment, Voluntary Accident, Critical Illness & Hospital IndemnityAll MB&WWA insurance programs maximize cost savings to our members by providingcompetitive premium rates and personalized administration and customer service.Insurance programs endorsed and/or sponsored by MB&WWA are managed and/or promoted byMBWWA Services, Inc.MBWWA Services, Inc.July of 1990 marked the incorporation date of MBWWA Services, Inc., the member servicessubsidiary of the MB&WWA. The Corporation’s stock is held 100% by the Association, but it iscontrolled by a separate Board of Directors. The Corporation provides management services tothe MB&WWA Group Insurance Program, Endorsed 401(k) Program, Cafeteria Plan Administrationand Design, and the Michigan Beverage Wholesalers Consortium (MBWC) to assist ourmembers in filling mandatory drug/alcohol testing requirements, and promotes and developsother membership service programs and products.
