BIOGRAPHIES Dr. Jeffrey Addicott, Professor and Director of Law, St. Mary’s University Lt. Colonel (U.S. Army, ret.) Jeffrey F. Addicott is a Professor of Law and the Director of the Center for Terrorism Law. An active duty Army officer in the Judge Advocate General’s Corps for twenty years, Addicott spent a quarter of his career as the senior legal advisor to the United States Army’s Special Forces. As an internationally recognized authority on national security law, Addicott not only lectures and participates in professional and academic organizations both in the United States and abroad, but he has also testified before Congress on a variety of legal issues. Apart from teaching a variety of courses at the law school, Addicott served as the Associate Dean for Administration at St. Mary’s University School of Law (2006-2007). He has also been a regular contributor to national and international news media outlets to include FOX NEWS Channel, MSNBC, CNN, BBC, New York Times, Washington Post, Wall Street Journal and USA Today. Addicott is a prolific author, publishing over 60 books, articles and monographs on a variety of legal topics. Mr. Addicott’s educational background includes a LL.M., S.J.D., 1994, University of Virginia School of Law, 1992, LL.M., The Judge Advocate General’s School, 1987, J.D., University of Alabama School of Law, 1979, and a B.A., University of Maryland. Dr. Massoud Amin, Professor, University of Minnesota, Chairman, IEEE Smart Grid Dr. Massoud Amin is the Director of the Technological Leadership Institute (TLI), holds the Honeywell/H.W. Sweatt Chair, is a professor of Electrical & Computer Engineering (ECE), and a University Distinguished Teaching Professor Award Recipient at the University of Minnesota. He is Chairman of the IEEE Smart Grid, a Fellow of the IEEE and ASME and, from June 2010 to August 2017, was a member of the Texas Reliability Entity, a utility industry regional entity that oversees reliability. From January 2013 to August 2017, he also served as a board member of the Midwest Reliability Organization. Previously, Dr. Amin held positions of increased responsibility including Area Manager of Infrastructure Security, Grid Operations/Planning, Energy Market and Risk and Policy Assessment at the Electric Power Research Institute (EPRI) in Palo Alto, CA. Dr. Amin has also advised the White House, governors and other agencies about innovative solutions and pragmatic strategies to prevent against advanced threats. In addition, he founded various masters and graduate programs in technology and security. Dr. Amin holds B.S. (cum laude), and M.S. degrees in electrical and computer engineering from the University of Massachusetts-Amherst, and M.S. and D.Sc. degrees in systems science and mathematics from Washington University in St. Louis, Missouri. 6

BIOGRAPHIES Fred Bonewell, Chief Safety & Security Officer, CPS Energy Mr. Fred Bonewell oversees CPS Energy's Enterprise & Public Safety, Cyber & Physical Securi- ty, Fleet Operations, Business Continuity, and Labor Relations. As a result of a behavior-based safety program, the company continues to experience a reduction in employee accidents through the promotion of safety awareness. A similar approach is being implemented externally to encourage safety among contractors as well as customers. Bonewell has more than 30 years of progressive leadership experience in employee health and safety, risk, workers’ compensation, and labor relations. In 2016, he was recognized by the National Safety Council for Distinguished Service to Safety. He has worked for Louisville Gas & Electric, Florida Power & Light, and others. Ralph Cavanagh, Attorney and Co-Director of Natural Resources Defense Council Mr. Ralph Cavanagh has focused on removing barriers to cost-effective energy efficiency and on the role that electric and natural gas utilities can play in leading a clean energy transition. From 1993 to 2003, he served on the U.S. Secretary of Energy’s advisory board. He has taught energy law and policy at Harvard Law School, Stanford Law School, the U.C. Berkeley Law School, and the University of Idaho. Currently, he is a board member of the Bipartisan Policy Center, the Alliance to Save Energy, the Northwest Energy Coalition, Renewable North- west, and the Center for Energy Efficiency and Renewable Technologies; he also chairs the advisory board for the U.C. Davis Energy Efficiency Center. Cavanagh has received many awards, including the Heinz Award for Public Policy, the Bonne- ville Power Administration’s Award for Exceptional Public Service, the University of Missouri’s Crystal Award, and the Lifetime Achievement in Energy Efficiency Award from California’s Flex Your Power campaign. He is a graduate of Yale University and Yale Law School. He is based in San Francisco. 7

BIOGRAPHIES Felecia Etheridge, Chief Customer Engagement Officer Ms. Felecia Etheridge oversees customer experience and engagement initiatives at CPS Energy. She is responsible for ensuring consistent and exceptional customer experiences across major customer channels and touchpoints. Prior to joining CPS Energy in August 2016, Ms. Etheridge led her own consulting company. She has also worked at Pacific Gas & Electric Company, TXU, Assurance Energy and Global Customer Solutions. She has extensive experience in customer service, smart meter implementation, customer operations, energy delivery, regulatory relations, federal affairs, and human resources. Ms. Etheridge is a graduate of Harvard’s Advanced Management Program, and has a B.B.A. in International Marketing from Texas A&M University. Dr. Cris Eugster, Chief Operating Officer Dr. Cris Eugster is responsible for overall operations and strategy for CPS Energy including over 7500MW of generation capacity, 12,600 miles of electrical distribution, 1,500 miles of electrical transmission, and 5,300 miles of gas distribution system. He is also responsible for corporate strategy including the integration of new technologies and the development of new products and services for our customers. Dr. Eugster was formerly a partner with McKinsey and Company. He has a Bachelor of Science from Texas A&M University, and a Master of Science and Doctorate from M.I.T. – all in Electrical Engineering. 8

BIOGRAPHIES Paula Gold-Williams, President & Chief Executive Officer, CPS Energy Ms. Paula Gold-Williams was named President & Chief Executive Officer in July 2016 after serving nine months in an interim role. Since 2008, she has served CPS Energy as Group Executive Vice President - Financial & Administrative Services and Chief Financial Officer & Treasurer for the nation's largest gas and electric municipal utility. She also has served in other capacities such as chief administrative officer and controller. Gold-Williams joined CPS Energy in 2004 after holding various positions in several San Antonio businesses, including regional controller for Time Warner Cable and Vice President of Finance for Luby's, Inc. Gold-Williams is a Certified Public Accountant and a Chartered Global Management Accountant. She earned an Associate of Fine Arts degree from San Antonio College, a Bachelor of Business Administration, with a concentration in Accounting from St. Mary’s University, and a Master of Business Administration, in Finance & Accounting from Regis University. Ofir Hason, Chief Executive Office and Co-Founder, CyberGym Mr. Ofir Hason is the CEO and Co-Founder of CyberGym. A graduate of the Israeli Defense Forces’ prestigious Intelligence Corps Unit (8200). Mr. Hason has over 15 years of experience in the development and characterization of complex applications, products, and critical networks. Mr. Hason served more than seven years as a senior manager in Israel's National Information Security Authority (NISA/ISA). Mr. Hason, the former head of the Israel Shin Bet security agency's cyber unit, has a Masters degree in Information Systems from Ruppin Academic College, Israel and an M.B.A. in Management Information Systems, Netanya Academic College, Israel. He has previously been involved in two successful technology start-ups in Israel. 9

BIOGRAPHIES Karen Kirwan, Chief Information Officer, CPS Energy Ms. Karen Kirwan is responsible for the strategic direction and operations for Enterprise Information Technology. Karen is an experienced C-Suite executive with demonstrated experience in strategic development, business transformation, business analytics, digital presence, and achieving operational excellence. She specializes in aligning organizational strategy with operations and leading business transformations that drive profitability while enhancing the customer experience. Prior to joining CPS Energy, Kirwan served as a senior executive at Gartner, and has held executive positions at brand name companies such as Pillsbury, LensCrafters, US Cellular, and Exelon. She is the founder of her own management consulting firm and held key executive positions in several industries focusing on digital business transformation. Kirwan earned a Bachelor of Science degree in Management Information Systems and Accounting from Central Michigan University, and is a graduate of the Center for Creative Leadership based out of Colorado Springs, Colorado. Carolyn Shellman, Chief Legal Officer, CPS Energy Ms. Carolyn Shellman oversees CPS Energy's Legal, Audit, Compliance & Ethics, Gov- ernmental Affairs, People & Culture and Facilities functions. Before joining CPS Energy in 2006, Shellman served as Vice President & General Coun- sel for the Electric Reliability Council of Texas (ERCOT). Prior to that position, she was a partner at the law firm of Hunton & Williams LLP and a partner at Bickerstaff Heath & Smiley LLP. She also has served as the Director of Hearings as well as the Secretary of the Commission at the Public Utility Commission of Texas. Shellman is a graduate of Vassar College and has a law degree from the University of Oklahoma. She is a member of the State Bar of Texas and the State Bar of Oklahoma. 10

BIOGRAPHIES Mayor Ron Nirenberg, City of San Antonio Ron Nirenberg was elected mayor of San Antonio on June 10, 2017. As Mayor, he serves as an ex-officio member of the CPS Energy Board of Trustees. He has been committed to public service most of his life, including serving as a program director for the Annenberg Public Policy Center. He was first elected to the San Antonio City Council in 2013. The former District 8 councilman helped guide one of the fastest-growing areas in the state and pursued policies that celebrated the city’s diversity. He has championed smart planning, economic development, sustainability and government accountability. Mayor Nirenberg is committed to nurturing San Antonio’s diverse economy, promoting its leadership on an international stage and pursuing strategies that foster resilience and equity in all sectors of the city. As a tri-chair of the SA Tomorrow Plan, he is committed to building a city that works for all, adapts to rapid growth, and advances innovation and opportunity for local businesses while balancing sustainability goals. - Richard Quesnot, Grid Support Manager, CPS Energy Mr. Richard Quesnot is responsible for managing the Advanced Metering Infrastructure (AMI) End Point Management for over 1 million devices in the CPS Energy service territory. Quesnot joined CPS Energy in 2013 with over 20 years’ experience in Leadership and Project Management. He is a graduate of Texas A&M - San Antonio with a Bachelors of Applied Arts & Science-Business. 11

BIOGRAPHIES Monica Taylor, Director Executive Brand & Management, CPS Energy Ms. Monica Taylor is the Director of Executive Brand & Outreach for CPS Energy. In her role, she supports and highlights CPS Energy’s senior executives, relative to their extensive thought leadership within the general business, the energy industry and community commitment. Taylor’s professional background includes experience in public relations, marketing and promotions, having served in leadership roles for the San Antonio Spurs and the March of Dimes. Taylor also served for seven years as the morning news anchor and co-host of Fox San Antonio’s morning show. Taylor is a San Antonio native who graduated from the University of Texas at San Antonio where she received a Bachelor of Arts Degree in Communications with a concentration in Public Relations. Dr. Cynthia Teniente-Matson, President, Texas A&M University— San Antonio Dr. Cynthia Teniente-Matson is the second president of Texas A&M University-San Antonio (TAMU-SA), one of the fastest-growing universities in Texas and the only Texas A&M System University located in a major metropolitan city. Dr. Teniente-Matson has more than 25 years of experience in higher education with a track record of achievement that supports campus growth, including faculty and student success, economic development, financial stewardship and broad-based entrepreneurial leadership. Prior to her appointment at TAMU-SA, she worked as Vice President for Administration and Chief Financial Officer of California State University Fresno. An advocate of continuing education, Dr. Teniente-Matson earned a Bachelor of Arts in Management from the University of Alaska Fairbanks, a Master of Business Administration from the University of Alaska Anchorage and a doctorate in Educational Leadership from Fresno State. 12

BIOGRAPHIES Clint Vince, Chair, Denton’s Energy Sector, Co-chair, Dentons' Global Energy Practice Mr. Vince is rated as one of the leading energy attorneys in the U.S. and has directed the expansion of the U.S. Energy team into a premier practice that includes professionals spanning the continent coast-to-coast, offering a full range of services to energy industry clients. Vince remains at the forefront of energy developments and continuously handles some of the highest profile cases in the industry. Vince is a past editor-in-chief of the Energy Law Journal and has served as co-chair of the prestigious Keystone Policy Center, a think tank known for its work in the energy and environmental fields. Prior to joining Dentons, he was the managing partner of the Washington, D.C. Office of Sullivan and Worcester LLP, where he was also director of the firm’s energy practice. He served for many years as co-chair of Verner, Liipfert, Bernhard, McPherson and Hand, where he was the founder and chair of the firm’s Energy and Environmental practice. Vince earned his BA from Trinity College at Hartford Connecticut and hold a Juris Doctor from Georgetown University Law Center. 13
