IV. Terms & ConditionsAll sales and quotations are subject to SRTechnology Corporate (“SRT”)’sstandard terms and conditions as stated herein, unless otherwise specificallystated, as hereunder.1. Acceptance of OrderOrders received by Post mail, email([email protected]) or fax(+822-6280-9333) will be accepted and initially processed pending receipt ofconfirming purchase order. Orders accepted and processed by SRT may notbe cancelled by Customer. Receipt of confirming purchase order is requiredno later than 7 days from initial authorization to proceed . This acceptance isexpressly conditional on Customer’s assent to the terms set out here in lieuof those in customer’s purchase order.2. PriceAll prices are in United States Dollars and are subject to change withoutnotice prior to acceptance unless otherwise specifically stated. Prices will beas specified by SRT and will be applicable for the period specified in SRT'squotation. Prices are subject to change in the event of a change in SRT'scosts or other circumstances beyond SRT's reasonable control. Prices excludeany sales, impositions, use, property or any other taxes imposed by anygovernment authority. Such taxes will be added when applicable. The pricesquoted exclude export or special packing or any compliance testing suchas special environmental, vibration, life cycle, extreme temperature test, etc.unless otherwise specified. Prices are exclusive of other charges : international 341

shipping cost, broker's fees, bank fees, consular fees, document fees and import duties, such charges will be added when applicable. 3. Terms of Payment All payments must be in USD, and Euro. All purchase orders and payments are based on prepaid payment, unless SRT and Customer agree other payment terms. Each shipment shall be considered a separate and independent transaction, and payment therefore shall be made accordingly. Payment from outside South Korea, Orders will not be accepted until the payments have been received in full and Purchase Order (PO) has been received. You can wire the payment to our bank. We will contact you with the total amount, 4. EX Work. Point Unless otherwise specified, all orders are based on EX Work, SRT, Seoul, South Korea. SRT may suggest other safe and reliable shipping method to the Customer. Based on the customer’s consent, SRT can quote other shipping cost. All shipments will normally be made by Federal Express, DHL, UPS, Express Mail or Air Freight. Unless otherwise specified by the Customer, SRT will exercise his own discretion as to method of shipment. Damage in shipment should be handled by the Customer directly with the carrier.342 www.srtechnology.com

5. Change Order and CancellationsChange orders are considered to be in effect after both the Customer andSRT have reached a mutual agreement as to the effect of the change onprice, delivery, or other conditions of the order. Cancellation of any acceptedorders can be made only with the SRT’s written consent thereto and uponsuch terms as will satisfy all costs incurred by the SRT and its proportionateprofit on work completed. SRT will attempt to progress any cancellationpromptly. Items scheduled for production and shipment within three (3) daysof the receipt of Customer’s notice of cancellation or rescheduling may notbe terminated or rescheduled and must be accepted and paid for at theagreed upon prices.6. DeliveryDelivery is based on the prevailing conditions at the time of quotationor orders. Agreements as to delivery are subject to contingencies of fire,accident or cause of delay beyond the control of SRT.7. Quality AssuranceSRTechnology Corporate is ISO 9001:2008 certified company. 8. Warranty This warranty is the extent of the obligation or liability assumed by SRT with respect to its products and no other warranty or guarantee is either expressed or implied. SRT warrants products of its manufacture to be free from defects in material and workmanship under conditions of normal use. Product Changes SRT reserves all rights of manufacture under its patents, copyrights, and trade secrets, including the right to make modifications to existing components and equipment specifications without prior notice. 10. Returned Material All returned items are inspected upon receipt for quantity, physical condition and electrical specifications. All claims for shortage must be made within tenth (10) days of date of shipment from SRT’s facility. Title to goods passes to the customer upon delivery to carrier, and risk of loss or damage shall thereafter rest with the customer. The customer must make claims for damage or loss while material is in transit. Returned products will not be accepted without a Return Material Authorization (RMA) number. assurance department. Freight charges for returned material are theresponsibility of the customer. In addition, an evaluation fee will be chargedto the customer to cover inspection and testing cost for any item returnedby the customer, that is found to be within specifications and/or otherwisedeemed to be within the terms of the original purchase.11. TerminationIn the event either party defaults in the performance of any materialobligation and fails to cure such default within sixty days after receiptof written notice from the other party, then the non-defaulting partymay terminate its performance and cancel this Agreement. Upon suchtermination, the terminating party may terminate any outstanding ordersplaced hereunder and cease all performance. 345

13. Assignment Customer may not assign this Agreement, or any interest or right herein without the prior written consent of SRT. 14. General The Terms and Conditions may not be modified or cancelled without SRT's written agreement.
