In contrast, the chairperson of the Board of enterprises appointed would receive 25% higher than the board members and the board members will be responsible for their own income tax incurred. - Sub-committees, working groups, or any other party appointed by statutory provisions, cabinet resolution, or by a member of State Enterprise Board shall receive remuneration as follows : for State Enterprise members, the meeting allowance shall be paid per the number of sessions attended at the same rate as State Enterprise members. The meeting allowance paid for sub-committee, working group, or any other party shall not be more than two parties and not more than once a month per party. The chairperson shall receive 25% higher than the members. All members would be responsible for income tax on their own. 49

Expressway Authority of Thailand Authorities and Duties of Executive Committee 1. To consider the financial and investment policy of EXAT, study and formulate guidelines on both short and long-term management to any problem that may affect Expressway Authority of Thailand’s financial status and any related responsibilities. 2. To consider and screen the annual expenditure budget of the Expressway Authority of Thailand for proposal to the EXAT’s Board of Directors for approval. 3. To consider and screen any purchase, procurement, and engagement of consultant that was in the Board of Directors’ authority under Government Procurement and Supplies Management Act B.E. 2560 (2017) for proposal to the EXAT’s Board of Directors for approval. 4. To scrutinize a reserve fund for an emergency situation, the value of over 8 million baht following Regulations on Investment Budget of State Enterprises B.E. 2550 (2007), and to consider and screen a reserve fund in the event of any change of price over 10% of the approved budget to propose to the EXAT’s Board of Directors for approval. 5. To consider compensation for the property as prescribed by immovable property expropriation law, which is determined by the Committee for setting introductory price and compensation for immovable property to be expropriated, which amounted to over 100 million baht per person to propose to the EXAT’s Board of Directors for approval. 6. To consider EXAT’s regulations to propose to the EXAT’s Board of Directors for approval. 7. To consider other screen matters to be presented to the EXAT’s Board of Directors. 8. To determine the risk management strategy by the risk management policy, internal control policy, good corporate governance policy, policy on the integration of good corporate governance, risk management, and compliance with laws, rules, regulations, and related standards (Governance Risk and Compliance : GRC.). The committee shall supervise the risk management and internal control systems to be appropriate, sufficient, efficient, and effective. It ensures that the ETA has identified, analyzed, assessed, and managed risks at a proper and acceptable level. It is also linked to the internal control system, which defines and assesses internal control activities covering all organization activities, including continuous monitoring, evaluation, control, and risk management. 3. To review the adequacy and efficiency of the risk management system, internal control system, overall risk management policy, and internal control policy. It shall include the efficiency and effectiveness of implementing the established guidelines and suggestions for improvements to strengthen risk management and internal control capabilities to create value for the Expressway Authority of Thailand. 4. To supervise the risk management handbook and plan undertaking, review plan, monitor, and evaluate the risk management altogether, including the action plan according to the process, and give suggestions to improve risk management plans so that they conform to the defined policy and strategy. 5. To support the strengthening of risk management culture, promote risk management communication throughout the organization, cultivate a positive attitude, create incentives for risk management, raise awareness, and share responsibility for practical and cost-effective risk management. It will make the risk management culture part of all departments’ corporate culture and daily activities and lead to the development of risk intelligence capabilities. 6. Expressway Authority of Thailand Audit Committee Report Internal Audit The Expressway Authority of Thailand (EXAT) established the Internal Audit Office to provide assurance and independent and justifiable counseling service to add value and improve EXAT’s operation for achieving the set goal. As a result, the effectiveness of the internal control process, risk management, and corporate governance shall be systematically evaluated and improved. The Internal Audit Office performs its duties in compliance with the Ministry of Finance’s Regulation on State Enterprise Audit Committee and Internal Audit Unit B.E. 2555 (2012), the Ministry of Finance’s Revised Handbook on State Enterprise Internal Audit B.E. 2555 (2012), and international standards for professional internal audit regulated by the Institute of Internal Auditors (IIA). The audit report shall be proposed to the Governor, Audit Committee, and the EXAT’s Board of Directors. The performance of the Internal Audit Office in the fiscal year 2021 has been thoroughly carried out following the internal audit plan of the fiscal year 2021 with the following activities : 1. To audit EXAT’s 14 operating systems following the audit plan for the fiscal year 2021 and monitor the performance according to audit reports. 2. To verify EXAT’s financial report. 3. To verify corporate governance. 4. To verify EXAT’s risk management. 5. To review Internal Control Assessment following the Ministry of Finance’s Criteria for Internal Audit Standards and Criteria for Government Agencies, 2018. 6. To provide counseling service. Audit Committee Performance Report for the Fiscal Year 2021 In the fiscal year 2021, the EXAT’s Board of Directors issued an order appointing new audit committee members as follows : 1. Director of Internal Audit Office Secretary The Audit Committee performs its duties as assigned by the EXAT’s Board of Directors. It adheres to the Board’s orders, as well as, Orders of the Ministry of Finance’s Regulation on State Enterprise Audit Committee and Internal Audit Unit B.E. 2555 (2012), the Ministry of Finance’s Revised Handbook on State Enterprise Audit Committee B.E. 2555 (2012), the Audit Committee Charter, and the operation manual of the EXAT’s Audit Committee. In the fiscal year 2021, the Audit Committee held 11 meetings, consisting of the Chairman of the Board, and the Audit Committee attended the meeting; a quorum was formed. All participated in the meeting every time to meet with the auditors (Representative from the Office of the Auditor General), EXAT Chief Executive without any other person participating to discuss freely. The Audit Committee held the meeting with EXAT executives regarding information necessary for operations, business risks, internal control of EXAT. The Audit Committee also mutually discussed with the auditor and the internal auditor on issues from the audit of the EXAT’s financial statements for the fiscal year 2020, report on the results of the Expressway Authority of Thailand Audit Committee of the Auditor and scope of audit of the auditor’s financial statements of EXAT for the fiscal year 2022. The meeting was also held with the Internal Audit Office and related agencies to 64

In summary, it is important to perform duties as follows : 1. Verification of financial report : The EXAT quarterly and annual financial statements are verified, emphasizing on important issues and providing constructive comments to ensure accuracy and reliability of financial statements the preparation process, as well as containing adequate and proper disclosure of information concerning the important issues and following the accounting standards following the Generally Accepted Accounting Principles. 2. Verification of good corporate governance : The EXAT’s good corporate governance in operations is reviewed. The verification includes Good Corporate Governance Manual, Code of Conduct Manual, Good Corporate Governance Action Plan, monitoring and reporting on the performance according to the good corporate governance action plan. In addition, the precedence is given to constructive comments on governance in solutions for the complaints to ensure more efficient operations of EXAT. 3. Verification of risk management : The verification includes the risk management process of EXAT by reviewing the risk management manual, risk management plan preparation, risk management communication, risk management plan implementation, and reporting the results of risk management. The precedence is given to constructive comments on governance in solutions for the complaints in order to ensure more efficient operations of EXAT. 4. Verification of internal control : The verification includes an assessment report of the EXAT’s internal control system in compliance with the Ministry of Finance’s Regulation on Internal Control Standards and Regulations for Government Agencies B.E. 2561 (2018). The sufficiency, appropriation, efficiency, and effectiveness of EXAT’s internal control are reviewed from the report of the audit results of the Internal Audit Office, and monitoring the improving and corrective actions as recommended by the Internal Audit Office. 5. Internal audit supervision : The tasks are defined to supervise, recommend and support independent and impartial work performance of the internal audit unit; review and approve the Internal Audit Office Charter, long-term and annual audit plans, strategic plan, and action plan for improving work performance, long-term and yearly personnel development plans, annual fiscal budget, and work performance handbook of the Internal Audit Office; verify audit performance in line with the annual audit plan, and measure the performance of the Internal Audit Office. The Audit Committee gives precedence and supports the internal auditors to improve their professional knowledge and help them receive a professional diploma. 6. Assurance of Audit Committee’s quality : The Audit Committee has reviewed and revised the Audit Committee Charter, the Audit Committee’s Manual, the Audit Committee’s performance assessment, the Audit Committee’s performance evaluation results from consultant hiring, and assess the Audit Committee’s performance. It includes reviewing meeting reports and recommendations of the Audit Committee for acknowledgment of the EXAT’s Board of Directors every month. It also reports the performance of the Audit Committee to the EXAT Board for acknowledgment every quarter. 7. The EXAT Auditor’s remuneration : A state enterprise with the Office of the Auditor-General of Thailand as the Auditor, is 1,500,000 baht. Up to the present, eight expressways falling under EXAT’s responsibility have been opened to the public, covering a total length of 224.6 kilometers. It was able to operate according to the organizational objectives set out as follows : 1. EXAT fully utilized expressways and assets. The expressway area used in the fiscal year 2021 amounted to 566,642.06 square wa. The traffic volume per total capacity of the expressway in operation (V/C) was 0.53. 2. The service is quality, safe, and the public’s trust. EXAT has surveyed the opinions of expressway users and found that expressway users have overall satisfaction with EXAT’s services. The level of satisfaction was 94.05%, and the number of accidents on the expressway per 100 million cars-kilometers was 11.24. Financial Analysis Traffic volume and toll revenue in fiscal year 2021 (October 2020-September 2021) had totaled to 449.45 million trips/year or 1.23 million trips/day, decreased from fiscal year 2020 by 19.81% and total toll revenue (before dividing a joint venture company and Thailand Future Infrastructure Fund) was 18,526.20 million baht/year or 50.76 million baht/day, a decrease of 18.26% from the fiscal year 2020 by the Si Rat Suburb Section and Section “D” had highest total traffic volume of 95.97 million trips/year or 0.26 million trips/day, followed by the Chalerm Maha Nakhon Expressway : total 93.62 million trips/year or 0.26 million trips/day, Si Rat Expressway in urban areas : total 77.73 million trips/year or 0.21 million trips/day, 66

The decrease was from non-current assets as some of the deposits which were more than one year due were used to pay off debts that are due. For liabilities : The EXAT had total liabilities of 174,690.75 million baht, a decrease of 9,418.11 million baht or 5.12% from fiscal year 2020, which decreased due to bond payments, government loan and capital portion of 65,050.93 million baht, an increase of 8,659.81 million baht or 15.36% from fiscal year 2020. The Rama III-Dao Khanong-Western Bangkok Outer Ring Expressway project The Project aims to serve effectively as a route network to accommodate travel between the outer and inner areas of Bangkok with the city’s western area and its perimeter including travel from the southern provinces of Thailand, and to help alleviate traffic congestion between Rama II Road and Chalerm Maha Nakhon Expressway in Suk Sawat-Dao Khanong Section to be more rapid and convenient as well as a route choice for travelling and logistic in crucial situation such as flood disaster in 2011. Moreover, the project is capable to be a substitute route in case Rama IX Bridge is required to be closed for major maintenance which will eliminate problems for connecting to the south. The project is of 18.70 kilometers in length with the starting point of the project linking with the elevated project of National Highway No. 35 (Thon Buri-Paktho) at km 13+000 of Rama II and it is an elevated 6-lane road overlapping along the median of Rama II Road until reaching Dao Khanong Toll Plaza. ANNUAL REPORT 2021 Risk Management Expressway service is regarded as the core business of the Expressway Authority of Thailand (EXAT). Its businesses are carried out under the concept of efficient asset management to strengthen the potential of expressway business and social benefits. EXAT must develop and improve expressways, ensuring their safety and compliance with applicable standards while providing innovative, value-added services. In addition, it gives precedence to developing management systems as well as investing in enhancing organizational values following its vision : “Being determined to improve expressways and offer a good service that is economically worthwhile, convenient, fast and safe in a sustainable way.” Risk management has therefore been adopted, according to COSO-ERM Portfolio Views of Risk Framework, as a tool to support its operation using “Value-based Enterprise Risk Management (VBRM). Such an approach emphasizes performing duties using multiple strategies while regarding risk management to create business opportunities, resulting in the achievement of organizational values​​ and benefits. It has been performed in inconsistency with the rule of the Ministry of Finance on standards and practice of the risk management for the government agencies B.E. 2562 (2019). The said rule has been observed by the state enterprises following the rules or practices on risk management and internal control, and risk management and internal control handbook as prescribed by the State Enterprise Policy Office. Risks are managed to align with the State Enterprise Assessment Model System (SE-AM) that emphasizes the result-based system and annually reviews/improves according to changing circumstances. Based on the previous outcomes of risk management and evaluation of the organization’s quality, it reveals that EXAT has still encountered different risk situations that vary according to changing trends and uncertainty from internal and external factors. Therefore, EXAT must analyze the organization’s risk situations to indicate the organization’s risks. Such risks are managed to ensure the development opportunities and organizational value enhancement, leading to its sustainable growth under the acceptable risk level. It is linked to the vision, strategic objectives, and strategic plans of the organization to achieve systematic integration, classified by risk category in 4 areas : 1) Strategy (Strategic Risk), 2) Operations Risk), 3) Financial Risk, 4) Compliance Risk. The risks must be managed under the Risk Management Plan in the fiscal year 2021 consist of four risk issues and nine risk causes. It can be used to prepare a total of four risk management plans with 14 tasks consisting of risks as follows : 1) Risk : Stakeholder Management 2) Risk : Expressway Security 3) Risk : Changes in Business and Technology 4) Risk : Performance In this regard, the monitoring and evaluation of risk management must be considered under five dimensions : (1) the implementation of complete control activities or risk management measures, (2) the risk management result relative to the target value (RA/RT), the expected value and the trend of success (Trend), (3) the severity of the change in risk (R), (4) if the risk management result does not meet the goals, must consult with relevant agencies to find the causes of problems and obstacles from the operation, (5) determine solutions to achieve the specified goals. It has continuously driven risk management under changing circumstances or facing new risks arising from internal and external changes of EXAT. EXAT’s risk management outcomes are at an acceptable level, representing 90.63%. However, they remained within the specified risk tolerance level. However, it is still within the specified allowable deviation level of not less than 80%; thus, the level of risk management success is considered to be in line with the target. However, EXAT has continued risk management in the fiscal year 2022. 70

ANNUAL REPORT 2021 Internal Control The Expressway Authority of Thailand (EXAT) attaches importance to internal control by establishing an internal control system covering all operating processes according to an adequate and appropriate work division structure. It aims to achieve the objective of operational, reporting, and legal compliance following the Ministry of Finance Criteria for Internal Control Standards and Practices for Government Agencies B.E. 2561 (2018). It has continually developed the internal control system by introducing the overall corporate risk issue (Risk Universe) under the EXAT’s handbook and risk management plan to analyze, manage and set up an internal control system for the fiscal year. It also reviews the internal control system of EXAT during the last six months of the fiscal year to ensure that internal control is always efficient and effective. In the fiscal year 2021, EXAT has established a systematic approach for monitoring and evaluating internal control results. All five components of internal control self-assessment reporting units were categorized by monitoring and evaluation periods into two groups, comprising regular events and extraordinary events (Business Continuity Plan (BCP)). It will provide reports through the information system of the internal control system as follows : Regular Events Classified by follow-up and evaluation period into two groups : 1) The continually improving internal control group is a process in which the risk severity is very low, requiring quarterly follow-up assessment (every three months). 2) The Surveillance and Warning Internal Control Group is a process that has a low to moderate level of risk intensity but still requires monitoring and monthly evaluation (every month). Extraordinary Events Follow up on the crisis preparedness process through the internal control system’s information system and have a monthly follow-up assessment (every month). In addition, in the fiscal year 2021, EXAT’s Business Continuity Plan (BCP) has been reviewed/improved to align with the current situation and effectively cover important work systems. All business continuity management plans are rehearsed to resolve any crises that may arise and affect EXAT’s operations. EXAT will also communicate to employees to gain knowledge and understanding of EXAT’s business continuity management plan. Moreover, EXAT has promoted a new learning system during the coronavirus spread situation (COVID-19). It has changed the new learning system by providing learning materials in e-learning to make it more convenient to access and easy to remember. The results of the internal control assessment of EXAT for the fiscal year 2021 cover all five components : environment, control, risk assessment, control activities, information and communication, and monitoring activities. It will be under the total internal control success indicators of 439, consisting of the continually improving internal control group of 412 indicators, and the surveillance and warning internal control group, 27 indicators. The total success of internal control accounted for 99.85%. However, it is still within the acceptable risk level as specified, which is not less than 90 percent. It is considered that the level of internal control success is in line with the target. However, EXAT has continuously monitored internal control in the fiscal year 2022. 71

Expressway Authority of Thailand Research and Development Result of Expressway Service Multi-Lane Free Flow (M-Flow) System Development The EXAT has executed the operation in accordance with the order policy authorized by the Minister of the Transport Ministry to the Department of Highways and EXAT to solve congestion problems at toll plaza between city and expressways to enable all vehicles to pass through the toll plaza rapidly without any halt. The development of automatic toll collection in the Multi-Lane Free Flow (M-Flow) has taken place in order to decrease the congestion in front of all toll plaza and enables the service capability with technology of expressway toll collecting system together with the preparation of Automatic License Plate Recognition : ALPR. These are in line of solving traffic congestion problems and increasing the service capability of the EXAT especially in front of the toll plaza which enable all users to pass through with no halts or slow down the vehicles and continue the driving speed safely whereas the development has elevated the service and accounted to satisfaction to the users. Automatic License Plate Recognition : ALPR The EXAT has determined to develop the Easy Pass system to Non-Stop Lane (NSL) or Multi-Lane Free Flow system which is one of the essential factors towards the development in order to manage the break-through vehicles. Therefore, the design of the system to manage the break-through vehicles in the Easy Pass lanes for the cases of no OBU or insufficient amount of money for toll, including the mal-functioned performance of the system for instance : incompletion of communication between the Reader and the OBU resulting in the unreadable OBU which leads to the retro-collection of the toll. In retro-collection of the toll, an automatic license plate recognition is required in order to assist in tracing and issuing the toll charge which is payable later by the users. Whereas the EXAT has to develop the former automatic toll collection to the NSL or MLFF, the automatic license plate recognition assisting in retro-charge to the users is required, therefore, the EXAT has developed the Automatic License Plated Recognition on Chalong Rat Expressway to enable the optimum interest for the operation. Automatic Lane Control System on Chalong Rat Expressway The EXAT has analysed processes to relieve the congestion on Chalong Rat Expressway in the area of km12+500 to km14+150 (Kaset-Nawamin Exit) causing by on ground traffic accumulations. In order to execute the sustainable & effective operation and law enforcement, the process to install 72

On May 14, 2021, Mr. Wichan Ekarintrakul, consultant to the Governor (Operation) presided over the activity “Together EXAT FIGHTS for COVID” at At Narong toll plaza, Khlong Toei district, Bangkok with the donation of consumer goods value of 100,000 baht to the Khlong Toei 4 communities comprising of Nong Mai Community, Log 1-2-4 Community, Log 4-5-6 Community and Rom Klao Community. 2. “2nd, TOGETHER EXAT FIGHTS for COVID” Activity. On September 10, 2021, Mrs. Sujinda Jarujit, Director of the EXAT’s Governor Office presided over the activity “2nd, Together EXAT Fights for COVID” with the donation of consumer goods and COVID protective equipment value of 100,000 baht to the Koh Klang Community which is a community surrounding Chalong Rat Expressway. The activity accounted for friendly operation and uplift the quality of life for the community and society. 3. EXAT supported the COVID-19 vaccination with food box, delicacies and drinking water to the medical personnel and operational staff at the Bang Sue Grand Station Injection Center during July- September 2021. 77

Expressway Authority of Thailand Business Conditions, Plans and Strategies Expressway Authority of Thailand (EXAT), Ministry of Transport, performs its operations according to policy indicating its main mission to serve and increase the efficiency of quality expressways on capacity of solving traffic problem around Bangkok Metropolis and Vicinity on foundation of solid business management as well as responsibilities towards society and environment. Up to present, 8 expressways existing under EXAT has been opened to the public covering total length of 224.6 kilometers comprising of Chalerm Maha Nakhon Expressway, Si Rat Expressway, Chalong Rat Expressway (Ram Inthra-At Narong and the Ram Inthra-Outer Bangkok Ring Road) Burapha Withi Expressway, Udon Ratthaya Expressway, Bang Na-At Narong Expressway, Kanchanaphisek Expressway (Bang Phli-Suksawat) and Si Rat-Outer Bangkok Ring Road Expressway. In this regards, the EXAT’s plan and strategies are implementing for the operations to develop its network system to be able to completely connect with each other as follows : Expressway Under Construction Projects RAMA III-Dao Khanong-Western Outer Bangkok Ring Road Project The projects aim to facilitate the expansion of the expressway’s network to handle traffic between inner and outer areas of the Metropolis, traffic flows on Rama II road as well as Chalerm Maha Nakhon Expressway, at the same time, as a substitution in case Rama IX Bridge requires major maintenance since it has long been in service for more than 30 years. The starting point of the project is to converge with the split-level road project on Highway No. 35 of the Department of Highway at km 13+000 of Rama II Road near Bang Khun Thien Interchange composing of 6 traffic lanes (3 lanes for each direction), overlapping along the median of Rama II’s traffic island to reach Dao Khanong Toll Plaza from north-eastern direction, then overlapping the Chalerm Maha Nakhon Expressway to reach Rama III Road closes to Bang Khlo Interchange of which the ending point linking with Chalerm Maha Nakhon Expressway and Si Rat Expressway. New 8 lanes bridge crossing the Chao Phraya River will be newly constructed and aligned to the south of Rama IX Bridge with 7 on-off ramps as well as one interchange with total length of 18.7 kilometers. Investment Value : Initial investment value amount of 31,244 million baht comprising of : - Land ownership arrangement 807 million baht - Construction (include work supervision) arrangement 30,437 million baht Project Implementation Plan - Construction period : January 2020-September 2024 - Open for service : October 2024 Future Expressway Projects 1. The Third Stage, Phase One (Section N2 Prasert Manukit-Eastern Bangkok Outer Ring Road) The project aims to solve traffic problems on Prasert Manukit and Pradit Manutham roads at the intersection of Chalong Rat Overpass, lighten the traffic condensation around the Prasert Manukit traffic light area and also converge the complete East-West Corridor of the Expressway’s network. ANNUAL REPORT 2021 starts from Km 1+000 of Prasert Manukit Road is an overpass of 4-traffic lane size (2 lanes for each direction), overlapping along the alignment of traffic median of Prasert Manukit Road across the Bang Bua canal, passing through the intersections of Wang Hin, Senanikom and Sukontasawat, linking Chalong Rat Expressway at the intersection of Prasert Manukit and Pradit Manutham Roads, passing through the intersection of Nawamin road and Prasert Manukit road until the end of the project converges to the Eastern Outer Ring Road at the length of 11.3 kilometers. The line way of the Section N2 project is overlapping with the brown line of Metropolitan Rapid Train on Kairai-Lum Salee (Bueng Kum) area. Investment Value : Initial investment value amount of 16,960 Million Baht comprising of : - Land ownership arrangement -  Million Baht - Construction (include work supervision) arrangement 16,960 Million Baht Project Implementation Plan - Construction period : February 2022-January 2025 - Open for service : February 2025 2. Kathu-Patong Expressway Project, Phuket Province The project aims to connect travelling road for tourists and local people from Kathu District to Patong beach and to alleviate traffic problems and accidents on the National Highway No. 4029 as well as being an evacuate route in case of natural disasters. The construction project of split-level road is engaging with a tunnel in mid of the line, starting from Phra Metta Road (Principle City Plan Road Route A) in Patom Sub-District, Kathu District. The project of 4-lane road (2 lanes for vehicles in each direction and 2 lanes for motorcycles in each direction) is elevating to cross Phisitkorani Road until reaching Khao Nak Koet covering total length of 0.9 kilometers, penetrating into Khao Nak Koet with 1.85 kilometers in length, then after the mountainous area the road is split into level with the length of 1.23 kilometers prior to terminating at Kathu Sub-District, Kathu District, crossing at the intersection point of the National Highway No. 4029 with the total length of 3.98 kilometers. The Third Stage Phase 2 (Section N1 Substitution Bang Sue-Prasert Manukit Road) The project aims to solve traffic problems on Bangkok Metropolis area main eastern-western roads network consisting of Ngarm Wong Wan Road, Prasert Manukit Road and surrounding roads network with traffic condensation due to great number of vehicles overloaded the capacity of the roads. The expressway network development is required in order to efficiently cover the linkage traffic on East-West Corridor as well as support sufficiently and effectively for the economic and city expansion in the future. The project starting point links with Si Rat Expressway-Bangkok Outer Ring Road at the Bang Sue Central Station area, is a 4-traffic lane heading north and turning right to the alignment of Ngarm Wong Wan Road, Kasetsart University and linking with N2 Expressway with the total length of 7.1 kilometers. 79

Chalong Rat-Nakhon Nayok-Saraburi Expressway Project (Chatu Chot-3rd Bangkok Outer Ring Road) The project aims to mitigate traffic problems of current roads and Highway networks, facilitate convenient travel and good logistics between Bangkok and upper central region and north-eastern region. In addition, it also supports the development in Patum Thani, Nakhon Nayok and Saraburi provinces with the starting point links to Chalong Rat Expressway at Chatu Chot toll plaza on eastern Bangkok Outer Ring Road. The project consists of 6-traffic lane, aligns eastward cutting through Hatairaj Road, then turns north-eastern upward to link with the 3rd Bangkok Outer Ring Road at Lam Luk Ka Road, Rangsit-Nakhon Nayok Road with the total length of 17 kilometers. Investment Value : Initial investment value amount of 21,919 million baht comprising of : - Land ownership arrangement 1,060 million baht - Construction (include work supervision) arrangement 20,859 million baht Project Implementation Plan - Construction period : January 2024-December 2026 - Open for service : January 2027 5. Expressway Link Connecting Burapha Withi Expressway and Chon Buri Bypass Project The project aims to solve traffic congestion problems on surrounding network roads and develop transportation infrastructure in order to support the Eastern Economy Corridor (EEC) Project in terms of sustainable traffic solution. The starting point is connecting from the termination point of current Burapha Withi Expressway Km 53+538. The split-level expressway consists of 6-traffic lane (3 lanes in each direction) aligning along the median of Theparat Road and turns left to Chon Buri bypass road with 2 on-off ramps connect to the Nong Mai Daeng split level intersection where the terminated point located at Km 57+893 with the total length of 4.4 kilometers. Expressway Link Connecting Bangkok Port and Bang Na-At Narong Expressway (S1) Project The project aims to increase the efficient service of the Bangkok Port and solve traffic problems on surrounding seaport’s roads in order to facilitate convenient and direct connection route to freight trucks from Port Distribution Center which will enhance the performance of the Bangkok Port to support 80

The project’s starting point is connected with the area of Terminal and Distribution Center of the Bangkok Port with 4-traffic lane (2-lane for each direction), going along the median of road inside Bangkok Port and connects to Bang Na-At Narong Expressway (S1) at the split level intersection which enables to connect to Eastern Burapha Withi Expressway and Northern Chalong Rat Expressway at total length of 2.25 kilometers. Expressway Muang Mai-Koh Kaew-Kathu, Phuket Province Project This project aims to mitigate traffic congestion problems on National Highway No. 402 which is the only main road linking the Phuket International Airport and the northern part of Phuket to Phuket Town and various tourists’ sites. It will also increase transport potentiality and solve traffic problems in Phuket city as well as enhance convenience and safety to travellers. The starting point is from Thepkrasattri District at the intersection TorLor. 4026 and straight southward paralleling with TorLor. 402 until it reaches the intersection with TorLor. 4024 (City Bypass) located at Koh Kaew District with the connecting route links from Muang Mai-Koh Kaew located at Sri Soonthon Sub-district towards south paralleling with TorLor. 4024 and ends at the Kathu Sub-district located at the intersection with TorLor. 4029 linking with the Kathu-Pa Tong Expressway, Phuket province with the total length of 30 kilometers. Investment Value : Initial investment value amount of 30,456 million baht comprising of : - Land ownership arrangement 17,054 million baht - Construction (include work supervision) arrangement 13,402 million baht Project Implementation Plan - Construction period : December 2024-November 2027 - Open for service : December 2027 Electronic Toll Collection System : ETCS Expressway Authority of Thailand (EXAT) has launched the electronic toll collection system whereas Easy Pass can be used by the service users on Chalerm Maha Nakhon Expressway, Chalong Rat Expressway, Kanchanaphisek Expressway (Bang Phli-Suksawat), Si Rat Expressway, Burapha Withi Expressway, Udon Ratthaya Expressway and Si Rat Expressway-Outer Bangkok Ring Road, including, split level expressway on southern part of Suvarnabhumi Airport linking with Burapha Withi Expressway and the expressway links between Kanchanaphisek Expressway (Bang Phli-Suksawat) and Burapha Withi Expressway. A joint electronic toll collection system service which links the M-Pass and the Easy Pass enables the Easy Pass users to use their cards on Motorway No. 9 (Bang Pa In-Bang Na) and Motorway No. 7 (Bangkok-Chon Buri). At present there are 2.17 million Easy Pass users (as of September 30, 2021). 81

After the registration, the device will be home delivered within 2-5 working days. From August 1,2021 onwards, the electronic tax invoice sent by E-mail monthly also available for service users’ convenience which will reduce paper-waste, environmental care and physical contact. EXAT Right-of-Way Area Development The EXAT has concerted and developed areas for public usage within the right-of-way in fiscal year 2021 of total 566,642.06 square wah as follows : 1) Arranging small gardens and public parks 280,695.07 sq. wah 2) Building sports field 32,735.88 sq. wah 3) Constructing short route/bicycle lanes 63,180.19 sq. wah 4) Other public benefits 86,500.05 sq. wah 5) Area for rent 103,530.87 sq. wah As a result, EXAT has permitted government agencies such as Bangkok Metropolitan Administration (BMA) and other government agencies to use right-of-way area for social and public benefit such as carrying out public parks and small gardens, building sport fields, constructing shorter route/bicycle lanes and utilizing the areas for other public benefits such as overpass pedestrian bridges, pumping station, waste water treatment pond, water clarifier pond, improving/expanding traffic surface, providing walkways, installing electric lights for 353 locations with the total are of 352,507.32 square wah, details as follows : - BMA of 161 locations, total area of 216,667.77 square wah - Other government agencies of 192 locations, total area of 135,839.55 square wah However, there are areas to be developed for social and public still available to accommodate tree plantation, small parks and utilize the area for additional access road in expressway area at total of 110,603.87 square wah. In the fiscal year of 2021, EXAT has executed the area development for public along the expressway’s lines as follows : 1) Si Rat Expressway - Bangkok Metropolitan Administration and other government agencies were permitted to utilize the area for public and social benefits, for instance, Nonthaburi Municipality utilized the area for water pumping machine control building, polls installed for transformer wires and boat piers building with approximate total area of 20 sq. wah. Ramathibodi Hospital utilized the area for car parking space with total area of 571 sq. wah. Phayathai Waterworks Office utilized the area for water plumbing of 98 sq. wah. Tung Mahamek Waterworks Office utilized the area for landscape renovation and water pipe ways of 18 sq. wah. - EXAT planted trees and other public benefits 2) Udon Ratthaya Expressway - Government agencies were permitted to beneficially utilize the area, for instance, Pak Kret Municipality utilized the area for green house, exercise yard and fire trucks parking space with total areas of 6,890.25 sq. wah. - EXAT planted trees and other public benefits 83

Expressway Authority of Thailand 3) Kanchanaphisek Expressway - Other government agencies were permitted to beneficially utilize the area, for instance, Bang Kaew City Municipality utilized the area ranging from Nham Daeng-Bang Phli Road to Bang Na-Trad Road for road construction and water drainage way with total area of 2,414.20 sq. wah. - EXAT planted trees and other public benefits EXAT Call Center Service EXAT Call Center 1543 provides information service to users for 24-hour concerning EXAT’s information, traffic route and condition on expressways, administrative assistances of emergency/ accidents on the Expressways or any requirement of assistance through cooperation so as to be promptly accommodated and to help expressway users and general public. In cooperation with the Ministry of Transport and relevant agencies, it obtains complaints as well as recommendations and follows up response to any complaints to be conclusive as soon as possible. In the fiscal year of 2021, the average daily number of the service users is 666. EXAT Website Service (www.exat.co.th) EXAT has managed to publicize information and overall achievement through www.exat.co.th. The website system has been improved and developed to support various additional applications such as operating systems on smartphone and other mobile communication devices. EXAT’s website is presented in an up-to-date, easy-to-use and speedy style, making dissemination of information efficiently reach expressway service users as well as general public. In addition, complaints system has been also available in the EXAT’s website page to facilitate the service users and general public for information inquiry, complaints, recommendation and suggestion of service. The satisfaction survey result of the service users towards EXAT’s service and image for the fiscal year 2021 indicated that the satisfaction level to the overall service of www.exat.co.th was 88.24%. Furthermore, EXAT has publicized and disseminated its information through Facebook (www.face.com/Expressway.Thailand) with 25,663 Like Members and 26,542 Followers as well as the Official Twitter (www.twitter.com/ExatWebmaster) with 6,626 Followers. EXAT Intranet, EXAT Sound, EXAT Digital Signage and Multi-Touch System (I-Touch) EXAT publicizes internal information through EXAT’s intranet, sound, digital signage and multi-touch (I-Touch) system in forms of news information, press release, slides, video, graphic displays, texts and notifications useful for work performance. All of these channels help improve learning and skill of personnel, create positive work environment and serve as means of two-way communication which is beneficial to personnel and organizational development as a whole. 84

The Center also serves as an observation site for governmental and state enterprise sectors to ensure that all governmental public information centers are established in line with the EXAT’s original center. EXAT’s Public Information Center located at 1st floor of the Administrative Building, Head Office, address 111 Rim Klong Bang Kapi Road, Bang Kapi Sub-district, Huay Kwang District, Bangkok 10310, Tel 0 2558 9518, 0 2558 9800 ext. 10722, Fax 0 2558 9681. The Center is opened on office hours from 08.30-16.30 hrs. One Stop Service Center EXAT has launched One Stop Service Center located at 1st floor of the Administration Building in Head Office in order to provide service consisting of Easy Pass top-up service, tax invoice of purchase and procurement document issuance service, rental pavement payment for the right-of-way area service, land acquisition checking service and general expressway information service. Social and Public Beneficial Special Activities 1. “Expressway on Your Side to Fight the Cold” Project EXAT was in corporation with the Disaster Prevention and Mitigation Office of Nakhon Nayok province with a total donation of 5,000 blankets for the cold weather victims in Nakhon Nayok Province on December 24, 2020 at Baan Na District Office in Nakhon Nayok province. 2. Sharing Smiles with Kids Surrounding Expressway Activity EXAT organized an activity called “Sharing Smiles with Kids Surrounding Expressway” on the occasion of Children’s Day 2021. A donation for educational scholarships as well as supporting for book buying, computer with equipment, Smart televisions and steam ventilations were provided to Watthasanaroonsoontarikaram ( Wat Tapaan) on March 5, 2021. 3. Expressway for Youths EXAT organized an activity “Expressway for Youths” with the providing of educational scholarships to youth in the communities and schools surrounding the expressways. The giving of total 84 scholarships 10,000 baht/each for youths in communities and schools had taken place during June 28-July 16, 2021. 85

Monitoring work performance pursuant to the Official Information Act B.E. 2540 (1997) 1.1 Issue an EXAT’s order No. 67/2018 on departmentalization and determination of duty and responsibility of each working part of EXAT dated April 9, 2018. The Corporate Governance Division (CGD) under the Office of the Governor (OG) is assigned to operate EXAT Public Information Center. Promotion and development of knowledge and understanding on principles, essence, benefits and guidelines on the exercising of rights under the Official Information Act B.E. 2540 (1997) 3.1 Attended seminar program on topic “Disclosure of Official Information according to Official Information Act B.E. 2540 (1997) on the Fiscal Year 2021” in online conference through electronic system Zoom Cloud Meeting on July 30, 2021 which was organized by the Ministry of Transport. 3.2 External agencies paid educational visits at the EXAT’s Information Center during year 2020-2021 were as follows : - November 18, 2020 : Habor Department 3.3 Organized on-the-job-training (OJT) course inside EXAT on “Knowledge of the Rule on Official Secrets Protection B.E. 2544 (2001) and the additional revision of “Guidelines to Handle Confidential Information” to the confidential information registrar, registrar assistant and assigned personnel total of 135 on December 25, 2020. 3.4 Dispatched EXAT’s officers from its Information Center to join in 2021 annual program of Official Information Act B.E. 2540 (1997) through E-Learning organized by the Office of the Civil Service Commission (OSCS) total of 140 which was scheduled on May 2021. 3.5 Organized training course related to Official Information Act B.E. 2540 (1997) through E-Learning orientation program for new employees for fiscal year 2021 with online system of Application Zoom at Meeting Room 1501, 15th floor Administration Building of EXAT on July 21, 2021. 4. Information Services as Requested by General Public and Responses to Consultation In fiscal year 2021, there were requests from 40 people for information review at EXAT Public Information Center (information as of September 30, 2021) which was the information according to Article 7, 9 and 11 of the Official Information Act B.E. 2540 (1997). EXAT has improved the information retrieval system and document files, arranged handbooks and pamphlets introducing EXAT Public Information Center as well as public relations bulletin board, and provided the place for information services, Additionally, service user opinion was gauged through customer satisfaction survey questionnaires for further consideration on information disclosure. 88

ANNUAL REPORT 2021 Report of the Board of Directors’ Responsibility for the Financial Report The Exat’s Board of Directors has attached great importance to, and has been responsible for, financial reports. It has provided oversight to ensure that the EXAT’s financial statements are prepared in accordance with the Thai Financial Reporting Standards, appropriate accounting policies are used and adhered to on a regular basis, material data are adequately and appropriately disclosed, and the financial statements are audited and certified by the Office of the Auditor General of Thailand (OAG). The Exat has appointed the Audit Committee, which was composed of independent directors, to ensure the audit and verification of financial reports, the risk management system, the internal control system, and internal audit are efficient and comply with relevant rules, regulations, and requirements. The Exat’s Board of Directors has been of the opinion that the EXAT’s financial reports for the year ending on 30 September 2021 are reliable based on the Thai Financial Reporting Standards and correct in substantive matters based on generally accepted accounting priniples. Expressway Authority of Thailand Auditor’s Report To the Board of Expressway Authority of Thailand Opinion The State Audit Office has examined the financial statements of the Expressway Authority of Thailand. It consists of a Statement of financial position as of September 30, 2021, a Statement of Comprehensive Income, a Statement of Changes in Equity, a Statement of Cash Flows for the Year Ended, and Notes to the financial statements, including notes summarizing important accounting policies. The State Audit Office is of the opinion that the above financial statements reflect the financial status of the Expressway Authority of Thailand as of September 30, 2021; operating results and the cash flows for the Year ended on the same date were, in essence, fair in accordance with Thai Financial Reporting Standards. Criteria for the audit opinion The State Audit Office conducted audits following the State Audit and Auditing Standards. The responsibilities of the State Audit Office are described in the Auditor’s Responsibilities section for the Audit of the Financial Statements in the reports of the State Audit Office. The State Audit Office is independent of the business under the standard rules relating to the State Audit set forth by the State Audit Commission and the Professional code of conduct requirements set by the Federation of Accounting Professions. Concerning the audit of the financial statements and the Office of the State Audit Office, it has complied with other ethical responsibilities under the Auditor-General’s standard rules and regulations and these codes of conduct. The State Audit Office believes that audit evidence obtained by the State Audit Office is sufficient and appropriate to be used as a criterion for expressing opinions of the State Audit Office . Highlighted information and events The State Audit Office takes note of Note 4 and Note 5.24.5 to the financial statements as explained in Note 5.24.5 to the financial statements. On February 20, 2020, the Expressway Authority of Thailand signed the revised contracts with the parties. It comprises two projects; the Second Stage Expressway Project Agreement (Revised) and the Bang Pa-In-Pak Kret Expressway Project Agreement (Revised), which have been extended to the parties after the last date of the contract. Originally, each issue was issued until October 31, 2035. These contracts have conditions for the parties to cancel and revoke all disputes under the original contract. Both the Supreme Administrative Court part has already ruled and the part that is still a dispute or lawsuit that has not yet been settled. This includes litigation and other disputes that have already arisen or may arise in the future on the same or related issues under the original contract. The agreement, termination, cancellation of all disputes, and the extension of the term of the said contract have the content of acknowledging the debt condition and repaying the debt by extending the period for the parties to receive their revenue share. ANNUAL REPORT 2021 Expressway Authority of Thailand must record the recognition of liabilities from litigation and disputes that the Expressway Authority of Thailand has negotiated to settle litigation and disputes. Also, it must record litigation costs and disputes from those previously recognized when the Supreme Administrative Court ruled that the Expressway Authority of Thailand paid compensation for the reduced revenue from the construction of competing routes. In addition, it must record the recognition of the right to the counterparty to receive a share of toll revenue under the revised contract to settle the debt as a pending transaction and gradually recognized as revenue over the term of the contract. However, in preparing and presenting financial statements for the year ended September 30, 2020, the Expressway Authority of Thailand has not recognized such accounting transactions as described in Note 4 to the financial statements. The Expressway Authority of Thailand corrected the error mentioned above by retrospectively restating the financial statements for the year ended September 30, 2020, to recognize an increase in liabilities of 71,989.88 million baht, recognized an increase in expenses of 73,993.42 million baht (shown in the list of administrative expenses) and recognized revenue from the contract period extension as pending income of 71,989.88 million baht. Therefore, the Expressway Authority of Thailand has presented the revised financial statements for the year ended September 30, 2020, as comparative information in presenting the financial statements for the year ended September 30, 2021. The State Audit Office does not express a conditional opinion on this matter. Other information Management is responsible for other information. The other information comprises the information included in the annual report but does not include the financial statements and auditor’s report contained in that annual report. The management will prepare an annual report to the State Audit Office after the date of this auditor’s report. The State Audit Office’s opinions on the financial statements do not cover the other information. The State Audit Office does not provide any assurances about the other information. The responsibility of the State Audit Office in connection with the audit of the financial statements is to read and determine whether other information has a material conflict with the financial statements or with the knowledge gained from the audit of the Office of the Auditor-General or it appears that other information contains material misstatements or not. When the State Audit Office has read the annual report, it must communicate such a matter with those responsible for supervision if it concludes that there is a material misstatement of the information. Responsibilities of executive and supervisor of the financial statements Management is responsible for preparing and presenting these financial statements according to standards. Management considers financial reporting and responsibility for internal control necessary to prepare financial statements free from material misstatement, whether due to fraud or error. In preparing the financial statements, management is responsible for evaluating the entity’s ability to continue as a going concern, disclosing matters related to the going concern, and applying the going concern accounting criteria. Unless the management intends to liquidate the business or stop the operation or is unable to continue as a going concern. The supervisor of the financial statements is responsible for overseeing the entity’s financial reporting process. Auditor’s responsibilities for the audit of financial statements Auditing of financial statements of the State Audit Office is to obtain reasonable assurance that the financial statements are free from material misstatement, whether due to fraud or error, and present an auditor’s report, which includes the opinion of the State Audit Office with reasonable assurance. Expressway Authority of Thailand It is a high level of assurance but is not a guarantee that an audit under International Auditing Standards and Auditing Standards will detect a material misstatement of the fact that always exists. Misstatements may result from fraud or error. It is considered material if it is reasonable to foresee that each or all of the misstatements in the aggregate will influence the economic decisions of the parties from the use of these financial statements. An audit performed by the State Audit Office follows standard rules relating to the State Audit and Auditing Standards. It also exercises professional discretion, observation, and suspicion. The auditing operations of the Office of the Auditor-General also include : • Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error. Design and perform audit procedures responsive to those risks and obtain audit evidence that is sufficient and appropriate to provide a basis for the Office of the Auditor-General’s opinion. The risk of not detecting a material misstatement resulting from fraud is higher than the risk of error because fraud may involve collusion, falsification of documentary evidence, intentional omissions, misrepresentation, or interference with internal controls. • Understand internal control relevant to the audit to design audit procedures that are appropriate in the circumstances but not to express an opinion on the effectiveness of the entity’s internal control. • Evaluate the appropriateness of accounting policies used by management and the reasonableness of accounting estimates and related disclosures made by management. • Conclude on the appropriateness of management’s use of the going concern basis of accounting and based on the audit evidence obtained. Conclude whether there are material uncertainties relating to events or circumstances that may cast significant doubt on the entity’s ability to continue as a going concern. Suppose the State Audit Office has concluded that the uncertainty is material. In that case, the State Audit Office shall address it in the auditor’s report of the Office of the Auditor-General. The State Audit Office shall note the disclosure of information in the related financial statements. If such disclosure is insufficient, the opinion of the State Audit Office will change. The State Audit Office’s conclusions are based on the audit evidence obtained up to the date of the auditor’s report. However, future events or circumstances may cause the entity to cease continuing as a going concern. • Evaluate the financial statements’ overall presentation, structure, and content and include disclosures on the financial statements, transactions, and events to enable fair presentation. The State Audit Office communicates with those charged with supervision on important matters, including the planned scope and timing of the audit and significant audit findings. It also includes substantial deficiencies in the internal control system if the State Audit Office is found during the audit of the Office of the Auditor-General.
