6. To review and ensure that EXAT has a reliable internal audit system and examine the independence Annual Report 2020 Expressway Authority of Thailand of the internal audit office. 7. To review the audit report, the performance report of the internal audit office, the organizational structure of the internal audit office, the resources used for the audit and approve the charter of the internal audit office, annual audit plan, internal audit work manual, internal audit budget, and personnel development plan. 8. To coordinate with the EXAT’s Board of Directors, management, auditors, internal auditors, and external advisors as necessary and appropriate. 9. To consider any transactions that may contain conflict of interests or lead to fraud or any other connected transactions that may affect EXAT’s performance. 10. To coordinate the audit results with the auditor and may recommend reviewing or auditing any items as deemed necessary. 11. To assess the Audit Committee’s performance on internal audit at least once a year and report appraisal results, problems, obstacles and plans for improving the performance to EXAT’s Board of Directors. 12. To approve the appointment, transfer, removal, promotion, and performance evaluation of the Director of the internal audit office by following the regulations of EXAT on the principles of the selection of employees to hold the position of EXAT’s Executive, 2016 and propose to the EXAT’s Board for approval, with the EXAT’s Governor proposing opinions for consideration as well. 13. Authority and Duty of the Risk Management Committee Annual Report 2020 Expressway Authority of Thailand 1. To analyze and assess situations where risks are expected to cover the corporate and functional groups, which may affect the operation of Expressway Authority of Thailand in all aspects and determine the direction of the organization’s operations (Risk Universe) as well as the overall risk management policy to serve as a guideline for management and employees to help build organizational value-based on Intelligent Risk management so as not to lose business opportunities. 2. To establish risk management strategies according to the risk management policy, internal control policy, good corporate governance policy, and integrating good corporate governance policy. It shall also comply with relevant laws, rules, regulations, and standards (Governance Risk and Compliance (GRC) and supervising the risk management and internal control systems to be appropriate, sufficient, efficient, and effective. It ensures that Expressway Authority of Thailand has identified, analyzed, assessed, and managed risks at an appropriate and acceptable level. It must be linked to the internal control system in which the internal control activities are defined and assessed for all organization activities, including effective monitoring, evaluation, control, and risk management continuously. 3. To review the sufficiency, efficiency of the risk management system, the internal control system, the overall risk management policy, and the internal control policy. This includes the efficiency and effectiveness of implementing the prescribed policies and providing recommendations for improvement to strengthen the competency of risk management and internal control to create value for Expressway Authority of Thailand. 4. To supervise the process of preparing risk management manuals and plans, reviewing plans, monitoring and evaluating risk management results, internal controls, and operational plans, as well as providing suggestions for improvements to make the risk management plan consistent with the established policies and strategies. 5. To support the strengthening of a risk management culture, promote communication about risk management throughout the organization, establish a positive attitude, create incentives for risk management, raise awareness and co-responsibility by having effective and cost-effective risk management. Audit Committee Report Annual Report 2020 Expressway Authority of Thailand Internal Audit Expressway Authority of Thailand (EXAT) has established the Internal Audit Office in order to perform duties in providing assurance as well as independent and justifiable counselling service to add value and improve the performance of EXAT’s operation for achieving its setting goal. The effectiveness of internal control process, risk management and corporate governance shall be systematically evaluated and improved. The Internal Audit Office performs its duties in compliance with the Ministry of Finance’s Regulation on State Enterprise Audit Committee and Internal Audit Unit B.E. 2555 (2012), the Ministry of Finance’s Revised Handbook on State Enterprise Internal Audit B.E. 2555 (2012) and international standards for professional internal audit regulated by the Institute of International Auditors (IIA). The audit report shall be proposed to the Governor, Audit Committee and EXAT’s Board of Directors. In the fiscal year 2020, the Internal Audit Office completed its work in accordance with the audit plan for the fiscal year 2020 and guideline as stipulated in the Ministry of Finance’s Handbook on State Enterprise Internal Audit as follows : 1. In the fiscal year 2020, the Audit Committee held a total of 9 meetings as per the quorum from the attendance of its members in every meeting. The meetings were held with the auditors (representatives from the State Audit Office of the Kingdom of Thailand) in the absence of other parties for independent discussion. The Audit Committee also mutually discussed with the auditors and the internal auditor on the auditors’ audit issues of EXAT’s financial statements for the fiscal year 2019, and the audit scope of the EXAT’s financial 71
statements for the fiscal year 2020. Including the follow-up and reporting of the results of the performance according to the new criteria for assessment of the results of the work. (State Enterprise Assessment Model : SE-AM). In accordance with internal control of good corporate governance, risk management and quality assurance of the audit committee members, the essence of the duty performance can be summarized as follows : 1. Verification of financial report : The EXAT’s quarterly and annual financial statements are verified, emphasizing on important issues and providing constructive comments to ensure accuracy and reliability of financial statement preparation process, as well as containing adequate and proper disclosure of information and following the accounting standards in accordance with the Generally Accepted Accounting Principles. 2. Verification of good corporate governance : The EXAT’s good corporate governance in operations is reviewed. The verification includes the EXAT’s reporting of complaints on EXAT’s operations focusing on the issues and constructive comments on governance in solutions for the complaints in order to ensure more efficient operations of EXAT. 3. Verification of risk management : EXAT’s risk management is reviewed. The verification includes the risk management planning in accordance with the EXAT’s business continuity management planning. 4. Verification of internal control : The sufficiency, appropriation, efficiency, and effectiveness of EXAT’s internal control are reviewed. The verification includes an assessment report of the EXAT’s internal control system in compliance with the Ministry of Finance’s Regulation on Internal Control Standards and Regulations for Government Agencies B.E. 2561 (2018), from the report of the audit results of the Internal Audit Office, and monitoring the improving and corrective actions as recommended by the Internal Audit Office. 5. Internal Audit Supervision : The tasks are defined to supervise, recommend and support independent and impartial work performance of the internal audit unit; review and approve the Internal Audit Office Charter, long-term and annual audit plans, strategic plan and action plan for improving work performance, long-term and annual personnel development plans, annual fiscal budget, and work performance handbook of the Internal Audit Office ; verify audit performance in line with the annual audit plan, and measure of the Internal Audit Office. The Audit Committee gives precedence and supports the internal auditors to improve their professional knowledge and assist them to receive professional diploma. 6. Assurance of Audit Committee’s quality : Review and improve the Audit Committee Charter ; assess performance of the Audit Committee, provide performance process handbook of the Audit Committee, suggest and monitor compliance result in accordance with suggestions ; as well as report the meeting results and comments from the Audit Committee to the EXAT’s Board of Directors on a quarterly basis. 7. Remuneration for the Auditor : Expressway Authority of Thailand is a State Enterprise which has the Office of the Ombudsman responding as auditor with a remuneration amount of 1,500,000 baht. In fiscal year 2020, the Audit Committee commented that EXAT has prepared financial statements demonstrating its significant performance and financial status with material information in accordance with the generally accepted accounting principles adequately and reliably as well as displaying good corporate governance. Up to present, eight expressways falling under EXAT’s responsibility have been opened to the public, covering total length of 224.6 kilometers. Expressways Currently Opened for Public Services 1. Si Rat-Outer Bangkok Ring Road Expressway 16.7 kilometers in length Financial Analysis The traffic volume in the fiscal year 2020 (October 2019-September 2020) consisted of 560.45 million trips/year or 1.53 million trips/day, which decreased from the fiscal year 2019 by 19.40 percent. The total toll revenue (before it was shared with the EXAT’s joint ventures and the Thailand Future Fund or TFFIF) amounted to 22,665.55 million baht/year or 61.93 million baht/day, which represented a 15.98 percent decrease from that in the fiscal year 2019. The Si Rat Expressway (Suburb Section and the ‘D’ Section) had the highest traffic volume, which was 120.61 million trips/year or 0.33 million trips/day, followed by the Chaloem Maha Nakhon Expressway, with a total of 117.64 million trips/year or 0.32 million trips/day, the Si Rat Expressway in urban areas, with a total 98.33 million trips/year or 0.27 million trips/day, the Chalong Rat Expressway, with a total 77.12 million trips/year or 0.21 million trips/day, the Burapha Withi Expressway, with a total 49.98 million trips/year or 0.14 million trips/day, Kanchanaphisek Expressway (Bang Phli-Suksawat), with a total 46.83 million trips/year or 0.13 million trips/day, the Utarathaya Expressway, with a total of 28.58 million trips/year or 0.08 million trips/day, and the Si Rat Expressway-Bangkok Outer Ring Road, with a total of 21.36 million trips/year or 0.06 million trips/day. In the fiscal year 2020 (as of 30 September 2020), the EXAT’s total asset was valued at 240,499.98 million baht, which showed a decrease of 4,420.42 million baht from the fiscal year 2019, which represented 1.80 percent, which decreased from current asset due to the payment of debt due. The EXAT’s total liabilities amounted to 112,118.98 million baht, which showed a 7,841.38 million baht decrease from the fiscal year 2019, which represented 6.54 percent. The decrease resulted from the payment of bonds, government loans and equity amounting to 128,381.00 million baht, which was an increase of 3,420.96 million baht from the fiscal year 2019, representing a 2.74 percent increase. As for the operating results in the fiscal year 2020 (October 2019-September 2020), the EXAT had a total revenue of 15,991.21 million baht, a total expense of 9,278.69 million baht, and a comprehensive income of 6,420.96 million baht, which was a 281.10 million baht decrease from the fiscal year 2019, accounting for a 4.19 percent decrease, due to the COVID-19 epidemic, which led to a reduction in operating results. 73

Maximum utilization of expressways and assets for total area of 557,973.61 square wah in the expressway right-of-way utilized during fiscal year 2020. 2. Assurance on quality of service and safety : EXAT has conducted a public opinion survey which revealed that 93.48% of the expressway users are very satisfied with EXAT’s services while the number of expressway accidents per 100 million vehicle-kilometers of travel shows 9.76% 3. Stable growth on performance with reasonable profit resulting in net profit of 6,420.96 million baht. Important Investment 1. Rama III-Dao Khanong-Western Outer Bangkok Ring Road Expressway Project The Project aims to serve effectively as a route network to accommodate travel between the outer and inner areas of Bangkok with the city’s western area and its perimeter including travel from the southern provinces of Thailand, and to help alleviate traffic congestion between Rama II Road and Chalerm Mana Nakorn Expressway in Suk Sawat-Dao Khanong Section to be more rapid and convenient as well as a route choice for travelling and logistic in crucial situation such as flood disaster in 2011. Moreover, the project is capable to be a substitute route in case Rama IX Bridge is required to be closed for major maintenance which will eliminate problems for connecting to the south. The project is of 18.70 kilometers in length with the starting point of the project linking with the elevated project of National Highway No. 35 (Thon Buri-Paktho) at km 13+000 of Rama II and it is an elevated 6-lane road (3 lanes for each direction) overlapping along the median of Rama II Road until reaching Dao Khanong Toll Plaza. Then the route overlaps Chalerm Maha Nakorn Expressway until it reaches Rama III Road close to Bang Khlo Interchange. New 8 lanes (4 lanes for each direction) bridge crossing the Chao Phraya River will be newly constructed and aligned to the south of Rama IX Bridge. This expressway contains 7 on-off ramps. 2. Si Rat-Bangkok Outer Ring Road Expressway Project The project aims to expand the expressway network in the area of Bangkok and its western perimeter as well as solves traffic congestion on soil-level roads and helps ease traffic congestion on western part of Bangkok and nearby provinces to be more efficient. The project is an elevated 6-lane road starting from Western Bangkok Outer Ring Road aligns with the Southern Railway paralleling to Borommaratchachonnani Road and crossing the Chao Phraya River at Rama VI Bridge, passing through Bang Sue Intersection and ending its link with Si Rat Expressway in northern part of Mo Chit Bus Terminal 2. The project is 16.70 kilometers in length. 74

Risk Management Expressway service is regarded as a core business of the Expressway Authority of Thailand (EXAT). EXAT has a duty to develop and improve expressways, ensuring their safety and compliance with applicable standards, while providing innovative, value-added services. Its businesses are carried out under the concept of efficient asset management so as to strengthen the potential of expressway business and social benefits. In addition, it gives precedence to developing management systems as well as investing to enhance organizational values in accordance with its vision : “Being determined to improve expressways and offer a good service that is economically worthwhile, convenient, fast and safe in a sustainable way.” Risk management and internal control therefore have been adopted, as tools to support its operation by means of “Value-based Enterprise Risk Management (VBRM) as well as in pursuant to COSO-ERM Portfolio View of Risk framework. Such an approach emphasizes performing duties using multiple strategies while regarding risk management as a way to create business opportunities, resulting in the achievement of organizational values and benefits. This execution has been performed in consistency with the rule of Ministry of Finance on standards and practice of the risk management for the government agencies B.E. 2562 (2019). The said rule has been observed by the state enterprises in accordance with the rules or practices on risk management and internal control, and risk management and internal control handbook as prescribed by the State Enterprise Policy Office. Risks are managed to be in line with State Enterprise Assessment Model (SE-AM) System that emphasizes on the result-based system and annually reviews/improves according to changing circumstances. Based on the previous outcomes of risk management and evaluation of the organization’s quality, it discloses that EXAT has still encountered with different risk situations which vary according to changing trends as well as uncertainty from internal and external factors. Therefore, it is essential that EXAT analyzes the organization’s risk situations to be able to indicate the organization’s risks. Such risks are managed to ensure its business the development opportunities and organizational value enhancement, leading to its sustainable growth under the acceptable risk level. The fiscal years of 2017-2021, EXAT’s risk management direction aims to achieve “the management of Risk Intelligence to create opportunity and preserve values of the organization” which propels by four strategies : 1) securing financial balance 2) driving business in system and process innovation 3) operating business for society, and 4) reinforcing organizational risk culture. There also are six management tactics as follows : 1. Development of human capital and process capital to be the foundation toward a leading state enterprise 2. Performance 3.1 Revenue Management 3.1) Smart Value Management Plan 3.2 Cost Management Additionally, in fiscal year 2020, EXAT’s Business Continuity Plan (BCP) has been reviewed/improved to be in accordance with the current circumstances and efficiently cover key work systems. Rehearsal of every business continuity plan has been performed to be in preparation for solving any critical situations which may arise and affect EXAT’s operation. Moreover, EXAT has communicated to the employees to enhance knowledge and create understanding about its business continuity plan. The outcome of risk management in fiscal year 2020 under 25 Key Risk Indicators (8 KRIs in organizational level, and 17 KRIs in plan level, comprising 6 KRIs of risks and 11 KRIs of causes of risks) disclosed as follows : 1) 6 KRIs from total of 8 KRIs in organization risk level met the determined target whereas still below target KRIs included DSCR and cash flow ratio. 2) KRI in plan level described that EXAT was capable of managing 3 risks and 5 causes of risks (15 KRIs) out of total of 3 risks and 6 causes of risks (17 KRIs) in acceptable level. The below target risks and causes of risks included : revenue management (percentage of daily traffic flow of Electronic Toll Collection System comparing with total of all 4-wheel vehicles (2 KRIs), and due to the epidemic of Coronavirus 2019 (COVID-19) affecting the overall of the country’s economy as well as the slowdown of expressway usage although there was a promising sign continuing in 3rd quarter, as a matter of fact, growth ratio has decreased comparing to the previous year resulting in below target for this fiscal yearend. However, the risk has still been continuously managed in fiscal year 2021. 77
Internal Control For the EXAT’s efficient and effective internal control system toward the organizational operation, it has been emphasized that internal control systems have been put in place to cover all groups of work processes according to the purposeful operations, reporting and the practice of adhering to the laws and regulations (Compliance) in accordance with the rule of the Ministry of Finance on standard and practice of the internal control for the government agencies B.E. 2561 (2018) and has continuously developed an internal control system preserving the risks of combined organization (risk universe) under the Risk Management Manual and Plan of EXAT’s fiscal year to determine the analysis and setting up of the internal control system during the period of six months after the fiscal year, to ensure the consistent efficiency and effectiveness of the internal control. In the fiscal year 2020, EXAT has established guidelines to follow up the results of the internal control’s assessment systematically. All agencies have to report Control Self-Assessment (CSA) based on a normal risk-based basis and irregular basis through the internal control Information system. And there also has an internal control assessment in completion of 5 elements classified by follow-up period and the assessment results into two groups as follows : 1) The internal control group approaching continuously improvement whereas the process of high risk management level is very low, then, the follow-up assessment has to be done on quarterly basis (every three months). 2) The internal control group approaching monitor and vigilance whereas the process of high risk management level is in minimum to moderate, hence, the follow-up assessment has to be done on monthly basis (every month). EXAT has developed and checked the information technology system to support risk management and internal control on a continuous basis in order to correspond to the digital era’s operations by undertaking each risk unit/risk project according to the ten organization risk issues which expecting to be implemented in the first quarter of the fiscal year 2021. In addition, EXAT has launched a new learning system during the outbreak of Coronavirus 2019 (COVID-19) as well as a new learning system by providing learning materials in e-Learning model with the topic of “Knowledge of Risk Management and Internal Control” facilitating in the new employees orientation of EXAT in order to be easily accessible and recognized. The results of the internal control assessment of the EXAT fiscal year 2020 cover all five elements comprising environment, control, risk assessment, control activities, information and communication as well as follow-up activities where achievement of the internal control target percentage is 99.83 under the total of 410 key performance indicators of the internal control. These key performance indicators consisting of the internal control group of continuous improving operations of 398 KPIs and internal control group of monitoring and vigilance of 12 KPIs. The result of internal control on monitoring and vigilance that has been below target comprising of 3 KPIs as follows : Budget management, construction of expressway operation center building project and construction of Rama III-Dao Khanong-Western Bangkok Outer Ring Road expressway project. Nevertheless, the internal control assessment has still been continuously monitored in fiscal year 2021. 78
Research and Development Result of Expressway Service Annual Report 2020 Expressway Authority of Thailand The Smart Search Engine for Identifying Vehicles on the Expressway in Thailand EXAT has studied and installed the Automatic License Plate Recognition : ALPR of five cameras at three locations composing one camera at the on-ramp of Chalong Rat control center (CCB3), two cameras at the off-ramp of Pattanakarn 2 Toll Plaza and another two camaras at the Toll-Booth of Pattanakarn 2 toll plaza to collect vehicles data stored in the ALPR system for the purpose of analyzing and collecting the statistic data which is able to play back including processing a report. Formerly, making a report was full of difficulties and non-automatic. Staffs at the toll plazas had to segregrate great number of data for the passing through vehicles which took great deal of times and personnel to process. With this aspect, EXAT has provided Information System to support and render convenient process for employees’ purusable performance while the installed ALPR would be thorough studies of its accuracy at the same time. Application Development for Expressway Traffic Information EXAT has developed an application for Expressway traffic situation information namely “EXAT Traffic” in order to support Android Operation System and iOS Operation System with free of charge download which capable to provide real-time information through CCTV streaming as well as colored traffic map. A new display screen panel of this current version has been designed to be more modern and autonomic, for instance, in closing range of 2 kilometers the notification in message form for the traffic condition will be shown and within 5 kilometers from the toll plaza the notification for toll fee paying will also be transmitted. There are many more than ten other functions to accommodate convenience to expressway users. Multi-Lane Free Flow (M-Flow) Single Platform System Toll automatic collecting system with no barrier “Multi-Lane Free Flow (M-Flow)” is a new form of automatic toll collecting system which enables all vehicles to rapidly and conveniently pass through the toll plaza without any halt and will also link personal data with Department of Local Administration’s database, the data of the license plate of each vehicle will also link with Department of Land Transport and other relevant government agencies. It will organize all performances in single platform which is capable to link with other database systems in the future. 79
Expressway Road Surface Standard EXAT has set selective standard of asphalt cement types for Expressway road surface in accordance to effective and worthwhile maintenance plans. The utilization of different road surface for the Expressway varies on the characteristic of traffic flows quantity called Equivalen Single Axle Loads (ESALs) of each route. The normal asphalt cement or natural rubber modified asphalt cement is to be utilized on route surface of less than 10 million ESALs and polymer modified asphalt cement is to be used on route surface of more than 30 million ESALs. The optimum ESALs of all routes is the Kanchanaphisek (Bang Phli-SukSawat) Expressway whereas the highest quantity of trucks affecting the frequencies of road surface maintenance, thus, the necessity of substantial and sturdy road surface material is imperative. International Academic Collaboration October 4, 2019 : Hanshin Expressway Co., Ltd. (HEX) and KFC Co., Ltd., Japan led by Mr. Nishibayashi Motohiko, Manager, International Business and Cooperation Office, and Mr. Matsushima Futoshi, General Manager, Technical Division, respetively, discussed concerning Expressway performance for maintenance with the demonstration of the preparation of Carbon Fiber Reinforced Polymer : (CFRP), in order to undergo a maintenance for damaged expressways (demo site). November 19-21,2019 : The executives and officers of Hanshin Expressway Co., Ltd. (HEX) and HEX Traffic Patrol Co., Ltd. (HEP), with a total of six persons, attended training and Techinical Exchange Program regarding Expressway’s Management and Traffic Performance including site visits of EXAT’s Control Center and various trainings concerning traffic controllers division. December 11-13 2019 : four employees (young staff) of Hanshin Expressway Co., Ltd., attended a trainning course as well as Techincal Exchange Program according to understanding framework (MoU) with an observation of the Expressway’s performances include mutual cultrue exchange among the employees. 80

December 18, 2019 : The Hanshin Expressway Co., Ltd. (HEX) with KFC Co., Ltd., and Asanuma Corporation, Japan incorperated with the EXAT hosted a seminar relating to structural maintenance and technological demonstration of Laminated Fiber Reinforced Polymer with the topic “Technical Exchange Seminar on Structural Maintenance”. The demonstration took place in the control center beneath the up ramp of inbound Chalong Rat Expressway Control Center (CCB3). December 19-20, 2019 : A group of executives from Korea Expressway Corporation (KEC) consisted of Mr. Byeong Jin LEE, Director, Overseas Project Division and Mr. Jaehong KO, Senior Manager, paid a visit to discuss on co-management and Development in Service Area Program. May 22, 2020 : A group of executives and officers of the Hanshin Expressway Co., Ltd. (HEX) led by Mr. Nishibayashi Motohiko, Manger, International Business and Cooperation Office, Engineering Department exchanged opinions through Zoom Cloud Meeting (Video Conference), related to the affect on numbers of expressway users during the situation of the Coronavirus 2019 (COVID-19) epidemic. 81

Volunteer activity namely “We do good deeds for our Country, Religion and Monarchy” took place on the occasion of the Birth of His Majesty King Rama X in 2020 during the period of July 15-17, 2020 at Bueng Phra Ram IX, Huay Kwang, Bangkok in order to honour and pay gratitude towards His Majesty the King. The management staff members and EXAT employees joined together with Huay Kwang District, the Drainage Office, the Crown Property Bureau, the Wang Thong Lang Police Station, the Medical Development Clinic Center and the community of Bueng Phra Ram IX Patana in cleaning up, garbage collecting as well as improving of the surrounding area of Bueng Phra Ram IX. In addition, EXAT had given cloth masks to the Medical Development Clinic Center and supplied LED screen computer equipment and consumption utilities to the community of Bueng Phra Ram IX Patana as well. The event was opened and presided over by Mr. Surong Bulakul, EXAT’s chairman of the board of directors. 2. “Good Contribution with the Expressway”: a volunteer project of “Heartful Doing Good” which took place on September 10, 2020 at the entrance area of Bang Muang Expressway 1 toll plaza on Kanchanaphisek Expressway (Bang Phli-Suksawat), Bang Mueang, Mueang Samut Prakarn, Samut Prakarn. The event was participated by Bang Muang District’s permanent secretary, executives, employees and workers of EXAT as well as heads of Naruemonsiri Community, Rajasupanimitr 1 Community and Mitr Mitri 2 Community together with approximate 100 volunteers from “904 Volunteer Unit” of EXAT. The objectives were to develop the surrounding and improve the landscape of the entrance of EXAT Bang Muang Expressway 1 toll plaza to become benificial public area whereas gardens and trees were putting in to embellish around EXAT’s communities area as well as turn into useful public venues for recreations and exercises. All of these would also be served for intrusive protections and littering purposes as the participants had particiated in the activity of plant growing (Foxtail palm). Business Conditions, Plans and Strategies Annual Report 2020 Expressway Authority of Thailand Expressway Authority of Thailand (EXAT), Ministry of Transport, performs its operations according to policy indicating its main mission to serve and increase the efficiency of quality expressways on capacity of solving traffic problem around Bangkok Metropolis and Vicinity on foundation of solid business management as well as resposibilities towards society and environment. Up to present, 8 expressways existing under EXAT have been opened to the public covering total length of 224.6 kilometers comprising of Chalerm Mana Nakorn Expressway, Si Rat Expressway, Chalong Rat Expressway (Ram Inthra-At Narong and the Ram Inthra-Outer Bangkok Ring Road) Burapha Withi Expressway, Udon Ratthaya Expressway, Bang Na-At Narong Expressway, Kanchanaphisek Expressway (Bang Phli-Suksawat) and Si Rat-Outer Bangkok Ring Road Expressway. In this regard, the EXAT’s plans and strategies are implementing for the operations to develop its network system to be able to completely connect with each other as follows : Expressway Under Construction Projects RAMA III-Dao Khanong-Western Outer Bangkok Ring Road Project The projects aim to facilitate the expansion of the expressway’s network to handle traffic between inner and outer areas of the Metropolis, traffic flows on Rama II road as well as Chalerm Maha Nakorn Expressway, at the same time, as a substitution in case Rama IX Bridge requires major maintenance since it has long been in service for more that 30 years. The starting point of the project is to converge with the elevated road project on Highway No. 35 of the Department of Highway at km 13+000 of Rama II Road near Bang Khun Thien Interchange composing of 6 traffic lanes (3 lanes for each direction), overlapping along the median of Rama III’s traffic island to reach Dao Khanong Toll Plaza from north-eastern direction, then overlapping the Chalerm Maha Nakorn Expressway to reach Rama III Road closes to Bang Khlo Interchange of which the ending point linking with Chalerm Maha Nakorn Expressway and Si Rat Expressway. New 8 lanes bridge crossing the Chao Phraya River will be newly constructed and aligned to the south of Rama IX Bridge with 7 on-off ramps as well as one interchange in the length of 18.7 kilometers. Future Expressway Projects 1. The Third Stage Section N2 of Northern Expressway Project converges to Eastern Bangkok Outer Ring Road and Being the Section N1 Substitution. The project aims to solve traffic problems on Prasert Manukit and Pradit Manutham roads at the intersection of Chalong Rat Overpass, lighten the traffic condensation around the Prasert Manukit traffic light area and also converge the complete East-West Corridor of the Expressway’s network. The Section N2 converges to Eastern Bangkok Outer Ring Road at Km 1+000 of Prasert Manukit Road’s overpass of 4-traffic lane size (2 lanes for each direction), overlapping along the alignment of traffic median of Prasert Manukit Road across the Bang Bua Canel, passing through the intersections of Wang Hin, Senanikom and Sukontasawat, proceeding to Chalong Rat Expressway at the intersection of Prasert Manukit and Pradit Manutham Roads, passing through the intersection of Nawamin road and Prasert Manukit road until the end of the project converges to the Eastern Outer Ring Road at the length of 11.3 kilometers. The line way of the Section N2 project is overlapping with the brown line of Metropolitan Rapid Train on Kairai-Lum Salee (Bueng Kum) area. The Section N1 substitution converging with Si Rat Expressway-Bangkok Outer Ring Road at Bang Sue Central Station, is a 4-traffic lane overpass (2-traffic lane for each direction), heading northward along Premprachakorn Canel and turning right along Ngam Wongwan Road at Kasetsart University intersection and overfly Viphavadi Road in front of Kasetsart University, heading eastward along Ngam Wongwan Road acrossing Phahol Yothin Road along the median of Prasert Manukit Road and converging to Expressway Section N2 System at the length of 7.1 kilometers. 85
2. Expressway Network Connecting Utrapimuk Elevated Tollway to Si Rat-Outer Bangkok Ring Road Expressway Project (Missing Link) The project aims to link East-West Corridor of the Expressway Networks with North-South Corridor of Bangkok Metropolis areas, mitigate traffic volume on the expressway and the soil level roads including supporting the development of the future Phahol Yothin Central Transport. The project will link with the third stage Expressway System Project, Northern Line of Section N2 converging to the Eastern Bangkok Outer Ring Road and Section N1 Substitution. Moreover, it will accommodate the traffic convenience of the western area to Don Mueang Airport in the north with the Utrapimuk elevated way where the starting point is from Ratchawipha interchange which is a split-level type of system interchange. The project’s structure will be running under Utrapimuk elevated way along the line of Kamphaeng Phet 2 Road, passing under high voltage electricity lines, lifting across Si Rat Expressway, High Speed Train project connecting Don Mueang Airport and Suvarnabhumi Airport, red line metro project, high speed electric train project and Premprachakorn canel whereas the ending spot converges with Si Rat Expressway-Outer Bangkok Ring Road of 4-traffic lane (2-lane for each direction) and toll plaza being located in the middle of the line at the approximate length of 2.6 kilometres. 3. Kathu-Patong Expressway Project, Phuket Province The project aims to connect travelling road for tourists and local people from Kathu District to Patong beach and to alleviate traffic problems and accidents on the National Highway No. 4029 as well as being an evacuate route in case of natural disasters. The construction project of 3.98 kilimeters is engaging with a tunnel in mid of the line, starting from Phrametta Road (Principle City Plan Road route A) Patong Sub-district, Kathu District. The project is an elevated route of 4-traffic lane for each direction (2 automobile lanes and 2 motorcycle lanes), it is elevated to cross Phisitkorani Road until reaching Khao Nak Koet covering total length of 0.9 kilometers, then passing through the underpass with total length of 1.85 kilometers penetrating into Khao Nak Koet, then the route is elevated again with 1.23 kilometers in length prior to terminating at Kathu Sub-district, Kathu District, at the crossing of the National Highway No. 4029. 4. Chalong Rat-Nakhon Nayok-Saraburi Expressway Project The project aims to mitigate traffic problems of current road and highway networks, facilitate convenient travel and good logistics between Bangkok and upper central region and northeastern region. In addition, it also supports the development in Patum Thani, Nakhon Nayok and Saraburi provinces with the starting point from Chalong Rat Expressway, Chatu Chot toll plaza at Eastern Bangkok Outer Ring Road (Kanjanaphisek Road). The route is a soil level expressway of 6-traffic lane (3-traffic lane for each direction) towards the East cutting through Hatairaj Road and Nimit Mai Road, turning up north-east cutting through Lam Luk Ka Road at km 22+500 and running through Rural Road Nor Yor 3001, Rangsit-Nakhon Nayok at Km 59+800, then continuing north cutting through Rural Road No. 33 (Suwannasorn Road) at km 116+000, stretching over and following the National Highway No. 3222 connecting with National Highway No. 2 (Mitrapap Road) at km 10+700 at the Kaeng Khoi District, Saraburi Province with the total length of 104.7 kilometers. 5. Expressway Link Connecting Burapha Withi Expressway to Chon Buri Bypass Project The project aims to solve traffic congestion problems on surrounding network roads and develop transportation infrastructure in order to support the Eastern Economy Corridor (EEC) Project in terms of sustainable traffic solution.The starting point of the project is connecting to the terminating point of current Burapha Withi Expressway. The project elevated over the traffic median along the Highway No. 34 (Theparat Road), proceeding through Amata Nakorn Industrial Estate at Klong Tamrhu Sub-district, Tesco Lotus Plus Mall, 86
turning left to join the median of Chon Buri Bypass Road (National Highway No. 361). The project’s ending Annual Report 2020 Expressway Authority of Thailand point located at the road km 1+100 of the Chon Buri Bypass Road consisting of 2 on-off ramps which located on the area of Ban Kao Road and Chon Buri Bypass Road at the length of 4.4 kilometers. 6. Express Link Connecting Bangkok Port and Bang Na-At Narong Expressway (S1) Project The project aims to increase the efficient service of the Bangkok Port and solve traffic problems on surrounding seaport’s roads in order to facilitate convenient and direct connection route to freight trucks from Port Distribution Center which will enhance the performance of the Bangkok Port to support the expansion of the economy and the demands of goods transport in the future. The project’s starting point is connected with the area of Terminal and Distribution Center of the Bangkok Port with 4 lanes (2-traffic lane for each direction) going along the median of road inside Bangkok Port and connect to Bang Na- At Narong Expressway (S1) at the split level intersection which enables to connect to Eastern Burapha Withi Expressway and Northern Chalong Rat Expressway at total length of 1.8 kilometers. Electronic Toll Collection System : ETCS Expressway Authority of Thailand (EXAT) has launched the electronic toll collection system whereas Easy Pass can be used by the service users on a number of expressways. They include Chalerm Maha Nakorn Expressway, Chalong Rat Expressway, Kanchanaphisek Expressway (Bang Phli-Suksawat), Si Rat Expressway, Burapha Withi Expressway, Udon Ratthaya Expressway, and Si Rat Expressway-Outer Bangkok Ring Road. Easy Pass is also accepted on the elevated road at the southern part of Suvarnabhumi Airport linking Burapha Withi Expressway and the expressway link between Kanchanaphisek Expressway (Bang Phli-Suksawat) and Burapha Withi Expressway. A joint electronic toll collection system service which links the M-Pass and the Easy Pass enables Easy Pass users to use their cards in Motorway No. 9 (Bang Pa In-Bang Na) and Motorway No. 7 (Bangkok-Chon Buri). Currently, there are 2 million Easy Pass users (as of September 30,2020). At present, EXAT has launched the Easy Pass Enrollment Service to users as follows : • Toll plaza building except Si Rat-Outer Bangkok Ring Road Expressway • One Stop Service Center at EXAT’s head office, Chatuchak • 3 Easy Pass Fast Service Centers consist of : - Si Rat Expressway Control Center (CCB2) on Asoke-Din Daeng Road - Rest area of PTT Petrol Station at Bangna (outbound) - Chalong Rat Expressway Control Center (CCB3) on Rama IX Road In addition, users of the service are also accommodated with online service via the TrueMoney Wallet application which will help facilitate both the enrollment and device delivery. After register, the device will be home delivered within 2-5 working days. From June 16, 2020 onward, EXAT has decreased the minimum of first entrance fee from 500 baht to 300 baht only. For the Easy Pass Top-Up Service Points, there are internal agencies and external agencies to facilitate the service users as follows : 1. Arranging small parks and public gardens in total areas of 281,411.07 square wah 2. Building sports field in total areas of 32,735.88 square wah 3. Constructing shorter route/bicycle way in total area of 60,765.99 square wah 4. For other public benefits in total areas of 79,552.80 square wah 5. Area for rent in total areas of 103,507.87 square wah Besides, EXAT has authorized government agencies such as Bangkok Metropolitan Administration (BMA) and other government agencies to use right-of-way area for social and public benefit such as carrying out public parks, small gardens, building sport fields, constructing shorter route/bicycle way and utilizing the areas for other public benefits such as overpass pedestrian bridges, pumping station, waste water treatment pond, water clarifier pond, improving/expending traffic surface, providing walkways, installing lights for 346 locations with the total area of 343,861.87 square wah, detail as follows : • BMA of 161 locations, total area of 217,383.77 square wah • Other government agencies of 185 locations, total area of 126,478.10 square wah. However, areas to be developed for social and public benefits are still available to accommodate tree plantation, small parks and utilize the area for additional access road in expressway area at total of 110,603.87 square wah. EXAT Call Center Service EXAT Call Center 1543 provides EXAT’s information service 24-hour concerning information of EXAT and traffic route, condition on expressways, administrative assistances of emergency/accident or any requirement of assistance through cooperation so as to be promptly accommodated and to help expressway users and general public. In cooperation with the Ministry of Transport and relevant agencies, it obtains complaints as well as recommendations and follows up response to any complaints to be conclusive as soon as possible. In the fiscal year of 2020, the average daily number of the service users is 853. 88
EXAT Website Service (www.exat.co.th) Annual Report 2020 Expressway Authority of Thailand EXAT has managed to publicize information and overall achievement through www.exat.co.th. The website system has been improved and developed to support various additional applications such as operating systems on smartphone and other mobile communication devices. EXAT’s website is presented in an up-to-date, easy-to-use and speedy style, making dissemination of information efficiently reach expressway service users as well as general public. Smart Interactive Map Plus (SIMAP+) System has been improved and developed to allow the interested expressway service users to use for studying the travelling route on expressway prior to the journeys. Complaint System has been also available at the EXAT’s website page to facilitate the expressway service users and general public for inquiry of information, complaints and service suggestions. The satisfaction survey result of the service users toward EXAT’s services and image for the fiscal year 2020 indicated that the satisfaction level to the overall service of www.exat.co.th was 94.60% and in high satisfaction criteria. In addition, EXAT has publicized and disseminated its information through Facebook (www.facebook.com/Expressway.Thailand) with 19,433 like members and 19,919 followers; and Official Twitter (www.twitter.com/ExatWebmaster) with 5,418 followers. EXAT Intranet, EXAT Sound, EXAT Digital Signage and Monitor Systems for Information Publicity, and Multi-Touch Systems (I-Touch) EXAT publicizes information internally through EXAT intranet, EXAT Sound, EXAT digital signage and multi-touch systems (I-Touch) in form of news information, press releases, slides, video, graphic displays, texts and notifications useful for work performance. They also help improve learning and skill of personnel, create positive work environment and serve as means of two-way communication which is beneficial to personnel and organizational development as a whole. EXAT Public Information Center According to Articles 7, 9 and 11 of the Official Information Act B.E. 2540 (1997), EXAT Public Information Center was established to provide information service to general public for their convenience and rapidity, and give lectures on knowledge of the said Act. The center also serves as an observation site for governmental and state enterprise sectors to ensure that all governmental public information centers are established in line with the EXAT’s original center. It is located in front of EXAT head office. The address is 2380 Phahol Yothin Road, Senanikhom Sub-district, Chatuchak District, Bangkok 10900, Tel. 0 2940 1196, 0 2558 9800 Ext. 20614, Fax. 0 2940 1198. It is opened on office hours from 08.30-16.30 hrs. One Stop Service Center EXAT has launched One Stop Service Center at Chatuchak office building. The provided service consists of Easy Pass top-up service, issuing tax invoice of purchase and procurement documents, collecting rental payment of right-of-way area utilization, providing land acquisition checking service, and providing general expressway information service. 89
Public Relations Activity for Organizational Image 1. Public Service Unit Launched during the New Year Festival 2020 EXAT launched the Public Service Unit to facilitate expressway users through the New Year Festival 2020 from December 26, 2019-January 3, 2020. Toll fee of Burapha Withi Expressway (Bang Na-Chon Buri) and Kanchanaphisek (Bang Phli-Suksawat) were also exempted. Checkpoints offered services such as initial engine inspection, tire inflating, distilled water battery fill up, and battery check. Similarly, it allowed commuters to take a break while enjoy drinking water, coffee, and refreshing towels, etc, at free of charge. Social and Public Interest Activity 1. Sharing Smiles with Kids surrounding Expressway On January 10, 2020, EXAT carried out “Sharing Smiles with Kids surrounding Expressway” activity on the occasion of the National Children’s Day 2020 to provide scholarships, and financial support for the expense of fixing awning at the school’s balcony, renovating of the computer study room and purchasing of new computers including acitivities expense for Metta Wittaya School as well as the Orphanage Foundation of Thailand. 2. “Expressway on Your Side to Fight the Cold” Project On January 16, 2020, EXAT held the “Expressway on Your Side to Fight the Cold” with a total donation of 5,000 blankets including winter wearing received from charity to help cold weather victims in Nakhon Phanom and Mae Hong Son with 4,000 blankets and 1,000 blankets respectively. 3. Expressway for Youths The EXAT’s activity for annual educational scholarship of “Expressway for Youths” was held during the Coronavirus-2019 (COVID-19) epidemic period. In order to relieve parent’s load prior to school starting, EXAT granted 60 educational scholarships to students with financial problem and the communities nearby the Expressway composing Chalerm Maha Nakhon Expressway, Si Rat Expressway, Chalong Rat Expressway, Udon Ratthaya Expressway and Kanchanaphisek Expressway (Bang Phli-Suk Sawat). A scholarship worth 10,000 baht/each was offered to 44 communities and 16 schools. Their representative attended the event on June 8-26, 2020, at the Expressway Head Office to further deliver the scholarships to the students and the communities. 4. “Volunteer Spirit by Thai Expressway” Activity EXAT organized the “Volunteer Spirit by Thai Expressway” activity in fiscal year 2020 by taking executives, employees and workers of EXAT as well as media of total 80 persons to study and join the Mushroom Cultivation and Tie Dye Mask Making on September 10, 2020. EXAT also offered a sum of 59,150 baht to support office kits expense for Royal Initiative Farm Project under patronage of H.R.H. Queen Sirikit at Baan Yang Klang, Sawaengha Sub-district, Ang Thong Province. 90
EXAT’s Operation under the Official Information Annual Report 2020 Expressway Authority of Thailand Act B.E. 2540 (1997) Expressway Authority of Thailand (EXAT)’s operation adheres to the Official Information Act B.E. 2540 (1997) as described below. 1. Monitoring work performance pursuant to the Official Information Act B.E. 2540 (1997) 1.1 Issue an EXAT’s Order No. 67/2018 on departmentalization and determination of duty and responsibility of each working part of EXAT dated April 9, 2018. The Corporate Governance Division (CGD) under the Office of the Governor (OG) is assigned to operate EXAT Public Information Center. The Division shall also provide information according to Article 7 and Article 9 of the Official Information Act B.E. 2540 (1997) for general public access and cooperation to ensure any performance in compliance with the Official Information Act B.E. 2540 (1997). 1.2 Set as significant policy of the state agency by emphasizing that “Disclosure is the core, concealing is an exception” since the Act came into forces. 3.5 Organized training course related to Official Information Act B.E. 2540 (1997) in the e-Learning Annual Report 2020 Expressway Authority of Thailand orientation program for new employees for fiscal year 2020 through the e-Learning center system of the EXAT’s Intranet. 3.6 Dispatched EXAT’s officers from its Information Center to join testing program of Knowledge and Understanding of Official Information Act B.E. 2540 (1997) of the government agency for year 2020 (Office of the Official Information Board) on January 14, 2020 which Mrs. Apinya Sunthorntarawong, Director of the Corporation Governance Division of the Office of the Governor and Ms. Thanyachatra Klinkajornchinsiri, general administrative officer level 5 of the Analysis and Broadcasting Division, of the Office of the Governor, passed the test criteria accordingly. 4. Information services as requested by general public and responses to consultation In fiscal year 2020, there were requests from 52 people for information review at EXAT Public Information Center (for information as of September 30, 2020) which was the information according to Article 7, 9 and 11 of the Official Information Act B.E. 2540 (1997). EXAT improved the information retrieval system and document files, arranged handbooks and pamphlets introducing EXAT Public Information Center as well as public relations bulletin board, and provided the place for information services. Additionally, service user opinion was gauged through customer satisfaction survey questionnaires for further consideration on information disclosure. 93
Report of the Board of Directors’ Responsibility for the Financial Report The EXAT’s Board of Directors have attached great importance to, and has been responsible for, financial reports. It has provided oversight to ensure that the EXAT’s financial statements are prepared in accordance with the Thai Financial Reporting Standards, appropriate accounting policies are used and adhered to on a regular basis, material data are adequately and appropriately disclosed, and the financial statements are audited and certified by the Office of the Auditor General of Thailand (OAG). There are conditional opinions specifically on the non-recognition of income accounting issue related in the signing contracts of the Expressway stage II (Si-Rat Expressway include section D) and the revised version of the Bang Pa-in-Pak Kret Expressway (Udon-Ratthaya Expressway), as well as, the disclosure of the litigation and dispute information existing in the financial statement notes whereas the Expressway Authority of Thailand has clarified in detail that the case has been recorded and certified in accordance to the relevant accounting standard and the disclosure of the litigation and dispute information have been completely and correctly declared. The EXAT has appointed the Audit Committee, which was composed of independent directors, to ensure the audit and verification of financial reports, the risk management system, the internal control system, and internal audit are efficient and comply with relevant rules, regulations, and requirements. Auditor Report To the EXAT’s Board of Directors Qualified opinions The Office of the Auditor General of Thailand (OAG) audited the EXAT’s financial statements, which comprise the Financial Position Statement as of 30 September 2020, the Comprehensive Income Statement, the Equity Change Statement, and the Cash Flow Statement for the year ending on the same day, including the notes to the financial statements and to significant accounting policies. The OAG was opined that, except for the effects and exceptions of inadequate disclosures of the said matters in the Section : Criteria for Expressing Qualified Opinions, the above financial statements revealed the EXAT’s financial position as of 30 September 2020, as well as its operating results and cash flow statement for the year ending on the same day correctly as they should in the substantive matters based on the Thai Financial Reporting Standards. Non-recognition of accounting transactions from signing the Second Stage Expressway Agreement (Si Rat Expressway and the ‘D’ Section) and the Bang Pa-in-Pak Kret Expressway Agreement (Udon Ratthaya Expressway) (Revisions) As discussed in the notes to the financial statements, Section 4.23.5 : The Second Stage Expressway Agreement (Si Rat Expressway and ‘D’ Section) and the Bang Pa-in-Pak Kret Expressway Agreement (Udon Ratthaya Expressway) (Revisions), which aimed to resolve disputes between the EXAT and its contractual parties, the OAG considered relevant formation and then outlined key issues of signing the revised agreements, as follows : 1) There are many lawsuits where the EXAT’s contractual parties had taken actions to end legal execution, and individual lawsuits were different in terms of contents, including those with the court’s final judgment that the EXAT shall pay for indemnification, those under consideration both in the court and arbitral tribunal, and other disputes as a result of granting concessions of the same nature. 2) The revised agreements were intended to settle the lawsuits and disputes which would impose obligations of the EXAT in the case where it lost, and these revised agreements would result in the EXAT having the obligation to extend the period of sharing its revenue with its contractual parties. 3) The original agreements required that the contractual parties construct the expressways and transfer the expressway ownership to the EXAT immediately upon their completion, with its contractual parties entitled to manage the expressways, provide expressway service, and earn a share of the revenue The Office of the Auditor General of Thailand (OAG) 96
based on what was agreed-upon in the agreements. The revised agreements indicate that its contractual Annual Report 2020 Expressway Authority of Thailand parties shall have the right to manage the expressways, provide expressway service, and earn a revenue share equal to what was agreed-upon in the original agreements without constructing any additional assets or making an additional investment. An examination of the evidential documents used for considering the extension of the period of the original agreements and facts in the revised agreements suggested that the EXAT hadn’t not pay off the disputes-related debt in cash, but it would extend the period of the original agreements to entitle its contractual parties to manage, and provide the service of, the expressways under the terms and conditions included in revised agreements and would spend the share of potential toll revenue in the future on compensating for the sources of obligation in the disputes. The EXAT analyzed the guidelines for negotiation to determine an appropriate extension of years for the agreements by calculating the sources of obligation for the lawsuits and disputes in the case where the lawsuits and disputes were settled by not requiring its contractual parties to invest in the construction of the double deck values at 78,461 million baht. The OAT considered that the origin of the revision of the agreements was the acknowledgment of the debt and payment for the debt by extending the period for its contractual parties to earn a revenue share. In the past, the EXAT assessed that it would win the lawsuits and would not have to pay any damages or compensation; however, the revised agreements involved the EXAT in the obligation to share its revenue with its contractual parties without receiving any other additional benefits. This had an impact on its accounting transactions and financial statements. Nonetheless, the EXAT ’s management considered that the disputes were settled, so there was no need to recognize any transactions, which aimed to reflect the acknowledgement of the disputes-related debt and debt payment by extending the period for its contractual parties to receive a revenue share. The OAG considered that the methods used for recording accounting transactions and preparing the financial statements of the EXAT did not reflect the true economic content of the lawsuit and dispute settlement through extending the agreement period. The OAG regarded that if the EXAT had considered the actual economic content of the lawsuit and disputes settlement on the day when the revised agreements were signed, the EXAT should have recorded the recognition of the liabilities as a result of the lawsuits and disputes on which the EXAT made negotiation to settle them and should have recorded additional expenses on the lawsuits and disputes to those recognized when the Supreme Administrative Court ruled that the EXAT shall pay a compensation for a reduction in revenue as a result of the construction of competitive expressways and shall record the recognition of the transaction on granting the right to its contractual parties to receive a share of the toll revenue based on the revised agreements to pay off the debt as a deferred revenue while recognizing it as a revenue over the agreement period. As described in the note to the financial statements, Section 4.17 : Deferred Revenue, the EXAT recorded the account of the deferred revenue from its joint ventures only the parts where it had recognized based on the Supreme Administrative Court’s ruling that the EXAT shall pay a compensation for a reduction in revenue as a result of the construction of competitive expressways and interest incurred which were valued at 4,468.89 million baht and recognize this as a revenue over the period of the revised agreements. As for transactions on the liabilities and expenses on the debt for the lawsuits and disputes on which the EXAT negotiated for settlement under the terms and conditions included in the revised agreements, they were not recognized by the EXAT. If the EXAT updates the financial statements for the year ending on 30 September 2020 to ensure that they are correct as they should be under the Thai Financial Reporting Standards based on the assumption that the source of the obligation valued at 78,461 million baht is the total amount of debt that the EXAT has considered for making negotiation on dispute settlement and for determining the appropriate number of years for the extension of the agreement period. This will have material effects, as follows : 1) The Financial Position Statement as of 30 September 2020 must show an additional deferred revenue (as a result of granting the right to its contractual parties to earn a share of the toll revenue under these revised agreements for lawsuit and dispute settlement) of approximately 73,992.11 million baht, which will reduce the equity by the same amount. 2) The Comprehensive Income Statement for the year ending on 30 September 2020 must show the expenses on debt for the lawsuits and disputes on which the EXAT has negotiated for settlement under the terms and conditions included in the revised agreements, amounting to approximately 73,992.11 million baht. This will change the operating result from the net profit of 6,420.96 million baht to the net loss of approximately 67,571.15 million baht. Inadequate disclosure on the extension of the agreement period (Revisions) The notes to the financial statements for the year ending on 30 September 2020, Section 4.23.5, Subject : The Second Stage Expressway Agreement (Si Rat Expressway and the ‘D’ Section) and the Bang Pa-in-Pak Kret Expressway Agreement (Udon Ratthaya Expressway), (Revisions) disclosed 10 disputes with the total capital of 55,874.08 million baht, which were cancelled and revoked but didn’t disclose the entire number of the lawsuits and disputes and the total amount of money cancelled and revoked. Originally, they were disclosed in the notes to the 3-month Interim Financial Data ending on 31 December 2019, Section 4.21.1 : Eleven Disputes between Joint Ventures with the capital of 128,099.55 million baht. In addition, they did not disclose information about the amount of the sources of obligation for the lawsuits and disputes which were taken into account so that they were settled by extending the agreement period until 31 October 2035. Thus, the data and facts provided in the said notes were insufficient for the financial statement users to understand the substantive matters of the extension of the concession period in the revised agreements. Other information The EXAT’s management are responsible for the other information, which consists of information to be included in the Annual Report, but this excludes the financial statements and the Auditor Report to be included in the Annual Report.
