Miss. Pratiksha Rawat 23rd July 2020. Subject: Appointment Letter. Dear Pratiksha, We are delighted to appoint you for the position of “ MEAN Stack Developer” with Signity Software Solutions Pvt. Ltd. (herein after referred to as Signity). The Terms and Conditions of your appointment are as follows:- This Statement of Terms and Conditions forms part of the Contract of Employment (‘contract’) between Pratiksha and Signity Software Solutions Pvt. Ltd (‘the Company’).This will be effective from the date on which you commence employment with us. Further information on Signity Software Solutions HR policies and procedures as amended from time to time would be shared with you through in Printed & Electronic Format. Signity Software Solutions reserves the right to review and update its employment policies and procedures as applicable from time to time and your agreement to comply with and abide by them will be deemed, upon any such review and updating. PROBATION PERIOD As per the policy of Signity Software Solutions, all employees will be on probation period of three months from the date of joining. During the probation period you shall not be entitled for certain benefits which are applicable to a confirmed employee. You would be deemed to be on probation until you receive written communication confirming the successful completion of your probationary period. SALARY Your cost to company after joining will be INR 7,20,000-/-(Rupees Seven Lakhs Twenty Thousand Only) annually. Signity Software Solutions may make deductions from salary in respect of salary, expenses, or benefits payments made, where for any reason, an overpayment has been made in error. In addition, on leaving a reasonable sum may be withheld where Company supplied equipment has not been returned by the last day of employment. If such withheld amount is not enough to satisfy the cost of such equipment the same shall be recovered from “Pratiksha Rawat” to which recovery “Pratiksha Rawat” voluntarily agrees without any undue influence or coercion.

DAYS/HOURS OF WORK Saturday and Sunday would be weekly off. Though your contribution might be asked on off days or off hours, if required for delivery or deadline of any project. Normal working hours may vary across the business depending upon the role or project you are assigned to. Some specified roles may also require shift working outside of normal working hours in order to fall into line with overseas working hours. While working on projects overseas working hours and notified holidays of the client location will apply. However you shall not claim any extra benefit under any applicable act for the extra working hours than normal working hours, which shall be compensated by Company in one way or the other at its own sole discretion. PERFORMANCE OF DUTIES The employee in the performance of his/her duties inherent in his/her post shall take instructions from and comply with the requirements of his/her superiors appointed by the company from time to time. In addition the employee shall be subject to and comply with the policies of the company and rules of employment from time to time as promulgated by the company. The company shall have absolute discretion to make changes in the employee’s responsibilities based on the needs from time to time. Any non-compliance with this clause will be treated as a breach of this agreement The Employee’s services are transferable at short notice to any department or any group at the discretion of the Company. Any such change in the assignment of duties or transfer does not imply additional remuneration, allowance, compensation or any other sum in respect thereof. The working hours applicable to employee will be the same as are observed depending upon employee’s place of posting and as amended from time to time. The employee should be prepared to work on any shift including night shifts as maybe warranted by the company’s/clients work requirements. COMPANY POLICY The Company is entitled to make declaration and amendments from time to time pertaining to matters such as leave entitlement, maternity leave, employee’s benefits, working hours, etc, at its sole discretion. The employee will be governed by the company’s rules and regulations (as well as practices) as enforced from time to time in respect of matters not covered by this document. All such policy decisions shall be binding on the employee and shall override this agreement to that extent.

ABSENCE FOR REGULAR EMPLOYEES You may be absent from work for various reasons. You are governed by the paid holidays of your work location during your tenure of service with the Company. The Company gives the following paid leave entitlement to its employees: Annual Leave Entitlement Annual Leave entitlement is accrued @ 1.5 working days per completed month of service or 18 working days per annum and will be calculated from the date of joining for confirmed employees. Break up of these as Paid, Sick and Casual Leave will be governed by HR policies in effect. Annual leave entitlement shall be subject to change as per Signity Software Solutions’s policy framed from time to time. Accumulation will generally be permitted as per the Company policy in force from time to time. Leave will be calculated as per calendar year which is from 1st January to 31st December. BENEFITS You will be entitled to benefits during the course of your employment in the Company subject to the rules and policy of the Company. Details of the benefits applicable to you are available on the Company’s Knowledge Management Portal, which can be viewed after joining. NOTICE PERIOD After confirmation of the end of your probationary period, or in cases where probation period is not applicable, your employment with the Company may be terminated by giving a notice of 60 Days. Company reserves the right to claim back financial or strategic loss to company as incurred due to your exit from the company with an unapproved cut-short notice period. In probation period, this notice period would be of 30 days. The Company reserves the right to waive off the notice period and salary payment during notice period. Upon gross misconduct company shall be entitled to terminate your services with immediate effect and without any liability of whatsoever nature towards you. Upon any such termination any rights to claim any benefits, as attached to other employees, shall stand waived off by you. TERMINATION The employee’s services can be terminated during the probationary period by giving 30 days notice . The employee services on confirmation are terminable with Sixty (60) days’ notice or payment thereof without assigning any reason. Similarly, the employee shall be at a liberty to resign from services after giving Sixty (60) days notice.

In case of employee not performing his/her duties to the satisfaction of his/her immediate supervisor and or unauthorized absence from work, undisciplined behavior during the Sixty (60) days’ notice period the employee will not be entitled to any pending wages, emoluments, benefit, experience certificate and relieving letter. Similarly, if employees leaves company without serving notice period or an un-approved cut short notice period, he/she employee will not be entitled to any pending wages, emoluments, benefit, experience certificate and relieving letter. The Company shall be entitled to forthwith terminate the appointment without any notice or payment of any kind whatsoever in lieu of notice or otherwise in case of: I. Any act of dishonesty, disobedience, insubordination, incivility, intemperance, irregularity in attendance or other misconduct or neglect of duty, or incompetence, non-performance to the satisfaction of the management in the discharge of duty or breach of any of the provisions of the agreement . II. The Employee being declared insolvent or to be adjudged an insolvent or where employee has to make a compensation or arrangement with creditors or is being found guilty by a competent court of any offence under the law. III. In the event of reconstruction or amalgamation of the Company whether by winding up of the Company or otherwise. IV. Discovery of any intentional or and willful incorrect information provided by the employee to the company in the application for employment or during the term of employment. V. If any declaration given or furnished by the employee to the company in any document submitted for employment proves to be false or if the employee has willfully suppressed any material information, the employee will be liable to be terminated without notice. PERSONAL STANDARDS The Company expects its employees to demonstrate the highest standards of professional behavior, conduct and integrity at all times. Additionally, employees should behave in a pleasant, co-operative and professional manner whether with the general public, customers, business contacts or work colleagues. DRESS CODE It is expected that employees appreciate the importance of proper behavior and appearance in business life and they ensure their dress, grooming and appearance are appropriate to professional business life. Your dress, grooming and appearance should reflect favorably upon other team members in the Company. You will strictly adhere to the dress code as intimated by Company from time to time and failure to do so shall amount to gross misconduct.

DISCIPLINARY PROCEDURE POLICY The organization has a formal Disciplinary Procedure Policy with which you are required to familiarize yourself. Failure to comply hereof shall amount to gross misconduct. EQUAL OPPORTUNITIES Company has an Equal Opportunities Policy which employees must follow at all times. Breaches may be dealt with under the Company Disciplinary Procedure and could lead to the termination of your employment. HARASSMENT You are required to familiarize yourself with this policy and comply with it at all times. Any instances of harassment are regarded as serious issues and noncompliance may lead to disciplinary action being instigated against you which could lead to the termination of your employment JOB RESPONSIBILITIES Company reserves the right, at any time during your employment, with reasonable notice, to require you to undertake any reasonable, alternative duties which are within your capabilities. EXPENSES You are entitled to claim reimbursement for out of pocket expenses incurred on Company business, which will always be subject to Management approval. NON DISCLOSURE OF INFORMATION The employee understands and agree that at no time during the continuation and for a period of two (2) years after the termination of the agreement divulge directly or indirectly to any individual , firm, company or use the information for himself/herself or for anybody for personal, business gain or vendetta any knowledge information about end-user customer, vendor, client (name, personal and financial information), documents concerning the business and affairs of the company or any of its dealing, transaction and such other like details of the company which the employee may acquire or accidentally learn or gain knowledge during the term of employment . The employee has read and understood that a breach or threatened breach either intentionally or otherwise would entitle the company to initiate civil and or criminal proceedings under Indian laws for the time being in force, and any other remedy including the recovery of monetary damages from the employee.

NON SOLICITATION The Employee covenants and agrees that the Employee shall not during the term and for a period of two (2) years after the termination of this agreement, directly or indirectly approach customer or business partner of the Company or its affiliates for the purpose of providing services substantially similar to the services provided by the Company or its affiliates; The Employee shall not for a period of two (2) years after termination of this agreement, directly or indirectly, approach, solicit, induce or attempt to approach, solicit, induce any of the employee or ex- employee who has left the services of the Company within preceding six (6) months to leave the employment of the Company or its affiliates. The breach of this covenant or threatened breach shall result in termination of the employment forthwith. The Company shall be entitled to initiate appropriate civil and or criminal proceedings against the Employee. The Employee shall also be liable to pay monetary damages to the Company for causing any business loss. INDEMNIFICATION You will indemnify and always keep indemnified Company and its directors, employees, officers, associates, from all claims, costs, liabilities, obligations and consequences of whatsoever nature, as a resultant from your misdeed, misconduct, negligence, misuse of internet and other facilities as provided by Company to you, false representations to any third party(s) or person(s) or any other and further act and deed which is not governed by the Company’s policies and terms and conditions. CHANGES TO TERMS AND CONDITIONS OF EMPLOYMENT Company reserves the right to change Terms and Conditions of Employment, including changes that may be required to comply with tax, employment and other legislation, or as a consequence of changes to administration procedures. Substantial changes will be discussed and agreed with you, individually, prior to implementation. Minor changes will be notified to you through any mode of communication. You warrant that: a. in accepting this appointment and performing your obligations and services under it, you confirm that you are not and will not be in breach of obligations under any other employment or appointment and that you are free from any contractual restrictions. b. all relevant exit terms and conditions of your previous employer have been complied with prior to accepting this offer or starting work on the above mentioned date.

c. you will, prior to accepting this appointment, intimate to the Company any external education and training courses being undertaken by you. d. you will, prior to accepting this appointment, disclose to the Company any prior medical history or illness which could effect your work in the Company. You are required to undergo pre-employment medical check-up as per the requirement of the company. e. you will abide by the policies and practices of the Company during your tenure of employment with the Company. f. your appointment that is based on the information & document supplied by you in your application for employment will be treated as null or void if in the opinion of the Company, a material error is discovered and/or due to non-disclosure of relevant information about you to the Company. g. in the event you are sent overseas for a Knowledge Transfer assignment or some special training , the Company reserves the right to ask you to sign an agreement/bond associated with the assignment. In the event of any breach of the conditions associated with the bond the Company will invoke the appropriate penalty clauses and you will be liable to pay the damages as provided in the said agreement/bond. h. This offer of employment is subject to receipt of employment references deemed satisfactory to Company. Your employment could be liable to termination where references which are unsatisfactory to Company are received after employment has commenced. i. The investigation, either by the company or through any agency hired by Company for the purpose of investigation, of your credentials and the information supplied by you for the appointment shall not amount to infringement of any of your rights, without limitation the right to privacy, as granted by the Constitution of India.

I agree and accept this offer of employment together with the Terms and Conditions of Employment as set out within. I also agree to sign the Non-Disclosure And Code of Practice Agreement enclosed with the offer of employment terms and conditions of which are incorporated herein by reference and forms and integral part of this Letter of offer. As an Intent & Acceptance to Join Signity, you need to accept attached “Terms & Conditions” Document. Also, Please sign the Photostat copy of this Letter as your acceptance and send/handover it to HR Manager , Signity or Undersigned.
