Rasuna Said RT.2/RW.5, Suite 529 Jakarta, INDONESIAIs the representative of Jakarta Modest Fashion Week, mentioned as FIRST PARTY.Name :Position :Address :Is the representative of designer/brand, mentioned as SECOND PARTY.Two parties have agreed to make a Letter of Agreement in these following points: Point 1 SCOPE OF THE AGREEMENTThis Letter of Agreement is made because SECOND PARTY has agreed to participate to theevent which is organized by FIRST PARTY. The event is JAKARTA MODEST FASHION WEEK whichwill be held in July in Jakarta. Point 2 THE TIME OF THE AGREEMENTThis agreement valid as soon as both parties sign the Letter of Agreement and will stay validuntil both parties do their obligations and get their rights. Point 3 OBLIGATIONS AND RIGHTS OF FIRST PARTYThe First Party is agreed to:1. Give this following compensation: a. 1 fashion show slot. b. Put the name of SECOND PARTY on the event schedule and content. c. Mention the name of SECOND PARTY in the event. d. Provide show invitations e. Provide the benefits stated in the proposal.2. Provide the supporting elements of the fashion show as follow: a. Backstage property for make up (mirror and lighting) b. Fashion show property (soundsystem and lighting)
c. Choreographer d. Music Director e. Multi media support during fashion show f. 10 models( different outfit each) for parade show , 20 models for exclusive show g. 10 outfits for Parade Shows and 25 outfits for Exclusive Shows h. Standard make up & hair do for the fashion show. For Exclusive Show: If there is any additional request, it should be informed latest a month prior to the event.3. Provide small snack and water for SECOND PARTY’s crew maximum 2 person. Only for backstage.4. Media Coverage: a. Press Conference ( shared for Parade Show, Exclusive for Exclusive Show). The Schedule will be given by FIRST PARTY. b. Featured in Official book of Jakarta Modest Fashion Week and official website, with this following details: 1. Appearance on official book of Jakarta Modest Fashion Week 2. Coverage on website 3. Mentioned in Jakarta Modest Fashion Week social media Point 4 OBLIGATIONS AND RIGHTS OF SECOND PARTYSecond Party on this Letter of Agreement is agree with this following points: A. GENERAL RULE OF THE FASHION SHOW 1. Designers work together with L/O Jakarta Modest Fashion Week to make sure the show will be on time. The JMFW Committee avoid any delay for the show because it will effect the other shows and the organization of the event. 2. Designers are suggested to provide the marketing tools like look book or brochure and the price list for the buyers. 3. Designers and brands acknowledge that JMFW owns all the rights for pictures or videos of the event. JMFW can use the pictures for commercial or non commercial purpose- to promote the event. Any copyright strike and consequences that arised from designer/brands’ materials are to be beared by SECOND PARTY. 4. A show will not be longer than 8 (eight) minutes for a parade show and 20 (twenty) minutes for exclusive show. 5. Each outfit for the fashion show should conduct with the modesty standards. Jakarta Modest Fashion Week is a modest fashion event meaning the clothes should cover and not accentuate the body and skin. However wearing hijab or headscarves is optional. 6. The organizer of the event will finalize the look including hair do and make up also the choreography at least two weeks before the opening of JMFW. 7. The designers will send the pictures of the clothes if requested that will be shown on the runway and the sequence of the show. It is suggested for the designers to bring extra outfit in case of any garment being damaged or refused by the FIRST PARTY reason being not in modesty standarts.
8. JMFW forbids to change the model, clothes, sequence and accesorries on the backstage (before the show). 9. If there is a need of extra models, designers will bear the cost of the model, make up and hair do. The organizer is not responsible for the payment of these additions. 10. Designers and choreographer will discuss the sequence of the show in technical meeting. 11. Designers are willing to cooperate with JMFW supporting elements from sponsors to associations.12. DESIGNER'S PR Person 1. If the designer or brand has their own Individual PR Person (IPR), they should inform the IPR details to JMFW committee at least 2 weeks before JMFW. The details are name of the company/contact person and contact details. 2. IPR ID card (access card) will be given but the use will be limited for the needs. 3. IPR is only allowed to attend their designer’s show. They need valid invitation to see other fashion shows. 4. IPR is allowed to promote their designer and is prohibited to make negative comments for other designers/brands, organizers, sponsors, clients, L/O JMFW and other officials of JMFW.13. SPONSORS ▪ Sponsors for Jakarta Modest Fashion Week is divided into 2 type: 1. Official Sponsors Jakarta Modest Fashion Week are the sponsors who funded the event and have the right to get compensation/benefit that is agreed by the organizer and the sponsors. 2. Sponsors for Designers/Associations are the sponsors who funded designers/associations show. They have the right to get compensation/benefit from the designers/associations as long as it is not collide with the official sponsors of JMFW. The guideline is as follows : 1. Sponsors for Designers/Associations are not in the same product categories as the main sponsors of JMFW. 2. Designers should request written approval for their sponsors from JMFW committee. 3. Sponsors for Designers/Associations can appear in: a. Designers’ own catalogue and look book b. Designers’ own fashion booths. c. Designers’ own promotional tools 4. In the fashion shows, official sponsors logo of JMFW will appear before and after the show of every fashion shows.
5. Designers & Brands should show the right JMFW logo on their promotion activities that is related to the event participation from Blog, Social Media post, press conference, media exposure. 6. L/O of JMFW will send the logos and marketing material per request. 7. The final decision that is related to sponsorship or fashion slot will be made by JMFW committee.14. MAKE UP & HAIR DO 1. Designers who participated in the Parade Shows will get standard Make Up & Hair Do from JMFW Make up team. Designers who participated in the Exclusive Shows should send the requested look for Make Up & Hair Do to JMFW committee at least 1 month before the event. 2. The Organizer will set the deadline date (H-3) where Show Director, Creative Director, Designer, Make Up & Hair Do Director will finalize the look, hair-do and make-up, in coordination with the Show Coordinator. 3. It is not allowed to make big changes for fashion show slots. Fashion show slots that consists of multiple designer should be discussed to show one look both for Make Up & Hair Do. 4. Make Up & Hair Do team will not provide wigs, hair acccessories and other following details. Designers/brands are responsible to pay, organize and provide the requested property. 5. It is forbidden for Designers/ Brands to use the models for the next show for interview or take pictures- as this will disturb the flow of the fashion show. If it is needed, designers/brands should ask permission from the Show Coordinator before doing those actions. 6. Make Up and Hair Do team cannot accept the last-minute request for certain look if they think this will cause the delay of the fashion show.15. SHOW DIRECTOR 1. Designers and Brands should maintain the standard sounds and lighting that is provided by JMFW team. 2. The lighting of the fashion show will be dominated by white color. 3. JMFW avoid additional properties on the fashion shows. Any additional property for the fashion show should get written approval from Show Director before the event. This will avoid the delay, accidents or any possible damage of the event. 4. The designers/brands should send the final look (with accessories if there is any) of their collections to L/O JMFW. This picture will be the final cue for Fitter and Queuer on the backstage.
16. MODELS 1. L/O JMFW will provide and set the models for each slots. Designers/Brands are not allowed to change their models with the models from different slot. 2. With Show Director’s approval, Designer/Brand can replace the model with their own additional model. 3. JMFW is only responsible for the models that they provide. 4. If there any additional models, the person should follow the scheduled rehearsal show. 5. The maximum number of additional model is 2 (two) models. 6. Model should respect the concept of JMFW that is Modest Fashion. It is advisable to style the model with modest fashion concept (covering and not accentuating the body). However wearing hijab is optional. 7. International models should have a valid working permit. 8. In case the additional model is a public figure or celebrity, they also should follow the rehearsal schedule of JMFW. 9. Models are forbidden to smoke, eat and drink in the green room and back stage. JMFW only allow these activity in the approved area.17. AUDIO – VISUAL 1. Designers and brands should follow the work timeline that is made by the Show Director. 2. Designers and brands should prepare and give the materials that are needed for the fashion shows: the music and the video, minimum 1 month before the fashion shows. If the designers and brands do not provide the requested materials, JMFW will decide the audio and give standard visual to be shown on the LCD. That consists only NAME OF THE BRAND, NAME OF DESIGNER and COUNTRY. 3. Designers and brands can share the design concept and mood of the fashion shows to the Show Director, Multimedia Director and Music Director. L/O of JMFW will specifically ask for required materials for the show. Designer/Brand has to follow the deadline of submission this materials. 4. Audio Visual materials can be given to JMFW team on soft copy or hard copy. The allowed contents: A. Picture, illustration and pattern B. Videos and photos C. Music or sounds 5. The designers who share one fashion shows slot, can only use one Audio- Visual concept for the show. Each shared fashion show should have one coordinator who will be responsible to ensure these. 6. JMFW has the right to change the Audio-Visual concept of the show if it is not suitable with the overall concept of JMFW.
18. GENERAL1. JMFW has made the clear guidelines of the event. Second party should make the payment in 15 (fifteen) work days after receipt has been issued. If payment is not complete until that day, JMFW holds the right to cancel any additional service.( such as Early Bird Offers, payment terms.)3. If Designer/Brand cancels the participation minimum 2 months before the event, JMFW will charge 50% from the total fee. If the cancelation is between 2 months and 1 month before the event, JMFW will charge 80% from the total fee. During last month, any cancellation will be faced with no refund.19. BEFORE THE SHOW 1. Accesorries and outfits for the show should be available on fitting time. The ones that are not shown during fitting time could not be use for the show. 2. Models will try and walk with the design during fitting time. This is to make sure the safety and smoothness of the show. 3. Designers/Brands and Choreographer will decide the sequence of the models. Designers/Brands are not allowed to switch the designs or change models without informing in advance and get permission from Show Director.20. DURING THE SHOW1. It is not allowed to make sudden changes on the backstage. JMFW will set the deadline dates for important points: Make Up and Hair do, Styling of the look and overall look of the show.2. The designers are allowed to organize the collection according to the sequence.3. The hanging bar should be arranged as one hanging bar for one show.4. JMFW will turn off the lighting if there are unexpected moment that may cause damage in the show.5. After the show, the designers and the team should take their collections from the green-room/backstage area.21. ID: 1. Designers/Brands and the team will get ID Card maximum 5 ID Cards. Any additional ID Cards should be requested minimum 3 weeks before the event.
2. JMFW will open the Green Room from 7 AM to 9PM. Designers and crew should follow the loading schedule made by JMFW team. The Designers and their crew should load their property to Green Room area maximum at 10 AM (on the day of the show). 3. Designers & Crews can enter the backstage 40 minute before their fashion show start. 4. Designers & Crews are not allowed to smoke, eat and drink in green room area and back stage area. 5. The violation of this points are: a. Verbal warning b. Take the ID or Cancel the show for heavy violations Point 5 CANCELATION1. Any revision or additional of this letter of agreement is valid as long as there is written agreement from both parties.2. The agreement cannot be cancelled only by one party. The party that is violating the contract should give the compensation to the other party.3. The compensation is 1 (one) contract value. Any complain should be on written text. Point 6 FORCE MAJEURE1. The force majeure in this point is the situation that can disturb the organization of the event but not in control of the organizers; natural disaster, weather, war, epidemic, sabotage, blockade, government decisions.2. Any possible loss that is caused by those events mentioned in point 1 cannot be the subject to sue any party. To solve this problem, both party should discuss together to meet the solution. FIRST PARTY is not obligated to make refund for the services they couldn’t provide in these circumstances. Point 7 THE SOLUTION OF CONFLICT1. If there is any conflict between two parties, both parties will solve the conflict with discussion.2. If the conflict cannot be solved with discussion, parties must solve the problem in related court.
