In 1996, Secretary of State Elaine F. Marshall became the first woman ever elected to a statewide, executive branch office in North Carolina and has served as President of the National Association of Secretaries of State. Voters re-elected her to a seventh term in 2020, and Governor Cooper presented her with the NC Order of the Long Leaf Pine award in 2022, the Governor’s highest award for service to the State. A former teacher, small business owner, and private practice attorney, Secretary Marshall was elected to the NC Senate before rising to statewide office. Under Secretary Marshall’s administration, more than 1.8 million businesses have been formed, she has pioneered e-commerce in government, protected investors and intellectual property owners, and promoted financial capital formation in North Carolina. Secretary Marshall has been very active in many civic groups in the areas of child welfare, women's issues, agriculture, and small-town economic development. She credits 4-H as an important part of her youth and received Lifetime Achievement Awards from North Carolina 4-H and in 2014 was inducted into the National 4-H Hall of Fame. She holds a B.S. in Home Economics from the University of Maryland and a law degree from Campbell University. She has received Honorary Doctorate Degrees from Campbell University, Lees-McRae College, Meredith College, and the Republic of Moldova State University of Medicine. Since becoming Secretary of State, she has received numerous state and national awards for leadership in technology, government innovation, and women's leadership. These awards include: • The 2022 Champion for Children Award from the North Carolina Foundation for Public School Children. • The 2020 John A. “Pete” Eberhart Ray of Light award from Boundless Impact for her decades of work advancing North Carolina’s Global Competitiveness. • The N.C. Bar Association’s 2020 Chief Justice I. Beverly Lake Jr. Public Service Award. • The 2019 Brand Protection Hero Award from the Center for Anti-Counterfeiting and Product Protection (A-CAPP). • The 2018 Person of the Year Award from The Women’s Business Center of North Carolina and was inducted into the North Carolina Women Business Owners Hall of Fame the same year. • The 2017 International Trade Lifetime Achievement Award from the Charlotte Business Journal. • The 2017 Woman of Achievement Award from Meredith College. • Leadership North Carolina’s 2016 Award for Public Service; and • She has been recognized as a leader in state trademark protection by the US Chamber of Commerce, the International Anti-Counterfeiting Coalition and Underwriters Laboratories --- just to name a few. She is married to Jessie Thomas Bunn. 5

Rules & Credentials The Rules & Credentials Committee shall review the delegate lists to determine eligibility of representatives. The local unit president shall clear with the Rules & Credentials Committee immediately upon arrival the substitution of alternates for delegates unable to attend. Rules of Procedure The Rules of Procedure shall be read and adopted at the beginning of the meeting. Order of Business: Meetings of the convention shall open and close at the time stipulated on the official program. The order of business shall be followed as shown in the printed agenda and the rules of procedure shall be adhered to strictly. Should it appear advisable to change the order of business, this should be announced at the beginning of the session. A delegate may secure a change in the order of business by requesting it and receiving approval of a simple majority of the Assembly at the beginning of the session. The President has the authority to alter the agenda due to circumstances. Seating Delegates: Delegates shall be seated in a designated area. Alternates, members, and guests shall be seated in other designated areas. Recording Minutes: The recording secretary, unless especially directed otherwise, shall not record motions ruled out of order or points of order on which no appeal is taken. Speakers (Who and When): No person, except those to whom set speeches and discussions have been assigned, will be allowed to speak more than twice and not more than three minutes each time on any subject without unanimous consent of the Representative Assembly. At a meeting of the Executive Board, only members can make motions or vote. Other persons who wish to speak may do so but must request this in writing and they will be recognized in the order in which the requests are received by the president. How to Secure Recognition: Any delegate desiring recognition by the chair shall go to a microphone, and upon being recognized by the president, give his or her name in full and state his or her local unit. Making Motions: Main motions submitted for consideration by the Representative Assembly shall be in writing on the forms provided and signed by the maker and seconder, both of whom shall be official delegates. Who May Vote: All persons recognized as delegates by the Rules & Credentials Committee shall be entitled to make, and second motions, and to vote on all questions and matters properly presented. Certain Motions Not Debatable: Chief among these are motions of adjournment, taking recess, suspension of rules, tabling and calling upon main motions. 8

Motions to Amend Main Motions: Motions to amend motions are debatable. These must be disposed of before action is taken upon the main motion. Not more than one such motion can be before the meeting at the same time. Reports: Persons making reports shall present a copy of the report to the secretary. Time limits set by the president shall be adhered to unless appealed and given unanimous consent by the Representative Assembly. A timekeeper shall be appointed by the president to serve at each session. Floor tellers: Floor tellers shall be appointed by the president to count, tabulate, and report standing or show of hand votes. During a vote count, only floor tellers will be permitted to move about. New Business: All business that has not been considered by the Executive Board must be presented in writing to the Recording Secretary prior to being considered by the voting body. Guidelines for Introduction of New Business Items a. A new business item must be an item over which the Division has jurisdiction. b. New business items relating to substantive policies or programs shall be specific in nature and able to be accomplished in one year. c. New business items directly or indirectly involving an expenditure of funds or potentially reducing revenues shall be accompanied by a cost estimate. Staff may also add an estimated financial impact statement. d. New business items may be submitted to the Chair of the New Business Item Committee at any time but must be submitted no later than 5:00 p.m. on the first day of the state convention or by the end of the first session. New business items submitted more than 30 days prior to the start of the state convention shall be printed in the delegate packet distributed at the convention. Otherwise, members who submit new business items to the Chair within 30 days of the beginning of the state e. Convention will be responsible for providing two (2) copies of the item (as edited by the New Business Items Committee per paragraph (f) of this policy) to the New Business Items chair. f. New business items must be submitted in writing on the form provided and all sections must be completed. The maker of the motion (contact person) shall be the first speaker and should have a seconder ready. g. The New Business Item Committee may edit the text of the item, provided no substantive changes are made and the final text is approved by the mover. h. Following review and editing, the Committee shall present the items to the Representative Assembly for action or referral. i. New business items may be amended on the floor. Substantive amendments must be written and presented to the Chair prior to floor action. The vote on a motion to refer shall be in order only after the maker of the original motion has been given the opportunity to speak to the referral. Rules and Credential Chair: Hazel Jackie Lee 9

Goal is $15,000. Total Collected: $10833.95 from 207 donors. $4166 needed to reach the goal. Introduction of Officers, Executive Board, Leadership and Staff Vice President Linda Gunter introduced the Administrative Council officers, the two board representatives, and Regional Directors members. President Ramey introduced the State Committee Chairs, Convention Chairs, Executive Director and Staff. President Ramey stated that there are 155 in attendance. Introduction of Guest Speaker Representative Tim Moore - Betsy Wells Speaker Moore, former student of Ms. Wells, is from Cleveland County. Elected to General Assembly in 2002. Longest running speaker of the house. UNC Chapel Hill 1992 graduate with a B.A. in Political Science. Attended law school at Oklahoma City University School of Law where he received his juris doctorate degree in 1995. Guest Speaker- Representative Tim Moore, Speaker of the NC House of Representatives Has highest respect for educators and retired educators. 2022 may have a surplus. Real challenge now is finding people to work. Investigated a lot into public education. Explained 2019 program - Rehire Retired Teachers program in high need areas in session law 2019. The two-year pilot program expired July 2021. Increased minimum wage for all school employees to $15 per hour. Free Summer School to help with learning loss. He supports and will continue to fight for a built-in COLA adjustment increase. Contact and develop a relationship with your legislators. Tell your stories. President Ramey thanked speaker Moore. Question and answer period followed. Vice President Linda Gunter will present Speaker Moore with a plaque “With appreciation for your efforts to secure a supplement for all retirees during the 2021-2022 Legislative Session”. BREAK – TEN MINUTES President Ramey welcomes back attendees. Adoption of Agenda - President Willie T. Ramey It was moved by Tama Bouncer and seconded by Sandra Hatley to adopt the agenda with latitude. Motion Passed. Rules of Procedure - Dr. Willie Stevens, Parliamentarian Review given for Review code of conduct, how to make a motion, and take seconds if applicable, and flow of conversation. The Rules of Procedure can be found on page 19-20 of the convention booklet. Please review the section regarding Speakers (Who and When). Be mindful, “No person will be allowed to speak more than twice and not more than three minutes each time, on any subject without unanimous consent of the Representative Assembly.” Dr. Stevens will serve as timekeeper. Members were given information with regards to New Business The previous mention rules and procedures with modification are submitted to the convention for their adoption. It was moved by Tama Bouncer and seconded by Laura Keith to approve the Rules of Procedure. Motion Passed. Pre-Delegate Report - Tama Bouncer 258 registered for the conference. 252 voting delegates and 6 nonvoting delegates. 144 present. 13

New Business Items Process - Betsy Wells, NBI Chair Betsy Wells explains what a NBI is and the procedure of submitting new business items. Updated forms were sent out yesterday. Important: (Old form) Handwrite your names at the bottom. Complete the bottom of form. Submissions should be sent to me at [email protected]. You can submit forms until Deadline 6:00 pm tonight. Rules regulating the submission of new business items as well as the form for submitting new business items are near the back of your convention booklet. A new business item must be an item over which the Division has jurisdiction. New business items directly or indirectly involving an expenditure of funds or potentially reducing revenues shall be accompanied by a cost estimate. Staff may also add an estimated financial impact statement. Approval of 2021 RA Minutes - Elvelon W. Mason, Secretary The minutes of the 2021 convention are included in the convention booklet on pages 8-12. It was moved by Pat Randall and seconded by Helen Williams and Gene Griffith to accept minutes. Minutes approved as presented. Treasurer’s Report - Ira LaVerne Reed, Treasurer Ex. Board recommended adoption of the 2021-22 Budget on pages 13-16. The largest source of revenue continues to be member dues. Member dues are less than what was budgeted. Expenses are less than budget. We are still operating in the black. Travel expenses are down due to meetings being held virtually. Currently discussing bringing back a lobbyist for next year. We will have to decrease expenses in order to afford one. The Chair declared that the treasurer’s report is accepted. Hiring a Lobbyist – The lobbyist is not included in the budget. If we hire a lobbyist, a committee will interview people to pick someone who is knowledgeable about our needs and wants. In the past, $36,000 was placed in the budget for a lobbyist. Consider making a contribution so we can hire a lobbyist. Sandra Hatley, Catawba County, made a motion that we create a form to donate funds to NCRSP for the purpose of hiring a lobbyist who has been vetted by NCRSP committee and Executive Board and will fulltime. Tom Simmons – friendly amendment …to work to the extent as outlined in the contract. Friendly amendment accepted. It was moved by Sandra Hatley, Catawba County and seconded by Nina Daye, Orange County that we create a form to donate funds to NCRSP for the purpose of hiring a lobbyist who has been vetted by NCRSP committee and Executive Board and will work to the extent as outlined in the contract. Q-How does the Committee fit into the motion? R-Start drawing money in now so that it will be there upon conclusion of the committee and Board work. Substitute motion made by Tama Bouncer, Wake County and seconded by Linda Gunter, Wake County that we create a form to collect funds to pay the salary of a lobbyist and that the funds be put into a separate account. Questions and concerns were expressed and addressed. Vote on substitute motion: 65-Yes 7-No Motion Passed Celebration of Doris Cooper by Vivian Branch & Marilyn McClain by Wilma Means Doris Cooper - 12/25/1937 - 11/1/21 from 7A; served as Regional Director for 5 years and State Committee Chair for 4 years. Marilyn McClain – no presentation NCRSP Memorial 2021-2022 - Laura Keith Tribute to our lost members’ names can be found on pages 6-7 in the convention booklet. In Memory by Author Unknown was read. A moment was silent held at the end of the presentation for our lost members. 14

On behalf of over 90,000 educators across the state, I say thank you for your service and staying in North Carolina, for your partnership, and for helping to move us forward. Trying to find a permanent home for NCAE. She looks forward to the work that we continue to do together. NCFPSC - Marca Hamm, Executive Director Marca’s Remarks. Thanked us for all that we continue to do for public school children. Over the past year we have done a love offering to help the children that they help. Raised the most money ever raised over $25,000. We are the top donor to the organization. Ms. Hamm shared some of the requests that they received. Rationale: Our Membership Committee needs the list of the local NCAE Presidents when trying to grow members all year. The present drive pays $10 to anyone who recruits a retired member. Rationale: Over the past ten years, NC retirees have received a 1% COLA increase. The 2% bonus for this year and the 3% bonus for next year is still 3% behind the inflation rate. States all around NC have passed such legislation. It is time the General Assembly stop giving lip service to retirees and show their support for our years of service to NC. Estimated cost: $0. BREAK – NINE MINUTES Introduction of Speaker-Representative Alma Adams, US House of Representative - Lena Murrill-Chapman Dr. Alma S. Adams was elected to her fourth full term representing the 12 Congressional District on November 3, 2022. She is the 100th women elected to the 113th Congress. She serves on several committees and sub-committees. Legislative accomplishment is the enactment of H.R. 5363, the Fostering Undergraduate Talent by Unlocking Resources for Education (FUTURE) Act that permanently provides funding totaling $255 million a year for all Minority-Serving Institutions, including $85 million for HBCUs. Guest Speaker - Representative Alma Adams, US House of Representative Education is her life work. She taught Art for 40 years at Bennett College. Representative Adams talked about bills that she co-wrote. Sponsor of Educators for America Act which will make investments in states to help meet needs of teachers or inspire teachers and she has written bills to help with student debt. Rep. Adams closed with her favorite quote from Abe Lincoln – a child is s someone who going to sit where you are sitting, and when we are gone they will carry on what you have started. Rationale: Keeping the NCRSP membership informed is crucial for to remain informed and engaged with the work of the association. Our elderly members who do not receive information digitally are left in the dark and feel disconnected to the organization. Rationale: It is a courtesy to our Association and retired members that everyone who will be affected should know when NCRSP member’s personal contact information is being released for NCAE use. Retired members expect that their information is being released for NCAE use. Retired members expect that their information is kept protected and trust that only NCRSP/NEA would be contacting them. We cannot accomplish this if the NBIs we pass at our state convention that need to be taken forward to the NCAE for inclusion in their/our overall program are not presented and passed before their convention. President Ramey gave us his State of the NCRSP address. Officers were sent certificates. You should have received it by now. Thanked officers for a job well done. Have 8025 members. Spoke about how important members are. Membership recruitment may have to be approached differently to gain new members. We have to give retirees a reason to join. Make a plan to contact retirees. Membership and communication was key in his message. Zooming can continue for some meetings but we still need to meet in person. Thanked John Wilson for his work at NCAE. We must elect people that will be a friend to us. Thanked us for our support and help to him as State President.
