- Sub-committees, working groups or any other party appointed by law, cabinet resolution or member of State Enterprise Board shall receive remuneration as follows; In case of State Enterprise member, the remuneration shall be paid as per number of sessions attended with the rate of that same as State Enterprise member. The remuneration paid for sub-committee, working group or any other party shall not be more than 2 parties and not more than once a month per party. The chairperson shall receive 25% higher than the members. All members would be responsible for income tax on their own. Authorities and Duties 1. To perform duties in accordance with their responsibilities under Chapter 3 of principles and guidelines on Corporate Governance of State-Owned Enterprises 2009. 2. To exercise their independent discretion to make a strategic decision and to be able to direct to change or restrain any actions when deemed necessary for EXAT’s best interests. 3. To perform other duties as assigned by the Board of Directors without affecting the independence in the performance of their duties. ARuedipt Coormtmittee Internal Audit The Expressway Authority of Thailand (EXAT) established the Internal Audit Office to provide assurance as well as independent and justifiable counseling service through systematically evaluating and improving the effectiveness of internal control process, risk management and corporate governance. It aims to add value and improve EXAT’s work performance for obligation achievement. The Internal Audit Office performs its duty in compliance with the Ministry of Finance’s Regulations on State Enterprise Audit Committee and Internal Audit Unit B.E. 2555 (2012), the Ministry of Finance’s Revised Handbook on State Enterprise Internal Audit B.E. 2555 (2012) and international standard for professional internal audit regulated by the Institute of Internal Auditors (IAA). The audit report would be proposed to the executives, audit committee and EXAT’s Board of Directors respectively. In fiscal year 2016 the Internal Audit Office completed its work consistent with the 2016 audit plan and approaches as stipulated in the Ministry of Finance’s Handbook on State Enterprise Internal Audit as follows: 1. The Ministry of Finance has appointed its member to represent the Ministry in EXAT’s Board of Directors and replace Mr. Narin Kalayanamit. As a result, Mr. Narin Kalayanamit was discharged from the Audit Committee from October 12, 2015 onwards. Given on June 3, 2016, the Board of Directors issued Order No. 6/2016 appointing Miss Banthornchome Kaewsa-ard as the member of the Audit Committee to replace Mr. Wuttipong Wiboonwong due to 65 years of age. Currently, the Audit Committee consists of Mr. Chanvit Amatamatucharti as the Chairperson, Miss Banthornchome Kaewsa-ard and Mr. Plakorn Wanglee as the member and Director of Internal Audit Office as the secretary. Performance The Audit Committee performs its duties as assigned by the Board of Directors and approaches as stipulated in the Board of Directors’ order No. 40/2015, Subject: Revision of the Audit Committee’s Authorities and Duties, the Ministry of Finance’s Revised Handbook on State Enterprise Internal Audit B.E. 2555 (2012) and the Audit Committee Charter Approved by the Board of Directors. 72 Annual Report 2016

In fiscal year 2016, the Audit Committee held a total of 11 meetings consisting of a joint meeting with the executives of EXAT’s work units, EXAT’s internal auditors and representatives of the Office of the Auditor General of Thailand as the auditor to the Expressway Authority of Thailand to jointly discuss, exchange opinions and suggest problem solutions to strengthening efficiency, effectiveness and operating value added beneficial to EXAT, service users and the public. The Audit Committee’s committed tasks can be summarized as follows: 1. Verification of financial report: Accuracy and reliability of the quarterly and annual financial statements are verified. The result shows that EXAT’s financial reports are considered reliable, consistently follow general accounting principles and contain adequate and proper disclosure of information according to the accounting standard. The Office of the Auditor General of Thailand’s suggestions for EXAT to note and prepare a support plan and risk management are indicated in the notes on EXAT’s financial statement. 2. Verification of internal control: EXAT’s established internal control system is reviewed and considered reasonably sufficient, appropriate and efficient in compliance with the State Audit Commission’s Regulation on Internal Control Standards B.E. 2544 (2001). 3. Verification of risk management: EXAT’s assessment reports on risk control and management are reviewed and demonstrate that the risk management is conducted in accordance with Performance Agreement, state enterprise plans, operating plans and guidelines for risk management as specified in the handbook and the FY 2016 risk management plan. The result is monitored to reduce or control the risks so as to be in the acceptable, effective and appropriate level. 4. Good corporate governance: EXAT’s implementation on good corporate governance approaches, way of practice in supervising the dissemination of public information and bidding announcement, compliance with the applicable laws, rules, regulations, cabinet resolutions and policies stipulated by the Board of Directors, complaint handling and preparation of disclosure report on conflict of interest involving EXAT’s Board of Directors, executives and employees are verified and found that good corporate governance is conducted transparently and appropriately with good management. 5. Internal audit supervision: The tasks are defined; supervise, recommend and support independent and impartial performance of internal auditor; review and approve the Internal Audit Office Charter, 5-year and annual audit plans, strategic and action plans to improve the performance of the Internal Audit Office, human resource development plans and the annual budget of the Internal Audit Office; verify audit performance in line with the audit plan and monitor corrective actions as recommended by the Audit Committee as well as in the audit reports and; support all internal auditors to improve their professional knowledge according to international standards. 6. Remuneration of the auditor: The remuneration incurred for the Office of the Auditor General of Thailand serving as the auditor of the Expressway Authority of Thailand costs 1,500,000 Baht. The Audit Committee performs its work carefully and gives independent opinions and suggestions which are beneficial to EXAT as a whole. Cooperation from concerning departments is also well-obtained. It is commented that EXAT has undertaken financial statement demonstrating its significant performance and financial status aligned with general accounting principles properly and reliably. The risk management and internal control system is considered adequate and appropriate. The result of the internal audit helps improve work performance, allowing risk reduction and creation of value added to the organization. The corporate operation is performed according to Performance Agreement, state enterprise plans, action plans and good corporate governance as well. Financial Analysis Traffic volume and toll revenue of fiscal year 2016 (October 2015–September 2016) are as follows: Total traffic volume is 650.38 million trips/year or 1.78 million trips/day, increasing from fiscal year 2015 by 4.28%. Total toll revenue (prior to sharing with the joint venture company) is Baht 24,891.33 million/year or Baht 68.20 million/day, increasing from fiscal year 2015 by 3.05%. Si Rat Expressway in suburban zone together with Sector D has the highest total traffic volume at 139.16 million trips/year or 0.38 million trips/day. Chaloem Maha Nakhon Expressway is the second highest with 138.14 million trips/year or 0.38 million trips/day followed by Si Rat Expressway in urban zone with total traffic volume of 119.16 million trips/year or 0.33 million trips/day. Kanchanaphisek Expressway (Bang Phli – Suksawat) total traffic volume is 93.86 trips/year or 0.26 million trips/day. Chalong Rat Expressway generates total traffic volume of 77.88 million trips/year or 0.21 million trips/day. Burapha Withi Expressway generates total traffic volume of 51.17 million trips/year or 0.14 million trips/day. Udon Ratthaya Expressway generates total traffic volume of 29.66 million trips/year or 0.08 million trips/day. Si Rat – Outer Bangkok Ring Road Expressway generates total traffic volume of 1.35 million trips/year or 0.004 million trips/day. In fiscal year 2016 (as of September 30, 2016) EXAT possesses total asset amounting to Baht 198,898.52 million, increasing from that of fiscal year 2015 by Baht 18,202.51 million or 10.07% due to an increase in noncurrent asset. Maximum utilization of expressways and assets: total area of 382,219.96 square wah in the expressway right-of-way has been utilized during fiscal year 2016. Volume per capacity ratio (V/C) shows 0.90. 2. Assurance on quality of service and safety: EXAT has conducted a public opinion survey and found that 91.7% of the expressway users are very satisfied with EXAT’s services while accidents occurred in expressway per 100 million vehicles/kilometer trip shows 11.86. 3. Stable growth on performance with reasonable profit resulting in net profit of Baht 8,924.72 million. Current Major Projects and Future Investment Si Rat-Outer Bangkok Ring Road Expressway Project This project aims to expand the network of Bangkok Metropolitan Region Expressway in the west to lighten at-grade traffic volume and mitigate the traffic on the west side between Bangkok and surrounding provinces to be more effective with the elevated 6 lane road. The route starts from Outer Bangkok Ring Road to the west and runs along the south line railway parallel to Boromarajajonani Road. Then it goes across the Chao Phraya River at Rama VI Bridge and continues to Bang Sue intersection until linking with Si Rat Expressway to the north of Mo Chit 2 Bus Terminal, covering total length of approx. 16.7 kilometers. Construction Period The project construction has been complete and open for service in December 2016. Project Status 1. On September 14, 2012, EXAT entered into the concession contract on the investment in construction design, management, services and maintenance of Si Rat-Outer Bangkok Ring Road Expressway Project with BECL and notified the company in writing of work initiation commencing on December 15, 2012 (construction period of 48 months). 2. On December 14, 2012, EXAT convened a kick-off meeting of the project which BECL would start the construction on December 15, 2012. The areas EXAT delivered to BECL for construction include the State Railway of Thailand’s (SRT) right-of-way, part 2 (from Ratchaphruek Road to Bang Bamru Railway Station) as well as part 3 (from Bang Bamru Railway Station to Rama VI Bridge) and the Department of Rural Roads’ (DRR) property covering part 2 as well as part 3. The former was delivered on January 11, 2013 and the latter on January 14, 2013 respectively. 3. Regarding land acquisition, the royal decree has been issued to specify the areas to be expropriated for the construction of Si Rat-Outer Bangkok Ring Road Expressway Project. The areas to be expropriated as proclaimed in the Government Gazette, Vol. 129, Part 16 Kor on February 10, 2012 include the local area in Bang Kruai District, Nonthaburi Province and Thawi Watthana, Taling Chan, Bang Phlat, Bangkok Noi, Bang Sue and Chatuchak areas, Bangkok Metropolitan in 2012. EXAT installed 20 PR signboards to disseminate information to the general public, surveyed and determined the area for land expropriation. The work is 100% completed from 100% of plan. 4. Internal Control Having recognized the significance of internal control, the Expressway Authority of Thailand (EXAT) has adopted the State Audit Commission (SAC)’s internal control standards including 1) control environment 2) risk assessment 3) control activities 4) information and communication 5) monitoring and evaluation based on to the Committee of Sponsoring Organization of the Treadway Commission (COSO)’s international standard framework for internal control to perform EXAT’s internal control operation. In addition, EXAT has applied principles and guidelines for risk management and internal control 2012 of the State Enterprise Policy Office (SEPO), the Ministry of Finance to the organization’s internal control as well with the emphasis on creation of value added with respect to resource utilization, asset supervision, reliable financial reports and compliance with the applicable laws, regulations, cabinet resolutions and government policies. EXAT has established an internal control system and requires that all work units perform control self-assessment (CSA) through the information system of the internal control management system which supports self-assessment of all work units so that work performance can be controlled, monitored and assessed in accordance with the set internal control system. Self-assessment is performed by means of risk-based internal control and independent assessment undertaken by the internal auditor to ensure adequacy, appropriateness, efficiency and effectiveness of the established internal control system. The summary report on internal control assessment and the internal auditor’s report on internal control assessment review are proposed to the Audit Committee and the Board of Directors annually. In fiscal year 2016, EXAT organized activities to enhance knowledge and understanding and developed the knowledge base pertaining to internal control for staff members at all levels so that they are aware of the necessity and significance of internal control as part of normal operation and that discipline and good attitude towards the internal control could be implanted in their minds. In addition, EXAT shares knowledge about information system development of the internal control management system with other agencies outside of EXAT. These activities include: Continuous Enhancement of Knowledge and Understanding for All Employees ● Provide training on “Internal Control, Risk Management and Business Continuity Management” under EXAT employee orientation project to create knowledge and understanding and recognize the importance of internal control containing in normal operation process, reducing opportunities for damage towards the employees themselves as well as the organization ● Arrange public relations media concerning the knowledge base of internal control such as having PR signboards installed at different workstations, e.g., office building, toll surveillance buildings, EXAT’s expressway control centre buildings and having leaflets published and disseminated in EXAT’s internal activity events and at toll surveillance buildings. ● Provide “Internal Control and Risk Management for Corporate Value Creation” training course to be a guideline for creating value added from all levels of employees’ working ● “Arrange a booth to disseminate knowledge about internal control and risk management” for the attendees on EXAT CG Day through a fun activity containing knowledge about internal control and risk management in between. Risk Management Expressway service is regarded core business of the Expressway Authority of Thailand (EXAT) mainly to alleviate traffic problem. Other businesses are also carried out under the concept of economical asset utilization. Risk management has been adopted, in pursuant to COSO-ERM Portfolio Views of Risk Framework, as a tool to support its operation by means of “Value-based Enterprise Risk Management (VBRM) resulting in successful management and sustainably organizational and national value. EXAT’s risk management mainly aims to handle any risks that might affect the achievement of the organization’s goals so as to reduce the opportunity for potential risks or make use of such an opportunity to create organizational value and benefits in line with the principles/guidelines on risk management and internal control 2012 of the State Enterprise Policy Office, the Ministry of Finance. Risk management plan has been annually reviewed and improved according to changing circumstances for achieving the objectives and obligation defining that risk can be managed in acceptable level consequently. Factors affecting or creating a key risk for the organization Based on the previous outcomes of risk management and evaluation of the organization’s quality, it reveals that EXAT has still encountered different risk situations which vary according to changing trends as well as uncertainty from internal and external factors. Therefore, it is essential that EXAT analyze the organization’s risk situations to be able to indicate the organization’s risks. In fiscal year 2016, 2 drive forces taken into consideration include EXAT’s organizational development which is viewed from the level of organization learning and the country’s economic outlook/transport and logistics system development. The tendency in organizational change and development showed a good sign and it is expected that the target level of organization learning could be achieved. Nevertheless, there are still risk issues EXAT is obliged to handle to ensure that the organization will not lose the opportunity for business development to enhance the organization value and to allow sustainable growth under acceptable risk level. Therefore, under EXAT’s direction of risk management in fiscal years 2014 – 2021, EXAT has performed a review of risk situation analysis by anticipating the future outlook, indication of risk drivers and the cause of risk, enabling EXAT to indicate and divide its key risk factors in fiscal year 2016 into 3 types: finance, strategy as well as law and regulation and establish 3 work plans to handle risks as follows: 1. Enhancement of investment capability strategy based on development/innovation management of financial administration and investment, e.g., setting up an infrastructure fund as well as an asset management company The outcome of risk control and management in fiscal year 2016 reveals that EXAT’s risk management is at acceptable level, reflecting EXAT’s good risk management. Additionally, in fiscal year 2016, EXAT’s business continuity plan (BCP) has been reviewed/improved to be in accordance with the current circumstances and efficiently cover key work systems. Rehearsal of every business continuity plan has been performed to be in preparation for solving any critical situations which may arise and affect EXAT’s operation. oRfeEsxeparercsshwaayndSeDrveicveelopment Reduction of greenhouse gas emissions from the use of Si Rat-Outer Bangkok Ring Road Expressway It is expected that Si Rat-Outer Bangkok Ring Road Expressway, total length of 16.7 kilometers and open for service on August 22, 2016 will help decrease the volume of vehicle kilometre of travelled for approximately 12,047 km in 2016 and 42,855 km in 2040. In addition to shortening travel distance and time which is direct economic benefits, air pollution also dwindles. Based on the calculation on the abatement of greenhouse gas emissions from the project between 2016 and 2040, it is found that the project can lessen over 400,000 tons of greenhouse gas emissions approximately or an average of over 16.7 thousand tons/year, equivalent to 236 million Baht for the cost of removing air pollution. Mitigation of accumulated, at-grade traffic congestion: Chalong Rat Expressway case study As EXAT foresees a traffic congestion problem on the expressways affected by at-grade, heavy traffic which is accumulated and flows over the expressways, it has developed a microscopic simulation model of traffic condition to find a measure to alleviate the said problem by using Prasoet Manukit (Kaset-Nawamin Road) off- ramp of Chalong Rat Expressway as a case study. The study revealed that dividing a traffic lane with a solid white line can diminish 50% of the traffic jam problem overall. Consequently, EXAT has implemented the above-mentioned measure at Prasoet Manukit (Kaset-Nawamin Road) off-ramp of Chalong Rat Expressway and performed an assessment of the measure both before After the implementation of solid line measure to divide traffic lanes at Kaset-Nawamin and after the implementation. The result Road off-ramp demonstrated that traffic condition on Chalong Rat Expressway is 20% better overall. Thus, EXAT will adopt that measure to other points that have similar problem to satisfy and facilitate the user as much as it can. 79Annual Report 2016

Development of Smart Variable Message traffic reporting sign (Smart VMS) and development of expressway travel time estimation system based on traffic condition data displayed on schematic map EXAT has developed the Smart VMS traffic reporting sign to provide traffic information service to the expressway users en route. In 2009, the Smart VMS version 1 was developed and 24 signs were installed in the expressway right-of-way. Later in 2013, there were general public’s complaints and the senate’s discussion on installing the Smart VMS signs in the position where the expressway users did not have a chance to shift to other roads despite realizing the traffic condition on the expressways. As a result, EXAT developed Smart VMS into version Smart VMS Version 1 2 in 2014 by having 1 sign mounted outside expressway right-of-way with the same output format as the Smart VMS version 1. In response to the users’ demand and to serve beyond their expectation, EXAT collaborated with the experts from various fields to further develop the design of Smart VMS into version 3. Expressway travel duration estimation system was developed and included in this version by using EXAT’s traffic report data displayed on the schematic map. EXAT also studied on the appropriate direction Smart VMS Version 2 Smart VMS Version 3 on Chalong Rat Smart VMS Version 3 on Pradit Manutham Road Smart VMS Version 4 Expressway and position for installation of additional signs outside expressway right-of-way, enabling the Smart VMS sign in version 3 to automatically report travel duration as well as PR messages and have the potential to report traffic condition on the expressways with motion picture. At present, EXAT has installed 2 travel duration reporting signs on Si Rat Expressway and 1 sign on Pradit Manutham Road before entering Ram Inthra Expressway toll plaza. In order to cover more service areas, EXAT has also mounted 4 signs of Smart VMS version 4 on Chalerm Maha Nakhon Expressway and another 4 on Si Rat Expressway. EXAT has formulated the 5 year long term strategic corporate social responsibility master plan (2016-2020) comprising key strategies to demonstrate corporate social and environmental responsibility which will lead to sustainable development as follows: Strategy 1 Responsibility for Business Procedure (Sustainable Business) which aims to enable EXAT to integrate social responsibility within the value chain starting from upstream level, partner/supplier, passing to midstream level, EXAT, until reaching downstream level, expressway users. Annual Performance in Year 2016 In 2016 the Expressway Authority of Thailand (EXAT) under the Ministry of Transport determines to complete its mission so as to enhance efficiency on quality of expressway services, particularly in solving traffic congestion problem in the Bangkok Metropolitan Region. The said performance is based on good management, business potential and corporate social responsibility. At present, EXAT has operated 8 expressways and 4 expressway links covering total length of 224.6 kilometers, namely Chaloem Maha Nakhon Expressway, Si Rat Expressway, Chalong Rat Expressway (Ram Inthra-At Narong and Ram Inthra-Outer Bangkok Ring Road Expressway), Burapha Withi Expressway, Udon Ratthaya Expressway, Bang Na-At Narong Expressway, Kanchanaphisek Expressway (Bang Phli-Suksawat) and Si Rat-Outer Bangkok Ring Road Expressway. It includes elevated road linking between the southern part of Suvarnabhumi Airport and Burapha Withi Expressway, expressway link between Kanchanaphisek Expressway (Bang Phli-Suksawat) and Burapha Withi Expressway, Chaloem Rajadamri 84th Birthday Anniversary of His Majesty the King Expressway (connection road between Kanchanaphisek Expressway (Bang Phli-Suksawat) and Industrial Ring Road) and connection road between Si Rat Expressway (Asok-Srinagarindra) and Chaturathit Road section C. Expressway Open for Service in 2016 The Expressway Authority of Thailand (EXAT) launched Si Rat-Outer Bangkok Ring Road Expressway service on August 22, 2016. Future Expressway Project 1. Rama III-Dao Khanong-Western Outer Bangkok Ring Road Expressway Project aims to serve as substitute route in case that Rama IX Bridge is required to be closed for essential maintenance so that there will be no trouble for the connection road to the South. It also helps ease heavy traffic congestion on Rama II Road, Dao Khanong-Outer Ring Road Section and Chaloem Maha Nakhon Expressway, Bang Khlo-Dao Khanong Section. The expressway has a total length of 18.7 kilometres. The starting point of the project is linked to the elevated road project on Highway No. 35 (Thonburi-Paktho) with the on-off ramps at the beginning point of the project at km 13+000 of Rama II Road. The elevated 6 lane expressway (3 lanes for each direction) overlaps along the median of Rama II Road to the northeast until reaching Dao Khanong Toll Plaza. Then, the route overlaps Chaloem Maha Nakhon Expressway and terminates on Rama III Road which is close to Bang Khlo Interchange, linking with Chaloem Maha Nakhon Expressway and Si Rat Expressway. New 8 lane (4 lanes for each direction) bridge crossing the Chao Phraya River will be constructed and align to the south of Rama IX Bridge. 2. Third Stage Expressway System Project, Northern Route, Section N2 and Eastern E-W Corridor aims to solve a traffic congestion problem, improve the intersection to increase the efficiency of Prasoet Manukit Road, link expressway networks with Eastern Outer Ring Road to lighten soil volume and relieve traffic in the east between Bangkok and the provinces nearby more efficiently. The route has a total length of 10 kilometres and the starting point of the project is located at km 1+000 of Prasoet Manukit Road. The elevated 4 lane (2 lane for each direction) expressway overlaps along the median of Prasoet Manukit Road to the east. Then the route crosses over Wang Hin Intersection (Lad Pla Khao Road), Sena Nikhom Intersection, Suksawat Intersection, Chalong Rat Expressway at the crossing between Prasoet Manukit and Pradit Manutham Road, Highway No. 350 Intersection and Nawamin Road Intersection until joining Eastern Outer Bangkok Ring Road at the end of the expressway. 3. Burapha Withi-Pattaya Expressway Project aims to link Burapha Withi Expressway network to eastern region and connect the trip to Laem Chabang industrial estate and port. It helps support economic development and tourism of Chon Buri and Pattaya City and serves as travel and transport route in case of natural disasters and emergency. This elevated expressway covers total length of 68 kilometres with 6 traffic lanes (3 lanes for each direction). The route starts at the end of Burapha Withi Expressway, Chonburi Toll Plaza, heads southwards along Chon Buri By Pass, parallel to Motorway No. 7 (Bangkok-Chon Buri Motorway) on the left and passes Si Racha. Then it diverts to the right of Motorway No. 7 until reaching a connection road to Laem Chabang port and is linked with Motorway No. 7 at the end of the expressway before entering Pattaya City. 4. Udon Ratthaya-Ayutthaya Expressway Project aims to connect expressway networks for the trip to central region and provide a connection road to Bang Sai Royal Folk Arts and Crafts Centre. It also serves as travel and transport route in case of natural disasters and emergency. This elevated expressway covers total length of 42 kilometers with 4 traffic lanes (2 lanes for each direction). The connection starts from Udon Ratthaya Expressway at Bang Pa-in Toll Plaza in Bang Pa-in District, then the route continues northwards, passes Bang Sai District, Bang Badan District and terminates on the national highway No. 32 in Bang Pahan District, Phra Nakhon Si Ayutthaya Province. 5. Chalong Rat-Sara Buri Expressway Project aims to link expressway networks for the trip from Bangkok to the east of Pathum Thani Province, Nakhon Nayok Province, Saraburi Province and northeastern region. This elevated expressway covers total length of 104.7 kilometers with 6 traffic lanes (3 lanes for each direction). The expressway is connected with Chalong Rat Expressway at Chatuchot Toll Plaza on eastern Outer Bangkok Ring Road. The route heads to the east, passing Hathairat Road and Nimit Mai Road to the northeast. Then it continues to pass Lam Luk Ka Road, Rural Road NY 3001, Rangsit-Nakhon Nayok Road and the national highway No. 33 (Suwannason Road) to the north. After that the route crosses and goes along the national highway No. 3222 connecting with Bang Pa-in-Nakhon Ratchasima Motorway and Saraburi Bypass to the east before joining Highway No. 2 (Mittraphap) in Kaeng Khoi District, Saraburi Province at km 10+700. 6. Kathu-Patong Expressway Project, Phuket Province aims to connect the trip from Kathu District to Patong beach to accommodate travel to the locals as well as the tourists, promote tourism in Phuket Province and solve a traffic problem and accident on the highway No.4029. In addition, it is used as evacuation route in case of natural disasters. The express- way covers total length of 3.98 kilometers with 4 traffic lanes for each direction (2 automobile lanes and 2 motorcycle lanes), starting from Patong Sub-district, Kathu District on Phrametta Road (Principle City Plan Road route A). It is elevated to cross Phisitkorani Road until reaching Khao Nakkoed, covering total length of 0.9 kilometers and passing through the underpass with total length of 1.85 kilometers. Then the route is elevated again with 1.23 kilometers in length prior to terminating in Kathu Sub-district at the crossing of the national highway No. 4029. 85Annual Report 2016

Easy Pass Electronic Toll Collection System The Expressway Authority of Thailand (EXAT) has launched the electronic toll collection system by adopting Easy Pass in Chaloem Maha Nakhon Expressway, Chalong Rat Expressway, Kanchanaphisek Expressway (Bang Phli-Suksawat), Burapha Withi Expressway, and Udon Ratthaya Expressway, including in the elevated road at the southern part of the Suvarnabhumi Airport linking the Burapha Withi Expressway and the expressway link between Kanchanaphisek Expressway (Bang Phli-Suksawat) and Burapha Withi Expressway. Currently, the number of Easy Pass cards sold by EXAT is 1,201,119 (data as of September 30, 2016). At present, EXAT accommodates Easy Pass users by increasing more access of top-up service through external organizations by means of ATM, internet banking and mobile banking which are operated by 7 commercial banks including Krungthai Bank Public Company Limited, Siam Commercial Bank Public Company Limited, Kasikornthai Bank Public Company Limited, Bangkok Bank Public Company Limited, TMB Bank Public Company Limited, Bank of Ayudhya Public Company Limited and United Overseas Bank (Thai) Public Company Limited . In addition, easy top-up service has been provided by 4 private companies, namely Counter Service Co., Ltd. through convenience stores, Easy Top-up Co., Ltd. through Visa credit card, Ek-Chai Distribution System Co., Ltd. through “Tesco Lotus Cashier Service Counter” and True Money Co., Ltd. through Wallet by True Money. Furthermore, EXAT has launched and operated Easy Pass Fast Service at PTT petrol service station, Office of the Permanent Secretary for Defence’s Welfare Branch (Bang Na, Outbound), from 09:30-15:30 hrs, Monday-Saturday, which is another service channel to facilitate the users. Apart from that, EXAT and the Department of Highways are in the process of launching a joint electronic toll collection system service which the M-Pass and the Easy Pass are linked by October 2016. Right-Of-Way Development In fiscal year 2016, EXAT develops a total area of 10,796.47 square wah for public utility. Followings are examples of the areas implemented. Si Rat Expressway 1. Makkasan Interchange area to construct a public park covering total area of 4,938 square wah 2. Thongpoon Hotel area, Rama VI Road to build sports ground covering total area of 419 square wah 3. The information displayed on the website has been regularly updated and developed. Smart Interactive Map (SIMAP) and schematic map are provided to demonstrate traffic report system with color-coded line on the map to help verify data accuracy with the intelligent traffic sign (ITS) system, enabling interested expressway users to study the route from real time traffic information prior to their travels. Any complaints on the service can be given by accessing the website page to facilitate expressway users and general public for inquiry of information, complaints and service suggestions. Additional channels used to publicize EXAT information via social media network include Facebook (http://facebook.com.Expessway.Thailand) and Twitter (https://twitter.com/ExatWebmaster). EXAT Call Center Service EXAT Call Center 1543 provides EXAT’s information service concerning traffic route and condition on expressways, administrative assistances of emergency/accident or any requirement of assistance through cooperation so as to quickly accommodate and help expressway users and general public. It also obtains complaints as well as recommendations and follows up response to any complaints as soon as possible throughout 24 hours. In fiscal year 2016, EXAT improves the servicing and server security control systems and performs public relations of EXAT Call Center. Moreover, it has implemented a television and radio spot production project to publicize its service channels to general public via social network as well as facilitation and safety service project during the 2016 New Year and Songkran Festival, building a good image and confidence in the organization towards the service users. The average number of the customers/day is 1,321. EXAT Intranet, EXAT Sound, EXAT Digital Signage and Multi-Touch Systems (I-Touch) EXAT publicizes information internally through EXAT intranet, EXAT Sound, EXAT digital signage and multi-touch systems (I-Touch) in a form of news information, press releases, slides, video, graphic displays, texts and notifications useful for work performance. They also help improve learning and skill of personnel, create positive work environment and serve as the means of two way communication which is beneficial to personnel and organizational development as a whole. EXAT Public Information Center Service According to Article 7, 9 and 11 of the Official Information Act B.E. 2540 (1997), EXAT Public Information Center was established to provide information service to general public and give lectures on knowledge of the said act. The Center also serves as observation site for governmental and state enterprise sectors. It is located in front of EXAT head office. One Stop Service Center EXAT has launched the One Stop Service Center at Chatuchak office building. The service provided consists of Easy Pass top-up service, issuing tax invoice, collecting rental payment of right-of-way area utilization, selling purchasing document, checking land acquisition and providing general information about expressway. The counter service is also provided to the customers. Customer Relation Activity 1. The 1st Expressway across the City of Year 2016 EXAT in collaboration with traffic radio station 91 launched the “Expressway across the City: Fish and Shellfish Home Construction to Follow in Our Father’s Footsteps” campaign during the period of March 12-13, 2016, engaging the expressway users in the fish and shellfish home construction activity. The attendees also jointly freed the life of crabs back to the nature at Kung Krabaen Bay Royal Development Study Centre in Chantaburi Province. 2. The 2nd Expressway across the City of Year 2016 EXAT in collaboration with traffic radio station JS 100 launched the “Expressway across the City: Amazing, Man-made Forest by Turning Empty Shrimp Farm into Mangrove Forest” campaign to promote a good relationship between EXAT and expressway users during the period of August 27-28, 2016 in Prachuap Khiri Khan Province. Public Relations Activity Public Service Unit launched during the New Year and Songkran Festival 2016 According to facilitation, security and safety plan, EXAT in collaboration with governmental agencies and alliance companies launched the public service unit through the New Year Festival 2016 between December 24, 2015 and January 4, 2016 in order to provide service and facilitate expressway users’ travel. Toll fee of Burapha Withi Expressway, the elevated road at the southern part of the Suvarnabhumi Airport linking Burapha Withi Expressway and the expressway link between Kanchanaphisek Expressway (Bang Phli-Suksawat) and Burapha Withi Expressway was exempted during the period of December 25, 2015-January 3, 2016. In addition, EXAT launched the public service unit through the Songkran Festival 2016 during the period of April 8-18, 2016. Toll fee of Burapha Withi Expressway, the elevated road at the southern part of the Suvarnabhumi Airport linking Burapha Withi Expressway and the expressway link between Kanchanaphisek Expressway (Bang Phli-Suksawat) and Burapha Withi Expressway was exempted during the period of April 9-17, 2016. Check point service such as initial motor inspection, tire inflating, distilled water battery fill up and battery check was provided as well as the rest stop offering drinking water, coffee and refreshing towels free of charge. 89Annual Report 2016

Social and Public Interest Activity 1. Sharing Smiles with Kids surrounding Expressway On January 8, 2016 EXAT organized the activity “Sharing Smiles with Kids surrounding Expressway” on the occasion of the National Children’s Day 2016 to present scholarships, conference chairs, cheerleading equipment, sports clothes, sports shoes as well as Thai and Western musical instruments to Bang Kruai Elementary School (Wat Si Prawat School). 2. “Volunteer Spirit by Thai Expressway” On March 28, 2016 EXAT organized the activity “Volunteer Spirit by Thai Expressway” led by EXAT executives, regular employees, temporary employees and people in Wimuttiyaram Temple community and the communities nearby to jointly clean up the temple areas including both old and new ordination halls and provide financial support to Prapariyatti Dhamma School of the temple as well as cleaning supplies to Wimuttiyaram Temple. 3. “Dream-Weaving for Thai Kids” Project EXAT launched “Dream-Weaving for Thai Kids” Project by organizing the “Young EXAT Futsal Cup” activity on April 28, 2016 at EXAT sports ground. 8 youth futsal teams from the communities surrounding expressway right-of-way participated in this competition. EXAT provided sports equipment and financial support for futsal to every team taking part in this activity as well. 4. “Magic Box to Save the Earth” Project On June 13, 2016 EXAT and Ampol Food Processing Co., Ltd. mutually signed the Memorandum of Understanding on collaboration and participation in the “Magic Box to Save the Earth” project for fiscal year 2016 to present 240 sets of student desk and chair made from recycled UHT cartons to schools in need in Chaiyaphum and Nakhon Nayok provinces. In addition, it also offered a financial support of Baht 100,000 to Ban Nonsaad School in Chaiyaphum Province, Baht 112,000 for air conditioner purchase and Baht 35,000 for scholarship to the schools in Saraburi Province. 5. National Day for the Elderly 2016 On June 20, 2016 EXAT launched the activity “EXAT’s Love Giving on the occasion of the National Day for the Elderly 2016” at Kanchanaphisek Expressway (Bang Phli-Suksawat) Central Control Building to provide health care training to the elderly from Chotiwat and Wimuttiyaram Temple communities. Apart from that EXAT arranged a sightseeing trip to Erawan Museum for them as well. 6. Expressway for Youths 2016 On July 1, 2016 EXAT organized the scholarship award event of “Expressway for Youths 2016” to present 33 scholarships divided into each of Baht 10,000 awarded to the selected youths, aiming to offer educational support to the youths in need whose schools were located close to the expressway right-of-way communities and build up a good relationship between EXAT and the communities along expressway right-of-way. 7. “EXAT Youths” Project EXAT organized “EXAT Youths” Project twice in fiscal year 2016. 1st time on February 27, 2016 at the Golden Jubilee Museum of Agriculture, Khlong Nueng Sub-district, Khlong Luang District, Pathumthani Province representatives and youths from 9 communities surrounding the expressway right-of-way were offered to participate in the learning activity involving His Majesty King Bhumibol Adulyadej’s information and remarkable talents and self-sustaining agriculture practice. 2nd time on September 3, 2016 at Chulachomklao Royal Military Academy, Phrommani Sub-district, Muang Nakhon Nayok, Nakhon Nayok Province, representatives and youths from 10 communities surrounding expressway right-of-way were taken to attend the adventurous and learning activity through nature trail. 90 Annual Report 2016

Monitoring work performance pursuant to the Official Information Act B.E. 2540 (1997) 1.1 Make an Announcement on organization structure and management, authority, procedures and contact venue for EXAT’s dissemination of information in 2012 which was promulgated in the Royal Government Gazette, Vol. 129, Special Part 81 Ngor dated May 16, 2012. Effective March 23, 2012, the announcement has assigned the Information Division (ID) under the Office of the Governor (OG) to serve as the focal point for EXAT information services and operate EXAT Call Center as well as EXAT Public Information Center. The Division shall also provide information according to Article 9 of the Official Information Act B.E. 2540 (1997) for general public access and cooperation to ensure any performance in compliance with the Official Information Act B.E. 2540 (1997). 1.2 Set as significant policy of the state agency by emphasizing on “Disclosure is the core, concealing is an exception.” since the Act came into forces. EXAT issued an announcement of policy on adherence to the Official Information Act B.E. 2540 (1997) dated April 24, 2012. 1.3 Establish EXAT Information Center (since December 3, 1998) under the Information Analysis and Dissemination Section, Information Division, Office of the Governor. EXAT Information Center is located in front of EXAT head office (Chatuchak), 2380 Phaholyothin Road, Senanikhom Subdistrict, Chatuchak District, Bangkok 10900 Telephone 0 2490 1196, 0 2558 9800 Ext. 2244; Facsimile 0 2940 1198 on weekdays from 08:30-16:30 hrs. For more information, contact via EXAT website at www.exat.co.th. 1.4 Appoint Deputy Governor for Law and Land Acquisition to supervise any performance in compliance with the Official Information Act B.E. 2540 (1997) and appoint “EXAT Information Committee” composing of Deputy Governor for Law and Land Acquisition as Chairperson, Department/Office Directors as committee member and Director of Information Division as committee member and secretary. The Committee is in charge of determining policy and measures and giving suggestions on adherence to the Official Information Act B.E.2540 (1997) as well as the Rule on Official Secrets Protection B.E. 2544 (2001). 91Annual Report 2016

1.5 Arrange the internal audit on public information services complying with principles of information technology disclosure and transparency which is considered one of the corporate governance (CG) approaches. Suggestions were given for better improvement of work. 1.6 Issue the Announcement on fee collection, request for a copy or certified true copy of EXAT information dated June 15, 2012. 1.7 Provide the Regulation on EXAT Information (2nd Issue) B.E. 2555 (2012) dated June 15, 2012. 2. Recognition/Award 2.1 Selected as a role model on public information services and adherence to the Official Information Act B.E. 2540 (1997); Ministerial Level on July 1, 1999. 2.2 Awarded certificate showing appreciation on the establishment of Public Information Center for general public service as role model on its performance following the Official Information Act B.E. 2540 (1997) on January 14, 2008. 2.3 Obtained shield award of outstanding organization from Prime Minister (Mr. Abhisit Vejjajiva) in good cooperation of Public Information Center establishment in fiscal year 2010 on February 4, 2011. 2.4 Obtained State Enterprise Excellence Award on the “2012 Operational Plan of EXAT Information Center following the Official Information Act B.E. 2540 (1997)” in the contest of Corporate Governance Promotion Plan for State Enterprise in Year 2012 organized by the Office of the National Anti-Corruption Commission (NACC). The shield of honor and 150,000 Baht in cash was awarded by NACC Chairman on November 16, 2012. 2.5 Obtained shield of honor award as a role model in establishment of Public Information Center in year 2012; Ministerial Level awarded by Minister of Prime Minister’s Office (Mr. Varathep Ratanakorn) representing Prime Minister (Ms. Yingluck Shinawatra) as chairperson of the Official Information Board on August 9, 2013. 3. Promotion and development of knowledge and understanding on principles, essence, benefits and guidelines on the exercise of rights under the Official Information Act B.E. 2540 (1997) 3.1 Invited continuously by external agencies to give lectures on the Official Information Act B.E. 2540 (1997) since 1999. Mr. Pongsak Jumsai Na Ayudhya, Director of Information Division, has been assigned as a lecturer posted in the Office of the Permanent Secretary, the Prime Minister’s Office by lecturing on knowledge of the Official Information Act B.E. 2540 (1997) to executives and employees of public and private sectors. In 2015-2016, he has been invited as a lecturer by the following organizations: • The Department of Fisheries on December 22, 2015 • EXAT’s training program on the “Official Information Act B.E. 2540 (1997) and EXAT’s Regulation on EXAT Information B.E. 2553 (2010)” course on February 12, 2016 92 Annual Report 2016

3.2 Requested by the following external organizations for observation of EXAT Public Information Center in 2015-2016: • National Statistical Office on July 5, 2016 • Government Housing Bank on July 12, 2016 3.3 Organized on-the-job (OTJ) training regarding the courses on “Knowledge of the Official Information Act B.E. 2540 (1997)”, “Knowledge of the Rule on Official Secrets Protection B.E. 2544 (2001)” and EXAT’s Regulation on EXAT Information B.E. 2553 (2010)” for EXAT employees annually to comply with standard key performance indicators for disclosure of official information as follows: • Provided training course on the “Official Information Act B.E. 2540 (1997) and EXAT’s Regulation on EXAT Information B.E. 2553 (2010) to approximately 200 personnel including EXAT’s information coordination officer as well as EXAT’s regular and temporary employees at Conference Room 2301, 3rd floor, EXAT Building 2 (Head Office), Chatuchak on February 12, 2016. • Provided training course on “Skills and Compliance with the Rule on Official Secrets Protection B.E. 2544 (2001)” to approximately 92 personnel including EXAT’s registrar of classified information and his/her assistant in accordance with EXAT’s Order No. 382/2014 dated December 23, 2014 as well as Section Chiefs at Conference Room 2301, 3rd floor, EXAT Building 2 (Head Office), Chatuchak on July 1, 2016. 4. Information services as requested by general public and responses to consultation In fiscal year 2016, 66 people made a request for information review at EXAT Public Information Center (Data as of September 30, 2016) which was the information according to Article 7, 9 and 11 of the Official Information Act B.E. 2540 (1997). EXAT has improved the information retrieval system and document files, arranged pamphlets introducing EXAT Public Information Center as well as public relations bulletin board and provided the place for information services. Additionally, questionnaire of survey on customer’s satisfaction have been distributed for public opinion and adopted it for further consideration on information disclosure. 93Annual Report 2016

Report of the Board of Directors’ Responsibility for the Financial Report The Expressway Authority of Thailand’s Board of Directors is aware of its responsibility for supervising the organization’s financial report to ensure that the financial statements are prepared in line with financial reporting standards as well as appropriate accounting policies pursued on a regular basis, contain disclosure of adequate and proper information and obtain an audit and certification from the Office of Auditor General. The Board of Directors has appointed an Audit Committee consisting of independent members to supervise, inspect and verify the financial report, risk management system, internal control system as well as internal audit so that they are efficient and in compliance with the applicable rules and regulations. The Board of Directors is of the opinion that EXAT’s financial report for the year ended September 30, 2016 is reliable and accurate in accordance with financial reporting standards and generally accepted accounting principles respectively. Auditor’s Report Presented to the Board of Directors, Expressway Authority of Thailand The Office of the Auditor General has audited financial statement as of September 30, 2016 showing comprehensive income statement, capital changes statement and cash flow statement for the year ending on the same day of each year of the Expressway Authority of Thailand (EXAT) of which the management of EXAT is responsible for the accuracy and completeness of the information therein. The executive’s responsibility for financial statements The executive is responsible for preparation and presentation of these financial statements in accordance with financial reporting standards and is responsible for the internal control which the executive considers that it is necessary for preparing financial statements with clear evidence in contrary to the material facts. The auditor’s responsibility The Office of the Auditor General is responsible for the opinions on the financial statement as a result of the audit by the Office of the Auditor General. The Office of the Auditor General has performed the audit in accordance with the generally recognized auditing standards which stipulate that the Office of the Auditor General has to plan and perform the audit so as to bring about reasonable confidence in the results of the audit that the financial statement has displayed clear evidence in contrary to the material facts or not. The audit includes employing methods to get evidence about the amounts and information disclosures in the financial statements. The method depends on auditor including the risk assessment of data which against the principle facts of the financial statements whether it due to fraud or error. In this risk assessment, the auditor considers internal control relevant to the preparation and presentation of the financial statements by the requirement of the Expressway Authority of Thailand to design the methods that is appropriate to the situation but it is not for the suggestion on the effectiveness of the Expressway Authority of Thailand’s internal control. The audit also includes the appropriate assessment of accounting policies and the reasonable accounting estimates which made by experienced management, as well as the assessment of presentation in the overall financial statement. The Office of the Auditor General believes that such an audit would arrive at the conclusions with appropriate criteria in the expression of opinion by the Office of the Auditor General. Opinion The Office of the Auditor General opines that the above mentioned financial statements as of September 30, 2016, performance and cash flow ending on the same day of each year of the Expressway Authority of Thailand were accurate in accordance with the generally accepted financial reporting standards. Information and emphasized incident Without expressing the opinion with condition in the matter to be stated next, the Office of the Audit General would like to draw attention to the note to the financial statements, item 4.25 on the liabilities that may arise as of September 30, 2016 as the Expressway Authority of Thailand has liabilities that may arise from being sued totaling 26 cases in the amount of Baht 38,472.88 million.
