BIOGRAPHIES Becky Klein, Principal—Klein Energy Rebecca A. Klein is a Principal of Klein Energy, LLC. Ms. Klein is Managing Partner at the Austin office of Loeffler Tuggey Pauerstein Rosenthal LLP. She serves as the Head of the Austin office of Loeffler. She also serves as Of Counsel to the law firm Tuggey Rosenthal Pauerstein Sandoloski & Agather LLP. She has more than 16 years of experience at the state and federal level, including extensive legal, regulatory and government affairs ex- pertise in energy and telecommunications. ... Ms. Klein has an extensive management, human resource, organizational development, and political and lobbying experience. She has knowledge in the legal, regulatory and military arenas. From 1991 to 1993, Ms. Klein served as an Associate Director of the U.S. Trade and Development Agency, where she oversaw accounts in various multi-lateral banks. She served as a Policy Director for Governor George W. Bush, with particular focus on telecommunications, energy, hous- ing, technology and banking issues. Her federal experience dates back to 1988 when she worked on legislative affairs matters for the Secretary of the Air Force, U.S. She also served as an Associate Director in the White House Office of Presidential Personnel under President George H.W. Bush from 1989 to 1992. She served as a Consultant in Washington, D.C. with KPMG Consulting (now Bearing Point), heading development of the Washington, D.C.'s Office of Government Affairs and Industry Relations. She serves as Chairman of Power Across Texas. Ms. Klein served as Chairman of Lower Colorado River Authority from January 2008 to January 2011. She serves as Chairman and a Commissioner of the Texas Public Utilities Commission. Ms. Klein was a candidate for the United States Congress to represent the state's 25th Congressional District. She served as the Vice Chairman of the Board of Directors of Lower Colorado River Authori- ty. She has been a Director of Avista Corp. since January 2010. She sits on the boards of an Austin biotechnology company and a financial firm based in New York City. She was a Senior Fellow of Georgetown University's McDonough School of Business. She is a Member of the State Bar of Texas. Ms. Klein graduated from Stanford University with a B.A. in Human Biology, obtained a Master of Arts in National Security Studies from Georgetown University and earned her JD from St. Mary's University in San Antonio. Carolyn Shellman, Chief Legal & Administrative Officer—CPS Energy Carolyn Shellman oversees CPS Energy's Legal, Audit, Compliance & Ethics, Govern- mental Affairs, People & Culture and Facilities functions. Before joining CPS Energy in 2006, Shellman served as Vice President & General Coun- sel for the Electric Reliability Council of Texas (ERCOT). Prior to that position, she was a partner at the law firm of Hunton & Williams LLP and a partner at Bickerstaff Heath & Smiley LLP. She also has served as the Director of Hearings as well as the Secretary of the Commission at the Public Utility Commission of Texas. Shellman is a graduate of Vassar College and has a law degree from the University of Oklahoma. She is a member of the State Bar of Texas and the State Bar of Oklahoma.

BIOGRAPHIES Cris Eugster, Chief Operating Officer– CPS Energy Cris Eugster is responsible for overall operations and strategy for CPS Energy including over 7500MW of generation capacity, 12,600 miles of electrical distribution, 1,500 miles of electrical transmission, and 5,300 miles of gas distribution system. He is also respon- sible for corporate strategy including the integration of new technologies and the devel- opment of new products and services for our customers. Eugster was formerly a Partner with McKinsey and Company. He has a Bachelor of Sci- ence from Texas A&M University, and a Master of Science and Doctorate from MIT – all in Electrical Engineering. Felecia Etheridge , Chief Customer Engagement Officer - CPS energy Felecia Etheridge oversees customer experience and engagement initiatives at CPS En- ergy. She is also responsible for ensuring consistent and exceptional customer experi- ences across major customer channels and touchpoints. Prior to joining CPS Energy in August 2016, Etheridge led her own consulting company. She has also worked at Pacific Gas & Electric Company, TXU, Assurance Energy and Global Customer Solutions. She has extensive experience in customer service, smart meter implementation, cus- tomer operations, energy delivery, regulatory relations, federal affairs, and human re- sources. Felecia is a graduate of Harvard’s Advanced Management Program, and has a BBA in International Marketing from Texas A&M University. Fred Bonewell, Chief Safety & Security Officer– CPS Energy Fred Bonewell oversees all of CPS Energy's internal and external safety programs. Through a behavior-based safety program, the company continues to experience a re- duction in employee accidents through the promotion of safety awareness. A similar ap- proach is being implemented externally to encourage safety among contractors as well as customers. Bonewell has more than 30 years of progressive leadership experience in employee health and safety, risk, workers’ compensation, and labor relations. He has worked for Louisville Gas & Electric, Florida Power & Light, and others. Bonewell is a graduate of Indiana State University.

BIOGRAPHIES Jan Vris,, Lead - Navigant Jan Vrins heads Navigant's Global Energy practice. He has extensive management consulting experience in the energy sector and a history of growing businesses in di- verse, global markets. Jan has more than 20 years' experience working with clients, advising executive leaders on developing and operationalizing their strategies to im- prove customer service, and increase revenue while decreasing costs. His work covers enterprise and operational strategy, operating model design, organizational restructur- ing, business process improvement, business transformation and change manage- ment, performance management, post-merger integration, and technology strategy and implementation. Jan's utilities industry experience includes investor‐owned and government-owned utilities in North America, Europe and Latin America. He also has early career experi- ence in the natural resources, oil and gas, aerospace, automotive and industrial man- ufacturing industries. Dr. Massoud Amin, Professor– University of Minnesota Dr. Massoud Amin, Professor of Electrical and Computer Engineering, holds the Hon- eywell/H.W. Sweatt Chair in Technological Leadership, and is the Director of the Technological Leadership Institute at the University of Minnesota in Twin Cities. In addition to his administrative and research responsibilities, he serves as the director of graduate studies (DGS) for the security technologies (MSST) program (2008- present), served as the DGS for the management of technology (MOT) program (2003-2009) and teaches several courses including MOT 8920 (Science & Technology Policy), MOT 8224 (Pivotal & Emerging Technologies), MOT 8940 (Intellectual Proper- ty Valuation & Strategy), MOT 8950 (International MOT Project), MOT8234 (Capstone Project), and ISE 5302 (Critical Infrastructure Security and Protection). Prior to joining the University of Minnesota in March 2003, Dr. Amin held positions of increased responsibility including Area Manager of Infrastructure Security, Grid Op- erations/Planning, and Energy Markets at the Electric Power Research Institute (EPRI) in Palo Alto, California. In the aftermath of the tragic events of 9/11, he directed all security-related research and development at EPRI, including the Infrastructure Secu- rity Initiative (ISI) and the Enterprise Information Security (EIS). Prior to October 2001, he served as manager of mathematics and information science at EPRI, where he led strategic research in modeling, simulation, optimization, and adaptive control of national infrastructures for energy, telecommunication, transportation, and fi- nance.

BIOGRAPHIES Michael Bell, President & CEO—Silver Spring Networks Michael Bell is President, CEO, and member of the Board of Directors for Silver Spring Networks. Prior to joining Silver Spring, Mike held several leadership posi- tions at Intel Corporation, spearheading the company’s expansion into new catego- ries of connected devices. These included Corporate Vice President and General Manager of the New Devices Group and co-leader of the Mobile and Communica- tions Group. Before that, Mike was part of the executive management team at Palm Inc. where he served as Senior Vice President of product development and was re- sponsible for all aspects of product strategy, development and deployment, bring- ing the Palm PRE, the Palm PIXI, and many more products to market. Prior to his time at Palm, Mike was Vice President, CPU Software, Macintosh Hard- ware Division, at Apple Inc. Over the course of his career at Apple, spanning 1991 Rob Talley, - Talley & Associates Robert Talley provides strategic and legislative advisory services to selected clients with interests before the federal government. Talley & Associates, founded in 1998, is a political consulting firm specializing in association advisory consulting as well as regulatory and legislative lobbying services to clients. Mr. Talley’s primary areas of expertise include the energy and environmental sectors. He is a regular speaker and commentator for trade associations, trade publications, has presented to the United Nations and is a commentator for FOX news. Prior to starting Talley & Associates, Mr. Talley was a founding partner in The McMillan Group, a firm specializing in political consulting and merchant banking with offices in Washington, DC and Charlotte, North Carolina. Before co-founding The McMillan Group, Mr. Talley worked on Capitol Hill. Mr. Talley is a graduate of The George Washington University School of Business and Public Management where he received an M.B.A. and was inducted into the Beta Gamma Sigma Honor Society. He received his B.A. in Environmental Science from the University of Virginia. Paula Gold– Williams, President & Chief Executive Officer—CPS Energy Paula Gold-Williams was named President & Chief Executive Officer in July 2016 after serving nine months in an interim role. Since 2008, she has served CPS Energy as Group Executive Vice President - Financial & Administrative Services and Chief Financial Officer (CFO) & Treas- urer for the nation's largest gas and electric municipal utility. She also has served in other ca- pacities such as chief administrative officer and controller. Gold-Williams joined CPS Energy in 2004 after holding various positions in several San Antonio businesses, including regional controller for Time-Warner Cable and vice president of finance for Luby's, Inc. Gold-Williams is a Certified Public Accountant and a Chartered Global Manage- ment Accountant. She earned an Associate of Fine Arts degree from San Antonio College, a Bachelor of Business Administration, with a concentration in Accounting from St. Mary’s University, and a Master of Business Administration, in Finance & Accounting from Regis University.

BIOGRAPHIES Stuart Pearman, - ScottMadden Stuart Pearman has been a management consultant for almost two decades years and a partner for for more than ten. He leads the energy practice at ScottMadden, a general man- agement consulting firm with primary practices in Energy, Clean Tech & Sustainability, and Corporate & Shared Services. Stuart has expertise in energy, clean tech, related services, outsourcing, and general management across a broad range of functions in a number of in- dustries, including financial services, telecommunications, internet services, and construction services. Stuart is also an experienced practitioner with substantial general industry experi- ence in both line and staff management roles. Prior to joining ScottMadden, he worked at NBC, a division of GE. Stuart earned a B.A. in psychology from Williams College and an M.B.A. from the Kenan-Flagler Business School at the University of North Carolina, where he graduated at the top of his class and won the Best Industry Analysis Award. In addition to his full time job at ScottMadden, Stuart serves as an assistant professor at UNC's Kenan-Flagler Business School where he teaches consulting and leadership.
