Authorities and Duties 1. To analyze and evaluate the situation expected to have risk and affect EXAT’s mission execution, to define the risk management policy to prevent, control and reduce the risk which may occur so as to be implemented by the executives and employees. 2. To define the risk management strategy in conformity with risk management policy, to direct the risk management system to be appropriate, sufficient and efficient to ensure that EXAT has indicated, analyzed, evaluated and managed the risk to proper and acceptable level and connected to Internal Control system, and to monitor, assess the control result and handle these risks consecutively. 3. To review the sufficiency and efficiency of risk management system and risk management policy including the efficiency and effectiveness of the policy implementation as prescribed, to give suggestions in order to improve and reinforce risk management performance to create EXAT’s value. 4. To supervise the risk management handbook and plan undertaking, to review plan, monitor and evaluate the risk management altogether, to give suggestion to improve risk management plans so that they conform to the defined policy and strategy. 5. To enhance the communication on risk management to raise awareness and share responsibility for this matter effectively and cost effectiveness, which makes the risk management partially organization culture and daily activity at every work unit. 6. Remark: Remuneration rate is in compliance with the cabinet resolution on July 2, 2013 as indicated below - The Board member would receive the meeting allowance of 10,000 Baht per month, while the chairperson of the Board of enterprises appointed would receive 25% higher than the board members and the board members will be responsible for their own income tax incurred. - Sub-committees, working groups or any other party appointed by law, cabinet resolution or by member of State Enterprise Board shall receive remuneration as follows: In case of State Enterprise member, the remuneration shall be paid as per number of sessions attended with the same rate as that of State Enterprise member. The remuneration paid for sub-committee, working group or any other party shall not be more than 2 parties and not more than once a month per party. The chairperson shall receive 25% higher than the members. All members would be responsible for income tax on their own. Authorities and Duties 1. To perform duties in accordance with their responsibilities under Chapter 3 of principles and guidelines on Corporate Governance of State-Owned Enterprises 2009. 2. To exercise their independent discretion to make a strategic decision and to be able to direct to change or restrain any actions when deemed necessary for EXAT’s best interests. 3. To perform other duties as assigned by the Board of Directors without affecting the independence in the performance of their duties. Audit Committee Report Internal Audit The Expressway Authority of Thailand (EXAT) established the Internal Audit Office to provide assurance as well as independent and justifiable counseling service through systematically evaluating and improving the effectiveness of internal control process, risk management and corporate governance. It aims to add value and improve EXAT’s work performance for obligation achievement. The Internal Audit Office performs its duty in compliance with the Ministry of Finance’s Regulation on State Enterprise Audit Committee and Internal Audit Unit B.E. 2555 (2012), the Ministry of Finance’s Revised Handbook on State Enterprise Internal Audit B.E. 2555 (2012) and international standards for professional internal audit regulated by the Institute of Internal Auditors (IIA). The audit report would be proposed to the executives, audit committee and EXAT’s Board of Directors respectively. In fiscal year 2017, the Internal Audit Office completed its work consistent with the 2017 audit plan and approaches as stipulated in the Ministry of Finance’s Handbook on State Enterprise Internal Audit as follows: 1. Audit of 15 operating systems following the 2017 audit plan and monitoring the performance according to audit reports 2. Audit of operations according to the cabinet resolutions 3. Performance In fiscal year 2017, the Audit Committee held a total of 10 meetings regarding different agendas with the executives of EXAT’s work units, internal auditors, and representatives of the Office of the Auditor General of Thailand as the auditor to the Expressway Authority of Thailand. One joint meeting was conducted with senior executives and another meeting with representatives of the Office of the Auditor General of Thailand to exchange opinions and suggest operating guidelines and problem solutions for strengthening operational efficiency and effectiveness beneficial to EXAT, service users and the public. Tasks achieved by the Audit Committee can be summarized as follows: 72

1. Verification of financial report: Accuracy and reliability of the quarterly and annual financial statements are verified. The result shows that EXAT’s financial reports are considered reliable and consistently follow general accounting principles. They also contain adequate, proper and complete disclosure of information according to the accounting standard. The Office of the Auditor General of Thailand’s suggestions for EXAT to note and prepare a support plan and risk management are indicated in the notes on EXAT’s financial statement. 2. Verification of internal control: EXAT’s established internal control system is reviewed and considered reasonably sufficient, appropriate and efficient in compliance with the State Audit Commission’s Regulation on Internal Control Standards B.E. 2544 (2001). The Committee follows up on the executives’ improvements as per recommendations on a continual basis and suggests those concerned to prepare for the management of the joint venture agreements that will soon expire. 3. Verification of risk management: Risk management systems are reviewed. Reports on results and risk management activities are performed in accordance with guidelines for risk management as specified in the handbook and the annual risk management plan. The result is monitored to reduce or control the risks so as to be in the acceptable, effective and appropriate level. 4. Good corporate governance: EXAT’s implementation on good corporate governance approaches, compliance with the applicable laws, rules, regulations, cabinet resolutions and policies stipulated by the Board of Directors, complaint handling and preparation of disclosure report on conflict of interest involving EXAT’s Board of Directors, executives and employees are verified and found that good corporate governance is conducted transparently and appropriately. The Audit Committee also attaches importance to the supervision of resolving complaints and ensures that these complaints are dealt with in a more efficiently way. 5. Internal audit supervision: The tasks are defined; supervise, recommend and support independent and impartial performance of the internal audit unit; review and approve the Internal Audit Office Charter, 5-year and annual audit plans, strategic and action plans to improve the performance of the Internal Audit Office, human resource development plans and the annual budget of the Internal Audit Office; verify audit performance in line with the audit plan and monitor corrective actions as recommended by the Audit Committee as well as in the audit reports and; support all internal auditors to improve their professional knowledge according to international standards. 6. Remuneration of the auditor: The remuneration incurred for the Office of the Auditor General of Thailand serving as the auditor of the Expressway Authority of Thailand costs 1,500,000 Baht. The Audit Committee performs its work carefully and gives independent opinions and suggestions which are beneficial to EXAT as a whole. Cooperation from concerning departments is also well-obtained. It is commented that EXAT has undertaken financial statement demonstrating its significant performance and financial status aligned with general accounting principles properly and reliably. The risk management and internal control system is considered adequate and appropriate. The result of the internal audit helps improve work performance, leading to the organization’s risk reduction. As for good corporate governance, compliance with the applicable laws, rules, regulations, cabinet resolutions and policies stipulated by the Board of Directors is carried out and no conflict of interest is found. Total toll revenue (prior to sharing with the joint venture company) is 25,955.71 million Baht/year or 71.11 million Baht/day, increasing from fiscal year 2016 by 4.28%. Si Rat Expressway in suburban zone together with Sector D has the highest total traffic volume at 138.16 million trips/year or 0.38 million trips/day. Chaloem Maha Nakhon Expressway is the second highest with 136.37 million trips/ year or 0.37 million trips/day followed by Si Rat Expressway in urban zone with total traffic volume of 119.45 million trips/ year or 0.33 million trips/day. Kanchanaphisek Expressway (Bang Phli-Suksawat) total traffic volume is 94.28 trips/year or 0.26 million trips/day. Chalong Rat Expressway generates total traffic volume of 81.00 million trips/year or 0.22 million trips/day. Burapha Withi Expressway generates total traffic volume of 53.85 million trips/year or 0.15 million trips/day. Udon Ratthaya Expressway generates total traffic volume of 31.10 million trips/year or 0.09 million trips/day. Si Rat-Outer Bangkok Ring Road Expressway generates total traffic volume of 17.19 million trips/year or 0.05 million trips/day. In fiscal year 2017 (as of September 30, 2017) EXAT possesses total asset amounting to 199,331.02 million Baht, increasing from that of fiscal year 2016 by 432.50 million Baht or 0.22% due to an increase in noncurrent asset. Maximum utilization of expressways and assets: total area of 405,749.78 square wah in the expressway right-of- way has been utilized during fiscal year 2017. Volume per capacity ratio (V/C) shows 0.72. 2. Assurance on quality of service and safety: EXAT has conducted a public opinion survey and found that 92.2% of the expressway users are very satisfied with EXAT’s services while the number of expressway accidents per 100 million vehicle-kilometers of travel shows 10.86. 3. Stable growth on performance with reasonable profit resulting in net profit of 9,539.73 million Baht. Current Major Projects and Future Investment Si Rat-Outer Bangkok Ring Road Expressway Project This project is an elevated 6 lane road, aiming to expand the network of Bangkok Metropolitan Region Expressway in the west in order to lighten at-grade traffic volume and mitigate the traffic on the west side between Bangkok and surrounding provinces more effectively. The route starts from Outer Bangkok Ring Road to the west and runs along the south line railway parallel to Boromarajajonani Road. Then it goes across the Chao Phraya River at Rama VI Bridge and continues to Bang Sue intersection until linking with Si Rat Expressway to the north of Mo Chit 2 Bus Terminal, covering total length of 16.7 kilometers. Construction Period The project construction has been complete and open for service in December 2016. Project Status 1. On September 14, 2012, EXAT entered into the concession contract on the investment in construction design, management, services and maintenance of Si Rat-Outer Bangkok Ring Road Expressway Project with Bangkok Expressway Public Co., Ltd. (BECL) and notified the company in writing of work initiation commencing on December 15, 2012 (construction period of 48 months). 2. On December 14, 2012, EXAT convened a kick-off meeting of the project which BECL would start the construction on December 15, 2012. The areas EXAT delivered to BECL for construction include the State Railway of Thailand’s (SRT) right-of-way, part 2 (from Ratchaphruek Road to Bang Bamru Railway Station) as well as part 3 (from Bang Bamru Railway Station to Rama VI Bridge) and the Department of Rural Roads’ (DRR) property covering part 2 as well as part 3. The former was delivered on January 11, 2013 and the latter on January 14, 2013 respectively. 3. Regarding land acquisition, the royal decree has been issued to specify the areas to be expropriated for the construction of Si Rat-Outer Bangkok Ring Road Expressway Project. The areas to be expropriated as proclaimed in the Government Gazette, Vol. 129, Part 16 Kor on February 10, 2012 include the local area in Bang Kruai District, Nonthaburi Province and 75

Thawi Watthana, Taling Chan, Bang Phlat, Bangkok Noi, Bang Sue and Chatuchak areas, Bangkok Metropolitan in 2012. EXAT installed 20 PR signboards to disseminate information to the general public, surveyed and determined the area for land expropriation. The work is 100% completed from 100% of plan. 4. The project construction has been complete and open for service since August 22, 2016 earlier than scheduled for December 2016. Risk Management Expressway service is regarded as core business of the Expressway Authority of Thailand (EXAT). EXAT has a duty to develop and improve expressways, ensuring their safety and compliance with applicable standards, while providing innovative, value-added services. Its businesses are carried out under the concept of economical asset utilization so as to strengthen the potential of expressway business and social benefits. In addition, it places a high value on developing management systems as well as investing to enhance organizational values in accordance with its vision: “Being determined to improve expressways and offer a good service that is economically worthwhile, convenient, fast and safe in a sustainable way.” Risk management has therefore been adopted, in pursuant to COSO-ERM Portfolio Views of Risk Framework, as a tool to support its operation by means of “Value-based Enterprise Risk Management (VBRM). Such an approach emphasizes performing duties using multiple strategies while regarding risk management as a way to create business opportunities, resulting in the achievement of organizational values and benefits. This has been performed in line with the principles/guidelines on risk management and internal control 2012 of the State Enterprise Policy Office, the Ministry of Finance. Risk management plan has been annually reviewed and improved according to changing circumstances for achieving the set objectives and obligation, ensuring that risks are managed in the acceptable level. Based on the previous outcomes of risk management and evaluation of the organization’s quality, it reveals that EXAT has still encountered different risk situations which vary according to changing trends as well as uncertainty from internal and external factors. Therefore, it is essential that EXAT analyze the organization’s risk situations to be able to indicate the organization’s risks. Such risks are managed to ensure its business development opportunities and organizational value enhancement, leading to its sustainable growth under the acceptable risk level. EXAT has performed a review of risk situation analysis by anticipating the future outlook, indication of risk drivers and the cause of risk, enabling EXAT to indicate and divide its key risk factors in fiscal year 2017 into 3 types: finance, strategy, and law and regulation. Enhancement of investment capability strategy based on development/innovation management of financial administration and investment, e.g., setting up an infrastructure fund as well as an asset management company Additionally, in fiscal year 2017, EXAT’s business continuity plan (BCP) has been reviewed/improved to be in accordance with the current circumstances and efficiently cover key work systems. Rehearsal of every business continuity plan has been performed to be in preparation for solving any critical situations which may arise and affect EXAT’s operation. Besides, EXAT has increased a communicating channel to enhance knowledge and create understanding about its business continuity plan for employees. The outcome of risk control and management in fiscal year 2017 reveals that EXAT’s risk management is at the acceptable level, reflecting EXAT’s good risk management. 77

Internal Control The Expressway Authority of Thailand (EXAT) has recognized and developed internal control operation on a continuous basis. Risk-based internal control has been evaluated and systematically integrated with the organizational risk management in the following 5 components: 1) control environment 2) risk assessment 3) control activities 4) information and communication 5) monitoring and evaluation. This has been carried out in line with the State Audit Commission (SAC)’s internal control standards 2001 and the Committee of Sponsoring Organization of the Treadway Commission (COSO)’s international standard framework. In addition, principles and guidelines for risk management and internal control 2012 of the State Enterprise Policy Office (SEPO), the Ministry of Finance, have also been applied to the EXAT’s internal control operation. The summary report on the EXAT’s internal control assessment are annually proposed to senior officials, EXAT Governor, Risk Management Committee, Audit Committee, Board of Directors and Office of the Auditor General of Thailand. Aside from the implementation of the internal control plan approved by the Board of Directors, importance is also given to the use of information technology in the Control Self-assessment (CSA). All work units (12 departments, 39 divisions, 152 sections) have performed CSA, either in assessing internal control components or evaluating their internal control activities, under an internal control system namely Intranet-based Internal Control Management System since fiscal year 2011. This system encourages executives from the section head level to participate in managing and reporting internal controls in accordance with the established system so as to facilitate and constantly update the implementation while reducing operational processes. In fiscal year 2017, EXAT has developed an Internal Control Management System Mobile Application. The application helps facilitate internal control operation and enhance the ability to perform anytime, anywhere, enabling users including section heads and directors (division/ department/office) to record results, approve reports and access relevant information more conveniently and rapidly. 1st Set of Images : Use of Intranet-based Internal 2nd Set of Images : Use of Internal Control Management Control Management System System Mobile Application The results of EXAT’s internal controls in fiscal year 2017 are found to meet the same standards while achieving adequacy, appropriateness, efficiency and effectiveness according to the set objectives. 78

RofesEexaprrcehss&wDayevSeelorvpicmeent Mobile Application for Smart Traffic Information by the Expressway Authority of Thailand (EXAT Traffic) Since 2011, EXAT has used mobile technology (Mobile Application for Smart Traffic Information) to specifically report on traffic conditions on expressways and provide users with useful information for making their pre-trip and enroute decisions. In 2017, EXAT has upgraded the mobile application to version 3.0 namely “EXAT Traffic”. Based on the latest information on the application users in August 2017, EXAT Traffic has been used more than 125,000 times/month (both on iOS and Android), with 18:00-20:00 hrs. being the peak hours for the app usage, and the majority of the users (over 40%) being those traveling on Si Rat Expressway. The new mobile application version 3.0 has additional up-to-date features such as Social Share, Location Base Service, Around Me and VDO Streaming from CCTV cameras on expressways. Such features allow EXAT Traffic users to access smart traffic information, enabling them to make wise decisions in planning their trips with expressways, and truly enjoy “Comfort and Safety on the Expressway”. EXAT Traffic can be downloaded from Google Play and App Store by searching for “EXAT Traffic”. Traffic congestion identification by using traffic report display Smart Map, or a map containing color-coded lines, which provides information on traffic conditions, has been widely used by a large number of road users as it helps them plan their trips effectively. Aside from the aforementioned benefit, Smart Map can also be used for identifying congested areas as well as causes of congestion. Currently offered by various providers, such a map identifies traffic congestion levels using indicators that suit their existing resources. For example, TOMTOM Traffic uses Congestion Level to specify congested spots while Longdo Map employs Longdo Traffic Index to display congestion on each road. EXAT is one of the providers that offers traffic reporting service through the internet and smartphones in the form of a schematic map featuring green, yellow and red lines to show the level of congestion. However, this map gives a real-time report and has not collected any traffic results. Providing that these results are stored in a database, EXAT will be able to bring them to analyze and pinpoint congested areas as well as their severity levels using time spent in congestion and percentage. Once congested areas are identified, EXAT will then develop a simulation model, rather than on-site testing which may affect expressway users, in order to test measures to alleviate the problems until the best measure is achieved and applied on expressways. EXAT has created a schematic map database which demonstrates traffic conditions on expressways, analyzes congested spots in expressway networks and sorts congestion by severity level on a quarterly basis. A simulation model has also been developed to seek out traffic solutions and assess economic benefits, which will be taken into account for considering investment worthiness of the solutions. In addition to traffic congestion identification, EXAT has initiated a simulation model to analyze how much expressway users will gain if red lines are solved and turned into green. The result reveals that the value of time and vehicle operating costs for the users will be saved up to 11.4 million Baht per year from a reduction of 1 kilometer or 1 hour in traffic congestion. 79

Use of Microscopic Simulation Model for Analyzing Measures to Solve Traffic Problems Case Study: Bang Na (Inbound) Area near Sukhumvit Soi 62 EXAT has conducted a quarterly research on the traffic congestion identification from the traffic condition reporting map 2017. It is found that the Bang Na (Inbound) area near Sukhumvit Soi 62 has always faced a long-time traffic jam for all three quarters due to its physical bottleneck and high quantity of vehicles during peak hours (including those coming from Bang Na Toll Plaza and Chalong Rat Expressway). Realizing the existing problem, EXAT thus developed a microscopic simulation model and adjusted it to closely resemble the problem area to test measures for mitigating the congestion. After completion of the analysis, it was found that traffic line improvement could help reduce the queue length of vehicles running from Bang Na Toll Plaza by 1 kilometer and the travel time through Sukhumvit Soi 62 ramp by 3 minutes. Aside from this approach, alternately releasing the traffic flow at an appropriate time by officers can also decrease the queue length by 1 kilometer and the travel time by 5 minutes. It is found that approximately 1,800 accidents happened on expressways per year. EXAT has attached importance to the prevention and settling the matter urgently. This is achieved by analyzing accident-prone black spots on expressways through the Geographic Information System (GIS) by using the Kernel Density Estimation (KDE) and Rate Quality Control (DF) methods. The occurrence statistical data from the Incident Report system database is therefore applied to a spatial analysis so as to reveal overlapping points of black spots on expressways from both methods. The achieved outcomes are presented in the form of a map displaying hazardous spots on the expressways which will be easy to use in finding a suitable preventive measure that can decrease the number of future accidents on the expressways. International Academic Collaboration • On October 21, 2016, executives of Metropolitan Expressway Co., Ltd. (MEX) and Central Nippon Highway Engineering Tokyo Co., Ltd. (HET), a subsidiary company of Central Nippon Expressway Co., Ltd. (NEXCO Central Group), took a site visit to see operations of Kanchanaphisek Expressway Control Center (CCB 6) and Traffic Management Center (TMC). The group also visited the rest area on Chaloem Maha Nakhon Expressway (Outbound) to experience the performance of 80 the Easy Pass Fast Service.

• On December 20, 2016, the Thai Intelligent Transport Systems Association and the National Science Technology and Innovation Policy Office (STI) organized a study tour for officials from Bhutan to the Expressway Authority of Thailand (EXAT). These guests exchanged experience with EXAT’s officials on public transportation and intelligent traffic systems and also visited the Intelligent Transportation Center (ITS Center). • On February 2-7, 2017, Hanshin Expressway Co., Ltd. (HEX) sent a group of 5 young staff members to EXAT on a study tour and academic exchange program as part of a project to empower Japan’s new employees and encourage them to gain experience abroad. This program also aimed at fostering good relationships between EXAT and HEX. • On June 16, 2017, executives and employees of Hanshin Expressway Co., Ltd. (HEX) and EXAT had a discussion about the maintenance management of EXAT’s expressways at the ITS Center and paid a visit to the governor. • Mr. Kenji Ogura, Senior Director, Liaison Officer of Hanshin Expressway Co., Ltd. (HEX) and Japan Expressway International Co., Ltd. (JEXWEY), was assigned by HEX to deliver a lecture on a budget system as part of academic cooperation between HEX and EXAT. The lecture was held at Meeting Room 2301, EXAT Chatuchak on August 17, 2017. • Executives of Chongqing Zhonghuan Construction Co., Ltd., China, were informed of a progress of Rama III-Dao Khanong-Outer Bangkok Ring Road Expressway Project and presented information about the company’s road construction while exchanging ideas with EXAT’s executives and employees. Annual Performance in Year 2017 In 2017, the Expressway Authority of Thailand (EXAT) under the Ministry of Transport determines to complete its mission so as to enhance efficiency on quality of expressway services, particularly in solving traffic congestion problem in the Bangkok Metropolitan Region. The said performance is based on good management, business potential and corporate social responsibility. At present, EXAT has operated 8 expressways and 4 expressway links covering total length of 224.6 kilometers, namely Chaloem Maha Nakhon Expressway, Si Rat Expressway, Chalong Rat Expressway (Ram Inthra-At Narong and Ram Inthra-Outer Bangkok Ring Road Expressway), Burapha Withi Expressway, Udon Ratthaya Expressway, Bang Na-At Narong Expressway, Kanchanaphisek Expressway (Bang Phli-Suksawat) and Si Rat-Outer Bangkok Ring Road Expressway. It includes elevated road linking between the southern part of Suvarnabhumi Airport and Burapha Withi Expressway, expressway link between Kanchanaphisek Expressway (Bang Phli-Suksawat) and Burapha Withi Expressway, Chaloem Rajadamri 84th Birthday Anniversary of His Majesty the King Expressway (connection road between Kanchanaphisek Expressway (Bang Phli-Suksawat) and Industrial Ring Road) and connection road between Si Rat Expressway (Asok-Srinagarindra) and Chaturathit Road, Section C. Future Expressway Project 1 . Rama III-Dao Khanong-Western Outer Bangkok Ring Road Expressway Project aims to serve as substitute route in case that Rama IX Bridge is required to be closed for essential maintenance so that there will be no trouble for the connection road to the South. It also helps ease heavy traffic congestion on Rama II Road, Dao Khanong-Outer Ring Road Section and Chaloem Maha Nakhon Expressway, Bang Khlo-Dao Khanong Section. The expressway has a total length of 18.7 kilometers. The starting point of the project is linked to the elevated road project on Highway No. 35 (Thon Buri-Paktho) with the on-off ramps at the beginning point of the project at km 13+000 of Rama II Road. The elevated 6 lane expressway (3 lanes for each direction) overlaps along the median of Rama II Road to the northeast until reaching Dao Khanong Toll Plaza. Then, the route overlaps Chaloem Maha Nakhon Expressway and terminates on Rama III Road which is close to Bang Khlo Interchange, linking with Chaloem Maha Nakhon Expressway and Si Rat Expressway. New 8 lanes (4 lanes for each direction) bridge crossing the Chao Phraya River will be constructed and align to the south of Rama IX Bridge. This expressway contains 7 on-off ramps. 2. Third Stage Expressway System Project, Northern Route, Section N2 and Eastern E-W Corridor aims to solve a traffic congestion problem, improve the intersection to increase the efficiency of Prasoet Manukit Road, link expressway networks with Eastern Outer Ring Road to lighten ground-level traffic volume and relieve traffic in the east between Bangkok and the provinces nearby more efficiently. The route has a total length of 10 kilometers and the starting point of the project is located at km 1+000 of Prasoet Manukit Road. The elevated 4 lanes (2 lanes for each direction) expressway overlaps along the median of Prasoet Manukit Road to the east. Then the route crosses over Wang Hin Intersection (Lat Pla Khao Road), Sena Nikhom Intersection, Sukhonthasawat Intersection, Chalong Rat Expressway at the crossing between Prasoet Manukit Road and Pradit Manutham Road, Highway No. 350 Intersection and Nawamin Road Intersection until joining Eastern Outer Bangkok Ring Road at the end of the expressway. 84

3. Udon Ratthaya-Ayutthaya Expressway Project aims to connect expressway networks for the trip to central region and provide a connection road to Bang Sai Royal Folk Arts and Crafts Centre. It also serves as travel and transport route in case of natural disasters and emergency. This elevated expressway covers total length of 42 kilometers with 4 traffic lanes (2 lanes for each direction). The connection starts from Udon Ratthaya Expressway at Bang Pa-in Toll Plaza in Bang Pa-in District, then the route continues northwards, passes Bang Sai District, Bang Ban District and terminates on the national highway No. 32 in Bang Pahan District, Phra Nakhon Si Ayutthaya Province. 4. Chalong Rat-Nakhon Nayok-Sara Buri Expressway Project aims to link expressway networks for the trip from Bangkok to the east of Pathum Thani Province, Nakhon Nayok Province, Saraburi Province and northeastern region. This elevated expressway covers total length of 104.7 kilometers with 6 traffic lanes (3 lanes for each direction). The expressway is connected with Chalong Rat Expressway at Chatuchot Toll Plaza on eastern Outer Bangkok Ring Road. The route heads to the east, passing Hathairat Road and Nimit Mai Road to the northeast. Then it continues to pass Lam Luk Ka Road, Rural Road NY 3001, Rangsit-Nakhon Nayok Road and the national highway No. 33 (Suwannason Road) to the north. After that the route crosses and goes along the national highway No. 3222 connecting with Bang Pa-in-Nakhon Ratchasima Motorway and Saraburi Bypass to the east before joining Highway No. 2 (Mittraphap) in Kaeng Khoi District, Saraburi Province at km 10+700. 5. Kathu-Patong Expressway Project, Phuket Province aims to connect the trip from Kathu District to Patong beach to accommodate travel to the locals as well as the tourists, promote tourism in Phuket Province and solve a traffic problem and accident on the national highway No. 4029. In addition, it is used as evacuation route in case of natural disasters. The expressway covers total length of 3.98 kilometers with 4 traffic lanes for each direction (2 automobile lanes and 2 motorcycle lanes), starting from Patong Sub-district on Phrametta Road (Principle City Plan Road route A). It is elevated to cross Phisitkorani Road until reaching Khao Nak Koet, covering total length of 0.9 kilometers and passing through the underpass with total length of 1.85 kilometers. Then the route is elevated again with 1.23 kilometers in length prior to terminating in Kathu Sub-district at the crossing of the national highway No. 4029. Electronic Toll Collection System (ETCS) The Expressway Authority of Thailand (EXAT) has launched the electronic toll collection system by adopting Easy Pass on a number of expressways. They include Chaloem Maha Nakhon Expressway, Chalong Rat Expressway, Kanchanaphisek Expressway (Bang Phli-Suksawat), Si Rat Expressway, Burapha Withi Expressway, Udon Ratthaya Expressway, and Si Rat Expressway-Outer Bangkok Ring Road. Easy Pass is also accepted on the elevated road at the southern part of Suvarnabhumi Airport linking Burapha Withi Expressway and the expressway link between Kanchanaphisek Expressway (Bang Phli-Suksawat) and Burapha Withi Expressway. Currently, the number of Easy Pass cards sold by EXAT is 1,385,000 (data as of September 30, 2017). A joint electronic toll collection system service which the M-Pass and the Easy Pass are linked has been available since November 2016, enabling Easy Pass users to use their cards in Motorway No. 9 (Bang Pa-in-Bang Na) and Motorway No. 7 (Bangkok-Chon Buri). 85

For example, to build Public Park in Commemoration of H.M. the King’s 6th Cycle Birthday in the Rama IX Bridge area (Phra Nakhon side) covering total area of 11,965 square wah, Public Park and Sports Ground in Commemoration of H.M. the King’s 6th Cycle Birthday in the Rama IX Bridge area (Thon Buri side) covering total area of 9,200 square wah, and a shortcut from Suksawat Road to Pracha U-thit Road. EXAT has also developed areas for tree-planting and other public utility activities. 86

2. Si Rat Expressway EXAT authorizes government agencies to use right-of-way for public benefits covering total area of 6,325.98 square wah. For example, to construct Sathon District Office, Department of City Planning (Ratchathewi District) and Metropolitan Electricity Authority, Phlapphla 2 Substation, and car parking for the Office of the Narcotics Control Board on Din Daeng Road covering total area of 650 square wah. This includes a public park in the Srinagarindra Interchange area covering area of approx. 28,000 square wah. 3. Chalong Rat Expressway EXAT authorizes BMA and other government agencies to use right-of-way. For example, to construct Phan Phirom Park in the interchange area at the crossing between Rama IX Road and Pradit Manutham Road covering total area of 5,225 square wah, a bike lane on one side of Pradit Manutham Road covering total area of 8,125 square wah (approx. distance of 26 km). Additionally, EXAT has developed areas for tree-planting and other public utility activities. 4. Udon Ratthaya Expressway EXAT authorizes government agencies to use right-of-way for public benefits in conjunction with EXAT’s development covering total area of 5,252.24 square wah, such as the area used for public purposes underneath the expressway between Highway No. 3214 and Soi Wat Phraya Yang. EXAT Website Service (www.exat.co.th) EXAT has managed to publicize information and overall achievement through www.exat.co.th which has been improved to support various applications such as operating systems on smartphone and other mobile device. EXAT’s website is presented in an up-to-date, easy-to-use and fast fashion, making dissemination of information reach expressway users, general public and users with disabilities efficiently. Smart Interactive Map (SIMAP) and schematic map are provided to demonstrate traffic report system with color-coded lines on the map to help verify data accuracy with the intelligent traffic sign (ITS) system, enabling interested expressway users to study the route from real time traffic information prior to their travels. Any complaints on the service can be given by accessing the website page to facilitate expressway users and general public for inquiry of information, complaints and service suggestions. Additional channels used to publicize EXAT information via social media network include Facebook (http://facebook.com.Expessway.Thailand) and Twitter (https://twitter.com/ExatWebmaster). In 2017, there is an average of 4,474 website visitors/year. EXAT Call Center Service EXAT Call Center 1543 provides EXAT’s information service concerning traffic route and condition on expressways, administrative assistances of emergency/accident or any requirement of assistance through cooperation so as to quickly accommodate and help expressway users and general public. In cooperation with the Ministry of Transport and relevant agencies, it also obtains complaints as well as recommendations and follows up response to any complaints as soon as possible throughout 24 hours. EXAT performs public relations of EXAT Call Center through a range of activities such as the facilitation and safety service project in support of people’s travel during the 2017 New Year and Songkran Festivals. The average number of the customers/day is 1,250. 87

EXAT Intranet, EXAT Sound, EXAT Digital Signage and Multi-Touch Systems (I-Touch) EXAT publicizes information internally through EXAT intranet, EXAT Sound, EXAT digital signage and multi-touch systems (I-Touch) in a form of news information, press releases, slides, video, graphic displays, texts and notifications useful for work performance. They also help improve learning and skill of personnel, create positive work environment and serve as the means of two way communication which is beneficial to personnel and organizational development as a whole. EXAT Public Information Center Service According to Articles 7, 9 and 11 of the Official Information Act B.E. 2540 (1997), EXAT Public Information Center was established to provide information service to general public and give lectures on knowledge of the said act. The Center also serves as observation site for governmental and state enterprise sectors to ensure that all governmental public information centers are established in line with the EXAT’s original center. It is located in front of EXAT head office. The address is 2380 Phaholyothin Road, Senanikhom Sub-district, Chatuchak District, Bangkok 10900, Tel. 0 2940 1196, 0 2558 9800 Ext. 2244, Fax. 0 2940 1198. It is opened in office hours from 08:30-16:30 hrs. Regardless of the said office hours, the contact can be accessed through EXAT Call Center 1543 throughout 24 hours (no exception of official holiday) or at the website www.exat.co.th for further information. One Stop Service Center EXAT has launched the One Stop Service Center at Chatuchak office building. The service provided consists of Easy Pass top-up service, issuing tax invoice, collecting rental payment of right-of-way area utilization, selling purchasing document, checking land acquisition and providing general information about expressway. The center also offers counter service for goods and services payment. Customer Relation Activity 1. The 1st “Expressway across the City” Project of Year 2017 88 EXAT in collaboration with Phithak Santirat radio station (91 FM) launch the “Expressway across the City: Planting Seedlings and Building Weirs to Follow in our Father’s Footsteps” campaign during the period of February 25-26, 2017. The campaign engaged the expressway users in providing educational stationery as well as sports and agricultural equipment to students at Ban Bang Lamung School and participating in seedling planting and weir building to follow in the footsteps of His Majesty King Bhumibol Adulyadej at Siri Charoen Wat Forest project under royal initiative, Sattahip District, Chon Buri province. 2. The 2nd “Expressway across the City” Project of Year 2017 EXAT in collaboration with traffic radio station JS 100 launched the “Expressway across the City: Visiting royal initiative projects of Her Majesty Queen Sirikit of King Rama IX” campaign, engaging the expressway users in growing fruit trees, releasing fish of a certain species and learning about Queen Sirikit Forest Garden during the period of July 29-30, 2017, Ratchaburi Province.

Public Relations Activity Public Service Unit launched during the New Year and Songkran Festivals 2017 EXAT launched the public service unit to facilitate expressway users’ travel through the New Year Festival 2017 between December 28, 2016-January 4, 2017. Toll fees for Burapha Withi Expressway (Bang Na-Chon Buri) were exempted during the period of December 29, 2016-January 4, 2017. In addition, EXAT launched the public service unit through the Songkran Festival 2017 during the period of April 11-18, 2017 and toll fees for Burapha Withi Expressway (Bang Na-Chon Buri) were also exempted. Checkpoints which offered services such as initial motor inspection, tire inflating, distilled water battery fill up and battery check were provided as well as the rest stop offering drinking water, coffee and refreshing towels free of charge. Social and Public Interest Activity 1. Sharing Smiles with Kids surrounding Expressway On January 27, 2017, EXAT carried out the activity “Sharing Smiles with Kids surrounding Expressway” on the occasion of the National Children’s Day 2017 to provide scholarships and financial support to Dipangkornwittayapat (Wat Noi Nai) under Royal Patronage School for purchasing projectors and peripherals. Scholarships were also presented to Wat Dao Rueng School along with financial support for the improvement of the school’s library and meeting room. 2. “Expressway on Your Side to Fight the Cold” Project On February 16, 2017, EXAT donated a total of 2,500 blankets to people affected by cold weather in Pua District and another 500 blankets to those in Mueang District, Nan Province as part of its “Expressway on Your Side to Fight the Cold” Project. 3. Volunteer Spirit by Thai Expressway EXAT organized the activity “Volunteer Spirit by Thai Expressway” twice in fiscal year 2017 as detailed below. 1st : On March 27, 2017, EXAT executives, regular employees and temporary employees visited Wat Phrabatnampu in Lop Buri Province to jointly clean up the temple areas and give emotional support to HIV patients. They donated 137,500 Baht for the expenses of patient treatment and consumables. 89

2nd : On August 18, 2017, EXAT executives, regular employees and temporary employees visited Wat Phraram IX Kanchanaphisek, Bangkok to jointly clean up the temple areas and ordination hall as well as electrical equipment. They contributed 10,000 Baht to the Paendin Dhamma Foundation (PDF) and another 6,000 Baht for educational equipment to summer novice at the temple. 4. National Day for the Elderly 2017 On May 8, 2017, EXAT launched the activity “EXAT’s Love Giving on the occasion of the National Day for the Elderly 2017” at the Priest Hospital to offer food and necessities to a total of 9 monks while also offering food to 150 sick monks and donating money to the temple for purchasing medications and for general temple expenses. 5. Expressway for Youths 2017 On May 15, 2017 at Meeting Room 2301, Chatuchak Office, EXAT held the scholarship award event of “Expressway for Youths 2017” to present 40 scholarships divided into each of 10,000 Baht, totaling 400,000 Baht, which were awarded to the selected communities and schools. The aim of the activity was to offer educational support to the youths in need whose schools were located close to the expressway right-of-way communities. 6. “Magic Box to Save the Earth” Project EXAT and Ampol Food Processing Co., Ltd. mutually signed the Memorandum of Understanding on collaboration and participation in the “Magic Box to Save the Earth” project for fiscal year 2017 on July 6, 2017 at Wat Talum School in Suphan Buri Province. A total of 220 sets of student desk and chair made from recycled UHT cartons were presented to the schools in Suphan Buri Province along with 100,000 Baht for scholarships and 31,000 Baht in financial support for educational equipment. 7. “EXAT Youths” Project EXAT organized “EXAT Youths” Project in fiscal year 2017 on August 27, 2017 at the Golden Jubilee Museum of Agriculture, Pathum Thani Province. Community leaders and youths from 7 communities surrounding the expressway right-of-way were introduced to the learning program “Follow in the Footsteps of our Father, King of Agriculture and Sufficiency Economy” to obtain living guidelines according to King Rama IX’s royal initiatives. 8. “Good Products by Expressway Right-of-Way Communities” Project EXAT conducted a survey on a total of 7 right-of-way communities surrounding Chalong Rat Expressway from which quality consumer goods and services are produced and sold. These communities consist of Suan Oi Community, Ko Klang Community, Community in front of Bang Chak School, Community in front of Bangchak Oil Refinery, Bang Makhue Community, Bueng Phraram 9 Community, and Bueng Phraram 9 Phattana Community. EXAT will promote their products and services 90among its regular and temporary employees at a later stage.

EXAT’s 2017 Operation under the Official Information Act B.E. 2540 (1997) EXAT’s operation adheres to the Official Information Act B.E. 2540 (1997) as described below. 1. Monitoring work performance pursuant to the Official Information Act B.E. 2540 (1997) 1.1 Issue an EXAT’s Order No. 183/2558 on departmentalization and determination of duty and responsibility of each working part of EXAT dated July 24, 2015. Effective from March 23, 2012, the Information Division (ID) under the Office of the Governor (OG) was assigned to serve as the focal point for EXAT information services and operate EXAT Call Center as well as EXAT Public Information Center. The Division shall also provide information according to Article 9 of the Official Information Act B.E. 2540 (1997) for general public access and cooperation to ensure any performance in comp liance with the Official Information Act B.E. 2540 (1997). 1.2 Set as significant policy of the state agency by emphasizing that “Disclosure is the core, concealing is an exception.” since the Act came into forces. EXAT issued an announcement of policy on adherence to the Official Information Act B.E. 2540 (1997) dated April 24, 2012. 1.3 Establish EXAT Information Center (since December 3, 1998) under the Information Analysis and Dissemination Section, Information Division, Office of the Governor. EXAT Information Center is located in front of EXAT head office (Chatuchak), 2380 Phaholyothin Road, Senanikhom Subdistrict, Chatuchak District, Bangkok 10900, Telephone 0 2490 1196, 0 2558 9800 Ext. 2244; Facsimile 0 2940 1198, with the services provided on weekdays from 08:30-16:30 hrs. For more information, contact via EXAT website at www.exat.co.th. 1.4 Appoint Deputy Governor for Law and Land Acquisition to supervise any performance in compliance with the Official Information Act B.E. 2540 (1997) and appoint “EXAT Information Committee” composing of Deputy Governor for Law and Land Acquisition as Chairperson, Department/Office Directors as committee member and Director of Information Division as committee member and secretary. The Committee is in charge of determining the policy and measures and giving suggestions on the adherence to the Official Information Act B.E. 2540 (1997) as well as the Rule on Official Secrets Protection B.E. 2544 (2001). 1.5 Arrange the internal audit on public information services complying with the principles of information disclosure and transparency which is considered one of the corporate governance (CG) approaches. Suggestions were given for better improvement of work. 91

1.6 Issue the Announcement on fee collection, request for a copy or certified true copy of EXAT information dated December 21, 2010, which was promulgated in the Royal Government Gazette, Vol. 128, Special Part 22 Ngor dated February 25, 2011. 1.7 Provide the Regulation on EXAT Information B.E. 2560 (2017) dated May 8, 2017, which was promulgated in the Royal Government Gazette, Vol. 134, Special Part 173 Ngor dated June 29, 2017. 2. Recognition/Award 2.1 Selected as a role model on public information services and adherence to the Official Information Act B.E. 2540 (1997); Ministerial Level, on July 1, 1999. 2.2 Awarded certificate showing appreciation for the establishment of Public Information Center for general public service as a role model on its performance following the Official Information Act B.E. 2540 (1997) on January 14, 2008. 2.3 Obtained shield award of outstanding organization from Prime Minister (Mr. Abhisit Vejjajiva) in good cooperation of Public Information Center establishment in fiscal year 2010 on February 4, 2011. 2.4 Obtained State Enterprise Excellence Award on the “2012 Operational Plan of EXAT Information Center following the Official Information Act B.E. 2540 (1997)” in the contest of Corporate Governance Promotion Plan for State Enterprise in Year 2012 organized by the Office of the National Anti-Corruption Commission (NACC). The shield of honor and the cash prize of 150,000 Baht were awarded by NACC Chairman on November 16, 2012. 2.5 Obtained shield of honor award as a role model on the establishment of Public Information Center in Year 2012; Ministerial Level, awarded by Minister of Prime Minister’s Office (Mr. Varathep Ratanakorn) as chairperson of the Official Information Board who was assigned by Prime Minister (Ms. Yingluck Shinawatra) on August 9, 2013. 92

Promotion and development of knowledge and understanding on principles, essence, benefits and guidelines on the exercise of rights under the Official Information Act B.E. 2540 (1997) 3.1 Requested by the following external organizations for observation of EXAT’s Public Information Center in 2016-2017: • Mass Rapid Transit Authority of Thailand on November 11, 2016 • Office of the Permanent Secretary, Prime Minister Office, on March 16, 2017 • Airports of Thailand Public Company Limited on May 3, 2017 • Metropolitan Waterworks Authority on June 26, 2017 • Students from the Faculty of Humanities and Social Sciences, Phranakhon Rajabhat University, on September 18, 2017 3.2 Organized on-the-job training (OJT) courses on “Knowledge of the Official Information Act B.E. 2540 (1997)”, “Knowledge of the Rule on Official Secrets Protection B.E. 2544 (2001)” and “EXAT’s Regulation on EXAT Information B.E. 2553 (2010)” for EXAT’s employees annually to comply with the standard key performance indicators for disclosure of official information as follows: • Provided on-the-job training (OJT) course on the “Official Information Act B.E. 2540 (1997)” for approximately 150 personnel including EXAT’s regular and temporary employees of level 1-6 at Conference Room 2301, 3rd floor, EXAT Building 2 (Head Office), Chatuchak, on June 8, 2017. • Provided on-the-job training (OJT) course on “EXAT’s Documentary System of Secret Information” specifically for the executives and employees of Operation Planning Division, who are involved with EXAT’s documentary system of secret information, to give them the knowledge and understanding so that they could follow properly the Rule on Official Secrets Protection B.E. 2544 (2001). Mr. Somchai Sinsakolwat, Director of Information Division; and Mr. Ratchada Ponkratok, Chief of Information Analysis and Dissemination Section, Information Division, were lecturers of the training course which was organized at the Conference Room of Operation Planning Division, 5th floor, EXAT, Asoke-Din Daeng Road, on August 22, 2017. 4. Information services as requested by general public and responses to consultation In fiscal year 2017, 81 people made a request for information review at EXAT Public Information Center (Data as of September 29, 2017) which was the information according to Article 7, 9 and 11 of the Official Information Act B.E. 2540 (1997). EXAT has improved the information retrieval system and document files, arranged handbooks and pamphlets introducing EXAT Public Information Center as well as public relations bulletin board, and provided the place for information services. Additionally, the questionnaires of customer satisfaction survey have been distributed for public opinion which would be adopted for further consideration on information disclosure. 93

Report of the Board of Directors’ Responsibility for the Financial Report The Expressway Authority of Thailand’s Board of Directors is aware of its responsibility for supervising the organization’s financial report to ensure that the financial statements are prepared in line with financial reporting standards as well as appropriate accounting policies pursued on a regular basis, contain disclosure of adequate and proper information and obtain an audit and certification from the Office of Auditor General. The Board of Directors has appointed an Audit Committee consisting of independent members to supervise, inspect and verify the financial report, risk management system, internal control system as well as internal audit so that they are efficient and in compliance with the applicable rules and regulations. Auditor’s Report Presented to the Board of Directors, Expressway Authority of Thailand Opinion The Office of the Auditor General has audited the financial statements of the Expressway Authority of Thailand (EXAT), comprising statement of financial position as of September 30, 2017, statement of comprehensive income, statement of changes in equity and statement of cash flows for the year then ended, as well as notes to financial statements and a summary of significant accounting policies. The Office of the Auditor General is of the opinion that the above financial statements present accurately, in all material aspects, the financial position of the Expressway Authority of Thailand as of September 30, 2017, its performance and its cash flows for the year then ended in accordance with the generally accepted financial reporting standards. Basis for Opinion The Office of the Auditor General has performed the audit in accordance with the generally recognized auditing standards. Its responsibility is mentioned under the paragraph regarding the auditor’s responsibility to the auditing of financial statements in the report of the Office of the Auditor General. The Office of the Auditor General is independent in accordance with the rules for state audit prescribed by the State Audit Commission and ethical requirements of persons who conduct accounting profession prescribed by Federation of Accounting Professions relevant to financial statement audit. In addition, the Office of the Auditor General has also assumed other ethical responsibilities in accordance with these state audit rules and ethical requirements. The Office of the Auditor General believes that the audit evidence obtained is sufficient and appropriate for using as basis for its opinion. Emphasis of Matter and Event The Office of the Auditor General would like to draw attention to the Note to Financial Statements No. 4.25, relating to contingent liabilities as of September 30, 2017. The Expressway Authority of Thailand has contingent liabilities resulting from litigation of 22 cases, amounting to 29,280.25 million Baht. The cases are currently under hearing by the arbitral tribunal and the courts. In this regard, the Office of the Auditor General’s opinion is not qualified in respect of this matter. Other Information The executive is responsible for other information, comprising the information included in the annual report but not including the financial statements and the auditor’s report therein. The executive will prepare annual report for the Office of the Auditor General after the date in this auditor’s report. The opinion of the Office of the Auditor General does not cover other information and it does not give confidence in respect of other information. The responsibility of the Office of the Auditor General in relation to the financial statement audit is to read and consider whether other information contains any material inconsistency with the financial statements or knowledge obtained from its audit or there is any material misstatement of fact or not. Having read the annual report, if the Office of the Auditor General concludes that there is a material misstatement of fact, it must communicate this matter with those charged with governance. The responsibility of executive and those charged with governance for the financial statements The executive is responsible for preparation and presentation of these financial statements accurately in accordance with financial reporting standards and is responsible for the internal control which the executive considers as necessary for preparing financial statements without any material misstatement of fact, whether due to fraud or error. In the preparation of the financial statements, the executive is responsible to assess the business ability to continue as a going concern, properly disclose matter related to going concern and use going concern assumption, unless the management intends to liquidate business or to cease operations or unable to continue the operations, Those charged with governance are responsible to oversee the financial statement preparation process of the business. 96

The auditor’s responsibility The objectives of the audit made by the Office of the Auditor General are to bring about reasonable confidence that the financial statements do not contain any material misstatement of fact, whether due to fraud or error, and to present the auditor’s report that includes the opinion of the Office of the Auditor General. Reasonable confidence refers to the high level of confidence but it is not an assurance that the work conducted under the generally accepted auditing standards will always be able to uncover the material misstatement of fact. The misstatement of fact may arise from fraud or error and considered material when it can be reasonably estimated that each or every item of the misstatement of fact will affect the economic decision making of the users of the financial statements To conduct the audit under the generally accepted auditing standards, the Office of the Auditor General has used its discretion, observation and professional skepticism throughout the audit. The work performed by the Office of the Auditor General includes; • To identify and assess risk of material misstatement of fact in financial statements, either due to fraud or error, design and conduct work in accordance with audit procedures to respond to these risks, and obtain sufficient and appropriate audit evidence for using as basis in the expression of opinions of the Office of the Auditor General. The risk of failing to identify material misstatement of fact due to fraud will be higher than the risk arising from error, because fraud may relate to collusion, forgery, willful failure to display information, misrepresentation or management override of internal controls. • To understand the internal control system relevant to the audit in order to design audit procedures that are appropriate in the circumstances but not for the purpose of expressing an opinion on the effectiveness of the entity’s internal control. • Evaluate the appropriateness of the accounting policies used by executives and the reasonableness of accounting estimates and disclosure of related information prepared by executives. • To conclude about the appropriateness of going concern basis applied by executives and from audit evidence obtained, whether there is any material uncertainty in respect of an event or situation that may cause reasonable doubt about the ability of the entity to continue operating or not. If it is concluded that there is any material uncertainty, the Office of the Auditor General must mention so in the auditor’s report, by making remark about the disclosure of information in the relevant financial statements, or if the disclosure of information is not sufficient, the opinion of the Office of the Auditor General will be changed. The conclusion of the Office of the Auditor General depends on the audit evidence obtained up to the date in the auditor’s report. However, future event or situation may cause the entity to cease the operation. • Evaluate the presentation, structure and contents of financial statements in whole, as well as the disclosure of information, to see whether the financial statements display transactions and events in a form that make the information presented accurately or not.
