fMroemssathgee Chairperson oEfxpTrheasislawnady’sACuhthaoirrpiteyrson The core mission of the Expressway Authority of Thailand (EXAT) is to develop the country’s mass transit system along with service efficiency and expressway networks so that they can be connected as a complete network. In addition, EXAT has developed, improved, found faults in the course of operation in order to solve problems and remove obstacles as well as to accelerate the ongoing expressway construction so that they can be complete as scheduled. The goal has been set and management plan prepared in accordance with the government public policy under the vision of “Stability, Prosperity, Sustainability”, to be used as a long term operational guideline. This has resulted in economic drive and an increase in investment, which will be a benefit to the country development and sustainability for the future transportation system. Over the past year, EXAT has implemented the construction of connection point from Sirat- Expressway Bangkok Outer Ring Road to Sirat Expressway in the north (bounding for Chaengwattana), a distance of 360 meters approximately, to facilitate users of Sirat Expressway-Outer Ring Road, enabling them to enter Sirat Expressway bounding for Chaengwattana Road without leaving the expressway, which will help reduce the traffic congestion in such area. It is expected that the construction will be complete and open for service in August, 2018. Furthermore, EXAT has also used Highway Sound Barrier innovation made of vinyl containing rubber because it is light, inexpensive, and with efficiency for soundproofing. This is to promote the using of local materials in accordance with the government policy. In addition, cable inspection robot for Rama IX Bridge has been used for maintenance and inspection of transport infrastructure. The robot is developed to replace human workers in risky tasks for safety to operating staff and more accuracy of cable inspection. It can reduce working time and lessen damage that may occur to the cable, comparing with other methods. As a result, the inspection system can be managed efficiently. In addition to the core mission of construction and connecting the expressways in several routes, EXAT continues with activities and projects for benefits to the society, ranging from building a good relationship with the communities along the expressways, promoting the quality of life and increasing educational opportunities for the youth that will be crucial force for the country development, e.g. the activity of share a smile to expressway side, the activity of expressway for the youth, Magic Box & Expressway Loves the Earth Project, providing expressway areas for building of public parks, sports ground, and shortcut roads, etc. The capabilities in the provision of safety service for expressway users has also been increased in the area of rescue operation, traffic management, as well as providing of information and notification services by EXAT Call Center, telephone number 1543, 24 hours a day. This includes the providing of Smart Interactive Map Plus: SIMAP+ and Schematic Map through EXAT website, www.exat.co.th. On the auspicious occasion of entering its 45th year, EXAT’s staff members and employees are determined to perform their duties as assigned in order to develop the expressway networks and provide service with greater efficiency for maximum benefits to the expressway users, the general public and the nation, with good, worthwhile, convenient, fast, safe and sustainable service. Human Resource Development The Expressway Authority of Thailand (EXAT) is fully aware of and recognizes the importance of establishing potential or competency development for all levels of personnel. In this regard, EXAT’s human resource development plan has been prepared in accordance with the need in personnel development and under EXAT’s corporate plan (Vision, Mission, Objectives, Values and Organizational Culture) and competency, taking into consideration the Core Competency Functional Competency Managerial Competency and Training Roadmap. In fiscal year 2017, the annual human resource development plan in key areas is carried out as follows. 1) Develop personnel and EXAT’s readiness for management towards excellence under State Enterprise Performance Appraisal (SEPA) in accordance with SEPO’s organizational assessment direction. 2) Develop EXAT’s standards of servicing for users impressions, in particular, of operational staff (Toll Collection, Traffic Control), complaint handling staff and Call Center, One Stop Service staff. Services are provided under Service Standard Protocol that reflects EXAT’s values and image in order to respond and provide service to clients in every touch point for Customer Experience Customer Engagement, and resulting in making EXAT an organization with Customer Service Excellence. 3) Develop EXAT as a learning organization by promoting knowledge management for tacit knowledge transfer in the form of information (Explicit Knowledge) that can be accessed and used for innovation creation. 4) Develop knowledge and capability in information and communication technology to be in accordance with Thailand 4.0 government policy with the modernization of public administration and service system by the using of computer and communication technology, taking into consideration the consistency with EXAT’s master plan for information and communication technology. This is to make EXAT an organization that uses proper information and communication technology for excellence in expressway business and good management. 5) Prepare personnel for promotion, prepare successor, and according to Training Road Map. For fiscal 2017, the Expressway Authority of Thailand provided the executives and employees with 72 learning courses of training, seminars and field trips. This does not include other courses provided by external agencies, both public and private sectors. EXAT has supported the staff members to study further in a higher level as well, both the master’s degree and the doctoral degree. 28

The Expressway Authority of Thailand’s Practical Ethics Ethics is code of conduct and manner determined for the Expressway Authority of Thailand (EXAT)’s employees as obligations to maintain and promote honor, reputation and membership status. It is considered principal manner for all employees to be used as a mental guideline based on integrity and morality. The word “Jariyatham” (Morality) can be separated into “Jariya”, which means conduct or good act to take. Tham is defined in various meaning such as goodness, religious instructions and code of action. When two words are combined to “Jariyatham” it literally means “code of behavior” or “behavior guidance”. Therefore, EXAT defines “Jariyatham” as moral standard and behavioral guidance for all employees to perform their duties honestly, devotedly and equitably. The said performance must be practiced whether to their organization or to all stakeholder groups, including to the public and society. It aims to achieve the organization’s highest goal as the leading state-owned enterprise of the country. However, both “morality” and “ethics” share a common goal. It aims to encourage each person or organization to possess regulations and good behavior. Any good action must be committed to each individual and other persons as well. It is regarded a matter of reason and discretion as well as creation of sublime awareness of each individual. EXAT’s main mission is to solve traffic problems in the Bangkok Metropolitan Region and other commuting routes which leads to domestic logistics development. As EXAT is obligated to manage Thailand’s entire expressways, good corporate governance has been adopted and it is determined to significantly create awareness of ethical performance to EXAT. It is also meaningful to be acceptable and trustworthy by stakeholders and general public. Therefore, determined performance is considered successful approach to create awareness to all employees that stakeholders, customers and general public are capable of undoubtedly perceiving and sensing remarkable features of employees’ ethics. EXAT has reviewed organizational morality and general morality standard which is the core value of EXAT since fiscal year 2011. The word usage has been renewed and meant to communicate determination of EXAT’s employees to act morally and strictly follow the approaches as specified. The abbreviation that conveys the strong will of EXAT’s employees is “HEARTS”, which means “Working with HEARTS”. Determination that drives all employees to perform their duties with “HEARTS” consists of codes of ethics that all employees are capable of applying as work guidelines through life-time working under EXAT’s banner as follows. The Expressway Authority of Thailand’s Corporate Governance Guidelines Good Corporate Governance The Expressway Authority of Thailand’s main objective of management is to alleviate traffic congestion problem in the Bangkok Metropolitan Region in order to reduce national economic loss and perform its business for financial stability and sustainable growth. Efficient management and good corporate governance are considered crucial to achieve such objective. EXAT’s Board of Directors has an intention to enhance EXAT’s efficiency in its business and corporate governance as well as high performance of management. It focuses on convenient, fast and safe service provided for expressway users, including transparency and accountability of organization. Therefore, EXAT’s Board of Directors, executives and employees are required to follow “the 7 principles of international good corporate governance standard” as follows. 1. EXAT’s Board of Directors has been aware of this policy in the meeting No. 6/2010 on June 28, 2010. Summary of EXAT’s Corporate Governance Independent Director in EXAT’s Board of Directors In the meeting No. 8/2003 on July 30, 2003, EXAT’s Board of Directors had resolved to approve the definition of “independence” as follows. “Independence” of EXAT’s director means the independence of outside director, e.g. qualified person from private sector, independent organization or educational institution, to use his/her own discretion for decision, make a real independent action and able to direct to change or restrain any actions when it is considered necessary. He/she must not have any business relationships, expectation of benefit or any other relationship, including direct or indirect interest, with state-owned enterprise executives, ministry, agency or company concerned. Independent Board’s Performance The Independent Board, in the meeting No. 1/2017 on April 19, 2017, had passed resolutions as follows. 1. Approve the redefinition of “Independent Director” for distinctness as follows. “Independent Director” means qualified member of the Board who is free to use his/her discretion for decision, making a real independent action and able to direct to change or restraint any actions when it is considered necessary. He/she must not have any business relationships, expectation of benefit or any other direct or indirect interest associated with state-owned enterprise executives, ministry, agency or company concerned. 2. Approve the human resource development planning and a clear-cut organizational restructuring in order to handle with change and business competition, making EXAT an organization with sustainable growth, as follows. 1) Human Resource Development Planning 1.1) Select EXAT’s staff member or employee based on knowledge, capability, according to the objectives of the unit requiring such personnel placement. 1.2) Make personnel placement proper to the task, workload, and budget of EXAT. 1.3) Provide study, training, both in-house and public trainings, so that they can gain knowledge, capability and experience. 1.4) Executive promotion and appointment must be considered by EXAT’s Selection and Appointment Committee. Evaluation will be fairly made based on performance, knowledge and capability, seniority, behavior and responsibility. 1.5) Prepare personnel development plan in every level for readiness for succession of the young generation. 2) Consider organizational restructuring that is proper to both present and future vision and mission, as well as to support human resource development planning. 3) Executive Self-Development Executive of every position should possess knowledge in his/her line and other lines of the same level and can make own presentation or answer questions in every meeting. In particular, executive at the level of deputy governor must be able to drive and bring the organization to success. EXAT’s Board of Directors, in the meeting No. 5/2017 on May 17, 2017, had resolved to approve as proposed by the Independent Board as follows. Respect to Stakeholders’ Benefit EXAT has been carrying out its work by considering impacts on stakeholders. Based on the preliminary study of stakeholders in terms of consequential relations by groups of influence and of interest, and by social and environmental responsibility, stakeholders are categorized and prioritized into 7 main groups, namely expressway users, government sector as owner, EXAT’s employees, people affected by land acquisition, business partners, community surrounding expressway right-of-way and society. The policy has been set up to treat stakeholders equitably and impartially and the rights of all stakeholder groups have been taken into consideration as well. Information Technology Disclosure and Transparency EXAT puts strong emphasis on disclosure of information technology and transparency of performance because information technology is considered crucial for decision making of all concerning internal and external parties as well as evaluation of organizational efficiency. Based on equitable treatment, EXAT provides appropriate, accurate, reliable and up-to-date financial and non-financial information technology to stakeholders through annual report, Internet, Intranet, EXAT Call Center and internal & external public relations activities via media channels. Disclosure of information complying with the Official Information Act B.E. 2540 (1997) is also included. The building of EXAT’s Information Center was constructed in fiscal year 2011 to facilitate visitors accordingly. 31

In addition, EXAT has monitored and evaluated the internal control and risk management and proposed the result of which to the executives and the Risk Management Committee for approval before submitting to the Board of Directors for acknowledgement as scheduled. Encouragement of Moral and Ethical Values EXAT annually organizes seminars/activities to encourage morality and ethical values among employees and disseminate knowledge of morality handbook, e.g. OJT Tour: HEARTS to HEART, EXAT CG Day and EXAT ethical idol: HEARTS, quiz contest on good corporate governance and EXAT’s ethics, Facebook Fanpage EXAT CG, etc. Besides of this, executives and employees have been designated to annually submit reports on conflict of interest to the governor, in case of either newly appointed or conflict of interest occurs raised in the meantime. In fiscal year 2017, no conflict interest is found among EXAT’s employees. Corporate Governance Monitoring and Assessment The State Enterprise Policy Office (SEPO) requires that EXAT adopt the State Enterprise Performance Appraisal (SEPA) for further performance evaluation in which corporate governance has been specified as Category 1: Leadership. To achieve such evaluation criteria, the management has been carried out in compliance with Deming Cycle. Good corporate governance annual plan has been established in accordance with SEPO’s Principles and Guidelines on Corporate Governance of State-Owned Enterprise 2009 by applying the 7 principles of international corporate governance (CG) standard namely Accountability, Responsibility, Equitable Treatment, Transparency, Value Creation, Ethics and Participation to the 8 sections (Plan) composing of 1) government sector’s execution as owner, 2) the Board of Directors, 3) financial report, management report, internal control and audit, 4) roles towards the stakeholders, 5) information technology disclosure and transparency, 6) conflict of interest, 7) risk management and 8) code of ethics. EXAT has determined that the said plan is implemented (DO); the CG 8 sections are monitored and their result is collected (Check); and the result of each section is analyzed and evaluated for further improvement (Act). EXAT proposed the result of the CG performance to the quarterly meetings of Corporate Governance Sub-committee and the Board of Directors for acknowledgement. Corporate Governance Information EXAT has disseminated the corporate governance policy and guidelines to the Board of Directors, executives and employees for acknowledgement and practical use. Other information relating to good corporate governance has been publicized through media such as circulation, notification at EXAT’s office buildings, EXAT Sound, publication leaflets, internal and external magazines, Digital Signage, Roll up, Internet and Intranet. The emphasis on corporate governance has been placed occasionally such as in the meetings, trainings, seminars and activities. General public can access the said information from the annual report and EXAT’s information technology channel. 32

4. Monthly remuneration rate is in compliance with the cabinet resolution on July 2, 2013. The board members will receive monthly remuneration of 10,000 Baht per person, while the Chairperson of the Board would receive twice the amount paid to member of the board. In case that board members of State Enterprise do not stay in the position in a full month period, the amount paid shall be deducted proportionally to the staying period. All members would be responsible for income tax on their own. 5. Bonus payment for Board of EXAT goes according to the rules of the Cabinet that passed a resolution on January 31, 1978, May 13, 1980 and February 5, 1991 including the guidelines that was determined in the incentive system complying with the State Enterprises Performance Evaluation handbook. All members would be responsible for income tax on their own. Authorities and Duties In addition to establishing a policy to generally supervise EXAT’s activities following the Expressway Authority of Thailand Act B.E. 2550 (2007), the Board of Directors performs its duties in accordance with the cabinet resolution and good corporate governance practices as described below: 1. To supervise the executives to formulate the corporate plan in compliance with a current situation and to serve the national strategic plan, the Ministry of Transport’s strategic plan and the government policy as well as to lay down the annual action plan for the organization management. 2. EXAT’s Board of Directors issued the Board of Directors’ Order No. 17/2016 dated December 27, 2016, appointing the Audit Committee, effective from December 7, 2016 onwards. 5. In the cabinet meeting on July 18, 2017, there was a resolution of approval the appointment of Chairperson and qualified members in the Expressway Authority of Thailand’s Board of Directors. EXAT’s Board of Directors issued the Board of Directors’ Order No. 6/2017 dated August 21, 2017, appointing the Audit Committee (the old one), effective from August 9, 2017 onwards. 6. In fiscal year 2017, there were 10 audit committee meetings altogether. Authorities and Duties 1. To coordinate audit results with the auditor, suggest reviewing or examining any transactions deemed necessary and make recommendation on the auditor’s remuneration to EXAT’s Board of Directors. 9. To report the Audit Committee’s performance on internal audit to EXAT’s Board of Directors at least once every quarter within 60 days of the end of each quarter.
