THE VOICE FOR THE UK’S DISTRICT ENERGY SCHEMESFirstly whenever you read this, I hope thatyou will have/had a very enjoyable andpeaceful Christmas and New Year. 2018 isshaping up to be another exciting year for oursector with our biggest ever presence atecobuild 2018 in March across all three daysand in November we are looking forward tothe long awaited launch of the first full roundsof HNIP. I know that from speaking to anumber of you, that you shared mydisappointment that the launch of the full fundhas been so delayed.However, I think it is important to remember that the fund still exists, when many other sources offunding in this economic climate have been pulled. It is also important to engage with BEIS aboutyour project and be aware that when this fund is launched they will be seeking applications at thattime.Therefore your projects need to be ready to go as the fund will only then be open for two years andwe have already seen the Treasury take a significant amount of unspent moneys back from thePilot Phase. An example BEIS’s feedback on the applications that did not make it through the pilotphase is shown below. As you will see the two key reasons for failure were lacking evidence andprojects which were premature. 2

Clearly if your project is not ready that is a fair reason, but surely we cannot see the samestatistics the next time around in terms of schemes which lacked the evidence to beconsidered ?!There is plenty of information now available on what BEIS needed for the Pilot Rounds and if you donot have this please let us know.We are promised, and certainly what I am seeing through the Heat Network Forum on aconfidential basis suggests that the full rounds will require less data, but please don’t becomplacent.From the start of 2018, you will have around 11 months to prepare your schemes for application forthe first round.Therefore whether you are leading on a scheme or just playing a part or even just hoping to sellsome equipment or services into that project please consider this carefully and think what steps youneed to take.It would be catastrophic if we end up seeing the same stats for the full round of applications andlarge sums of money therefore being given back to the Treasury.We at the ukDEA are here to help you make sure this doesn’t happen so please talk to us if youwant any more information! 3

BEIS NewsHeat Network Investment Project (HNIP) UpdateAs you will be aware we have been pressing BEIS for some time to provide clarity on whenmembers will be able to make applications to the next round of the HNIP, to seek a share of theremaining £280M funding BEIS have allocated for Heat Networks.The good news is that we now have a firm timescale that BEIS advise they are working to which isthat the next application round will be Autumn2018. The bad news is that it is Autumn 2018,which as you will be aware is some two yearsafter the Pilot Round opened for applications.We also understand that the final applicationround will still be around 2 years after this datewith final awards made in March 2021. Thisdoes meanthat we are now facing a compressed application window for the £280M fund of only 2 years and weall need to be working to make the market aware, because we cannot lose this opportunity to spendthis fund in full.Whilst delays are painful I take the positives that the government has not made a U Turn andclosed the fund as they did with its forerunner the Community Energy Program.The delays are driven by BEIS deciding that after the problems they experienced with themanagement of the Pilot Process, they want to put in place a delivery body to oversee the fund, thetender for which will be launched in February 2018.Whilst I share your frustrations at this delay, I remain optimistic that the funding has not beenwithdrawn and that BEIS have a clearly stated timeline.It is incumbent on us all to keep the pressure on them to ensure this timeline is adhered to, and beprepared with projects for Autumn 2018 and the following two years.The Heat Networks Consumer SurveyThe government has recently published the findings of the first survey of heat network consumers. Itasked about their satisfaction with their heating system, price and transparency of billing, andcustomer service.A heat network takes heat from a central source and delivers it to a number of buildings. There arearound 17,000 heat networks in the UK, with some of the largest networks at the Queen ElizabethOlympic Park in East London, Sheffield and Nottingham.Expansion of the heat networks market is a key part of the government’s Clean Growth Strategy butstrong consumer protections are needed to ensure that customers can be confident in their heatingsupply as the market develops. The survey was carried out by independent researchers betweenApril and July 2017 and received over 5,000 responses. 13

HNDU update: Round 7 Open Round 7 of the Heat Networks Delivery Unit (HNDU) funding is now open. Also available from BEIS are the details of successful local authorities in rounds 1 – 6. Round 4 - yellow. Questions about ecobuild 2018The ukDEA held a very successful soft launch of ecobuild and the District Energy Area in the Summer atthe Swedish Embassy. This was followed by the presentation from Trevor Crawford at this year’s AGMon the exact details of what we have planned for 2018. The following information summarises theseprevious presentations and explains what we have planned for 2018 and what the offering is to you themembers and most importantly why you and your organisation should want to be involved !1. What is ecobuild and why should I be interested ?A common problem in our industry is that we work in a “district energy bubble”. We canoften see the same people at similar events and talk about the same projects.Ecobuild is a chance for our sector to bring district energy into the mainstream and engagewith visitors who have either:• Never heard of district energy before.• Never heard of your organisation before.• Are planning a district energy project but don’t know what to do next.The one thing it does do is expose us all to over 25,000 visitors many thousands of whomare seeking more information on what we can offer to them2. What is the UKDEA’s previous involvement with ecobuild ?In 2016, we launched the District Energy pavilion in partnership withthe ecobuild, and in 2017 we were joined by the Swedish and Danish embassies in a much expanded1,500m2 feature area.More than 3,000 of the total 25,000 visitors toecobuild 2017came specifically to lean about the latestDistrict Energysolutions in 2017,with 400 people attending the District EnergyTheatre. It is important to note that these 400visitors to the seminararea were as a result of fairlylimited promotion of this areawhich will significantly increase thisyear.3.  What is planned for this year and who else isin the District Energy Area?This year we are really expanding the area intoits own event with over 2,500m2 of floor space,featuring 50+ exhibitors. This means that the District Energy area of ecobuild2018 will represent the largest gathering ofmanufacturers of district energy equipment andsuppliers of servicesto the sector ever seen in the UK. The dedicatedarea will have its own theatre as shown below, with acomprehensive programme of exciting talks across allthree days. 22

Our partners in Business Sweden and the Danish Embassy are both working with us again thisyear and both taking significant space to showcase the expertise in their respective countries.We are also joined by BEIS this year in a much larger area but more on that in Question 4.4.  What is different from last year?Both the event and the District Energy area will be changed from last year in some quite keyways.The EventThere will be clear areas for each sector and these are being signposted to visitors before andduring the event. Therefore it will be very clear where the District Energy area is and that it is aclear feature of the event. This is illustrated on the high level plan below and addresses the issuethat visitors felt there was no structure to the event.What is important for us is that we are definitely now a complete DE exhibition within a muchlarger Expo event.The District Energy AreaSome of the key new features and highlights include: •  A three-day seminar programme covering everything from customers, an A to Z of district energy, good design practice and innovation. 23

•  A new, area hosted by BEIS who are currently planning some very interesting stakeholder engagement events as a key part of their 2018 comms plan with a strong feature on how to access the funding opportunities available for new projects. •  A Product Showcase area for innovative exhibitors to showcase their latest District Energy products and technology to buyers attending the event. •  A start up business area for either those organisations just “finding their feet” with a new venture or those from outside the UK wanting to “explore the potential” in the UK market. Coupled with some old favourites such as the networking lounge with free tea and coffee throughout the event courtesy of ecobuild.5. How much does it cost – what are the options ?As part of its more collaborative and transparent approach, ecobuild has also developed a new,flexible pricing structure which provides a variety of tailored packages to suit the objectives of allDistrict Energy exhibitors at the event. If they do, can they recommend a company they could speak to about the operation. The ukDEA member company has some experience in this method of cleaning networks but would like to broaden knowledge of potential service providers.' •  ‘A ukDEA member wishes to know the mechanism to be applied to define the rate(s) of VAT that should be applied when raising charges to residential tenants for the heat supplied. The heat consumption charge is fine as they understand that will be 5%. What is confusing in the gas meter element. The bills received have 5% charged on the standing charge for the gas meter which is quite normal and they understand, The question is do their fees as a Heat Metering and Billing agent attract 5% VAT or 20% VAT when they recharge the tenant for their proportion of the Heat Supply? Their interpretation is that this is a standard rated supply as it does not form part of the overall heat supply but is a service that sits separately to the heat supply per se. Energy & Infrastructure Finance T: +44 (0)20 2400 4846The BEIS definition of “heat supplier” is “a person who supplies E: [email protected] charges for the supply of heating, cooling or hot water to a W: www.blplaw.comfinal customer, through— (a) communal heating;”If the billing agent is not responsible for the physical supply of heat(i.e. – responsible for paying the heat generation plant utility bill; orupkeep of the heat generation plant, heat distribution infrastructure,up to and including heat interface units) does this then mean bydefinition that the person or organization responsible for thesethings must be deemed as the “heat supplier” and is requiredtherefore to enter into any required legal agreements with the“Final Customers” regarding the terms and conditions of supply ofsaid heat. Or is it possible that the landlord/building owner canabsolve this responsibility and define the billing agent as the “heatsupplier”.The question relates to whether, in the latter circumstance, the billingagent will become liable for any disruption in supply of heat beyondits control, should the landlord require the billing agent to enter intodirect agreements with the residents (final customers).'ANSWER FROM UKDEA MEMBER, BERWIN LEIGHTON PAISNER:We have worked on a number of transactions where clients who own heat/cooling networks andsupply heat/cooling have appointed agents to interface with customers.Typically, this occurs where the client is not an energy company and/or has limited experience ofoperating a network.For a suitable fee, an energy services company may act as the client’s agent to administer billing(usually without taking credit risk) and in some cases act on behalf of the client as the first point ofcontact for service problems. The Heat Network (Metering and Billing) Regulations 2014 (as amended in 2015)(the “Regulations”), transpose into UK law the relevant provisions of the Energy Efficiency Directive (2012/27/EU).As drafted the Directive places obligations on Member States e.g to install meters, but without specifying whichcommercial entities the various responsibilities fall to.The UK draftsperson created the concept of the “Heat Supplier” as a single point of responsibility todischarge the notification, metering and billing requirements of the Directive and Regulations. A “Heat Supplier” under the Regulations is an entity that supplies and charges for the supply of heating, cooling or hot water to a final customer through: • Communal heating; or • A district heat network. 31

The draftsman assumed the entity supplying the heat is the entity entitled to charge for that supply.The Heat Supplier may incidentally own and operate the network but that is not a prerequisite of beingdefined as a Heat Supplier.If the Heat Supplier does not own the network it would pay some form of use of system charges to theowner/distributor.For administrative purposes a heat/cooling supplier, acting as principal under the laws of agency, mayappoint an agent to carry out functions.Where an agent carries out both supply and charging/billing functions for a principal via a supplyagreement with a final customer, the definition of “Heat Supplier” could capture the agent’s activities.However Regulation 9(6)(b) makes a distinction between a Heat Supplier and a third party who hasbeen assigned by the Heat Supplier responsibility for providing bills or billing information.That provides a good steer that a billing agent should not be considered a Heat Supplier for thepurposes of the Regulations.If a billing agent wishes to reinforce that it may be prudent for the billing agent to:•  Ensure the principal enters into the supply agreement with the final customer (but gives authority to the billing agent to collect charges on its behalf); or•  Enter into a supply agreement with a final customer but make it clear that it does so only as agent for the principal, without liability to the final customers, and the principal is named in the supply agreement. To cover off any possible residual liability it may be appropriate for the contractual documentation between principal and agent to state that for the purposes of the Regulations the principal is the only Heat Supplier. This may be coupled with an indemnity from principal to agent in respect of any liability the agent may possibly incur under the Regulations, notwithstanding that declaration.Aside from the Regulations either of these two options should also ensure that the billing agent does notassume direct liability to the customer for breaches of the supply agreement, including disruption of heatsupply.The information contained in this article is provided for general informational purposes only.
