COMPANY INCORPORATION PROCESS To legally carry out business activities in Vietnam, foreign investors must register their investment with the appropriate licensing authorities. The set-up procedures require various types of documents which would largely depend on the type of company/business activities that is being set up. All legal documents issued by oversea authorities must be validated by the Vietnamese Embassy in the home country of the investor and translated into Vietnamese. PAID UP CAPITAL / CHARTER CAPITAL Generally, there would be no minimum paid-up (charter) capital requirement; however, in addition to the evidence showing the capacity to sufficiently contribute the registered paid-up (charter) capital, the licensing authorities would base on the amount of the registered paid-up (charter) capital to assess the seriousness and willingness to invest in Vietnam of the foreign investor for approval of the IRC purpose. The committed paid-up (charter) capital must be remitted into a Direct Investment Capital Account (DICA) in Vietnam within 90 days from the issuance date of the ERC. 6. PROFIT REMITTANCE/REPATRIATION OF CONTRIBUTED CAPITAL AND LOANS After declaring, paying taxes, notifying the repatriation of after-tax-profit to the tax authority and having no outstanding tax debt, dividends can be repatriated freely out of accumulated retained profits if any. Investors can repatriate their contributed capital (charter capital) only upon liquidation. No remittance tax will be imposed on the repatriation of profit to corporate shareholders. PIT of 5% will be imposed on income from investment when repatriating profits to individual shareholders except one-member limited liability company owned by one individual. 8. MARKET ACCESS RESTRICTION RELATED TO WTO COMMITMENT AND FREE TRADE AGREEMENT To promote free trade, transparency and fair competition, Vietnam joined WTO since 2005. Under WTO commitment, Vietnam commits to (1) schedule tariff reduction for goods, and (2) open its markets for certain business sectors to foreign service providers. In recent years, Vietnam has actively engaged in several Free Trade Agreements (FTA) to help accelerate the country’s integration into global economy. FTAs that Vietnam signed represent around 80% of global trading partners. The FTAs fundamentally aim to obtain preferential treatment for goods and services and eliminate non-tariff barriers encountered by the party country of the agreement. They also set up a clear and transparent legal framework to govern trade and investment relations between agreement parties. Essentially, FTAs provide products manufactured in Vietnam easier accesses to party countries at preferential duty rates based on its origin and vice versa. 9. FOREIGN INVESTMENT OWNERSHIP CAP Foreign investors have no capital contribution restriction except those restrictions under WTO commitments as mentioned in Section I above and public companies. For public companies, except for conditional business sectors where there is a cap on foreign invested capital, foreign investors can own up to 100% of the charter capital if this is agreed in a general shareholder meeting and recorded in the charter of the company. For commercial banks, foreign investors can own up to 30% charter capital; and other conditional sectors where the regulations do not specify a foreign ownership threshold, the cap would be 50%. 10. REFERENCE COST OF LIVING, UTILITIES CHARGES, MINIMUM WAGE RATES In Vietnam, the cost of living is generally reasonable, including the 2 largest cities, Ho Chi Minh City and Hanoi. Serviced apartments’ rental rates range from 400 USD to USD1,500 or more, depending on their location and level of luxury and facilities. Serviced apartments are often the best choice for expats looking for an accommodation in Vietnam. Office rental for urban areas ranges from USD15 to USD65 per square meter per month, depending on the office locations and its level of luxury. In addition, a management service fee may be charged at the rate of USD3 to USD8 per square meter per month. For travel, it is often easy and convenient to find taxi and Grab in cities like Ho Chi Minh, Da Nang and Hanoi City. The taxi fare is around USD 0.5 per kilometer. The electricity price in Vietnam ranges from USD 0.07 to USD 0.13 per kwh for individual/household consumption and from USD 0.04 to USD 0.21 per Kwh for business purpose.
