5.2. INTRODUCTION TO NEW INVESTMENT LAW AND LAW ON ENTERPRISE 2020 (NEGATIVE LIST) Vietnam’s regulatory framework has been constantly revised to incorporate more favorable regulations for businesses to invest and operate in Vietnam. The Law on Investment 2020 (LOI) and Law on Enterprise (LOE) 2020, taking effect from 1 January 2021, have been playing a significant role in promoting and attracting foreign investment by reducing administrative procedures and providing additional investment incentives compared to its precedents. The laws and its guidance documents aim at fulfilling Vietnam’s commitments under international agreements to liberalize the business and investment activities in Vietnam, especially inbound foreign investment. Aside from certain economic sectors and industries as summarized in the table below, foreign investors could comfortably do business in Vietnam by setting up company(ies) or acquiring existing businesses in various areas.
