ARTICLE 1 PREAMBLES 1.1 Introduction In pursuance of constitutional stipulations of the NIEEE, Warri Chapter. Warri Chapter has adopted the following bye-law for effective management of the Chapter. 1.2 Name The name of the shall be 'The Nigerian Of Electrical and Electronic Engineers, Warri Chapter, hereinafter called the \"NIEEE, Warri Chapter\" 1.3 Objects Of The The objects and purposes for which \"The Nigerian of Electrical and Electronic Engineers, Warri Chapter \" (hereinafter called the \"NIEEE, Warri Chapter\") as hereby constituted are to promote Electrical & Electronics Engineering Professional Development and Control, Technical Activities, Research and welfare of members, and provide avenue for the implementation of these objectives in Warri and its environs. 1.4 Strategies For Implementation Qf The Objects i. A member of the shall or admission, pledge to be faithful to the Institute and to use his privileges for the good of the Institute. ii The Executive Committee shall maintain, without fail, a Register of members of the Institute and update the personal data of members on a continuous basis. iii. The Executive Committee shall maintain publications which in the opinion of the General Meeting are capable of promoting dissemination of professional discourse among the members of the Institute, and promote the monitoring of the welfare of members. The Executive Committee shall maintain a Register of corporate firms that are practitioners in the field of electrical and i. Electronics Engineering Firms, which employ the services of members of the Institute, and admit them into affiliate firm membership of the Institute on merit. ii. The Executive Committee shall encourage Associate Firm Members of the Institute to host its professional, social and welfare activities, in such a manner that shall attract a reward for doing so to the Associate Firm Member and also to the Institute. iii. Executive Committee shall present regular reports to the General Meeting on programs and activities which focus on achieving the objectives of the Institute, namely: promote the Continuing Electrical & Electronics Engineering Professional Development and Control, Technical activities, Research and welfare of members. 1.5 Income, Asset and Property The income, asset and property of the Institute shall be vested in the executive committee, who shall administer same with high sense of responsibility and Integrity. ARTICLE 2 MEMBERSHIP i. The Subscribers to the byelaws of the Institute and such other persons as shall be admitted to membership in accordance with these Bye-Laws, shall be members of the Institute, and shall be entered in the Register of Members and issued with the relevant certificate of registration. ii. The Institute for the purpose of registration is declared to consist of Two Thousand Members at the National level. iii. The General Meeting may, whenever the business of the Institute requires, register increase in membership in Warri Chapter. iv. The Institute shall comprise Corporate Members (including Fellows) and Affiliates. ' Corporate Members 2.1 There shall be two grades of Corporate Membership. i. Member ii. Fellow 2.2 There Shall Be Four Grades Of Affiliates i. Associate Firm ii. Associate iii. Graduate iv. Student 2.3 Method Of Applying Every member seeking admission shall do so by applying and forwarding the application with processing fee and subscription to the Institute. 2.4 Corporation Member i. Corporate Member A person seeking Corporate membership of the Institute shall have undergone a regular course of study in Electrical and Electronics Engineering, of a duration not less than four years in a University or Institute whose curriculum is approved by the National Universities Commission and completed such a course successfully and possess a minimum working experience of four years, and met the criteria prescribed by the General Meeting; or The Byelaw of the Nigerian Institute of Electrical Electronic Engineers, Warri Chapter Page 9

be a Member of the Nigerian Society of Engineers. ii. Fellow A person seeking fellowship of the NIEEE shall have been a CORPORATE MEMBER of both NIEEE and Nigerian Society of Engineers (NSE) not less than 10 (ten) years and must have met prescribed criteria set by the national body or be a Fellow of the Nigerian Society of Engineers (FNSE), following a formal application to that effect . 2.5 Affiliates i. Associate Firm A firm seeking associate firm membership of the Institute shall be one which employs the services of electrical and electronics Engineers, or allied professionals; which is attested to be positively disposed to the activities of the Institute. ii. Associate A person seeking admission, as an Associate of the Institute shall possess an academic qualification at the level of a University degree, or its equivalent. In addition he shall have been engaged in work related to the practice of Electrical and Electronics Engineering for a minimum period of three years. iii. Graduate A person seeking Graduate membership shall have undergone a regular course of study in Electrical and Electronics Engineering, of duration not less than five years in a University or Institute whose curriculum is approved by the National Universities Commission (NUC) and completed such a course successfully. iv. Student A person seeking Student membership shall be undergoing a regular course of study in Electrical and Electronics Engineering in a related numerate Science bearing direct relationship to the practice of Electrical and Electronics Engineering in a University or Institute whose curriculum is approved by the National Universities Commission (NUC). NEEEE Warri Chapter shall also admit Students who study Electrical and Electronics Engineering in Federal or State recognized tertiary Institutes provided there is a Students Chapter of NIEEE operational in such Institute. 2.5.1 Meritorious Recognition (a) Patron All Past Chairman of the NIEEE Warri Chapter and the Nigerian Society of Engineers Warri Branch who are Electrical and i. Electronic Engineers shall be Patrons of the Warri Chapter of NIEEE ii. Any distinguished personality of Electrical & Electronics Engineering and member of the chapter who have served in the exco Electrical/Electronic Engineer not below the grade of Fellow who is approved at the AGM on the recommendation of the Executive Committee of the Chapter may also be made a Ration. The tenure Of a Patron shall be for life. iii. The main function of the Patrons shall be to support the Executive Committee in the execution of their mandate and to assist financially and in other programmes and/or functions towards the achievement of the aims and objective of the Institute. In general, a Patron shall always endeavor to be seen as a role model of the Institute. (b) Mentorship The Chapter shall operate 2 categories of mentorship. i. Prospective Member Mentor Senior Members who have been certified technically by the chapter shall be appointed to guide and review projects during corporate exams and interview. Before a nomination of a mentor is approved, the exco through the Career development committee must have evidence of active participation in technical activities, presentation and research works in the area of project. ii. Technical Society Mentors This category of mentors for the Technical Societies shall be established authorities in their area Of interest relating to any of the Technical Society they are appointed to mentor. The Chapter shall have more than one Mentor that shall provide technical advice and skill grooming in their area of expertise. These experts shall be recognized and appointed by the general meeting through recommendation by each of the technical activities board and exco. iii. Moderators or Technical Assistant Technical Assistant or Moderator shall be appointed to moderate the meetings, programmes and activities of technical satieties or sections. The moderator shall have a proven experienced in the area of interest. 2.6 Register of Members The General Meeting shall approve Register of Members ,companies and affiliates to be kept containing the names of all persons and firms who are or have been members of the Institute, the dates on which they become and (where applicable) cease to be members, the nature of the member's business and address. The register shall be open to inspection of members at all reasonable times and shall be published as an official register which shall be regularly updated. 2.7 Discipline and Suspension from Membership and Affiliation i. Suspension of a member/affiliate shall not exempt the member from liability for any subscription/dues or other fees falling due from him to the Institute during the term of such suspension or whilst a question relating to his suspension or the cessation of his membership is being considered. ii. No member/affiliate shall be expelled or suspended except in pursuance of a resolution passed at the General Meeting at which not less than two thirds of the members of General Meeting present vote in favour of the resolution to do so. ill. Any member/affiliate who become bankrupt, either individually or as a partner in a firm, compounds with his creditors or is lawfully certified to be insane may at the discretion of the General Meeting be excluded from membership but shall in that event nevertheless remain liable for any sum due from him to the Institute. iv. The Chapter shall pass resolution regarding 2.6 i, ii, iii and iv to the national body for or any of its responsible organ responsible for discipline. 2.8 Meetings The following shall be the official and recognized meetings of the Institute: i. Technical Activities Meeting The Chapter shall endeavor to hold regular technical activities sessions or lectures at the chapter, boards/sections and societies levels. ii. Executive Committee Meeting There shall be regular monthly meetings of the Institute Executive Committee at the time and place approved by the Institute Executive Committee. iii. Annual General Meeting The Annual General Meeting of the Institute snail be held once a year at a time and place approved by the Institute Executive Committee. The Ordinary General meeting shall be held twice a year, at the time and place approved by the Institute Executive Committee. iv. Emergency Meeting In addition to the regular monthly meeting, the Chairman may direct the General Secretary to summon emergency meetings of the Executive Committee or general meeting as and when occasion demands. v. Standing and Ad hoc Committees Meeting There shall meeting of standing and adhoc committee. vi. Quorum at Meetings Quorum at the general meetings, annual general meetings, executive committee meetings, etc of the chapter shall be one third of the total active financial members attendance .However the Chairman or anyone deputizing for the chairman of any of the mention organ of the chapter shall have the discretion to wave the provision depending on need to enable the business of the Institute progress. ARTICLE 3 THE EXECUTIVE COMMITTEE The Executive Committee or Council of the Warri Chapter shall be in charge of the activities of the chapter. 3.1 The Executive Council shall comprise the following Officers: i. Chairman ii. Deputy Chairman ill. Vice Chairman (Power Engineering Section) iv. Vice Chairman (Telecom & Computer Engineering Section) v. Vice Chairman (Instrumentation, Control & Automation Engineering Section) vi. General Secretary vii. Assistant General Secretary viii. Treasurer ix. Financial Secretary x. Technical Secretary xi. Membership and Welfare Secretary 3.2 Duties And Responsibilities Of The Executive Committee 1. Institute; provide for properly conducting the business of the Institute in all cases and to arrange so far as they deem fit the publication of such papers and documents as may be calculated to advance professional knowledge, and promote Electrical and Electronics Engineering practice. 2. The Executive Committee shall have powers: i. To implement all decisions of NSE as they affect the chapter and Institute. ii. To carry out all the decisions of the General Meeting. iii. To initiate such policies and actions that is for the wellbeing of the Institute, subject to the approval of the General Meeting. iv. To develop programmes and publications that implements the goals and objectives of the Institute. v. In the absence of the Chairman, Deputy Chairman, Vice Chairmen, any of the Exco members duly nominated by Exco shall preside. 3.3. Duties And Responsibilities Of Officers 3.3.1 Chairman Executive/Chief i. The Chairman shall be the Chief Accounting Officer of The Chapter. ii. He shall preside at The Executive Committee and all meetings of the Institute. iii. He shall represent or take decisions on behalf of the Institute in consultation with die Executive Committee. iv. He shall be a signatory to the Accounts of the Institutes as well as sign all minutes of meetings. v. He shall direct the General Secretary to call Emergency, General or Executive Meetings when the need arises. vi. He shall represent the Institute on the council of the Nigerian Society of Engineers in Warri. 3.3.2 Deputy Chairman i. The Deputy Chairman shall deputies for the Chairman ii. especially in his absence. iii. The Deputy Chairman shall oversee the planning and iv. Execution of all membership related functions of the Institute. v. He shall in conjunction with the career development and vi. technical activities committees design and implement professional development and technical activities programs subject to the approval of Exco and Genera! Meeting. He shall develop sponsorship and joint venture opportunities with individuals, government, corporate bodies, and academia for the implementation of the professional development and technical activities programmes of the chapter. He shall be a signatory to the chapter's account, and shall sign cheques in the absence of chairman, and approve withdrawal of funds as shall be authorized by the Chairman. He shall delegate his duties to any of the Vice Chairmen in his absence. The Byelaw of the Nigerian Institute of Electrical Electronic Engineers, Warri Chapter Page 15

3.3.3 Vice Chairman (Power Engineering) i. Shall be the Chairman - Power Engineering Board/Council. ii. Shall be a registered engineer by COREN and has served in the Exco in the past also participated actively in the activities of any of the Power Engineering Society(ies),hence shall have a proven record of competency in the area of Power Engineering. iii. Shall oversee the technical activities of the Power engineering section and societies. iv. Shall develop and ensure implementation of the technical activities processes, procedures and programmes of the various societies of power engineering. v. Shall ensure the growth of the power engineering societies. vi. Shall oversee the administrative portfolio and any other as may be assigned by the Exco. 3.3.4 Vice Chairman (Telecommunication and Computer i. Engineering) Shall be Chairman Telecom and Computer Engineering Board/Council. ii. Shall be a registered engineer by COREN and has served in the Exco in the past and participated actively in the activities of any of the telecom and Computer Engineering Society (ies). iii. Shall have a proven record of competency in the area of Telecoms/Computer Engineering. iv. Shall oversee the technical activities of the Telecommunications and Computer Engineering societies by counseling and directing the Technical moderators/Technical Assistant and members as required. v. Shall develop and ensure the implementation of the technical activities processes, procedures and programmes of the various Societies of the Telecom and Computer Engineering. vi. Shall ensure the growth of the Telecommunication and The Byelaw of the Nigerian Institute of Electrical Electronic Engineers, Warri Chapter Page 16

Computer Engineering Societies and spread into the special (narrow) areas of interest as may be listed in technical societies manual such as Telecom, Computer and later fragmentized into Transmission, Microwave Radio, Vsat, Cable Plant, Data Communication, Hardware and Software Engineering, etc. vii. Shall work closely with the Deputy Chairman and technical Secretary to oversee the activities of the Professional development and any other portfolio as may be assigned by the Chairman and Exco. viii. He shall in the absence of Technical Secretary discharge the Technical Secretary’s duties. 3.3.4 Vice Chairman (Instrumentation and i. Control/Automation Engineering) Shall be the Chairman of the Instrumentation and Control Engineering Board. ii. Shall be a registered engineer (COREN) and ha\\e served a complete term in Exco also participated actively in the activities of any of the telecom and Computer Engineering Society (ies). iii. Shall have proven to be technically competent in the area of Instrumentation and Control engineering. iv. Shall oversee the technical activities of the Instrumentation and Control /Automation Engineering societies by counseling and directing the Technical Assistant(s) and members as required. v. Shall develop and ensure the implementation of the Technical activities processes, procedures and programmes of the various societies of the Instrumentation and Control Engineering. vi. Shall ensure the growth of the Instrumentation and Control Engineering Societies and its spread into the special (narrow) areas of interest as may be listed in technical societies manual, etc. vii. Shall supervise the activities of the Membership and Welfare portfolio and shall discharge such duties relating to the portfolio during the absence of the The Byelaw of the Nigerian Institute of Electrical Electronic Engineers, Warri Chapter Page 17

Membership/Welfare Secretary and Publicity Secretary and other duties as may be assigned by the Exco. 3.3.5 General Secretary i. The Honorable General Secretary shall be responsible to the Executive Committee for the administration of the Institute. ii. He shall be the general secretary and shall be accountable to the Chairman and Exco for the administration of the Institute in Warri. iii. He shall submit reports on the activities of the Institute quarterly and at the last meeting of the financial year to the Executive Committee and the AGM and during retreat and group dynamics and NSE Councils. iv. In consultation with the Chairman, he shall prepare agenda and fix dates for meetings. v. He shall prepare and sign with the Chairman all reviewed minutes of meetings of the Chapter. vi. He shall -be assisted by Assistant general Secretary and shall head the Secretariat, media and publicity committee. 3.3.6 i. Assistant General Secretary ii. He shall be the Assistant General Secretary and the iii. administrative assistant of the Institute. iv. He shall keep membership records and database, committee programmes and reports. Shall assist the General Secretary in the discharge of the administrative duties during his absence. He shall oversee the implementation of strategies to attract Affiliate firm membership to the Institute. v. Shall complementarity take minutes of meetings and events. vi. He shall be a member of the chapter Secretariat Committee and co manages the assets, website, virtual and social network accounts. vii. He shall carry cut such other duties as may be assigned to him by the Executive Committee. The Byelaw of the Nigerian Institute of Electrical Electronic Engineers, Warri Chapter Page 18

3.3.8 Technical Secretary. The Technical Secretary shall: i. Be responsible for organizing all technical functions of the Institute. ii. Shall collaborate with the Career Development Committee and Technical Boards to oversee the Technical Societies, hence shall develop arid facilitate programmes of the technical societies and boards. iii. He shall in collaboration with the Career Development and Technical Activities Committee 2nd technical activities boards to facilitate industrial research, technical visit, and career talk, and as well organize lectures, seminars, workshops and technical exhibition. iv. He shall liaise with the technical activities boards for technical publications and periodicals of the Institute, 3.3.9 Treasurer The Treasurer shall: i. Receive all monies due to the Institute and deposit them in the Institute Bank Account within three days of receipt. ii. Keep a record showing receipts and expenditures. iii. Prepare a statement of Accounts to the Executive Committee quarterly. iv. Shall be m custody of the Chapter Cheque books and vouchers. v. Be a signatory to the chapter Bank account. vi. Be responsible for any other assignments as may be referred to him by the Executive Committee. 3.3.10 Financial Secretary The Financial Secretary Shall i. Be responsible for the collection of all dues and levies from members and band same to die treasurer within three (3) days. ii. Keep all financial records of the Institute and make available monthly report to the Exco and General House. iii. Be responsible for the preparation of budget and financial procedure for the financial year. iv. He shall be a signatory to the Institutes Bank account. v. Be responsible for any other matter that may be referred to him by the Executive Committee. 3.3.11 Publicity Secretary The Publicity Secretary shall: i. Shall be responsible for disseminating information among members including photos and videos hence shall be the publisher of the chapter monthly, quarterly arid annual information/news bulletin. ii. Shall be responsible for the public image of the Institute in Warri, hence shall be the public relations and chief protocol officer of the chapter. iii. Shall liaise between the Exco, Committees, Technical Boards/Societies and media agencies for the implementation of his duties as image maker and Publicity Secretary. iv. Shall be assisted, especially in his absence, by the Assistant general secretary and other members of the Secretariat, media and Publicity Committee. v. Shall assist the Membership/Welfare Secretary during absence and shall be responsible for other matters as may be referred by the Executive Committee. 3.3.12 Membership & Welfare Secretary i. Shall Manage the Welfare and Visitation of member based on welfare package and shall be assisted by the publicity Secretary. ii. Shall manage the entry stage of new members and prospective candidates for corporate membership and registered engineers COREN licensing. iii. Shall Design and implement membership programs as may be approved bv the Exco. iv. Shall co-manage the Students' Chapters, Affiliate Bodies and Partners, etc. v. Shall collate members’ complaints and present same to Membership/Welfare Committee for decision. The Byelaw of the Nigerian Institute of Electrical Electronic Engineers, Warri Chapter Page 20

vi. Shall be responsible for social events, decoration and entertainments during meetings and other events. 3.4 Tenure Of Office Of Executive Committee i. The Chairman shall hold office for two (2) years and shall be succeeded by The Deputy Chairman. ii. In the event of the Chairman ceasing to hold office till the expiration of his term, the Deputy Chairman shall complete the tenure and later serve his own full term as Chairman. iii. Tenure of all other offices of Executive Committee shall be one (1) year and re-electable. Each of them shall hold office for a maximum period of three consecutive terms of one calendar year each, election shall be held every year. Thereafter he may be eligible for election into another office. iv. All officers except the Chairman and Immediate Past Chairman (IPC) shall be elected in an open or secret ballot at the Annual General Meeting (AGM) and during bye elections where offices were not filled during AGM. v. The Deputy Chairman shall be elected at the AGM among the Vice Chairmen to serve 2 years at the expiration of the incumbent Deputy Chairman. 3.4.1 Dissolution Of The Executive Committee. The Executive Committee shall be dissolved on the following grounds: (a) A resolution passed by the General Meeting of the Institute. (b) Expiration of Tenure 3.4.2 Removal Of Officers From Office An officer of the Chapter/Institute shall stand removed from office for the following reasons: (a) Establishment of misconduct or incompetence. (b) Abuse of office (c) Violation of provisions of the Bye-Law. (d) Voluntary resignation. (e) Absence from the General/Executive Meeting for three consecutive times without good reason. (f) Embezzlement of the Institute's fund. (In this instance, the embezzled fund shall be refunded with prevailing: i. Interest within 1 month in addition to facing the risk of criminal prosecution. ii. Upon conviction for a criminal offence by a court of law (and shall not be eligible for any office subsequently). (g) Who due to ill health can no longer perform his duties or has a sickness that requires confinement or isolation. (h) Who is deemed to be inefficient in his duties and without making any improvement despite warnings by the Executive Committee. (i) Upon a motion of vote of no confidence in any proven case in the above instances, supported by two thirds majority of financial members present at a General Meeting. 3.5. Standing Committees The Executive Committee shall run the business of the Institute through the following Standing Committees and any other organs and Committees which may adhoc or standing set up by the Executive Committee for specify functions. The following shall form the functional Committees of the Warri chapter. All standing committees shall have one (1) year tenure after which it can be reconstituted, and shall be accountable to the Executive Council and General House. 3.5.1 Career Development and Technical Activities Committee Members shall be: Deputy Chairman shall be the Chairman Vice Chairman (Power Engineering) - Member Vice Chairman Telecom & Computer Engineering - Member Vice Chairman (Instrumentation & Control Engineering - Member Technical Secretary shall be the Coordinator/Secretary 3.5.1 (a) Expanded Technical Activities Committee Meetings Depending on the requirement of the Exco and committee, the committee may be expanded to include the Technical Moderators or Technical Assistants of the various Technical Societies. 3.5.1 (b) Responsibilities Responsibilities shall include Industrial Research, Collaboration, Technical Exhibition with Higher Institutes and International Organizations. i. Design and provide the framework for career development and foster, steer research, technical activities and professional growth. ii. Shall plan and organize seminars, courses, workshops, technical presentation and the production of technical journals for the Chapter. iii. Shall manage the library and be the custodian of all technical publications of the NIEEE and affiliate with organizations and individuals to grow the knowledge base of the Institutes members. iv. The Committee shall guide, direct, and advice the Executive ,the technical boards, and the house on issues relating to the development and general upliftment of professionalism in any area of Electrical and Electronics Engineering. v. Shall be responsible for the allocation of mentors to prospecting members. vi. Shall be responsible for the nomination of members into Chapter examination board as may be required for corporate membership interviewed. vii. Liaise with NSE and other electrical engineering organs, to develop exams syllabus and set questions where required for prospective candidates. 3.5.2 Business Luncheon, Awards & Annual Dinner i. Shall identify the arcs of investment for the chapter, and advise the Exco and general house. ii. Shall plan and execute business luncheon including professional excellence awards events for the purpose of funds support for execution of career and professional development programmes. iii. To organize all functions and other activities that would generate funds for the chapter. iv. Shall identify sponsorship, Partnership or Joint Venture opportunities with Individuals, Professional Bodies, CQREN, Government, Corporate Bodes, and Academia for the implementation of the Professional Control and Development programmes. 3.5.3 Professional Control, Codes & Standards Members of this committee shall be drawn among members who have private practice experience and employees who have high level contacts in addition with adequate understanding of professional control and collaboration. i. Shall develop and implement courtesy visit plan. ii. Shall develop and implement professional control programmes. iii. Shall identify partnership, joint venture opportunities with professional bodies, COREN, Government, Corporate Bodies, and Academia for the implementation of the Professional Control, Codes and Standards development programmes. 3.5.4 Secretariat, Media and Publicity Committee Membership is statutory, with option of incorporating other members if need arise. Genera! Secretary shall be the Chairman Asst. Gen Sec - Member Publicity Sec - Member IPC- Member Responsibilities: 1. Shall manage the secretariat and assets, ensure the hall is kept neat and ready for meetings and events. 2. Shall develop and keep members data, events and document library. 3. Develop and manage MIS for the hosting of Chapter information. 4. Shall produce quarterly, Annual and group dynamics reports and review same with Exco. 5. Shall be responsible for Publicity, Protocol, Image Projection and Media Coverage during events including release of quarterly newsletter. 6. Shall be responsible for Press releases, Latest news from the Chapter /NIEEE, Photo galleries, Videos and as well discover and disseminate information about upcoming and past Activities of NIEEE. NSE, CQREN and Affiliate Bodies, Notices and so much more. 3.5.5 Finance and Audit Committee Financial Secretary - Chairman Treasurer - Member One Ex-Chairman - Member One Volunteer - Member i. Shall develop financial software for monitoring the chapter's finances, treasury and expenses. ii. Shall develop and advise exec on fund raising techniques. iii. iv. Shall coordinate ICEPT and other National prograrnmes. 3.5.6 Membership and Welfare Committee Membership & Welfare Secretary - Chairman Publicity Secretary – Member Students Chapter Representative - Member 3 Volunteers - Members Welfare issues shall include but not limited to Members Welfare, Job Placement, Career Guidance, Victimization of members at place of work and Conflict Resolution. Responsibilities: 1. Liaise with publicity and career committees for information on Job placement for members and Career Guidance (Committee Function). 2. Shall liaise with Professional Control Committee to manage victimization of Member at Place of Employment (Committee Function). 3. Shall design and implement all membership programs of the Institute subject to the approval of the Exco. 4. Shall liaise with Career Development Committee to coordinate the Students' Chapters, and liaise with Professional Control for the management of affiliate bodies and partnership, etc. 5. Shall manage Conflict Resolution and Mediation concerning members, their establishment and between NIEEE and other bodies (Committee Functions). 6. Shall implement all membership programs of the Chapter subject to the approval of the Chairman and Exco. 7. zonal welfare focal points to coordinate the various firms and Government Agencies where members are employed. 8. Any other related issue designated as such by the welfare package and Executive Committee. 3.5.7 Other Standing Committees More standing committees shall be constituted as shell be requested by Exco and approved by the General Meeting. 3.6 Adhoc Committees Adhoc committees shall be constituted to handle activities that are not continuous in scope. These adhoc committees shall become dissolved with the completion of the task assigned to them. 3.6.1 Electoral Committee The Electoral committee shall have the Pioneer Patron as the Chairman. In his absence, another Patron or Ex-chairman as nominated by Exco and approved by the General House shall take charge. The Electoral Committee Chairman shall be assisted by one or more senior members in the discharge of the electoral duties of the Chapter. The Electoral Committee shall carry out the following electoral processes: i. Screening of candidates. ii. Conduct the manifesto session. iii. Conduct elections and declare results before the house. iv. Administer the swearing-in-ceremony and perform any only other functions as may be assigned the committee by the General House. 3.6.2 Election of Exco Members There shall be election of officers into the executive council through acceptable electoral option and prescribed process. 3.6.3 Eligibility To Hold Office a. The candidate must be a financial corporate member of the NIEEE and in good standing. b. A candidate for the post of Chairman/Chief Executive Officer in addition to (a) above must have served as a Deputy Chairman of the Institute Executive Committee for 2 years in the immediate past Executive Council preceding the election and must be COREN registered. c. A candidate for the post of Deputy Chairman in addition to a above must have been one of the Vice Chairmen of the immediate past Executive council who has meet all conditions spelt in (d). d. A candidate for any of the post of Vice Chairmen in addition to (a) above must have served as a member of the Institute Executive Committee and must be CQREN registered and must have proven record of participation in Technical Activities Societies of the Chapter. e. A candidate for the post of General Secretary must have been involved in successful implementation of Technical Activities which positively promotes the objectives of the Institute. f. A candidate for the post of General Secretary in addition to (a) and (e) above must have been a member of the Institute for at least four years. g. A candidate for the post of Technical Secretary in addition to (a) above must have been involved in successful implementation of any of Technical Activities Societies in a capacity of Technical Moderator/Assistant which positively promotes the objectives of the Chapter and must have been a member of the Institute for at least four years. h. A candidate for any other executive position and elective position shall be one who must have shown commitment and had no criminal records. ARTICLE 4 ENROLMENT FEES AND ANNUAL SUBSCRIPTIONS The Annual Subscriptions, Dues and other Levies and fund shall be fixed from time to time by the Executive Committee subject to the approval of the General Meeting. Every member or affiliate whose subscription is six (6) months in arrears shall be notified of this fact in writing and the fact reported to General Meeting by the Financial Secretary. In the event that such subscriptions are still in arrears after nine months, the member shall loose his rights and privileges and shall be so notified. If subscriptions are in arrears for three years the member/affiliate shall forfeit his membership of the Institute and shall be so notified. ARTICLE 5 FINANCIAL PERIOD The Financial Period of the Chapter shall end on the 31st day of December each year and all subscriptions shall be due on the 1st day of January each year. ARTICLE 6 RIGHT AND PRIVILEGES a. Members shall enjoy such rights and privileges as the General Meeting/AGM may from time to time prescribe. The rights and privileges of every member/affiliates of any grade shall be personal to him and shall not be transferable by him or by operations of law. b. A member or affiliate which expression shall include Student, Graduate, Associate, Corporate and Fellow shall cease to be a member/affiliate: i. By giving one month's notice in writing to the Institute of his intention, and upon expiry of the notice, he shall cease to be a member/affiliate. ii. If he fails to prove to me satisfaction of the General Meeting within three (3) months of being called on by the Institute by a letter forwarded by registered post or recorded delivery to his last registered address a statement in writing to do so that he is qualified to remain a Member under Articles 10,11 and 13 as appropriate. iii. If any sum due from him to the Institute is not paid within twelve (12) months from the date the sum is due. iv. On the passing of a resolution at the General Meeting expelling him from the Institute having been found guilty of any misconduct which is considered by the General Meeting as dishonorable or derogatory to the profession and Institute, or calculated to be prejudicial to the attainment of any of the objects of the Institute. The Institute shall immediately notify any member expel led under this clause of such action. c. A person who has ceased to be a member/affiliate may for reinstatement and any unsuccessful candidate for admission may renew his application from time to time provided that a person who has ceased to be a member/affiliate shall not re-apply within two years of the date of such cessation of membership provided further that no application for election or re-election shall be renewed within a year of the previous application. d. All past Chairmen or Patrons of the Institute shall have a right of attendance at all Executive Meetings as observers. ARTICLE 7 THE ENGINEERING RESOURCE CENTRE a. The Warri Chapter Engineering Resource Centre shall serve as the Secretariat of the NIEEE and Electrical/Electronics Engineering activities in Warri and environs. b. The Resource Centre shall be provided with the state of the art and IT enabled Facilities and Library enough to facilitate Short Courses, Training, Study and Research. c. The day-to-day management of the Engineering Resource Centre shall be under the administration of the General Secretary. d. The Secretariat shall be staffed when necessary by employees who possess relevant qualification and experience to carry on the business of the Institute. e. The Chapter shall renew annually the rent of the Resource Centre till when the Chapter decides otherwise with a two-third majority vote at the AGM. ARTICLE 8 TECHNICAL ACTIVITIES BOARDS NIEEE technical board or Councils are groups of Societies working together in broad areas of technology. Technical Councils sponsor member activities such as technical meetings, publishing, promoting educational activities, and developing standards. These boards shall have each of the Vice Chairmen as Chairman, while the technical Assistants of the discipline society, ex NIEEE Warri Chapter Chairmen and the Mentors shall be members of the board. This board shall govern, regulate and manage the activities of the technical Satieties of their area. 8.1 Technical Societies The Chapter shall have three (3) Technical Societies for a start. These shall be Power Engineering Society, Telecom and Computer Engineering Society and Instrumentation & Control Engineering Society. Every member is expected to belong to a minimum of one Society. NIEEE shall have Technical Societies that provide benefits to members within specialized fields of interest, Society memberships shall afford members to stay current within chosen area, technology and profession, thereby keep in touch with peers, and invest in actual career area. Technical Assistant shall be the head of Technical Societies. He shall moderate and coordinates the activities of the Society. Each Society shall minimum of two Mentors. The mentors are very senior members who shall established personalities in the subject matter area of the society he shall mentor. The mentor shall refree Publications and review every Technical Publications before it could be released for publication or public consumption. Responsibilities 1. Develop a volunteer-led environment where technical thought peers and leaders converge and create communities for members working in the same technology fields. 2. Nurture and promote innovative technical ideas and new technical fields. 3. Shall organize technical gatherings such as Technical Exhibition, Industrial Research, Seminar, Workshop, and Technical The Byelaw of the Nigerian Institute of Electrical Electronic Engineers, Warri Chapter Page 31

Presentation, etc to foster innovation and interchange ideas and skills and as well produce technical journals to document these activities for members and interested public. 4. Shall solicit, refine, and disseminate quality technical information hence shall breakthrough technical information in the technology area. 5. Shall facilitate Society peer connections, respond to new innovations, entourage projects work, review publications/papers/ designs, and organize and attend conferences. 6. Shall ensure professional network of technology experts to achieve Partnership and technology collaboration. 7. Shall ensure significant discounts on Society Publications, Conference Registration or, etc for members of the Society. 8.2 Sections 1. The Chapter shall encourage the establishment of sections comprising not less than 20 members in firms where Electrical Electronics Engineers work. 2. They shall in addition to other responsibilities, promote professionalism, welfare of members and technical activities as it may facilitate members’ motivation, cost savings, and professional integrity. 8.3 Students Chapters 1. Generally, members who are yet to get university degree in any area of Electrical/Electronic Engineering or yet to get associate membership of the NSE /NIEEE shall be recognized as students members by the Institute. But Students Chapters shall be Chapters that are established for students studying Electrical Electronics Engineering in recognized tertiary Institutes. 2. The Chapter shall encourage the formation of Students Chapters in higher Institute of learning where electrical and electronic engineering discipline is taught. 3. The Student Chapters shall provide opportunity for student members to begin networking in their areas of interest, and profession. 4. The structure and organization of the Student Chapters shall be as approved by their respective faculties and school authorities. Students members are expected to join society of their choice. 5. The student Chapters shall be accountable to the executive Council of the Chapter. 6. They shall on every meeting day present monthly report on their activities. 8.4 Affiliate Bodies Chapter Prior to approval of national body, Warri Chapter shall have affiliate bodies Chapter to foster collaboration in area of control and professional synergy. These may include Nate (EEE), etc, Registered EEE Contractors, COREN and any other Government Regulatory Agencies, etc. The Byelaw of the Nigerian Institute of Electrical Electronic Engineers, Warri Chapter Page 33

ARTICLE 9 THE SEAL AND AUTHORITY The Institute shall have a common Seal which shall be affixed on the authority of the Chairman or General Secretary or such other persons as the Executive or General Meeting may appoint for that purpose, the persons so appointed by them shall sign every document or instrument to which the Seal of the Institute has been affixed in their presence. The impression of the Institute's Seal may be used on official Institute Stationery, Badges, Banners, Placard and Publications of the Institute and shall not be used by members for any other purpose. 9.1 Resignation Of Officers Any elected officer of the Institute except the Chairman can resign his position in writing through the Chairman, by giving a notice of not less than thirty (30) days. The Executive Committee reserves the right to accept or reject such resignation on behalf of members of the Institute. On acceptance of such resignation, the Chairman shall proceed by appointing any eligible financial corporate member of his choice, m acting capacity, subject to the ratification of the Executive Committee arid the General Meeting. Such appointment shall be endorsed or in- validated by members of the Institute at the next AGM. For the appointed officer to be eligible to complete the term of the officer whose resignation has previously been accepted, should the AGM decline to endorse such an appointment, the member so appointed, may seek fresh nomination and stand election along with others into the position now declared vacant by the AGM, which is brought about by the resignation of die earlier elected officer. The Chairman of the Institute can only resign his position in writing, by giving a notice of not less than forty-five (45) days presented and approved at an Executive Committee meeting of the Institute, and any of the two Vice Chairmen shall be appointed in an Acting capacity to complete the remaining term of the Chairman. 9.2 Vacant Positions Any vacancy occurring during the one term of two (2) years of an elected officer except that of the Chairman or General Secretary, can only be temporarily filled through an appointment by the Chairman of the Institute in accordance to the procedures contained in the byelaw. In the case of the Chairman resigning, the Vice Chairman would have been deemed to have served his full term and cannot therefore stand a re-election for another one term of two (2) years. ARTICLE 10 REPEAL OF PREVIOUS LAWS The Warri Chapter byelaw repeals and replaces all previous laws of the NIEEE Warri Chapter. However, all previous agreements, contracts, decisions, etc. made under the previous laws remain valid as long as they do not contradict the provisions stated here in. 10.1 Amendment The byelaw shall be amended only at an Annual General Meeting (AGM) of the branch. Such amendments shall become effective only when: a. Such proposals shall be read in at least two general meetings before (he AGM. b. Such proposal shall be approved by the AGM after a two- third majority votes in favour of the proposal are registered by members at the meeting. ARTICLE 11 WELFARE PACKAGE 11.1 Objective Of The Welfare Package The Objective of the Welfare Package shall be: i. To make the NIEEE more interesting and attractive ii. To cushion the effect of ceremony on members. iii. To promote social event and project the Institute/Chapter's image. 11.2 Presumed Ceremonies i. Marriage ii. Child Birth/Naming Ceremony iii. NSE and other recognized Awards to member iv. Member's/Spouse Birthday v. Funeral of member's parents vi. Member's/Spouse demise 11.3 Marriage For an active (financial) member who is getting married, NIEEE Warri Chapter shall present to such a member: i. A souvenir with NSE (NIEEE) logo, (the souvenir could be a painting or picture of the couple) with a card, or ii. A gift worth about Five thousand Naira (N5,000:00) maximum with NSE logo card. iii. Member's presence- all members are expected to grace the occasion, except where the distance is above 80 km from Warri by road. iv. Anything above 80 km by road from Warri, or any water voyage will require volunteer and delegate to attend the occasion. 11.4 Child Birth/Naming Ceremony, Awards And Member's/Spouse Birthday SAME – AS - IN 11.3 ABOVE The Byelaw of the Nigerian Institute of Electrical Electronic Engineers, Warri Chapter Page 36

11.5 Funeral of Member's Parents & Member's /Spouse 11.6 Demise Active (financial) member who is bereaved, the NIEEE Warri Chapter shall present to such a member: i. Sum of Five thousand Naira (5,000.00) from NIEEE Warri Chapter purse plus individual (voluntary) contributions shall be given to an active (financial) member. ii. Cordolence visit by members to the deceased family. iii. Oration prepared by NIEEE in case of a member's demise and condolence messages in case of spouse or parents demise both to be read and presented to the family during the funeral ceremony. iv. In addition to NIEEE delegates, all members are expected to grace the occasion except when sincerely indisposed. Welfare Dues Members may be levied on ground of welfare to be able to meet up with welfare demand in addition to regular welfare contribution of Two hundred Naira (200:00) each at every meeting (i.e. 2,400:00 Naira every financial year). This annual welfare dues shall be reviewed each term by executive committee and general house to meet with inflation, etc or otherwise, with the objective of sustaining improved welfare to members and associates. ARTICLE 12 DEFINITIONS OF TERMS a. The generic name \"Electrical and Electronics Engineering\" comprises, Power Electronics, Computer, Telecommunications, Instrumentation & Control/Automation, Solar Energy, Broadcast, and allied subdivisions of Engineering Science and Technology. b. Words imputing the masculine gender include the feminine gender and vice-versa. c. The word \"month\" means Calendar month. d. Words in the singular include the plural and vice-versa. e. The ''Engineering Resource Centre\" means the Secretariat of the Institute in Warri. f. \"Seal\" means the approved seal of the Institute, g. \"The Institute\" means 'The Nigerian Institute of Electrical and Electronics Engineering. h. \"The General Meeting\" means the meeting of members of the Institute properly constituted in line with the bye-laws. i. “In Writing\" means written or printed or partly printed. j. \"The Executive Committee\" means members of the Committee hereby constituted with the authority for the day-to-day administration of the Institute.
