APPLICATION FILE APPLICANT KOSOVO OLYMPIC COMMITTEE b. Any vacancy occurring within the Executive Board shall be filled by election of a new mem- ber at the next General Assembly meeting. 4. Powers of the Executive Board: a. To manage, administrate and run the KOC in accordance with these Statutes and with the strategic plan, budget and general policies approved by the General Assembly. The Execu- tive Board is accountable for its work to the General Assembly. b. To submit proposals to the General Assembly for the definition of the strategic plan, gener- al policies and action plan of the KOC. c. To implement the resolutions passed by the General Assembly. d. To prepare the audited financial statements, annual budget and reports of the KOC to be submitted to the General Assembly for approval. e. To manage the property and funds of the KOC as approved by the General Assembly. f. To protect the interests of the Olympic and sports Movement in Kosovo and work exten- sively to achieve the goals and objectives of the KOC. g. To shortlist and select the participants to the Olympic Games and to the regional, continen- tal or world multi-sports competitions patronised by the IOC in which the KOC participates, upon proposal from the National Federations and in close coordination with them. h. To provide assistance and advice to National Federations (within its means) in order to im- prove their development and operations, if necessary. i. To establish and monitor the commissions and/or working groups as it deems necessary to assist in carrying out the objectives of the KOC, and to nominate the members of such commissions and/or working groups. j. To make proposals for affiliation of any member to the General Assembly for decision. k. To draft bye-laws and internal regulations, if necessary, in line with these Statutes and the Olympic Charter, and submit them to the General Assembly for approval. l. To establish and develop harmonious and fruitful relations at international level with the IOC and other international, continental or regional sports organisations and at national level with the relevant authorities. m. To take any disciplinary action as mentioned in these Statutes. n. To exercise any other tasks as per these Statutes and/or as delegated by the General As- sembly. 5. Meetings of the Executive Board: a. The Executive Board shall meet at least four (4) times per year. b. Urgent meetings of the Executive Board may be convened as necessary by the President and/or at the request of at least one-third (1/3) of the members of the Executive Board. c. The meetings shall be convened and chaired by the President. In the absence or incapac- ity of the President, the First Vice-President (or in the absence or incapacity of the First Vice-President, the Second Vice-President, or in the absence or incapacity of both, the Third Vice-President etc.) shall convene and chair the meeting. d. Meetings of the Executive Board shall be convened by notice sent to all members of the Executive Board no later than seven (7) days prior to the meeting indicating the date, time, place and agenda of the meeting and including all necessary documents. e. The quorum required for a meeting of the Executive Board is at least half (50% +1) of the voting members of the Executive Board. f. All voting members of the Executive Board shall have one voting right each. g. Decisions are taken by simple majority of the votes cast by the voting members present. h. In case of tie, the Chairman of the meeting shall have a casting vote. i. Voting shall be conducted by show of hands or by secret ballot as decided by the Executive Board. 101

The Secretary General (or in his/her absence a member of the Executive Board designated by the Chairman) is responsible for establishing the minutes of the meetings of the Executive Board. The minutes shall be circulated to all members of the Executive Board within seven (7) days following the meeting. 6. Responsibilities of the President: a. The President is the legal representative of the KOC in Kosovo and abroad. b. The President shall act and sign as the legal representative of the KOC. c. The President shall co-sign together with the Secretary General and/or Treasurer any financial authorisation or expense. d. The President shall convene and chair the meetings of the General Assembly and Executive Board. e. The President shall ensure the observance of these Statutes and the Olympic Charter in Kosovo. f. The President shall promote the Olympic principles and ethical behaviour within the Olympic Movement in Kosovo. g. The President shall work to maintain and strengthen harmonious relationships with all authori- ties, institutions, partners and stakeholders in Kosovo and abroad. h. The President shall perform any other functions as may be prescribed by the General Assembly or the Executive Board from time to time. 7. Responsibilities of the Vice-Presidents: a. The Vice-Presidents, by order of seniority (First, Second, Third and Fourth), shall perform the du- ties and assume the responsibilities of the President in case of absence or incapacity. b. The Vice-Presidents shall actively participate in the work of the governing bodies of the KOC. c. The Vice-Presidents shall perform any other functions as may be prescribed by the General As- sembly or the Executive Board or the President from time to time. 8. Responsibilities of the other members of the Executive Board: a. The members of the Executive Board shall actively participate in the work of the governing bodies of the KOC. b. The members of the Executive Board shall perform any other functions as may be prescribed by the General Assembly or the Executive Board or the President from time to time. 9. Responsibilities of the Secretary General: a. The Secretary General shall be a professional administrator with a working contract who shall demonstrate appropriate qualifications and skills to exercise such function properly. He/she shall be appointed (and terminated/dismissed) by the Executive Board upon proposal of the Presi- dent. He/she shall attend the meetings of the Executive Board with right to speak but without right to vote. b. The Secretary General shall manage the administration and the staff of the SOC and monitor and oversee all administrative work as directed by the General Assembly, the Executive Board and the President. c. The Secretary General shall make all the necessary arrangements for the meetings of the General Assembly and the Executive Board. d. The Secretary shall establish and keep all records and minutes of the meetings of the General Assembly and the Executive Board. e. The Secretary General shall keep the register of the members up-to-date and available at any time. f. The Secretary General shall coordinate the work of the commissions and working groups. g. The Secretary General shall perform any other functions as may be prescribed by the General Assembly or the Executive Board or the President from time to time. 102

The Treasurer shall be a professional administrator with a working contract who shall demonstrate appropriate qualifications and skills to exercise such function properly. He/ she shall be appointed (and terminated/dismissed) by the Executive Board upon proposal of the President. He/she shall attend the meetings of the Executive Board with right to speak but without right to vote. b. The Treasurer shall receive all dues, fees or any funds or property paid or donated to the KOC. c. The Treasurer shall deposit all funds received in a reliable bank to the credit and name of the KOC as approved by the Executive Board. d. The Treasurer shall maintain and administer the accounts of the KOC. e. The Treasurer shall maintain proper, accurate and regularly updated records of all expen- ditures, revenues and other financial transactions of the KOC available at any time to the Executive Board. f. The Treasurer shall prepare all the necessary financial reports and annual budgets for the Executive Board and the General Assembly. g. The Treasurer shall ensure that the financial statements of the KOC are properly and annu- ally audited by the Auditor elected by the General Assembly. h. The Treasurer shall perform any other functions as may be prescribed by the General As- sembly or the Executive Board or the President from time to time. 103

APPLICANT KOSOVO OLYMPIC COMMITTEE APPLICATION FILE ARTICLE 7: COMMISSIONS AND WORKING GROUPS 1. In order to facilitate, assist and strengthen the work of the KOC, the Executive Board may estab- lish commissions and working groups, if necessary. 2. The Executive Board shall, in particular, establish the following commissions (and the corre- sponding terms of reference of each commission): a. Athletes Commission (subject to the IOC guidelines) b. Ethics Commission c. Finance and Audit Commission d. Legal Commission e. Marketing Commission f. Medical Commission g. Women and Sports Commission h. Sport Commission i. International Relations Commission 3. The Executive Board shall determine the composition, the authority and the operations of such commissions and working groups. 4. The Executive Board cannot transfer any decision-making power to the commissions and work- ing groups. 5. The KOC Athletes Commission shall be established and shall operate in accordance with the IOC guidelines. ARTICLE 8: KOSOVO OLYMPIC ACADEMY 1. The KOC may establish the Kosovo Olympic Academy under the KOC umbrella. 2. The Kosovo Olympic Academy shall operate in accordance with specific terms of reference adopted by the KOC. 104

APPLICATION FILE APPLICANT KOSOVO OLYMPIC COMMITTEE ARTICLE 9: FINANCES 1. The finances of the KOC shall derive from the following sources: a. Financial support from the IOC and Olympic Solidarity. b. Financial support allocated by the relevant authorities of Kosovo. c. Membership fees as decided by the General Assembly (if applicable). d. Revenues derived from marketing and sponsorships activities and the use of the name and emblem of the KOC in accordance with the Olympic Charter and these Statutes. e. Donations and grants accepted by the Executive Board and General Assembly. f. Any other legitimate sources in accordance with the Olympic Charter and these Statutes. 2. Contributions and specific funding received from national or international entities must be used strictly for the purpose of pursuing the objectives and activities of the KOC, in accordance with these Statutes and the Olympic Charter. 3. Specific funds allocated through the Olympic Solidarity programmes shall be used only for the pur- pose of the programmes designed by Olympic Solidarity. 4. The financial year of the KOC begins on 1st January and ends on 31st December of the same year. ARTICLE 10: DISPUTES RESOLUTION 1. Any sports-related or institutional disputes arising within the KOC or between the KOC and its members shall be resolved by the competent governing bodies of the KOC (in close consultation and prior coordination with the International Federation concerned if the case involves a national federation), and outside the ordinary Courts. The case shall be referred to the Executive Board and/ or the General Assembly as the supreme authority of the KOC. The General Assembly may decide to make a final decision in the dispute in question, or the General Assembly may decide to establish a specific conciliation, mediation or arbitration body to resolve the dispute. 2. Any final decision made by the General Assembly in the dispute in question or by the concilia- tion, mediation or arbitration body established by the General Assembly for that purpose may be submitted exclusively by way of appeal to the Court of Arbitration for Sport (CAS) in Lausanne, Switzerland, which will resolve the dispute definitively in accordance with the Code of Sports Re- lated Arbitration. The time-limit for appeal is twenty-one days (21 days) after the reception of the decision concerning the appeal. ARTICLE 11: DISSOLUTION 1. The KOC may be dissolved by decision of the General Assembly in the presence of a quorum of at least two-thirds (2/3) of the voting members and by resolution taken by at least two-thirds (2/3) of the votes cast by the voting delegates present. 2. In case of dissolution, all debts and liabilities legally incurred on behalf of the KOC shall be fully discharged and the residuary fund shall be donated to the legal successor or, if not, to such organ- isations pursuing similar objectives as may be decided by the General Assembly and after prior consultation and coordination with the IOC. 105

APPLICANT KOSOVO OLYMPIC COMMITTEE APPLICATION FILE ARTICLE 12: FINAL PROVISIONS 1. The Statutes of the KOC shall, at all times, comply with the Olympic Charter to which they must refer expressly. If there is any doubt as to the signification or interpretation of these Statutes, or if there is a contradiction between such Statutes and the Olympic Charter, the latter takes precedence. 2. These Statutes shall be adopted, and may be subsequently amended, by the General Assembly by decision of at least two-thirds (2/3) of the votes cast by the voting delegates present at the meeting of the General Assembly. 3. The Statutes of the KOC, and any subsequent change or amendment to the Statutes of the KOC, must be submitted to the IOC for approval. 4. The present Statutes shall become effective once adopted by the General Assembly of the KOC and shall replace and supersede any other previous Statutes of the KOC.
