The Animal & Food Science Department of the University of Wisconsin- River Falls, “this includes the UW-Board of Regents” hereafter called UWRF, its associates, and the auctioneer’s function is to bring the buyer and seller together. UWRF, auctioneer, employees, and independent contractors do not act as agents for or represent the buyer or seller. All responsibilities and guarantees lie between the buyer and seller.ALL PARTICIPANTS are bound by the terms and conditions of the sale, familiarize yourself with them. EXAMINE HORSES CLOSELY PRIOR TO BIDDING! All horses are sold “as is.\" There is no guarantee of any kind as to the soundness or condition or any other quality of any horse sold in this sale, except in the case where the owner makes a specific guarantee. In such case, the guarantee is strictly by the owner and NOT by the sales management. RIGHT OF RECOURSE MUST BE DIRECTLY TO THE OWNER AND NOT THROUGH UWRF. A recorded tape will be made of the entire sale, which shall be used to settle disputes regarding statements made about animals while they were in the auction ring. ALL HORSES: ALL HORSES must have a negative Coggins certificate issued within twelve (12) months prior of the sale date. If these do not accompany the horse, a veterinarian will be assigned to do appropriate testing and will issue these certificates at the expense of the consignor. CONSIGNORS: You are responsible for the accuracy of your catalog page. Please verify all pertinent information, including engagements, and report any errors to the sale company to be announced at sale. ALL ATTENDEES BE ADVISED: Some horses may have earned money and points in events not recorded. Some associations do not keep records on the horses’ earnings and points. Because this information is not always readily available, and many past records have been lost in associations, not all lifetime records will be complete. BIDS: The highest bidder will be the buyer and if a dispute arises between two or more bidders, the horse in dispute shall immediately be put up again for advance bids. If there is no advance, the horse shall go to the person from whom the auctioneer recognized the last bid. The auctioneer will decline any bid made by parties who have defaulted in former purchases or by persons who, in his judgment, are not responsible bidders. The auctioneer's decision is final! UPSET BID: Unless waived by announcement, there shall be a minimum \"upset bid\"of $800.00 for any horse presented for sale. If the “upset bid” is not received, the horse shall be automatically repurchased by the owner as unsold and all expenses become due by owner to sale management. OWNERS RIGHT TO BID: This auction is conducted “with reserve\", meaning the right to bid is reserved by the owner. To protect the desired sale price for the horse the owner or its authorized agent must be the final bidder on the horse and execute the Buyers Acknowledgement of Purchase and Security Agreement. On any horse that is not sold (pass out) the original registration certificate, etc. will be released after all expenses are paid and seller's check has cleared the bank. Originals will be released immediately if payment is received in cash. RESALES: If the highest bidder fails to immediately execute the Sale Ticket or otherwise fails to comply with the Sales Conditions or the published Settlement procedures, or in the event or mistake by the auctioneers, UWRF reserves the option to thereafter resell the animal at the sale and such resale will terminate all obligations of UWRF.

ALLEY SALES: There is to be NO alley trading. All sales MUST be run through the sales office. PAYMENT: Terms of sale are cash. Payment in full must be made to the cashier immediately after the sale. All payments shall be in U.S Currency and on the U.S Banks only. Method of payment shall be Cash, personal check, Master Card, Visa, or Discover. Any credit card transactions will be charged a 3% transaction fee. A driver's license is required for personal checks. Any persons signing a check in the state of Wisconsin is liable for the amount of the check. Any person giving \"insufficient funds\" check or issuing an order to \"stop payment\" of a check will be prosecuted to the full extent of the law. There will be a $500.00 fee for all returned checks that are not replaced with a cashier’s check within 3 days of the return date of the check. DEFAULT: If any person shall purchase a lot and not pay for it as prescribed above, nothing shall prevent the auctioneer or the owner from pursuing whatever legal remedy available to compel the purchaser to pay for it if the auctioneer or seller so deem fit. UWRF is not responsible for the integrity of any specified bid and the seller understands and assumes all responsibilities for any bid that is made and not thereafter honored. In the event any bid is not honored, the seller agrees not to hold UWRF responsible and agrees not to sue UWRF thereof. REGISTRATION PAPERS: All registration papers will be withheld until BUYER'S PAYMENT BECOMES UNCONDITIONAL PAYMENT. At such time, the registration papers and transfer certificates will be mailed directly to AQHA. Other association registration papers and transfers will be mailed directly to the buyer. The AQHA transfer fee will be paid for by the seller. All other associated transfer fees are the responsibility of the buyer. BREEDER'S APPLICATION/REGISTRATION: If selling with a breeder’s certificate, the date of birth and all signatures must accompany said certificate. RELEASES: Upon receiving payment for a horse, the cashier will issue an order to obtain delivery. Buyers are cautioned not to lose these orders. Buyers must make arrangements for care of stock until it can be removed. LIMITED WARRANTIES: The seller is the responsible party for all representations or warranties, expressed or implied concerning the condition of any horse and buyers should satisfy themselves concerning the condition of any horse they purchase. Except as otherwise announced by the auctioneer at the time of sale, the consignor of each animal represents and warrants to the buyer and UWRF, the following: 1. Title of the animal free from all adverse claims to ownership, use or possession. 2. The animal is sound of eyes and wind. 3. The animal is not a “cribber” or “wind sucker”. 4. The animal has not been nerved, does not have navicular disease, and is not currently foundered. 5. The sex or condition as a gelding or ridgeling is as described in the sale catalog or announced at time of sale. 6. Any animal which at time of sale is described as a colt and does not at such time have two testes

descended to the scrotum must be announced. Warranty with respect to descended testes does not apply to any horse sold prior to July 1 of his yearling year. If any of these conditions is announced, the consignor and UWRF is held harmless for the condition. If not called, consignor will pay full consignment fee and commission on horse. Except for the foregoing limited warranties, each animal is sold by the consignor WITHOUT WARRANTY AND WITH ALL FAULTS. Every horse is sold under this rule, therefore, no horse can be rejected by the buyer when struck off by the auctioneer. DISPUTES: In the event a dispute should arise as to a particular defect which should have been, but not was announced as described above, the buyer has the right to have a veterinarian examine the horse he has purchased to determine if the horse suffers from the defect. This examination is to be made and UWRF is to be notified within 48 hours from the end of the sale in which the horse was sold. If the veterinarian determines that the defect was present at the time of the sale and it was not announced, the sale of said horse shall be null and void. RIGHTFUL REJECTION: If the buyer rightfully rejects the animal in the manner stated above and within the time provided, the animal will be returned by the buyer to the consignor. The consignor will refund to the buyer the full purchase price of the animal. TITLE: Immediately after the horse is sold it will be the sole risk and responsibility of the buyer. Effective from the time of purchase, the buyer assumes responsibility for the maintenance and care of the animal. The buyer further agrees to indemnify and hold the consignor, along with UWRF, harmless from all loss, cost, and expense arising from illness, injury, or death of such animal, or loss or damage to property, and injury or death of such animal, or loss of damage to property, and injury or death of persons, caused by the buyer, the buyer’s agents or employees, or by the animal subsequent to the time of purchase. LIABILITY: Buyers and spectators are cautioned to the careful while on the grounds and particularly while horses are being shown or sold in the sale ring. All persons attending the sale do so at their own risk. Neither the owners nor any other persons connected with this sale assume any liability, legal or otherwise, for accidents to persons or property, before, during, or after the sale.
