PRESIDENT'S STATEMENT It is my pleasure to present the 2017 / 2018 Annual Report of the Northerns Cricket Union. The Northerns Cricket Union, Easterns Titans (Pty) Ltd. and Titans Cricket (Pty) Ltd. have once again enjoyed another phenomenal season. A lot of credit and appreciation is extended to all parties that have made valuable contributions and shown sterling commitment in enabling our cricket entities reach amazing heights and accolades. The accolades and nominations received at the 2018 Cricket South Africa Annual Awards highlight the status in which our organisations are portrayed on the national front. The Titans footprint has gained major traction over the past five seasons, in the general South African sporting landscape. One should not underestimate the Titans brand potential outside of our shores which is obviously enhanced by the successes on the field. And whilst the treble eluded our grasp this past season, we feel that it is but a matter of time before the Titans can display all three domestic franchise trophies in our cabinets. The triumph of the Titans is furthermore galvanised by the successes of the pipeline, where the programmes and structures of the provincial system are critical. I wish to accredit much of the success of our entities to the approach adopted to corporate governance, something in which we pride ourselves. Multiple stakeholders play a pivotal role in ensuring that we are compliant and operating in the best interests of our organisation. The approach of the Board to assume the role of overseer and allow Management to run cricket activities has borne the required results. The Union won the coveted Cricket South Africa Incentive Scorecard for the fourth consecutive year, highlighting our commitment to open, transparent structures which create, develop and grow players, coaches, officials, and those in contact with the organisation. With breakeven budgets a prerogative, it is imperative that the spend is carefully calculated to warrant a major focus on a return on investment and value spend. The allocation of R2,4 million to the clubs - for upliftment and improvement to their facilities and equipment - helped direct much needed inroads into aiding and alleviating the financial burden that these entities experience on a daily basis. The Allan Gray Fund performed above expectation, despite a forecasted negative growth. All entities currently sit in a very favourable financial position, thanks to innovation to expand and better utilise our assets, with non-cricketing activities and events, as well as reaching out to new markets. Being able to maintain the status and position of a leading Cricket South Africa Affiliate comes with its own challenges. Strategic planning and creativity needs to be primary objective to ensure we retain the stance as sporting industry leaders in this field. Emphasis needs to be placed and directed at enhancing the role that girls and women’s cricket plays within our structures, whilst also applying ourselves to the requirements and needs of the differently abled fraternity. A drive to attract more females in senior roles and positions within the organisation must become a priority. 08 | NORTHERNS CRICKET UNION INTEGRATED REPORT 2017|2018

The age of the stadium is always a concern, with major work needed on ailing infrastructure. Marked improvements to rejuvenate the SuperSport Park asset have seen the facility ranked as one of the top three stadia in South Africa, by crowd attendance. SuperSport Park has been allocated a Boxing Day Test Match against Pakistan; a drive to make this a major success has already begun, as we attempt to dismiss fears of Tshwane metropolitan being a sleepy hollow during this time of the year. As we move to shift the bar even higher, I would like to call on all role-players and stakeholders to join us in moving forward as a leading cricketing organisation within the country. I express my sincere thanks to Dr. Jacques Faul, the management team and the staff for their tireless dedication to always improving and growing our organisation. In doing so, we are all proud of what we have and where we are. I express my sincere gratitude to the Members Council for their role played in ensuring that the Northerns Cricket Union moves in the right direction, along with the all the sponsors and partners for their important role in our development. I express my appreciation to the members of the Board whom often receive little credit for the role that they play in shaping our business. To the non-independent members that have made constructive contributions and rendered their expertise available to our entities, thank you. Without these entrusted individuals in the structure little would be able to be accomplished. Congratulations and well done to everyone that has been part of another fantastic year in the history of the Northerns Cricket Union. JOHN WRIGHT President | NCU

CHIEF EXECUTIVES OFFICER'S REPORT WINNING In an unprecedented feat off of the field, Northerns Cricket Union have lifted the Cricket South Africa Incentive Scorecard prize for four seasons running, duly recognising the Affiliate as the top administration in South Africa. Taking to the field, the franchise has won a hattrick of double trophies over the past three seasons and bagged the coveted Coach of the Year accolade at the Annual Cricket South Awards. Six years ago, the Easterns Titans franchise was not listed as a growing concern. The income generated from sponsorship increased by nearly triple-fold profits, enabling the company to fund distributions to the two affiliate shareholders, Eastern Cricket Union and Northerns Cricket Union, respectively. In addition, the Northerns Cricket Union was able to distribute additional club funding to the value of R4,8 million in support. DYNAMIC A goal of the entities has been an investment into value creation for a variety of cricket properties that would not only carry the brand into market, but equally serve as income streams through the continuing implementation and improvement of initiatives. A drive toward stakeholder relationship management has played a key role in the success of the Union. The recommended practice monitors and reviews a Power / Interest Matrix for all stakeholders to guide the level of engagement between the Entities and its stakeholders. A measurable reflection of the media reach has been noted in the cumulative Advertising Value Equivalency of the Multiply Titans: Analysis Period: 1 August 2017 – 30 April 2018 | Total Average R 1 131 882 929 R300,000,000 R262,946,452 R250,000,000 R213,281,113 R200,000,000 R181,396,491 R179,306,258 R151,146,487 R150,000,000 R143,806,128 R100,000,000 R50,000,000 R 10 | NORTHERNS CRICKET UNION INTEGRATED REPORT 2017|2018

This season served as another opportunity for the Union to welcome a range of cricket tournaments. Special mention must be made of the operational effort that is put into successfully hosting the Regional Under-13 Boys Week, Regional Under-16 Girls Week, Standard Bank RPC Under-17 Week, Coca-Cola National T20 Schools Competition, Multiply National Community Cup, Momentum National Club Championship and Cricket South Africa Deaf Week tournaments. TITANS The Titans brand has built significant equity on the back of successful cricket performances and prominent players, a crop of whom graduated to represent the Multiply Titans across all competition formats. Mark Boucher remains an iconic cricket character and his success as Titans Head Coach has assisted in establishing a real perception of success. RISK MANAGEMENT CHALLENGE | Globalisation MITIGATION | The postponement of the T20 Global League South Africa resulted in a significant loss for Cricket South Africa. In noting the subsequent reputational damage, uncertainty about the future of the domestic T20 format and the impact that it will have on the franchise will be examined. CHALLENGE | Sponsorships MITIGATION | Income from sponsorships and barter deals has made a positive impact on the sustainability and profitability of the entities. The economic climate, however, lends to a very competitive commercial environment against which the entities must leverage their value. | 11

CHIEF EXECUTIVES OFFICER'S REPORT CHALLENGE | Land Use Rights MITIGATION | There is a high aim to have the process of re-zoning the land use of SuperSport Park finalised during the 2018 / 2019 financial year. The stadium strives to comply to all relevant regulations as required by the City Council. CHALLENGE | Transformation MITIGATION | During May 2018, Cricket South Africa hosted an insightful Transformation Indaba from which agreed principles will form the cornerstones for the envisioned strategy (2018 – 2021). In consolidation of the 2013 National Transformation Indaba Resolutions, we agreed that not all of the 2013 resolutions were achieved, however the effort made to date has led to meaningful improvement in governance, administration, increased participation and improved playing standards. The Northerns Cricket Union has, therefore, placed a marked focus on the coaching of the MID, SID, Blind, Deaf, and Disabled streams. “By this, we look to facilitate the development of junior clubs in the system not just from an administrative point of view but also through a more hands on approach with the intention of continued development.” GIRLS AND WOMEN’S CRICKET ' The Northerns Women have been magnificent and progressively moved up across the formats of cricket.' • 23 x Teams in the School League GIRLS & • 12 x Teams in the Club League WOMEN’S • Runner-up: combined first Cricket South Africa Women’s 50-over Competition CRICKET • Third place: Cricket South Africa Women’s 20-over Competition In summary of the role played by the Cricket Operations department within the Northerns Cricket Union, Muller reflects on the organisational structure. “We are one company. NCU SCORERS' ASSOCIATION Ranked amongst the top three cricket scoring associations in South Africa for the seventh consecutive season, the scorekeeping arm of the Northerns Cricket Union casts a curious figure of a season: wherein much was accomplished still with much room for achievement. The club cricket season continued with the use of the WebSports electronic scoring application offering a portable means for administrators, players, family and friends to follow the action live. The proposed rollout of the application across the leagues (spanning youth and school games) has been welcomed by the Association. “There is an increased application to digital scoring but knowing the skill that goes into the linear method and the ability to understand the theory behind calculations will always mean that the manual scoring function cannot be rendered redundant.” Training courses were held in the both halves of the season but participating in cricket begs a unique demand of one’s time and resources that often goes unspoken. Without holding back, Erasmus is aware of how progressively challenging it has been for the Training and Transformation portfolios to recruit steadfast scorers. This is, perhaps, a commendation to the art of being a match official: an unwavering dedication to the sport that you pledge to serve. “We would like to develop a further squad of scorers to train in capacities that will fulfil the professional positions at SuperSport Park matches. An intensive refresher course will be held to kick-off the upcoming season during which the strategic direction of the Association will be considered with the input of our members,” reveals Erasmus. “Overall, this has been a good season. Scorers who were allocated to matches, tournaments and national weeks delivered on the high expectations of the Association to meet the high standard set by the Northerns Cricket Union. “The Cricket South Africa Scorers Conference held in June 2018 presented a clear criterion by which each Association is graded. These draw from the Incentive Scorecard anchors.” One usually looks to the leadership of any organization or associate body to understand the next steps it intends to take and this off-season, the Annual General Meeting of the Northerns Cricket Scorers Association will hold its election for a new crop of executive members. Erasmus looks forward to welcoming an Executive Committee full of fresh ideas and passion for the continued advancement of cricket scoring in the region. And with that, more accomplishments and achievements. 26 | NORTHERNS CRICKET UNION INTEGRATED REPORT 2017|2018

NCU UMPIRES' ASSOCIATION “The sudden loss of the Chairman of the Northerns Cricket Union Umpires Association, Pieter Roux, was a shock for the entire cricket fraternity in South Africa. Vice-Chairman of the Association, Nic Pretorius, insists that in the wake of this trying period, it would be Roux's legacy of years of fervent service to the arms of the Northerns Cricket Union that would keep the Association on a forward path. “We will continue to grow together. This is a time for us to take stock of where we are along with acknowledging the positives of the season,” says Pretorius. “On the field, it has been a superior season. The Association has 56 active members who have collectively stood more than 1,400 matches at a total estimate of 3,500 hours. One cannot enumerate each bit of banter or appeal that takes place on any given oval of play, but it is the crucial role of the umpire to ensure control of the match pursuant to the Laws of Cricket. With particular reference to Law 42 of the Laws of Cricket, Pretorius is satisfied that the Association will assume the Leagues Scorecard system for each match officiated. “We need to enforce the discipline standards for the clubs to adhere to. 'The Association boasts a number of members on the both the Cricket South Africa and International Cricket Council panels” which speaks to the practical competence of the match officials developed by the Union. Pretorius echoes the late Pieter Roux in reiterating that the Executive has dedicated tremendous time and resources to the training of umpires this season. “For the next season, we are striving to build on every part of umpiring, especially our goal to grow in areas that we can transform, particularly that of gender equity,” says Pretorius. “On behalf of the Northerns Cricket Union Umpires Association, we would like to acknowledge the Northerns Cricket Union for their support throughout the season.” | 27

The joint venture realised a profit of R1,511,381 and a profit of R5,087,246 in the previous year. SOCIALLY RESPONSIBLE SPEND Transformation continues to be at the forefront of doing business in South Africa. As a committee, we recognise and are fully cognisant of the business landscape that continues to marginalise majority of the citizens of South Africa. We have therefore, through the transformation mandate provided to the board, sought to adjudicate and support management’s decisions in favour of supporting small and black businesses. 36 | NORTHERNS CRICKET UNION INTEGRATED REPORT 2017|2018

As part of an audit in accordance with ISAs, we exercise professional judgement and maintain professional scepticism throughout the audit. We also: • Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control. • Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Union’s internal control. • Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by the members of the board. • Conclude on the appropriateness of the members of the board’ use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Union’s ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor’s report to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor’s report. However, future events or conditions may cause the Union to cease to continue as a going concern. • Evaluate the overall presentation, structure and content of the financial statements, including the disclosures, and whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation. We communicate with the directors regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.
