JULY 2018 LETTER CEO FROM We began our Fiscal New Year with the completion of the acquisition of Panacea Infotech based out of Pune India. Panacea brings to Katalyst new capabilities to assist our clients in their Digital Transformation. We are pleased with the integration process and look forward to many great things from this team. We ended our 1st quarter on a significant upswing with all our 6 Business Units meeting or exceeding their quarterly goals. We have added some significant accounts this quarter and have a large pipeline going into the 2nd quarter. We also initiate a new partnership with OutSystems for developing applications using Low Code and won our large deal in June. We look forward to many years of association with OutSystems. As you have read in the news about the uncertainty of the administration’s immigration policies and many of you have concerns about the future. We want to assure Katalyst will do everything with its power to ensure this doesn’t affect you or your family. As a companywide policy, we didn’t participate in H1 Lottery this year and are focused on hiring locally and growing our capabilities in other geographies. We continue to invest in growth and recently signed a lease to acquire additional space at our Pune campus. We have also been actively engaged with our local communities and participated in various CSR activities. I encourage all you to participate in these activities along with your families. This is a great way to give back to the community and can get to know your colleagues from different divisions. Katalyst continues to grow at a much faster clip than our peers this mainly due to the hard work and dedication of each one of you. JULY 2018 INDIA OPS/E-PUBLISHING The Society for Scientific Publications (SSP) had it’s annual conference in Chicago at the end of May, where we had a booth for the first time. We also had a joint demo with T&F on the CC3 tool that we have developed. The demo was a sell out with standing room only and was very well received. In fact, after the demo, we received a lot of independent enquires. We now have to work on the leads and convert. We had some excellent ‘employee engagement ‘ activities this quarter in Pune viz blood donation camp which had a tremendous response, fire safety drill, and the ‘every child counts- citizens campaign.’ All these activities have had an excellent employee response, which was so heartening. On the business side, Nova Techset has several irons in the fire. There are at least five RFPs that we are working on, and, one of these, Oxford University Press have indicated that they would be visiting our Chennai office end Aug and we are gearing up for their visit. The operational tools that Nixon and his team are building are coming along really nicely. JULY 2018 RETAIL & APPAREL The Katalyst Apparel team working with the Panacea group has developed a B2B Catalog solution that is going into production in July. It will be sold through the Apparel Magic who makes the number 1 selling Apparel ERP software. The Panacea Custom configurator continues to sell well, and we are also working on selling it through the Apparel Magic website. Work continues with the Celero WMS which is integrated to Apparel Magic with plans to roll it out by EOY. Katalyst has signed a partnership agreement with OutSystems the number one low code development platform. Low Code development environments significantly reduces the time required to develop applications. Gartner and Forester research has selected OutSystems as the best of the Low Code breed. We have already sold our first project for Horizon Retail Management, and our pipeline is growing rapidly for future deals. Best, Allen Frank ERP-SAP The SAP BU continues to support our existing clients while, at the same time, looking to land net new customers as well. To that end, we recently joined in a new partnership with Inventy, a global SAP Solution Add-On company headquartered in France, with offices in Europe, Canada, and the US, where we placed a Solution Manager resource. They would also like us to partner with them to resell their solutions, and we anticipate a fruitful relationship going forward. The Implementation Team, led by Ignatius du Plessis, is in the process of providing post-Go- Live support for a new plant set up, adding complex sales functionality, for one of our longtime customers. The schedule for this project was ambitious, to begin with, and early on the client asked that it be accelerated even more. This challenge was met head-on by the team which required much late nights and weekend hours to meet the requirements; all indications are this will be another success. Special thanks to Felix Teran for his lead role and to Nistal Sankar, from the offshore team, for working U.S. hours both during the week and weekends. All in all, a huge team effort appreciated by the client. The Basis Team, led by Jasbir Khanuja, has been busy with their normal customer system support and recently completed a successful client refresh for another longtime customer. This same customer is in the process of seeking approval for us to do a Windows Server upgrade for two locations and an SAP upgrade for one of those same facilities, we look forward to receiving a positive decision soon. Another client requested Windows OS and HANA patch upgrades which were successfully completed over a recent weekend. Additionally, they have installed a new service, SAP Hybris, on our internal system where the functional team is in the process of adding enhancements to use as a demo system for potential clients. Earlier this month, we re-certified our SAP Hybris Sales and Service Authorization, complying with a new SAP Hybris resell requirement to include a certified solution consultant. A big thank you to Nubia Melendez for taking on this task and passing the difficult certification test, with short notice, on a topic outside of her area of expertise. JULY 2018 SUPPLY CHAIN Greetings from SCBU!! We are pleased to announce our new Katalyst partnership with 3D Slotting. Slot3D is a software package that allows the user to optimize slotting plans, capacity analysis, space and layout planning, equipment cost /benefit analysis and benchmarking. By creating an AutoCAD digital canvas, the user can construct a 3D automated design and layout of the warehouse. Various A, B, C slotting scenarios, and equipment can then be introduced to the model to determine the best slotting solutions. The system can also provide a cost for picking, replenishment and storing product. The system can also integrate directly with either an ERP or WMS. With the addition of 3D Slotting, Katalyst has now increased our supply chain offerings to include Slotting and inventory optimization, Labor Management, WMS and Transportation Execution. We have also just started a new Customer Service project for Genesco that will allow the user to track orders thru multiple systems thru a single UI. There is a FedEx upgrade also planned for the next quarter. Lastly, our partnership with Easy metrics has been quite active over the last few months. We are in final discussions with two large clients for enterprise-wide licensing for their respective distribution networks. Key achievements are :- With a very organized and multi-pronged approach, India based Inside Sales team was able to gain noticeable traction for the SSP event, that was held at Chicago. This helped facilitate and win some meaningful discussions at our booth from various prospective clients. With a good team effort, we signed-up few new logo’s for software development and SAP BUs’. Noticeable one is the first deal with Inventy, an interesting company that has built few products that work well within the SAP eco-system. We believe, we can leverage their products to help expedite the sales cycle for SAP prospects, for their migration to S4/HANA , and provide insights to others who want to optimize the utilization of their SAP investment. JULY 2018 PROFESSIONAL SERVICES This has been a transformational quarter for the professional services division in pivoting our business from a low margin pull-sales model to a process-oriented relationship building model. The credit goes to the entire team for boldly embracing the change, showing a lot of resilience and character in adapting to the changing market dynamics. Though this is only a good beginning, I am very proud of our progress this quarter. Together, we will continue our pursuit to a scalable and repeatable sales success. I thank Rahul, our CEO, for being the principal change agent by continuously but patiently, steering us on to this new path. All our peer teams have been very inspirational in this regard. I thank all our engineers for making a lot of introductions to new accounts. I would like to especially thank Vijay Kandi for making right introductions at Norfolk Southern. I sincerely thank Harshad Mandlecha for helping us build and establish a strong relationship with Lokyata and Praveen Minumula, Hitesh Vadlamudi and Dinesh Gomaram and our delivery team in making this deal a success. I am very glad to inform that the product was successfully deployed in state owned banks in Mali and Madagascar leading to excellent results. More work is coming our way shortly. We worked together with Royal Caribbean Cruises to help enable test automation with their Augmented Reality-Virtual Reality Products (AR/VR) by providing a unique solution that helps match a digital image of a given visual subject with the digital image of the same real subject produced under different lighting conditions and from different angles. In the process Katalyst beat all their incumbent vendors like Accenture, Earnest & Young, PWC, CAI etc. We are eagerly looking forward to delivering the complete AI based solution in the upcoming quarter. Here’s an interesting infograph – A Dice We had a great win in securing Clientek, a Minneapolis, MN based company that Sponsored Social Media Ad featuring Katalyst specializes in providing custom cloud, web and mobile solutions utility, telecom, financial and other clients as a partner. Our engineers teamed up with Clientek’s on-site engineers to deliver to their Client base on multiple projects simultaneously. In the first engagement we worked together to deliver NASCAR’s racing experience project successfully. Hitesh and Praveen have been instrumental in making our first delivery successful. We look forward to working with Clientek on more projects. Winning Norfolk Southern as a staffing and sow client is the biggest success this quarter. This engagement is expected to start before July 9th. NS is a very big client, we expect to work closely with my peer teams in mining this account. Expedia group and E-noah solutions are other great accounts we have secured this quarter. I thank my teams continuous efforts for bringing Expedia Group back to our fold and adding E-noah to our client base and are expected to close some business with them at the beginning of Q2. JULY 2018 ENGINEERING The Engineering and Manufacturing BU has had a good start to the FY with Q1 coming to an end. Manitowoc Crane in Germany was a big close for us this Quarter. With the help of Bhavik Shah, we are setting up a 6-man engineering team lead by Girish Shetty to help support Manitowoc’s growing need. This is a huge capture for the Engineering group here at Katalyst. Bhavik will continue to grow the account and we hope to be long-term strategic partners with them going forward. Elliott Equipment has been a customer of ours for a while now. They recently have increased their need for an electrical engineer which we are supporting them offshore now. They have a 30-ton boom truck we have been working on since January has had some updates, so we will be increasing the scope on the project to help them complete the vehicle. EUROSATORY 2018 was in Paris, France this year. Ray attended and met with key figures in leading defense industry companies such as General Dynamics, AM General, and OTOKAR. The meeting with VP and COO at AM General championed us to their Engineering Manager who happens to reside in Evanston from time to time. They have Legacy drawings they would like for us look at. We are meeting with the Engineering Manager and his associates on July 10th, and hopefully, we can take a stab at those drawings. This would be a good entry point into one of the top defense contractors in the world. Snorkel Lifts is another company in the construction and heavy equipment industry that is growing aggressively and is looking for ways to scale appropriately. Bhavik Shah has put together a comprehensive pipe and pole grapple design proposal that is being presented next week to the shareholders. Along with this proposal, we have been tasked with quoting their casting for their Spt Outrigger Pivot for manufacturing overseas in India. Staying along the lines of manufacturing quotes, we passed the Haas benchmark quoting tests and are now listed as a vendor in their system. Haas is a household name when it comes to CNC Machining and almost all machine shops have a Haas system in their catalog. We have been quoting very competitively compared to their current partners. This year they are looking to outsource at least 500 parts out of their shop and into new homes. We have dabbled our feet into FEA work with a new client RAMI Designs. They tasked us with some wind loading FEA work for buildings and structures in the Los Angeles area. Along with the FEA work, we are quoting some custom metal fabrication projects for them. JULY 2018 RECRUITING Looking back over last three months we have been successful in building and adding new skills as part of our software service department. We extensively recruited for skills like Magento, Drupal, React.JS, Full stack, Mean stack Developers. Overall, we were able to place 14 in this quarter. We also rolled out PI Program for all our US recruiting efforts. We have also structured our Job posting activity be it our Katalyst website or other job boards. Good employees can provide good referrals, so this quarter we introduced Job referral program on Naukri referral & Buddy referral on Yammer. We also introduced job postings program on Katalyst careers page helping us with our branding activity; open positions are always a reflection of the project pipeline and way to attract talent when great candidates hunt for prospective employers. JULY 2018 INFORMATION TECHNOLOGY We have launched the IT helpdesk portal for employees to reach out to the IT support. Alternatively, you can send an email to [email protected] Recently acquired Panacea Infotech team are now part of Office 365 platform. Starting July 1, all the employees will have Katalyst email address. We recently completed an AWS implementation for Klarinet Solutions. Klarinet offers their clients an analytics platform as a value proposition for their SharePoint services. This analytics platform will provide insights to their clients about the SharePoint site user engagement. Klarinet has requested Katalyst to propose an architecture and implementation solution to deploy Matomo following best practices on AWS. “We are very happy with your work on the Matomo project and we would very much like to work with you again the in the future and will be in touch soon for possible future engagements.” -Matt Fishman | Lead Architect/Managing Partner | Klarinet Solutions LLC OptionTrax based out of Pennsylvania is a leading stock transfer agent. We are also working OptionTrax to develop a module on their existing website for the Distribution Waterfall functionality. The distribution waterfall is the order in which an issuer distributes value to shareholders. We are developing the application in php. Sendem has been supplying software solutions to the Australian Security Industry since 1997. Its products are relied upon by some of the leading Security companies and public organizations in the country. We are working on their SMART application that provides sophisticated dispatch, billing, and management system for patrol, guard and service companies. JULY 2018 INNOVATION The Katalyst Innovation Kitchen opened a food truck at the Society for Scholarly Publishing(SSP) Annual Meeting. The event took place at the Sheraton Grand in Chicago, from May 30-June 1, 2018. The grand opening was a huge success and attracted the attention of hundreds of attendees who got to try our creative recipes for the first time. In the past few months, our Chefs worked day and night to make our signature dish, EditGenie, which has received worldwide recognition in the publishing field. Due to high demand, EditGenie 2.0 will be ready for release to CUP on June 28th, 2018 and T&F on July 5th, 2018. This quarter, we focused on our multi-tenant apparel/fashion WMS which was shared with our sales team for an online tasting. JULY 2018 MARKETING We had an eventful quarter to begin the year with. The launch of our new website and our culture video, here it is for you. Video Katalyst was again named Best Place to Work in Chicago 2018 and ranked #20. Congratulations to all our employees who have made this possible! Katalyst’s efforts of giving back to the community have been overwhelming and heartwarming. Here are some of the interesting CSR activities that we were a part of. Katalyst India: Overwhelming participation in the Blood Donation camp held at the Pune office. Employees volunteer to visit the local slums to educate and get students to enroll in schools in conjunction with the representatives of DoorStepSchools that are working towards the ‘Every Child Counts’ cause. Katalyst US: Katalyst was proud to be a part of the 2018 Ricky Byrdsong’s Race Against Hate 5K Walk/Run, Thanks to all that took on the sweltering heat on the day and completed the race. Katalyst was proud to be one of the sponsors for Culinary Care’s 4th Annual Cook-off that supports the cause of fresh, healthy meals being delivered to Cancer patients in the Chicagoland area every day. JULY 2018 IMMIGRATION Immigration continues to be a focal point of the Trump Administration. Compliance, scrutiny, and enforcement have increased for both documented and undocumented workers. Questioning, POE and visa stamping have been tightened. There is no need to worry so long as we have the right documentation and are maintaining legal status. Katalyst Technologies is keeping in line with core changes and working diligently on compliance. That being said, there are a few key issues that we want all of you to keep in mind. Contact [email protected] and/or your Account Executives/Sales/Project Managers for support. 1. Travel: a. If you are traveling outside of the country for stamping or vacation, please contact the Katalyst immigration team via email ([email protected]). Let us help you get the right documentation for stamping and address any questions/concerns that you may have. b. Do not travel with a change of status pending, or else change of status will be considered abandoned and denied. You must leave the country and re-enter with valid stamping from the consulate. c. Travel with pending extension of the same status is not considered abandoned as long as the extension is filed during beneficiary’s presence. In the U.S. beneficiary must have a valid visa to enter back into the U.S. d. Make sure to enter U.S. port of entry with most recent immigration status, ex-H1B, F-1, TN, L1, etc. and provide the officer most recent I-797 for an I-94 extension. Once passport stamped at POE, I-94 can be obtained digitally at http://www.cbp.gov/travel/international- visitors/i-94 instructions. For any changes on I-94, you may contact nearest CBP locations. e. Always update HR & Immigration with travel dates in advance and share I-94/visa copies post arrival for accurate legal and I-9 records. f. Do not travel if your passport is valid for less than 6 months. Ensure that you renew your passport before your travel. 2. I-94: a. I-94 # controls the eligibility of legally authorized stays in the US. Kindly pay attention that your I-94 is always current and not lapsed at any time. The recently issued I-94 controls the eligibility either via extension by USCIS or at the port of entry. In any such event where I-94 has expired or nearing expiration, one must contact the immigration department as soon as possible, to avoid the possibility of an unlawful presence in the United States. 3. Changing work location/project: a. Please ensure that you call Katalyst Immigration or email them at katalystimmigration@ katalysttech.com before you change projects or move locations. b. If the new work location (whether through a new project or clients changing work locations) may require an amendment to the LCA, particularly if the work location is www.katalysttech.com Page 12

JULY 2018 outside of the approved LCA/H1 filing. c. Filing an amendment and receiving receipt notice is a MUST for moving work locations/projects. Failure to do so can cause serious harm to the maintenance of legal status. 4. Changing home location: a. Please notify USCIS in writing and complete the address change forms of your new home location within ten days of the move. You can use the online change of address to complete Form AR-11 or submit the completed AR-11 form to USCIS. For mailing address, please refer to the USCIS.gov site for updated mailing address. AR-11 forms can be obtained at https://www.uscis.gov/forms 5. H1B Renewals/Extensions: a. We will begin all extension/renewal processes, six months in advance of expiration. b. Ensure that your passports are valid for a minimum of 6 months, but the preference is to have it valid for the entire duration of the extension that we typically seek (which is three years). c. We will work closely with you and your account executive for obtaining client/vendor letters, as these have become critical for approvals and avoiding RFE’s and showing the validity of projects. 6. Record Keeping: a. Ensure that you save and keep a copy of your H1b approval notice (or receipt notice), certified LCA copies and pay stubs at your work location b. Ensure that your passport is renewed six months before the expiration. We will be calling you for a renewed passport, so the I9s are updated and compliant. c. Reach out to us with any questions/concerns. USCIS Strengthens Protections to Combat H-1B Abuses: On February 22, 2018, USCIS released a Policy memorandum, “Contracts and itineraries Requirements for H-1B Petitions Involving Third-Party Worksites, which outlines the documentation required by USCIS for H-1B workers placed at Third-Party worksites (End Client Locations). As we are aware, to be eligible for H1B classification, the petitioner must establish to USCIS, by a preponderance of the evidence, that the beneficiary will be employed in a specialty occupation assignment for the duration of the requested period, and the petitioner will maintain the employer-employee relationship with the beneficiary through the requested period. When there is a third-party, off-site placement, with multiple vendors, USCIS will require evidence of the placement through the contracts, work orders, and itineraries. USCIS has stated that this detailed documentation will help USCIS to determine whether there is specialty occupation assignment at the third-party worksite and confirm the existence of the employer-employee relationship. The following is a list of documentation USCIS sets forth in the policy memorandum as required documentation for third-party placements confirming the failure to submit this specific evidence may result in H-1B denial: • Evidence of work assignment (technical documentation, milestone tables, marketing analysis, brochures, project documentation) • Copies of contractual agreements between the petitioner and all the parties involved in the contractual path for beneficiary’s placement. (USCIS has indicated that certain portion of the contractual agreement are confidential and can www.katalysttech.com Page 13

JULY 2018 be redacted) • Copies of a detailed statement of work, purchase order, and work orders from the end-client detailing the specialized duties that beneficiary will perform, the qualifications required to perform the duties, the project duration, and the hours beneficiary will work on the project • A signed letter by an authorized official at the end-client company detailing specialized job duties, qualifications required to perform the duties, project duration, hours worked, and the description of who will supervise the beneficiary while performing work at the end client location. Therefore, going forward, it is crucial that client letters, vendor letters, detailed itineraries with specific dates, contracts (WO/PO/ SOW), and MSAs between all parties are provided to support an H-1B petition. Without these specific documents, as detailed in the policy memorandum, USCIS will deny the case on the basis there is not sufficient evidence for USCIS to determine whether a specialty occupation exists and whether the employer-employee relationship is met.
