ANNUAL REPORT 2021 The Chairman Message of the Expressway Authority of Thailand (EXAT) Amidst the situation avails for efficiency and solidarity self-proven by any organization such as the wide-virus spreading COVID-19 in 2021, I, myself, as the representative of the Board of Directors of Expressway Authority of Thailand (EXAT), would like herewith to thank all members of EXAT. My appreciation is highly for all of us namely; executives, employees and personnel who have been of harmony synergy to move forwardly against the said crisis toward today. Presently while the situation is getting better, the number of EXAT users has become more or less close to the one prior to the crisis. At the end of November 2021, the Thai Government announced revocation of the Emergency Decree to release various restricted requirements. More importantly, Thailand has announced for re-opening on November 1st, 2021. The Ministry of Communication, accordingly, assigned all relevant service providing agencies for welcoming travelers with the highest service standard. From today, thereby, plentiful of responsibility is in our hands. Lessons learnt from the aforementioned crisis drive us forwardly to face any future risks more effectively by technological and innovation improvement. We need to acquire any possible mechanical tools to ensure that the “Expressway riders” are the “Express persons” in any riding trip. Accordingly, from now on our organization’s vision of “Enhancing Expressway development for sustainable safety with fast and conveniency” will lead toward a more challenging one of “Being the innovation organization for better traveling and living” within 2023 through a rapid improvement of the traffic in front of the toll point based on M-flow under AI. This purpose shall be possible by available land using to enhance EXAT aims in various forms. Improvement of working systems shall be as well possible by technological improvement with less working hours. Moreover, organizational structure shall be diversified alongside specific marketing development, new technologies and future income securing. I would like once more to express my appreciation to all EXAT persons. I would as well express my determination to take a good care for health and welfare of our employees and personnel to ensure happiness for working sacrifice for the Good Future of the Expressway Authority of Thailand. Expressway Authority of Thailand Human Resources Development The Expressway Authority of Thailand (EXAT) attaches importance to the development of the potential or capability of employees at all levels by formulating a human resource development action plan in line with the strategy of EXAT. EXAT has developed the performance of employees in each position according to Core Competency, Functional Competency, and Managerial Competency and Individual Development Plan (IDP). The new development roadmap aligns with the organization’s core competencies. In addition, it prepares personnel for the promotion and replacement of retirees, including supporting new missions by Reskill & Upskill for employees. In the fiscal year 2021, the annual human resource development action plan has been implemented in various essential areas as follows : 1) To develop knowledge, skills, and competencies of managers and personnel at all levels to have the potential to work professionally, adapt to the digital age, and be ready for change. 2) To develop personnel based on morality, ethics, and good governance. 3) To systematically and continuously enhance various root-learning processes and methods and promote the organizational culture. 4) To promote knowledge management within the organization and create innovation in operations. 5) To develop information technology systems to support personnel development and learning within the organization. 6) To develop personnel by creating work-life balance to improve the quality of life in employees’ work. In this regard, EXAT organized 41 training programs, seminars, and work tours for executives and employees. It does not include other courses that send employees to study and train with external agencies, both public and private, including encouraging employees to pursue higher education at both master’s and doctoral levels. During the Coronavirus Disease 2019 (COVID-19) epidemic, EXAT has changed the training format to be online by learning through an E-Learning system and virtual training classroom through the Zoom Cloud Meeting system, which makes the development performance personnel achieve the objectives according to the set goals. 30
ANNUAL REPORT 2021 Code of Conduct of the Expressway Authority of Thailand Code of Conduct is a code of ethics or code of etiquette for EXAT officers to maintain and promote members’ honor, reputation, and status and is a code of conduct used as a moral and ethical measure for EXAT staff. The word “ethics” can be divided into ethics + dharma. The word ethics means behavior or behavior that should be performed. In contrast, dharma has many meanings, such as virtue and principle. When the two terms are combined to form “ethics,” they mean “ethical conduct,” “Principles of Conduct” or “Guidelines of Conduct.” In this regard, EXAT has given the meaning of ethics as morals and guidelines for the conduct of EXAT officers with honesty, integrity, and fairness, both in treating the organization and all groups of stakeholders, as well as the public and society to achieve the ultimate goal of the organization to be the leading state enterprise in the country. However, it can be seen that “ethics” or “conduct” have the same goal : to want each person or various organizations to have good practices and behaviors or good behavior towards oneself and others. It’s a matter of reason and discretion. It also creates a high level of mental awareness of the individual. EXAT is an agency whose primary mission is to solve traffic problems in Bangkok and its vicinity with various transport lines, leading to the development of the logistics system in the country. It is responsible for managing the special rails of Thailand by focusing on management with good governance. Therefore, it is determined to create significant awareness about ethical work in EXAT; and it is meant to be recognized and trusted by stakeholders and the public. The approach to raising awareness must be carried out with a commitment to achieve results among all EXAT staff, with stakeholders, service users, and people who can perceive and feel the outstanding characteristics of EXAT personnel. EXAT has adopted the organization’s ethical standards, which are core values of EXAT, which have been recorded since the fiscal year 2011, using words that denote the internal commitment of EXAT officers to perform their duties as EXAT officers with ethics. They also have followed the guidelines that the organization has given seriously as the abbreviation that conveys the determination of EXAT officers as “HEARTS,” which means “do your duty with the heart.” HEARTS Determination to “work with one’s heart” comprises of the following principles which shall be holding by all working staff. Expressway Authority of Thailand Guidelines for Enhancing Corporate Governance in the Expressway Authority of Thailand Good Corporate Governance Policy The main aim of EXAT in operation is to alleviate traffic congestion in Bangkok and its vicinity to reduce the country’s economic losses and ensure financial stability and sustainable growth. Therefore, effective management and good corporate governance are essential. Therefore, the Board of Directors intends to promote EXAT to be efficient in business operations and corporate governance with excellent management. Furthermore, it focuses on expressway services that are convenient, fast, and safe for expressway users, and transparent and accountable. Therefore, the EXAT Board of Directors executives, and employees of EXAT are required to adhere to the “7 Essential Principles of International Good Corporate Governance,” namely : 1 Accountability Accountable to the outcome of their duty performance 2 Responsibility Aware of duty to provide good service to expressway users or stakeholders through capability and adequate efficiency 3 Equity/Equitable Treatment Treat stakeholder(s) equitability 4 Transparency Perform their tasks transparently, disclose information and be accountable 5 Value Creation Increase operating capability in all dimensions to enhance competitive advantage and add value to business both in short and long terms 6 Ethics Follow EXAT’s code of morality and ethics 7 Participation Allow public participation to express public opinion regarding any operation which may affect the environment, health, quality of life and livelihood of community or locality The EXAT has assigned the Good Corporate Governance Sub-Committee to formulate policies, strategies, goals, and action plans with good corporate governance and supervise, monitor, and promote the operation according to good corporate governance guidelines. The EXAT acknowledged the said policy in meeting No. 6/2010 on June 28, 2010, guidelines for enhancing corporate governance in the Expressway Authority of Thailand. 32
ANNUAL REPORT 2021 Summary of Corporate Governance in the Expressway Authority of Thailand Independent Director in the Board of Directors of EXAT The Board of Directors of EXAT, at its meeting No. 8/2003, held on July 30, 2003, passed a resolution approving the definition of the “independence” of the directors of the EXAT committee are as follows : “Independence” of the EXAT directors means the independence of the directors who come from outside, such as experts from the private sector, independent organizations, or educational institutions. These directors are free to exercise discretion, make decisions and act with absolute independence, and drive adjustments or inhibit actions when necessary. These directors do not have any business relationship or expectation of interest or any other relationship with the executives of state enterprises, their respective ministries, agencies, or related companies, including having no direct or indirect interests. The EXAT committee for the fiscal year 2021 consists of 4 qualified members as follows : 1. Vice Admiral Suvin Jangyodsuk 2. Mrs. Pongsaward Guyaroonsuith 3. Ms. Trithip Sivakriskul 4. Asst. Prof. Boonchai Sowanwanichakul Connected Transaction Management Policy and the policy to prevent the use of inside information and the results of the management of such transactions EXAT has established a policy on connected transactions to prevent the use of inside information. It aims to avoid conducting such connections and using inside information that may cause conflicts of interest. It is part of Expressway’s order on conflicts of interest which executives, employees, and hirelings must be aware of and abide by. The results are reported quarterly to the Good Corporate Governance Sub-Committee and the EXAT Committee. Respecting the interests of stakeholders EXAT operates by taking into account the impact that will have on stakeholders. From the study of primary stakeholders, both in terms of impact relationships, by influence groups and interests, and according to social and environmental responsibility issues, it can identify stakeholder groups into seven main groups, arranged in order of importance, namely expressway users, the government sector as owners, EXAT officers, people affected by expropriation, business partners, surrounding community’s expressway, and society. Also, EXAT has formulated a policy to treat stakeholders with equality and fairness, taking into account the rights of all stakeholder groups. Disclosure of Information and Transparency in Operations EXAT recognizes the importance of information disclosure and transparency in operations. It is because corporate information is essential for decision-making in management for all parties, both internally and externally, and assessing the effectiveness of the organization’s operations. Therefore, EXAT provides financial and non-financial information services to stakeholders somewhat, equitably through various channels such as annual reports, Internet, Intranet, EXAT Call Center, etc. It shall be appropriate, accurate, reliable, and timely information and conduct public relations activities both within and outside EXAT through various media. Also, it shall disclose information following the Government Information Act B.E. 2540. In 2011, the EXAT Information Center building was constructed to provide convenience to those who use the service. In addition, EXAT has monitored and assessed internal control and risk management results to present to the management and the Risk Management Committee for approval and the Board of Directors for acknowledgment within the specified period. 33
Expressway Authority of Thailand Promoting Ethics and Conduct EXAT has organized various training seminars/activities to encourage EXAT staff to have ethics and codes of conduct and disseminate knowledge about EXAT’s Code of Conduct. The concerning activities are OJT roaming, HEARTS to HEART, answering questions to win awards about good corporate governance and code of conduct of EXAT, creating a Facebook Fan page EXAT CG, etc. In addition, all EXAT officers are required to submit a conflict of interest report to the Governor every year, receive a new position, or in the event of a conflict of interest occurring during the year. However, between October 2020 and September 2021, no one has found a conflict of interest. Monitoring and evaluating the performance of good corporate governance The State Enterprise Policy Office (SE-AM), Ministry of Finance, has a policy for EXAT to implement a new State Enterprise Assessment Model : SE-AM to assess performance. Good governance and organizational leadership are part of the evaluation of Core Business Enablers. Therefore, for the corporate governance (CG) operation to reach the assessment mentioned above criteria, EXAT has implemented the quality control cycle (Deming Cycle) by defining an excellent corporate governance action plan for the fiscal year following SE-AM’s Principles and Guidelines for Good Governance in State Enterprises in 2019. EXAT has adopted the seven fundamental principles of international standards : Accountability, Responsibility, Equitable Treatment, Transparency, Value Creation, Ethics, and Participation. Supervise in 9 sections (Plan). These are 1) Roles of the Government 2) Rights and Equity of Shareholders 3) Board of Directors 4) Roles of Stakeholders 5) Sustainability and Innovation 6) Information Disclosure 7) Risk Management and Compliance Internal Control 8) Code of Conduct 9) Performance Follow-up and determine the implementation of the said plan (Do). It shall monitor and collect the results of CG operations in all nine categories (Check) and apply the effects of each category to analyse and evaluate the CG results to improve the performance (Act). In this regard, EXAT has presented its CG performance to the Good Corporate Governance Sub-Committee and the Board of Directors of EXAT every quarter for acknowledgment. The performance of good corporate governance in all nine categories mentioned in the fiscal year 2021 can be summarized as follows : Section 1 : Roles of the Government Sector in the fiscal year 2021, the meeting of the EXAT Committee, various committees, and sub-committees appointed by the EXAT Committee, EXAT can proceed as planned, except for some committees that are unable to proceed. Section 2 : Rights and Equity of Shareholders. EXAT is a state enterprise with no shareholders. Section 3 : In the fiscal year 2021, there is a clear structure of the Board of Directors that will manage EXAT, leading to confidence and trust from the government and people. It also demonstrates its determination to adhere to the principles of good corporate governance in corporate management. Therefore, matters relating to the directors and the requirements have been compiled in detail for the Board of Directors and EXAT officers to adhere to. In this regard, EXAT can carry out the work to achieve the set plan. Section 4 : Roles of Stakeholders in the fiscal year 2021, EXAT operated with the seven main stakeholders following the set goals. For example, the EXAT Road Show is organizing to present 34
ANNUAL REPORT 2021 information about the advantages and benefits of using the expressway and the Easy Pass, organizing a project of facilitation and safety for people’s travel during the New Year festival, etc. However, matter disputes with Contracting Parties (in case of assets of 100 million baht or more), there is still a dispute between EXAT and the parties. Section 5 : Sustainability and Innovation can proceed as planned in the fiscal year 2021. Section 6 : Disclosure of Information in the fiscal year 2021, EXAT operated according to the goals set out in the operational plans and Government Information Act B.E. 2540 (1997) and Regulations on Government Confidentiality B.E. 2544 (2001) accordingly. Section 7 : Risk Management and Internal Control in the fiscal year 2021 can be carried out following the goals set in the action plan regarding risk management, internal control, and reporting conflicts of interest. It can be reported to the Governor within September of each year. Reporting a conflict of interest can be divided into three issues : 1) Reporting conflict of interest, where EXAT officers must report conflicts of interest annually; 2) Reporting conflicts of interest when receiving a new position (Obtaining a new position means a person who has been appointed as an Acting EXAT officer, level 7 and above, despite holding an administrative position and did not hold a management position, changing positions during the year or an EXAT Officer Level 6 promoted to an EXAT Officer Level 7 during the year or a person who has been appointed as an Acting Head of a Department during the year or EXAT officers who have been recruited and appointed to hold positions of level 7 and above during the year); 3) Reporting of conflicts of interest that occurred during the year. Section 8 : Code of Conduct in the fiscal year 2021, EXAT can publish the Code of Conduct Manual and organize training on ethics and morality following the established goals. However, for the report of corruption in the fiscal year 2021, EXAT employees have entered the disciplinary process for corruption. Regarding violations of EXAT’s rules, regulations, and code of conduct, there were also reports of disciplinary violations that were not based on corruption. However, EXAT has continuously and regularly increased the promotion and installation of morals and ethics among EXAT staff. It emphasizes, cultivates, and awakens awareness of morality and ethics by focusing on the ethical standards of the organization that all EXAT staff must adhere to. Section 9 : Follow-up on performance in the fiscal year 2021: Supervision in respect of the performance according to the annual action plan. Performance according to the memorandum of agreement to evaluate the performance of EXAT. EXAT can create economic value-added and a new performance evaluation system (Enablers) to achieve operations as planned. Corporate Governance News EXAT has communicated to the Board of Directors and all EXAT staff have been acknowledged and complied with the policies and guidelines for good corporate governance of EXAT. EXAT also communicates various information about good corporate governance through different public relations media such as circular notifications, announcements in the offices of EXAT, internal radio broadcasting (EXAT Sound), public relations leaflets, internal journals and outside the organization, Digital Signage, mobile public relations board (Roll up), Internet and Intranet. In addition, emphasis is placed on various occasions such as meetings, training seminars, organizing various activities, etc. For the general public, information can be obtained from the annual report and information channels of EXAT. 35

The Fiscal Year 2021 : The meeting of the Board of Directors of EXAT began on October 22, 2020 (No. 13/2020). 3. Meeting allowance under the Cabinet resolution on April 24, 2019, as follows: - Each director receives a meeting allowance of 20,000 baht per month. The Chairperson of the board receives 25% higher than the director, and the director pays their income tax. - In the case of sub-committees, other working groups appointed by the provisions of law, cabinet resolutions, or state enterprise committees to receive remuneration as follows: for state-enterprise directors are entitled to meeting allowances at a rate equal to meeting allowances. State enterprise directors, only those attending the meeting. In this regard, state enterprise directors shall receive meeting allowances for sub-committees and other working groups, in total, no more than two committees, no more than one time per month each. In addition, the Chairperson of the board receives meeting allowances 25 percent higher than the directors, and the directors have to pay income tax themselves. 4. The monthly remuneration rate was under the Cabinet resolution on July 2, 2013. Each director receives 10,000 baht per month, and the Chairperson of the board receives twice the amount of the director. Monthly remuneration is in proportion to the term of office, and the directors shall pay their income tax. 5. Bonus payments to the EXAT Committee are under the Cabinet’s rules on January 31, 1978, May 13, 1980, and February 5, 1991, including the criteria outlined in the incentive system by the Manual for State Enterprise Performance Evaluation System. The directors shall pay their income tax (Calculated based on the net profit of more than 8,000 million baht, not exceeding 11,000 million baht). Authority and Duties of EXAT Board In addition to the authority and duties to lay down policies for general supervision of EXAT’s activities under the Expressway Authority of Thailand Act B.E. 2550 (2007). The EXAT committee also has to comply with the Cabinet resolutions and guidelines for good governance in state enterprises as follows : 1. To supervise the management of EXAT to prepare an enterprise plan under the current situation, support the National Strategic Plan and the Ministry of Transport’s strategy and government policies, and prepare an annual action plan for use in administration. 2. To control, monitor, and evaluate the performance of EXAT to ensure compliance with the enterprise plan and annual action plan. 3. Financial reporting should be an accurate, complete, and reliable audit to oversee the accounting system, including an adequate and appropriate internal control system, an internal audit system, and a risk management system, by reporting operating results and resolving obstacles. 4.
