The Biotech Research Society, India (BRSI)1. Aim of the SocietyThe aim of the Biotech Research Society of India [BRSI], hereinafter called, ‘Society’ is to promote theR&D in biotechnology, bring interaction between the academic institutes and biotech industries, interactwith the industries and help them in resolving their problems as well make them aware with the newdevelopments in the biotech sector, provide and arrange training in biotechnology, dissemination ofbiotech knowledge through the organization of lectures, seminars and symposia on scientific programmesand societal missions.2. Structure of the SocietyThe Society comprises a three-tier system of (i) the Board of Governors, (ii) the Management Council, and(iii) the Members.2.1 Board of Governors: The Board of Governors (hereinafter called ‘Board’] consists of two categories:elected members (23) and nominated members (2). The Board is the Supreme Body of the Society and hasthe following functions and powers:a. to manage the Societyb. to arrange the election of the Management Council (MC) of the Societyc. to oversee the working of the MCd. to evaluate and award the BRSI Medals and Fellows each year as described in the List of Medalse. any other tasks, including the amendment of the rules and regulations deemed useful for the Society.Chairperson of the Board and President of the Management Council (MC): One of the Governors shallbe elected as the Chairperson of the Board of Governors for a period of two years by consensus or majorityvote, subject to the consent of the member. He/she will also be the President of the Management Council ofBRSI for the same period (two years). He/she can be elected and hold these offices more than one time andcan hold position in the Central Office also at the same time.Vice-Chairperson of the Board and Vice-President of the Management Council: One of the Governorsshall be elected as the Vice-Chairperson of the Board of Governors for a period of two years by consensusor majority vote, subject to the consent of the member. He/she will also be the Vice-President of theManagement Council of BRSI for the same period (two years). He/she can be elected and hold these officesmore than one time and can hold position in the Central Office also at the same time.2.1.1. Resignation clause: If a Governor desires to resign from the Board, he/she can do so by informingthe Chairperson of the Board in writing.2.1.2. Conduct of the Chairperson/President and Vice-Chairperson/Vice-President: A member of theBoard can bring NO CONFIDENCE motion against the Chairperson and Vice-Chairperson if he/she doesnot act not in accordance with the rules in the interest of the Society. However, such notice must be signedat least by 50% members of the Board. Such a notice shall be sent to the Central Office of BRSI who shalltake the opinion of all the Governors and if need be conduct voting. A 90% vote of the Governors would beneeded to remove him/her/them from his/her/their office(s). Central Office shall arrange election of newperson(s) for the balance period till normal elections are held.2.1.2. Nominated Governors: The Chairperson of the Board can nominate up to a maximum of two moremembers (as nominated members) for the same term as of the Board. The nominated members cannotserve more than two terms and shall be from the academic institutions, government bodies, NGOs, orindustrial sector. Nominated personal shall not have voting rights.2.1.3. Tenure of the Board: The tenure of the Board is TWO years. 5

2.2. Management Council [MC]: MC comprises: • President (Chairperson of the Board) • Vice-President (Vice-Chairperson of the Board) • General Secretary [To be elected] • Treasurer [To be elected] • MC Members- 3 or 5 [Three to be elected; Chairperson of the Board can nominate two additional members, but they (nominated members) will not have voting rights]2.2.1. Tenure and Tasks of the MC: The tenure of the MC will be TWO Years. The MC will beresponsible to work for the aims of the Society. Any member of the Society [except Student members] withat least one year standing would be eligible for contesting the election for the MC. MC will also beresponsible for holding the Annual General Body Meeting, election of the new committee, holding ofannual conference, etc. 2.2.1.1. Responsibilities of President: The President of the MC will do overall co-ordination with the MC and ensure proper functioning of the MC. He/she will keep communication between the Board and MC. In case the MC fails to perform as per the aims and rules of the Society, the President will have the powers to advice the Board, if need be, to dissolve it and go for electing new MC. However, such decision could be taken by the Board by consensus or 90% majority vote. 2.2.1.2. Responsibilities of Vice-President: The Vice-President shall help the President in performing the assigned duties and shall act as President in his/her absence. 2.2.1.3. Responsibilities of General Secretary: The General Secretary would be responsible for overall communication with the Board, MC and members, raising of the funds for the conference, holding of conference, maintenance, auditing and presentation of accounts (jointly with the Treasurer). The President of the Society shall guide to the General Secretary on all matters. The General Secretary will also be generally the Convener of the BRSI Annual Conventions/conferences. 2.2.1.4. Responsibilities of Treasurer: The Treasurer will be responsibilities for all the financial matters such as raising of the funds, maintenance of the accounts, auditing and presentation of the accounts in the annual meetings. He/she would be providing such information to the President and General Secretary as and when they jointly or individually seek it. 2.2.1.5. Responsibilities of the Members: The Members of the MC would perform duties and tasks as assigned by the President or General Secretary of the MC from time to time.2.3. Membership of the BRSI: The Membership of the BRSI consists of as follows:2.3.1. Ordinary Member: Any persons possessing M Sc in biotechnology or biosciences/ life sciences or BTech in biotechnology or biological engineering can become the member of the Society. Those working inthe areas of biotech research, but not possessing the aforesaid qualifications can also apply for themembership. The Society will also consider accepting the membership from the persons possessingMaster’s degree in Social Sciences and Humanities, if such candidate works in the social issues related withbiotech research.2.3.2. Student Member: Any person perusing studies for MSc, MPhil, BTech, MTech, PhD degree inbiological/life sciences/engineering can become member of the Society. In specific cases, the studentsdoing BSc Biotechnology shall also be considered for the membership. A certificate of student status ofcurrent date from the Head of the Department/institute shall be required to be furnished by the applicantalong with the application. In specific cases, the students doing BSc Biotechnology shall also be considered 6

for the membership. The applicant along with the application must furnish a certificate of student status ofcurrent date from the Head of the Department/institute.2.3.3 Life Member: Any person with above qualification can opt for the Life membership.2.3.4 Tenure: The membership tenure for categories 2.3.1 and 2.3.2 shall be for one year. from 1st April to31st March. Life membership shall be valid till the age of 75 years.2.3.5 Honorary Member: The Board can nominate honorary membership to distinguished persons of highrepute and international standing. Such members shall not be required to pay the annual subscription andwill not have voting rights. Tenure of such members shall be decided by the Board on case to case basis.The governors shall send their nomination for the honorary membership to the Chairperson who shallcirculate this to the members of the Board and decide favourably if more than 50% governors agree.However, at a given time, there shall not be more than 10 honorary members.2.3.6 Honorary Advisory Council: The Board can constitute an Honorary Advisory Council, which shallcomprise highly distinguished persons holding offices such as DBT, DST, ICAR, CSIR, ICMR, DoEn,national laboratories, Federations/Biotech Parks, NGOs, highly eminent scientists, etc. Any Governor cannominate such person and should write to the Chairperson of the Board who shall decide about it withmajority opinion of the Governors. Once it is decided favourably, the Chairperson shall write to theconcerned person and seek his/her consent. Tenure of such persons in the Council shall be decided on caseto case basis by the Board, which cannot be more than two years for a single term, or more than two terms.3. Membership Fee: Following is the membership fee.A. Ordinary member - Rs 1200/- yearlyB. Student member - Rs 600/- yearlyC. Life membership - Rs 5000/- [One time payment]D. Overseas Life membership - US$ 100/- [One time payment]Membership fee shall go to Central Office account.All the ordinary and student members must pay their dues within two months from the due date, i.e. before31st May of each year. The General Secretary of the MC should remind the members about the payment.The Board and MC shall make all efforts to enroll as many members as possible. Life members andordinary members would be eligible to vote.3.1 Donations: TheSociety shall accept donations by individuals or organizations. These shall be made tothe Central Office.3.2 Mode of Payment: All payments should be made by bank transfer for which details are given underclause 10. Payments can also be made by Demand Draft (DD) drawn in favour of the BRSI, payable atTrivandrum. DD should be sent to the Central Office at Trivandrum.4. Newsletter: Central Office brings out the Society’s e-Newsletter. Its frequency of publication isquarterly and is circulated to the members by email.5. Annual awards and Fellowship of the Society: To reward the scientific performance and contributionsof its members, the Society confers annual awards and fellowships as below. The scientific work carriedout in India only is considered for such awards.5.1. Fellows: The Socety confers Fellow awards in three categories as below.5.1.1. Fellows (FBRS):The Members of Society having long-standing and significant contribution to thefield as well as eminent scientists/technologists working in various areas of biotechnology shall be 7

considered to be elected as Fellow of BRSI (FBRS). This will be carried out by the election. Awardcarries a citation and a memento.5.1.2. Honorary Fellows: Eminent persons who have rendered distinguished service to the nation inBiotechnology shall be considered to be conferred as Honorary Fellow of the Society. Award carries acitation and a memento. Nomination can be made by the members of the Board of BRSI. For this, thenominee may or may not be member of BRSI and may or may not fill the required nomination form(detailed CV could be considered).5.1.3. Overseas Fellows (FBRS):The Members of Society having long-standing and significantcontribution to the field as well as eminent scientists/technologists working in various areas ofbiotechnology working overseas shall be considered to be elected as Overseas Fellow of BRSI (FBRS).This will be carried out by the election. Award carries a citation and a memento.5.2. Young Scientist Award: Members of BRSI of 35 years or below as on 31st December of award yearinvolved in Biotech R&D for his/her outstanding contributions would be eligible. Award carries cash of Rs25,000, a silver medal, certificate, citation and memento.5.3. Woman Scientist Award: Women members of BRSI below the age of 45 years as on 31st Decemberof award year involved in Biotech R&D for her outstanding contributions would be eligible. Award carriescash of Rs 25,000, a silver medal, certificate, citation and memento.5.4. Life Time Achievement Award: Members of BRSI above the age of 55 years as on 31st December ofaward year involved in Biotech R&D for his/her life time contribution to the field of Biotechnology wouldbe eligible. Award carries cash of Rs 50,000, a silver medal, certificate, citation and memento.5.5. Industrial Medal Award: Members of BRSI involved in Biotech R&D for his/her outstandingcontribution, which has resulted in commercialization of a product/process. Award carries cash of Rs25,000, a silver medal, certificate, citation and memento.5.6 AU-CBT Excellence Awards for Research Scholars (Two awards): This award has been instituted bythe Centre for Biotechnology, Anna University, Chennai innstututed in 2006 (to be conferred from 2007).Members of BRSI registered for PhD studies in any Indian university/institute below the age of 30 years ason 31st December of award year involved in Biotech R&D for his/her outstanding performance. Awardcarries a citation and cash award of Rs. 5000 for each.5.7. SBC-MKU Genomics Award:This award has been instituted by the School of Biological Sciences,Madurai Kamaraj University, Madurai in 2010 (to be conferred from 2011). Members of BRSI below theage of 40 years as on 31st December of award year involved in R&D in the area of Genomics Sciences forhis/her outstanding contribution. Award carries cash of Rs 10,000, a silver medal, certificate, citation andmemento.5.8. Malaviya Memorial Awards for Teaching Faculties (Two awards – one for Young Faculty belowthe age of 40 years and one for the Senior Faculty above the age of 40 years as on 31st December of awardyear): This award has been instituted by the Banaras Hindu University, Varanasi instututed in 2010 (to beconferred from 2011). Members of BRSI working as teachers involved in Biotech R&D for his/heroutstanding contribution would be eligible. Award carries cash of Rs 15,000 or Rs 10,000 for Senior/YoungFaculty, respectively, a silver medal, certificate, citation and memento.5.9. Prof SB Chincholkar Memorial Award: The Society has instituted a memorial award in the honourof Late Professor Sudhir B Chincholkar in the year 2015 (to be conferred from the year 2016). In thisregard, an endowment fund has been created with the participation of the following members of theSociety, along with the support of North Maharashtra University Unit, Jalgaon of the Society. BHU Centennial Award: This award has been nstituted in BRSI with the support of Prof SNUpadhyay from BHU as proposer and coordinator for this with an intention to create an endowment fundcontributed by BHU alumni. The award is to celebrate 100 years of establishment of the Banaras HinduUniversity5.11. Mode of Selection of the awards: TheCentral Office shall release a notification to the Members ofthe Board, MC and other members announcing each year in April about the awards and also send thisinformation to various institutions/professional societies/journals and invite nominations from the Heads ofInstitutions/Govt Departments and companies. The Governors can also nominate individuals. Last date toreceive the nominations would be July 31. The nominations on the prescribed application form – completein all respects- should be sent to the Central Office. All the elected Governors of the Board will be thejuries to evaluate these applications. The Central Office shall send all the applications (without score sheet)to the Governors within 30 days. The Governors shall give their evaluation (score out of 10) on theprescribed form and return the signed evaluation forms to the Central Office in sealed covers on or before30th September each year by registered post. If no comments are received from the Governors by the duedate, it shall be assumed that the Governor has no opinion or comment to offer. The Central Office shallopen all the evaluation sheets received from the Governors in the presence of a three-member committeeconstituted by the Chairman/Board comprising the Chairman or his nominee, Central Office Executive andone more member of the Society. The Central Office shall check the score sheets of the nominees for theircorrectness and must take into account the scores which are validated by the supporting documents. TheCentral Office shall compile the points given by the Governors also. Fifty percent scores achieved by thenominee from the score sheet and fifty percent of the scores given the Governors (half of the valid scoresattained by the nominee on the score sheet and half of the sum of the scores given by the Governors) willbe added to determine the final scores. The Awards and fellowships shall be decided by 10th October andthe Central Office shall then notify to the winners immediately with a request to keep this as confidential asthe formal announcement about this will be made in the Opening Session of the annual convention of theSociety.5.12. Information to the award winners: The Central Office shall inform the award winners in writingand request them to participate in the convention. They shall be provided train or air fare and/oraccommodation for the days of the convention. They would make a presentation of their work in theconvention in a special session organized in each convention on the first day.5.12. Memorial awards: TheSociety shall consider instituting Memorial Awards if an individual ororganization sponsors it. This will be decided by the Board.5.14. Expenses on the Awards: Arrangements for the medals and mementos and printing of the citationshall be made by the Central Office. The citations shall be signed by two persons among theChairperson/Vice-Chairperson of the Board, General Secretary of the MC or Central Office nominee. Theexpenses on the preparation of the citation, purchase/making charges of the memento and medal/cashaward would be borne by the Central Office. If required, the expenses on the travel of the medal winnersand the Fellows shall be met by the Central Office. The expenses on the accommodation of the medalwinners shall be generally met by the Convener of the annual convention.6. Annual conventions: The Society will organize its annual convention each year, which could be anational or international event of 2-4 days period. The interested institutions willing to organize theconvention should make their proposal in writing to the Central Office/Chairman of the Board in advance.The venue and the convener will be decided by the Board. The declaration about it will be made each yearin the Closing session of annual convention for the next convention. 10

The theme of the convention, invitees, collaborators, etc would be primarily decided by the Convener (orthe local organizing committee); however, it is expected that they would consult the Chairman and theBoard on these matters. It is customary that there is good representation of the award winners of the Societyamong the invitees/speakers.BRSI logo must be displayed prominently on all the printed material and banners of the annual convention.6.1. Best Poster Awards: The Society shall provide Best Poster Awards in its annual convention. Thereshall be no age bar in this category and shall consists of a citation and a memento. These awards shall bemanaged by the Convener of the convention, including bearing of expenditures on it.6.2. Convention funds: The annual convention of the Society has to be self-sustained financially withoutany financial support from the Society. The Convener of the Convention must provide an audited (byqualified chartered accountant) statement of expenditure and utilization certificate to the Central Officewithin six months from the date of the convention.6.3.1 Seed Money: If required the Convener of the annual convention may request the Chairperson of theBoard to provide seed-money (which must be refunded by him/her after or before the conference) fororganizing the conference, which should be considered by the Board and if accepted, funds on refundablebasis shall be provided to the Convener of the Conference. This shall be at the maximum of Rs 5000/-presently and shall be discussed by the Board from time to time to stop, increase or decrease the amount.7. General Body Meeting: The GB meeting must be held at least one time in a year and shall be called bythe Central Office informing the members about its date by email with a minimum of 21 days notice. Thedate, time and venue will be decided by the Chairman of the Board in consultation with the Central Officeand Board members. The General Body (GB) Meeting (GBM) could be held during the annual convention.The date and time for this – if held at the conevtion venue – will be fixed by the chairman in consultationwith the central office and the Convener of the convention each year. Convener of the GB meeting shall beresponsible for providing venue and all logistic arrangement for the meeting, preferably at no cost to theSociety.7.1. Quorum for the GB Meeting: A minimum of 50 members must attend the meeting to fulfill thequorum.7.2. Extra-ordinary General Body Meeting: The Extra-ordinary General Body (EGB) Meeting (GBM)can be called for any specific agenda to be discussed which must be of emergency nature. For this, awritten request signed by at least 50 life members of the society should be given to the Chairperson of theBoard. The Chairperson of the Board also can call for any emergency meeting of the GB, provided at least50% of the Board members support such call for the GB. The date, time and venue will be decided by theChairman in consultation with the Board. All the members of the Society must be informed about it (byemail) with a minum of seven days notice period.7.2.1. Quorum for the EGB Meeting: A minimum of 50 members must attend the meeting to fulfill thequorum.8. Central Office: Trivandrum shall be the Central Office/Headquarters (HQ) of the Society. It shall bemanaged by a secretariat under the management of the Central Office Executive (COE). The Chairpersonof the Board shall nominate any person as the Central Office Executive who should be stationed atTrivandrum (in consultation with the Governors). The tenure of the Central Office Executive shall be twoyears and he/she shall be nominated along with the election of the MC. There shall be no bar on the numberof times one can hold the position of Central Office Executive. Also, COE can hold any position in theBoard/MC at the same time.8.1 Financial support: An amount of Rs 1000/- can be in cash with the Central Office Executive to meetthe expenses on the postage, telephone, fax, secretarial assistance, etc. The Central Office shall maintain a 11

record of income and expenditure, which shall be put to the Board from time to time and open for thereview for its Chairperson any time. The Central Office shall meet the expenses on receipt books, identitycards, yearbooks, medals, etc.8.2 Audit of Central office account: TheBoard shall point shall appoint a qualified chartered accountantas auditor for auditing the accounts of the Society annually. The Central Office shall make proposal forthis. This account shall be presented to the MC, Board and General Body in annual meetings.8.3 Postal address of the Central office/HQ: Correspondence should be made by name of the CentralOffice Executive at National Institute for Interdisciplinary Science and Technology, CSIR, Trivandrum-695019.8.4 Homepage and email id of the Central office/HQ: The Society has its homepage at www.brsi.in.Email is the preferred mode of the correspondence with the central office at [email protected]. Office of the General Secretary: If need be, the office of the General Secretary shall request the CentralOffice Executive/Chairperson to provide financial assistance for the secretarial assistance/miscellaneousexpenses (for matters other than annual conference expenses). If approved by the Chairperson/Board, anamount of not exceeding Rs 1000/- per year shall be provided by the Central Office. This (the issue ofproviding financial assistance to the office of General Secretary) shall be discussed by the Board in itsmeeting and streamlined from time to time. The treasurer and MC members would be considered part of theoffice of the General Secretary.10. 12.Registration: BRSI is a registered non-profit society under the Societies Act of the Govt of India. It isregistered with the Registrar of the Societies, Trivandrum, Kerala.13.Units and chapters of the Society: The rules governing to these are as below. I. Any R&D or teaching organization can take the lead to establish the institutional/city/state units of the Society. II. The Units can be called by the name of the institute, city or state III. Minimum number of members to establish a unit would be 25, 50 and 100 for the institute, city, or state, respectively. IV. Each unit must have at least 5, 10, 20 life members for the institute, city, or state, respectively. V. The Unit will have a five-member elected Management Committee which shall comprise (i) President, (ii) Secretary, (iii) Treasurer, and (two members). The tenure of the Council would be two years. The President can nominate two more members in the Committee (who would not have any voting right). VI. Election must be held in the month of March when due, for which notice should be sent by the General Secretary to all the valid members (valid members are those who have paid the membership fee due for the current year) in January seeking nominations. In case of election, a returning officer should be appointed by the Unit Council immediately who should prepare and circulate the ballot papers to all members 30 days prior to election. Counting must be done same day after the election and results must be announced immediately. On 1st April, new council should take over. VII. Either the President or the Secretary must be a life member of the Society.VIII. The Unit should have its office at the place of President or General Secretary as postal address and should provide an email id for communication with the Central Office as well as with its members. IX. The unit must open a saving bank account in name of BRSI……..Unit (put name of institute/city/state in …… place) in a bank near to its office and the account should be operated by two members among the President, Secretary and Treasurer. X. Membership fee would be same as for any member of the society. Following would be distribution of fee for the Units. In case of Life-members- 90% (Rs 1800) would go to Central Office and 10% (Rs 200) would be retained at the Unit. In case of Annual and student members, 50-50% (Rs 250 for ordinary annual member and Rs 125 for student member) would go to the Central Office and Unit. Admission fee of Rs 50 would be fully sent to Central Office for the Life member but for the annual and student member, this would be fully retained at the Unit. XI. Identity card to Life members would be issued by the Central Office only. XII. Each Unit must send a consolidated statement of members and fee each year in the month of May to the Central Office and transfer the funds by bank draft. Details of new members and fee can be sent at any other time also (in addition to one in May).XIII. Annual audit of the accounts must be done by the competent auditor. This would be responsibility of the President, Secretary and Treasurer of the Unit.XIV. Units can organize any scientific and cultural functions at their place. Prior approval from the President of the Society to organize any event would be a mandatory requirement. The President 13

or Secretary of the Unit should write to the President of the Society with the details of the program at least 60 days in advance seeking approval. No financial assistance should be sought by the Units from Central Office to organize any such event at their place.XV. Each Unit must conduct at least one program, i.e., conference, seminar, workshop, etc each year.15.Disputes: In case of any dispute, the decision of the Board by consensus or 75% majority vote or asspecified in certain clauses above shall be final and binding on all concerned with BRSI matters.16. Dissolution clause: Three-fourth of members eligible to vote of the society may determine and pass aspecial resolution that the Society shall be dissolved in any General Body Meeting. In the event ofdissolution, the net assets remain after the satisfaction of all its debts and liabilities any property,whatsoever, shall not be paid to, or distributed among the members but shall be given to national society, orit would join/merge with any other national society with similar objects. .17. Amendment clause: Amendments to the rules, bylaws or constitution of the Society shall be amendedat the Annual Meeting of the Board of the Governors and shall be placed at AGM or Extra Ordinary GBMconvened and passed as special resolution by the members eligible to vote provided such amendment shallbe filed with the Registrar of the Societies within 14 days from the days of the AGM meeting.18.
