3 2015Annual Report Message from the Chairperson General Viwat Suchart Expressway Authority of Thailand’s Chairperson 2015 has marked the 43rd anniversary of the Expressway Authority of Thailand’s (EXAT) accomplishment as expressway service provider. With commitments to solve traffic problems, EXAT has elevated its services by applying a state-of-the-art technology to facilitate the expressway users and increased the efficiency of maintenance, safety precaution control as well as environmental quality. During the past years, EXAT has continuously developed expressway networks to cover Bangkok Metropolitan Region. The ongoing projects in 2015 include Si Rat-Outer Ring Road Expressway, expected to be completed in mid 2016 and other several projects of which studying and construction preparation are in process. In addition to developing the expressway networks, EXAT has continuously improved the areas under the expressways to be beneficial to the surrounding communities, society and environment by authorizing government agencies such as Bangkok and other agencies to use them for the sake of social and public benefits such as building public parks, sports ground, shortcut roads and bike lanes as well as other public interest activities including construction of pedestrian bridges, pumping station, sewage pipe and wastewater treatment ponds, improvement of road surface and footpaths as well as lighting installation etc. Most recently, EXAT has given the space of over 3,000 square meters under the Uruphong expressway for building a sports arena named Lan Kila Phat 2 to carry out the royal projects initiated by H.M. King Bhumibol Adulyadej who gives importance to improve human resources to be physically and mentally healthy, good quality of life and the sense of unity in community. The given space will be used for constructing a sports ground, a playground and a park for the elderly and relaxing. Furthermore, EXAT has increased the number of rest area on the expressways to enable drivers to relax, allowing accident reduction and alleviation of traffic congestion. EXAT has provided rest area of 11 Rai on Si Rat Expressway located behind Prachachuen Pay Toll (Outbound) to facilitate the users and minimize a traffic problem. Developing efficiency and skills of the organization’s personnel is also a significant factor to enhance the employees’ performance, knowledge, competency, creative thinking, perspective and vision in efficiently working. Therefore, EXAT has provided a variety of training along with encouraging a moral and ethics based on good governance so as to raise conscience in terms of duty responsibility and operational discipline, to be capable of developing a management system, to promote the organization’s image and to enhance business competitiveness for the best interest of the organization. On the auspicious occasion of entering its 44th year, EXAT has continued to improve efficiency and transportation services with the commitment to impress the expressway users and vigorously develop the expressway networks which are critical infrastructure for driving Thailand’s economy and society so as to support the business growth when entering the ASEAN Economic Community (AEC) and further provide the best interest to the nation. 30 2015Annual Report HumanDevReleospomuercnet The Expressway Authority of Thailand (EXAT) is fully aware that employees are the main factor of work performance resulting in efficient service. The policy of human resource management has been set up to systematically and consistently develop all levels of personnel to acquire knowledge, competency, understanding and skill at work as well as reinforce good attitude and conscience to oneself and organization. The planning of development and training becomes heart of personnel and organizational development and increase in competitive potential to the organization. Therefore, human resource development plan has been laid down complying with government policy, Ministry of Transport’s policy and EXAT corporate plan (Vision, mission, corporate goal and organization value). In fiscal year 2015, EXAT organizes personnel development projects in the area of development and training as follows: 1) Strategic & Action Plan: Development and training pursuant to the strategic & action plan includes establishing development courses based on EXAT’s strategic challenge, excellent performance on service, safety quality, high performance organization (HPO) through State Enterprise Performance Appraisal (SEPA), economic value management (EVM), business administration and investment, development of information technology skills and knowledge as well as new technology, and new skill sets in order to support EXAT’s strategies. 2) Process & Job Development: Development and training for efficient job development and work process includes development and improvement courses on work quality and standard, development courses on core & functional competency and competency gap of employees, development of knowledge and skills complying with individual development plan. 3) Learning Organization & Sustainable Organization: Development for being a learning and sustainable organization includes encouragement on learning organization project, knowledge management with the 4 Learn strategy (Learn to learn (LO), Learn to Share (KM), Learn to connect (CoPs) and Learn to Innovate (Inno) aiming to share and transfer knowledge, especially those from experts who are going to retire and resign. It can be conducted through coaching, meeting or on-the-job training for the benefit of initiation and innovation, talent or successor development in order to retain good and intellectual persons of this organization. 4) Leading & Change: Development pertaining to leadership & change agent includes managerial competency, dare to think, dare to do and dare to decide, risk management, changing management and development in preparation to promote to successor and individual development plan for executives. 5) Regulation, Law and Standard: Development pursuant to standards, regulations and laws as well as general practices includes orientation, morality and ethics encouragement, good corporate or good governance management, reinforcement to work environment and organizational engagement, promotion on health, safety, law, corporate social responsibility and policy projects. In addition to the above-mentioned personnel development, training roadmap of each job title has been taken into account for employees’ appropriate competency. Requirement of training has been surveyed by means of considering competency gap and preparation of personnel to serve work expansion and organization modification in pursuit of the government policy in the future. To be a learning organization, EXAT’s knowledge management has been undertaken through the Intranet and knowledge exchange, including enhancement of knowledge within the organization.

It is considered principal manner for all employees to be used as a mental guidelines based on integrity and morality. The words “Jariyatham” (Morality) can be separated into “Jariya”, which means conduct or good act to take. “Tham” are defined in various meanings such as goodness, religious instructions and code of action. When two words are combined to “Jariyatham”, it literally means “code of behavior” or “behavioral guidance”. Therefore, EXAT defines “Jariyatham” as moral standard and behavioral guidance for all employees to perform their duties honestly, devotedly and equitably. The said performance must be practiced whether to their organization and to all stakeholder groups, including to the public and society. It aims to achieve the organization’s highest goal as the leading state-owned enterprise of the country. However, both “morality” and “ethics” shares a common goal. It aims to encourage each person or organization to possess regulations and good behavior. Any good action must be committed to each individual and other persons as well. It is regarded a matter of reason and discretion as well as creation on sublime awareness of each individual. EXAT’s main mission is to solve traffic problems in the Bangkok Metropolitan Region and other commuting routes which leads to domestic logistics development. As EXAT is obligated to manage Thailand’s entire expressways, good corporate governance has been adopted and it is determined to significantly create awareness of ethical performance to EXAT. It is also meaningful to be acceptable and trustworthy by stakeholders and general public. Therefore, determined performance is considered successful approach to create awareness to all employees that stakeholders, customers and general public are capable of undoubtedly perceiving and sensing remarkable features of employees’ ethics. EXAT has reviewed organizational morality and general morality standard which is the core value of EXAT since fiscal year 2011. The word usage has been renewed and meant to communicate determination of EXAT’s employees to act morally and strictly follow the approaches as specified. The abbreviation that conveys the strong will of EXAT’s employees is “HEARTS”, which means “Working with HEARTS”. Determination that drives all employees to perform their duties with “HEARTS” consists of codes of ethics that all employees are capable of applying as work guidelines through life-time working under EXAT’s banner as follows: ATHESR Honesty Equity/Equitable Treatment Accuracy Responsibility Transparency Society “Honesty, Equal Treatment, Accountability and Social Awareness” EXAT has already reviewed the ethics guidelines so that they are appropriate and up-to-date. The said guidelines have been approved by the Board of Directors in the meeting No. 3/2015 on April 8, 2015.
32 2015Annual Report The Expressway Authority of Thailand’s Corporate Governance Guidelines Good Corporate Governance The Expressway Authority of Thailand’s main objective of management is to alleviate traffic congestion problem in the Bangkok Metropolitan Region in order to reduce national economic loss and perform its business for financial stability and sustainable growth. Efficient management and good corporate governance are considered crucial to achieve such objective. EXAT’s Board of Directors has an intention to enhance EXAT’s efficiency in its business and corporate governance as well as high performance of management. It focuses on convenient, fast and safe service provided for expressway users, including transparency and accountability of organization. Therefore, EXAT’s Board of Directors, executives and employees are required to follow “the 7 principles of international good corporate governance standard” as follows: 1. Accountability Accountable to the outcome of its performance 2. Responsibility Aware of duty to provide good service to expressway users or stakeholders through capability and adequate efficiency 3. Equity/Equitable Treat stakeholder(s) equitability Treatment 4. Transparency Perform its task transparently, disclose information and be accountable 5. Value Creation Increase capability in all dimensions to enhance competitive advantage and add value to business in both short and long term 6. Ethics Follow EXAT’s morality and ethics 7. Participation Allow public participation to express public opinion regarding any operation which may affect the environment, health, quality of life and lifestyle of community or locality EXAT’s Board of Directors has assigned Good Corporate Governance Sub-committee to establish policy, strategies, goals and implementation plan on good corporate governance, supervise, monitor and promote the implementation in accordance with corporate governance guidelines. EXAT’s Board of Directors has been aware of this policy in the meeting No. 6/2010 on June 28, 2010. Summary of EXAT’s Corporate Governance Independent Board Members in Board of Directors In the meeting No. 8/2003 on July 30, 2003, the Board of Directors had resolution on approving the definition of “independence” of board members that the independence of such external members, e.g. qualified persons from private sectors, non-governmental organizations oracademic institutions, would be free to use their discretion for decision
33 2015Annual Report making and real independent action. The independent board members would enable to direct to change or restrain any action when it is considered necessary. The independence board members must not have relationship with business, expectation of benefit or with state-owned enterprise, ministry, agency or company concerned either direct or indirect benefit concerned. In fiscal year 2015, there are 4 independent board members as follows: 1. Air Chief Marshal Yutthana Sukumolchan 2. Mr. Wuttipong Wiboonwong 3. Asst. Prof. Waressara Weerawat 4. Mr. Plakorn Wanglee Respect to Stakeholders’ Benefit EXAT has been carrying out its work by considering impacts on stakeholders. Based on the preliminary study of stakeholders in terms of consequential relations by groups of influence and of interest, and by social and environmental responsibility, stakeholders are categorized and prioritized into 7 main groups, namely expressway users, government sector as owner, EXAT’s employees, people affected by land acquisition, business partners, community surrounding expressway right-of-way and society. The policy has been set up to treat stakeholders equitably and impartially and the rights of all stakeholder groups have been taken into consideration as well. Information Technology Disclosure and Transparency EXAT puts strong emphasis on disclosure of information technology and transparency of performance because information technology is considered crucial for decision making of all concerning internal and external parties as well as evaluation on organizational efficiency. Based on equitable treatment, EXAT provides appropriate, accurate, reliable and up-to-date financial and non-financial information technology to stakeholders through annual report, Internet, Intranet, EXAT Call Center and internal & external public relations activities via media channels. Disclosure of information complying with the Official Information Act B.E. 2540 (1997) is also included. The building of EXAT’s Information Center was constructed in fiscal year 2011 to facilitate visitors accordingly. In addition, EXAT has monitored and evaluated the internal control and risk management and proposed the result of which to the executives and the Risk Management Committee for approval before submitting to the Board of Directors for acknowledgement as scheduled. Encouragement of Moral and Ethical Values EXAT annually organizes seminars/activities to encourage morality and ethical values and disseminate knowledge of morality handbook among the executives and employees for implementation. On-the-job training, EXAT CG roadshow, EXAT CG Day, EXAT CG Idol and morality slogan contest has been organized as well. Besides of this, executives and employees have been designated to annually submit reports on conflict of interest to the governor, in case of either newly appointed or conflict of interest occurs raised in the meantime. In fiscal year 2015, no conflict interest is found among the executives, regular employees and temporary employees.
34 2015Annual Report Corporate Governance Monitoring and Assessment The State Enterprise Policy Office (SEPO) requires that EXAT adopt the State Enterprise Performance Appraisal (SEPA) for further performance evaluation in which corporate governance has been specified as Category 1: Leadership. To achieve such evaluation criteria, the management has been carried out in compliance with Deming Cycle. Good corporate governance annual plan has been established in accordance with SEPO’s Principles and Guidelines on Corporate Governance of State-Owned Enterprise 2009 by applying the 7 principles of international corporate governance (CG) standard namely accountability, responsibility, equitable treatment, transparency, value creation, ethics and participation to the 8 sections (Plan) composing of 1) government sector’s execution as owner, 2) the Board of Directors, 3) financial report, management report, internal control and audit, 4) roles towards the stakeholders, 5) information technology disclosure and transparency, 6) conflict of interest, 7) risk management and 8) code of ethics. EXAT has determined that the said plan is implemented (DO); the CG 8 sections are monitored and their result is collected (Check); and the result of each section is analyzed and evaluated for further improvement (Act). EXAT proposed the result of the CG performance to the quarterly meetings of Corporate Governance Sub-committee and the Board of Directors for acknowledgement. Corporate Governance Information EXAT has disseminated the corporate governance policy and guidelines to the Board of Directors, executives and employees for acknowledgement and practical use. Other information relating to good corporate governance has been publicized through media such as circulation, notification at EXAT’s office buildings, EXAT Sound, publication leaflets, LED TV, Roll up, Internet and Intranet. Bonus payment for Board of EXAT goes according to the rules of the Cabinet that has passed a resolution on January 31, 1978, May 13, 1980 and February 5, 1991 including the guidelines that was determined in the incentive system complying with the State Enterprises Performance Evaluation handbook. All members would be responsible for income tax on their own. Authorities and Duties In addition to establishing a policy to generally supervise EXAT’s activities following the Expressway Authority of Thailand Act B.E. 2550 (2007), the Board of Directors performs its duties in accordance with the cabinet resolution and good corporate governance practices as described below: 1. To supervise the executives to formulate the corporate plan in compliance with a current situation and to serve the national strategic plan, the Ministry of Transport’s strategic plan and the government policy as well as to lay down the annual action plan for the organization management. 2. To supervise the implementation as stipulated in the contract and resolution plan for the problems which may occur from the projects. 2. To consider and provide suggestions to solve the project problems to the contracting agency. 48 2015Annual Report remuneration shall be paid as per number of sessions attended with the rate of that same as State Enterprise member. The remuneration paid for subcommittee, working group or any other party shall not be more than 2 parties and not more than once a month per party. The chairperson shall receive 25% higher than the members. All members would be responsible for income tax on their own. Authorities and Duties 1. To consider financial and investment policy of EXAT, study and formulate guidelines on both short and long-termed management to any problem that may affect Expressway Authority of Thailand’s financial status and any related responsibilities. 2. To consider and screen the annual expenditure budget of Expressway Authority of Thailand for proposal to the Board of Directors for approval. 3. To consider any purchase, procurement and engagement of consultant that was in the Board of Directors’ authority under the Expressway Authority of Thailand’s rules of supply for proposal to the Board of Directors for approval. 4. To scrutinize a reserve fund for emergency situation, value of over Baht 8 Million in accordance with Regulations on Investment Budget of State Enterprises B.E. 2550 (2007), and to consider and screen a reserve fund in event of any change of price over 10% of the approved budget in order to propose to the Board of Directors for approval. 5. To consider compensation for property as prescribed by immovable property expropriation law, which is determined by the Committee for setting preliminary price and compensation for immovable property to be expropriated, which amounted over 100 million Baht per person to propose to the Board of Directors for approval. 6. To consider EXAT’s regulations to propose to the Board of Directors for approval. 7. To consider other matters as assigned by the Board of Directors.
