CONSTITUTION BLUEGRASS CLAIMS ASSOCIATION ARTICLE I NAMESECTION 1. The name of the Association shall be the BluegrassClaims Association, Inc. ARTICLE II OBJECTIVESSECTION 1. To insure through cooperation of its members suchadministration of claims and losses as will result in prompt and justsettlement of meritorious claims.SECTION 2. To promote plans for cooperation in vigorously resistingcollusion, deception and false or fraudulent claims and to promptlydiscourage and expose dishonest, unscrupulous or unethicalpractices.SECTION 3. To promote education and professionalism in theinsurance industry and to promote adherence to the Association’sCode of Ethics. ARTICLE III MEMBERSHIPSECTION 1. Eligibility. Any person primarily employed in theinsurance field whose principal responsibility is the investigation,negotiation and resolution of fire, casualty and/or allied lines claimsfor insurance or self-insured organizations, claims appraisers, andany person who holds an adjuster’s license by the KentuckyDepartment of Insurance, is eligible for membership. Any person whois a member at the time of their retirement will continue to beeligible for membership for life. Questions of eligibility shall beresolved by the Executive Committee.

SECTION 2. The association may award honorary membership tooutstanding members of the community or to others in related fields.The membership shall have no voting privileges. Such award(s) shallbe determined by majority vote of the membership. Honorarymembers will be charged no annual dues.SECTION 3. A member in good standing shall be: A. A member who has met the eligibility requirements or who has been awarded Honorary Membership, and B. Who dues are paid no later than December 1 of each year, and C. Who attends at least three (3) regular meetings during the fiscal year of the Association (September meeting through July meeting)SECTION 4. Members in good standing, as defined in Article III,Section 3 shall be eligible to receive awards, scholarships and otherbenefits of the Association.SECTION 5. Any eligible person may be enrolled as a member uponfiling written application with the Secretrary bearingrecommendations by two (2) members. The application will beproposed at a regular meeting at which they are in attendance. Theapplicant will then be voted upon at the next regular meeting,following proposal, at which they are in attendance, with acceptanceor rejection being determined by a majority vote of those memberspresent, subject to Article VI, Section 3.SECTION 6. Any member may be expelled from membership for justand due cause by a two-thirds majority vote of the members presentand voting at a regular meeting following the preceding regularmeeting where it has been announced by the presiding officer that itwas the intention to take such a vote. Just and due cause shall bedetermined by the officers who shall conduct a hearing and offer theoffending member an opportunity to be heard.

SECTION 7. Any member three (3) months in arrears with their duesshall be automatically dropped from membership.SECTION 8. Any person primarily employed in industries related tothe insurance field will be allowed full membership with votingprivileges.SECTION 9. Annual membership dues shall be waived for pastpresidents and retired members of the association who have been amember in good standing for a minimum of five years. ARTICLE IVSECTION 1. The officers of the Association shall be President, Vice-President, Secretary and Treasurer. At least three (3) of theseofficers must be fully licensed adjusters or persons fully engaged inthe investigation, appraisal, handling or negotiation of insuranceclaims. One (1) officer may be any member and all officers must be ingood standing with the Association.SECTION 2. The election of officers shall be conducted at theOctober meeting of the Association. They shall be elected by themajority of votes cast by the members. Notarized absentee ballotswill be accepted until such time as the polls are announced closed bythe election official, subject to Article VI, Section 3.SECTION 3. Each officer shall take office on the first day of Januaryand shall continue until his elected successor takes office.SECTION 4. In the event the President cannot complete the term ofoffice the Vice-President shall assume the office of President andshall appoint a Vice President to fill the term with the approval of theExecutive Committee. In the event any other officer cannot completetheir term the President shall appoint a person to fill the term withthe approval of the Executive Committee.

SECTION 5. Annual Claims Person of the Year must be a member ingood standing and a fully licensed adjuster or person fully engaged inthe investigation, appraisal, handling or negotiation of insuranceclaims.SECTION 6. Delegates to the Kentucky Claims Association on behalfof the Association must be members in good standing and fullylicensed adjusters or persons fully engaged in the investigation,appraisal, handling or negotiation of insurance claims. ARTICLE VII COMMITTEESSECTION 1. It shall be the duty of the President upon taking office toappoint such committees as are necessary to achieve the objectivesof the Association.SECTION 2. A Parliamentarian may be appointed by the Presidentand his duties will consist of overseeing all conduct and proceduresof all regular monthly meetings, per Roberts’ Rules of Order, NewlyRevised. They shall also serve as the Election Officer. ARTICLE VIII INTERPRETATIONSECTION 1. The interpretation or meaning of any provision of theConstitution shall be determined by the Executive Committee of theAssociation. ARTICLE IX AMENDMENTS TO THE CONSTITUTIONSECTION 1. The Constitution may be amended by a majority vote ofthe members present at the regular meeting following the meetingat which an amendment is proposed subject to Article VI, Section 3.

SECTION 2. This revision of the 1993 Constitution is herebyapproved and adopted by a majority of the membership present atthe November 16, 1995 meeting, it having been ascertained andrecorded in the minutes of the Secretary that a quorum was inattendance.SECTION 3. This revision of the 1995 Constitution is herebyapproved and adopted by a majority of the membership present atthe April 18, 1996 meeting, it having been ascertained and recordedin the minutes of the Secretary that a quorum was in attendance.SECTION 4.
