Cornerstone Sports compiles information on agents and the players they have represented since their certification. Cornerstone will prepare and update an Agent Fact Sheet on any agent or agency names you provide to us. A sample of the Agent Fact Sheet format and information is contained later in this book. Cornerstone assists more than 100 student-athletes and families each year in gathering information about prospective agents and interviewing agents.CAN I USE MY UNIVERSITY’S FACILITIES TO INTERVIEW AN AGENT?Yes. Notify your coach or compliance department that you would like to use university facilities to interview a possible agent as permitted under school policy.IS IT OK TO ASK AN AGENT FOR REFERENCES?Absolutely. As part of preparing to interview a prospective agent, you should ask the agent for the names and numbers of several players they have represented that you can speak with to determine if you want to further consider that agent.WHEN CAN AGENTS BEGIN CONTACTING STUDENT-ATHLETES?The NFLPA has no restrictions. There were restrictions on NFLPA agents contacting underclass student-athletes, but those restrictions were repealed in 2012.HOW SHOULD I RESPOND TO AGENT RECRUITING?Be prepared. Have a plan as to how you will respond so you retain control over the process. Decide who in your “inner circle” will be gathering and receiving information and communicating with a potential agent. Use the university’s compliance department to determine if an agent is legitimate. To maintain your eligibility, do not sign, agree to, or accept anything of value from any agent. Have a plan for gathering information on agents, conducting agent interviews, and determining which agent is the best choice for handling your professional career and all of the business issues associated with being a professional player. Each school has its own agent policy and calendar for contact with an agent. Be sure to check with your compliance department and football coach.
THE ROLE OF AN AGENTWHEN SHOULD I CHOOSE AN AGENT?Hiring an agent is a critical career decision and should be given careful and serious consideration. While you are not permitted to select or sign with an agent before or at any time during your collegiate season, you are permitted to gather information, evaluate, and compare agents, as permitted by your coach and your university’s agent policy. When your football season ends, you should be prepared to interview agents, ask questions, and check references. Your goal is to make an educated business decision on the agent that is the best fit for you.WHEN I CHOOSE AN AGENT, WHAT DO I SIGN?Every player represented by an NFLPA-certified contract advisor is required to sign a Standard Representation Agreement (SRA). Read this document carefully; It contains the agreements on length of contract, services to be provided, and fees and expenses owed to the agent. You may also sign additional agreements covering separate services, such as marketing, with separate provisions for fees and commissions. Read all documents carefully and have all terms explained to you if you are unsure of anything before you sign. Feel free to send any and all documents to the NFLPA for its review. A copy of the SRA is included in this book.IF I AM PROJECTED AS A LATE ROUND OR FREE AGENT PLAYER, DO I STILL NEED AN AGENT?A player drafted in the later rounds or who is undrafted benefits from quality representation for the same reasons a top draft pick does—pre-draft preparation, contract negotiation, and ongoing career management. Particularly for undrafted players, an agent’s ability to contact teams and secure the best opportunity for the highest possible salary can often make a difference and lead to a successful career.CAN I ACCEPT GIFTS OR CASH ADVANCES FROM AN AGENT?No. Accepting anything from an agent while you are a college player will end your collegiate eligibility. The use of money or property to induce a player to select an agent is illegal, against NCAA and NFLPA rules, and will jeopardize your eligibility. As a college athlete, don’t sign, accept, or promise anything. Examples of unallowed benefits include free or discounted transportation, including flights, car rides, and use of a vehicle; free or discounted meals or clothing; free or discounted services (legal, medical, or financial); free or discounted lodging (use of home, hotels, etc.); free or discounted tickets to sporting/entertainment events; gifts or gift cards; free or discounted parking passes; free or discounted use of training facilities; payment of yours or family member’s living expenses (rent, car payment, etc.); and securing loans.9.6
9.7THE ROLE OF AN AGENTWHAT DO AGENTS CHARGE?Under NFLPA rules, the maximum an NFL agent can charge a player for contract negotiation services is 3 percent of the player’s NFL contract compensation (and not until such compensation is earned by the player) as well as expenses. The specifics of what agents charge (fees, expenses, etc.) are contained in the written Standard Representation Agreement (SRA) between the player and agent. A copy of the SRA is included in Section 10 of this book.DO AGENTS ALWAYS CHARGE 3%?The fee is negotiable between the player and the agent. The maximum fee an NFLPA-certified contract advisor can charge is 3%. Most agents charge 3%. In recent years, several agents have offered a sliding scale for their fees, based on where the player is drafted. One example of this sliding scale is as follows:1st round Picks 1-16: 1.0%1st round Picks 17-32: 1.5%2nd round Picks 1-16: 2.0%2nd round Picks 17-32: 2.5%3rd round and after: 3.0%
THE ROLE OF AN AGENTWHAT WILL AGENTS OFFER AS PRE-DRAFT TRAINING EXPENSES?Agents are not required to offer any pre-draft training expenses to players; it is entirely negotiable. If an agent offers to invest in and pay you for training expenses, the Pre-Draft Training Expenses Agreement may provide that the agent will provide (as examples) access to a training facility away from the college campus; meals, lodging and transportation at the training facility; individual coaching instruction; health/auto/disability insurance; spending money for other incidentals; or rent for a place on or near your college campus for March and April (after combine, through your college’s pro day, and through the draft). An agent will require repayment of pre-draft training expenses if you fire the agent before they negotiate a rookie contract. You should review carefully and understand any repayment obligations you may have under a pre-draft training expenses agreement.WHAT DO AGENTS CHARGE FOR GETTING MARKETING DEALS?Agents charge separately for any marketing opportunities that they obtain for players, pursuant to a written Marketing Agreement between the player and agent (or marketing agency). Agent fees for marketing deals are negotiable and typically range from 15 to 25 percent of the income generated by the opportunities they bring to their players. In many cases, agents will charge no fee if the payment is non-cash, such as apparel or product given to a player in exchange for his image or endorsement.WHAT OTHER TERMS ARE INCLUDED IN MARKETING AGREEMENTS BETWEEN PLAYERS AND AGENTS?It is important to understand your rights and obligations under a Marketing Agreement. The agreement should state clearly for example (i) the length or term of the agreement, (ii) is it “exclusive” or “non-exclusive,” (iii) the fee or commission due to the agent, (iv) the right to terminate the agreement, and (v) the consequences of termination (fees owed, etc.).CAN I FIRE MY AGENT?A player can terminate his relationship with an agent at any time by giving written notice to the agent and the NFLPA. The player must wait a specified period of time (30 days for rookies; 5 days for veterans) before retaining a new agent. Generally, you will still owe fees to a former agent for any contract that agent negotiated on your behalf. If you fire an agent before you have signed a contract with an NFL team, you may owe the former agent expenses for pre-draft training and expenses for services provided by the agent. For specific questions about fee obligations to a former agent, consult the NFLPA.9.8

NFL PLAYER CONTRACTS AND ADDITIONAL INFORMATION 13.2—334—APPENDIX A NFL PLAYER CONTRACT THIS CONTRACT is between_______________________________________, here-inafter “Player,” and ________________________________,a________________corporation (limited partnership) (partnership), hereinafter “Club,” operating under the name of the ____________________________________ as a mem-ber of the National Football League, hereinafter “League.” In consideration of the promises made by each to the other, Player and Club agree as follows: 1. TERM. This contract covers __________ football season(s), and will begin on the dateof execution, and end on the last day of the _____ League Year, unless extended, termi-nated, or renewed as specified elsewhere in this contract.2. EMPLOYMENT AND SERVICES. Club employs Player as a skilled football player.Player accepts such employment. He agrees to give his best efforts and loyalty to the Club,and to conduct himself on and off the field with appropriate recognition of the fact thatthe success of professional football depends largely on public respect for and approval ofthose associated with the game. Player will report promptly for and participate fully inClub’s official mandatory minicamp(s), official preseason training camp, all Club meetingsand practice sessions, and all preseason, regular season and postseason football gamesscheduled for or by Club. If invited, Player will practice for and play in any all-star footballgame sponsored by the League. Player will not participate in any football game not spon-sored by the League unless the game is first approved by the League.3. OTHER ACTIVITIES. Without prior written consent of the Club, Player will not playfootball or engage in activities related to football otherwise than for Club or engage in anyactivity other than football which may involve a significant risk of personal injury. Playerrepresents that he has special, exceptional and unique knowledge, skill, ability, and experi-ence as a football player, the loss of which cannot be estimated with any certainty andcannot be fairly or adequately compensated by damages. Player therefore agrees that Clubwill have the right, in addition to any other right which Club may possess, to enjoin Playerby appropriate proceedings from playing football or engaging in football-related activitiesother than for Club or from engaging in any activity other than football which may involvea significant risk of personal injury.4. PUBLICITY AND NFLPA GROUP LICENSING PROGRAM.(a)Player hereby grants to Club and the League, separately and together, theright and authority to use, and to authorize others to use solely as described below, his name, nickname, initials, likeness, image, picture, photograph, animation, persona, auto-graph/signature (including facsimiles thereof), voice, biographical information, data concerning performance and/or movement collected from Sensors, as defined in Article 51, Section 14 of the CBA, in NFL games, and/or any and all other identifying character-istics (collectively, “Publicity Rights”), for any and all uses or purposes that publicize and promote NFL Football, the League or any of its member clubs in any way in any and all COLLECTIVE BARGAINING AGREEMENT - March 15, 2020
13.3NFL PLAYER CONTRACTS AND ADDITIONAL INFORMATION —335— media or formats, whether analog, digital or other, now known or hereafter developed, including, but not limited to, print, tape, disc, computer file, radio, television, motion pic-tures, other audio-visual and audio works, Internet, broadband platforms, mobile platforms, applications, and other distribution platforms. Without limiting the foregoing, this grant includes the right to use Player’s Publicity Rights for the purpose of publicizing and promoting the following aspects of NFL Football, the League and/or any of its mem-ber clubs: brands, games, ticket sales, game broadcasts and telecasts and the availability thereof, programming focused on the NFL, one or more NFL clubs and/or their games and events (e.g., coaches shows, highlight-based shows such as Inside the NFL, behind-the-scenes programming such as Hard Knocks) and the availability thereof, other NFL-related media offerings (e.g., branded content segments featuring NFL game footage and other programming enhancements), media distribution platforms and direct-to-consumer ser-vices (e.g., NFL.com, NFL Network, NFL Game Pass, NFL apps), official events (e.g., NFL Kickoff, NFL Draft), officially sanctioned awards programs (e.g., Rookie of the Year), and public service or community oriented initiatives (e.g., Play60). For purposes of clarity, the foregoing grant of rights includes the right and authority to use, and to author-ize affiliates or business partners to use, after the term of this Agreement any Publicity Rights fixed in a tangible medium (e.g., filmed, photographed, recorded or otherwise cap-tured) during the term of this Agreement solely for the purposes described herein. Notwithstanding anything to the contrary, the foregoing grant does not confer, during or after the term of this Agreement, any right or authority to use Player’s Publicity Rights in a manner that constitutes any endorsement by Player of a third-party brand, product or service (“Endorsement”). For purposes of clarity, and without limitation, it shall not be an Endorsement for Club or the League to use, or authorize others to use, including, without limitation, in third party advertising and promotional materials, footage and pho-tographs of Player’s participation in NFL games or other NFL events, or clips of NFL programming that incorporate Player’s Publicity Rights, that do not unduly focus on, fea-ture, or highlight, Player in a manner that leads the reasonable consumer to believe that Player is a spokesperson for, or promoter of, a third-party commercial product or service. Player will cooperate with the news media, and will participate upon request in reasonable activities to promote the Club and the League. Player and National Football League Players Association, including any of its af-filiates (“NFLPA”) do not and will not contest during or after the term of this agreement, and this hereby confirms their acknowledgment of, the exclusive rights of the League, Club and any NFL member club (i) to telecast, broadcast, or otherwise distribute, transmit or perform, on a live, delayed, or archived basis, in any and all media now known or here-after developed, any NFL games or any excerpts thereof and (ii) to produce, license, offer for sale, sell, market, or otherwise distribute or perform (or authorize a third party to do any of the foregoing), on a live, delayed, or archived basis, any NFL games or any excerpts thereof, in any and all media now known or hereafter developed, including, but not limited to, packaged or other electronic or digital media. Nothing herein shall be construed to grant any Publicity Rights for use in licensed consumer products, whether traditional or digital (e.g., video games, trading cards, ap-parel), other than to the extent such products constitute programming (as described

(b)Player hereby assigns the NFLPA and its licensing affiliates, if any, theexclusive and unlimited right to use, license and sublicense the right to use his name, nick-name, initials, autograph/signature (including facsimiles), voice, picture, photograph, animation, image, likeness, persona, jersey number, statistics, data (including, but not lim-ited to data concerning performance and/or movement collected from Sensors, as defined in Article 51, Section 14 of the CBA, in NFL games), copyrights, biographical information and/or other personal indicia (individually and collectively, “Rights”) for use in connection with any product, brand, service, appearance, product line or other commercial use and any sponsorship, endorsement or promotion thereof, when more than five (5) NFL player Rights are involved, regardless of team affiliation and whether that number is reached using player Rights simultaneously or individually, in any form, media, or medium (now known or hereafter developed) during a consecutive 12-month period (a “group licensing program”). For sponsorships, endorsements, and promotions, group licensing programs are further defined as those: (a) in any one product category, as defined by industry stand-ards; or (b) in different categories if the products all use similar or derivative design or artwork, or one player product is used to promote another player product. The Rights may also be used for the promotion of the NFLPA, its affiliated entities and/or its designees (the “NFLPA Entities”), provided such promotion does not consti-tute an endorsement by Player of a commercial product not a part of a group licensing program. Player agrees to participate, upon request of the NFLPA and without additional compensation, in reasonable activities to promote the NFLPA Entities, which shall include (i) up to three (3) personal appearances per year or (ii) up to fifteen (15) minutes per weekdedicated to promoting the NFLPA Entities. Player retains the right to grant permissionto others to utilize his Rights if that individual or entity is not concurrently utilizing theRights of five (5) or more other NFL players for any commercial purpose whatsoever. IfPlayer’s inclusion in an NFLPA program is precluded by an individual exclusive endorse-ment agreement, and Player provides the NFLPA with immediate written notice of thatpreclusion, the NFLPA agrees to exclude Player from that particular program. ShouldPlayer fail to perform any of his obligations hereunder, the NFLPA may withhold pay-ments owed to Player, if any, in connection with this Group Licensing Assignment.In consideration for this assignment of rights, the NFLPA agrees to use the reve-nues it receives from group licensing programs to support the objectives as set forth in the Bylaws of the NFLPA and as otherwise determined by the NFLPA Board. The NFLPA further agrees to use reasonable efforts to promote the use of NFL player Rights in group licensing programs, to provide group licensing opportunities to all NFL players, and to monitor and police unauthorized third-party use of the Rights. The NFLPA makes no representations regarding group licensing other than those expressed herein. This agreement shall be construed under Virginia law. The assignment in this paragraph shall expire on December 31 of the latter of (i) the third year following the execution of this contract, or (ii) the year after this contract expires, and may not be revoked, terminated or otherwise assigned in any manner by Player until such date.
